1 FIRST AMENDMENT TO ST. JOHNS COUNTY NON-EXCLUSIVE COMMUNICATIONS TOWER LEASE AGREEMENT THIS FIRST AMENDMENT TO COMMUNICATIONS TOWER LEASE AGREEMENT ( Amendment ), dated August, 2013, is made by and between St. Johns County, a political subdivision of the State of Florida, having administrative offices located at 500 San Sebastian View, St. Augustine, Florida ( Lessor ), and New Cingular Wireless PCS, LLC, a Delaware limited liability company, authorized to do business in the State of Florida, having a mailing address of Cingular Way, Suite 1300, Alpharetta, GA (Lessee ). WITNESSETH: WHEREAS, Lessor and Lessee entered into a Communication Tower Lease Agreement ( Agreement ) dated May 7, 2013, with respect to the land located at 9685 Light Avenue, Hastings, Florida in St. Johns County, Florida ( Premises ); and, WHEREAS, due to the unavailability of the equipment shelter model approved in the Agreement for Lessee to install on the Premises, Lessor and Lessee desire to enter into this Amendment in order to modify and amend certain provisions of the Agreement to approve a different model of equipment shelter, correct the model of installed antenna, and update the construction plans and lease equipment schedule to reflect the equipment shelter change and antenna correction; and WHEREAS, Lessor and Lessee desire to amend the Agreement to modify the Lessee s Notice information. NOW, THEREFORE, in consideration of the premises and the mutual representations, covenant and agreements herein contained, Lessor and Lessee do hereby represent, covenant and agree as follows: SECTION 1. Exhibit B to the Agreement (Prerequisites) and Exhibit D to the Agreement (Lessee Equipment Schedule) are deleted in their entirety and replaced with Amended Exhibit B and Amended Exhibit D, respectively, attached hereto and incorporated herein by reference. SECTION 2.
