1 Constitution Management Consulting Club - Concordia University Effective 20 of October 2014 Last Amendment 17 of June 2015 Article 1: Name 1. The name of the committee shall be Management Consulting Club Concordia University, hereafter referred to as MCC Concordia University. NOTE: John Molson School of Business hereafter is referred to as the School. Management (Strategy) Consulting hereafter is referred to as Consulting. Article 2: Objectives 1. To be the official representative of students of Concorida University who wish to pursue the carrier in consulting, with a specific focus on students in business, engineering, and science related disciplines. 2. To create an awareness of career opportunities in the Management Consulting field for students with various majors and concentrations. 3. To expand learning opportunities for students by hosting experienced and knowledgeable consultants. 4. To provide a liaison between the University and the business community especially prestigious Consulting firms. 5. To consider and to undertake activities that enhance the educational, professional and social environment for students interested in Consulting at Concordia University. 6. To garner a comprehensive understanding of various possible career paths and sectors in within the Consulting industry through professional testimonials and other means. 7. To act as an information/recruitment link between the firms and the students (i.e.: hold recruitment events, speaker panels.) 8. To provide information and support to student inquiries on Consulting and student involvement related topics. 9. To increase Concordia (the School) students exposure to the overall Consulting business community.

To enhance and encourage the students preparation for the Consulting recruitment process by organizing activities including but not limited to: interview case simulation sessions, lectures with the Consulting industry professionals, speaker panels, and sessions for solving mathematical and logical reasoning tests. Article 3: Membership 1. Membership in the group is open to all undergraduate students, without restriction on the grounds of national origin, race, religion, colour, sex, sexual orientation, disability, or faculty of study. 2. All students of Concordia University have the right to Active Membership. 3. Active Membership is valid for a maximum of one fiscal year and can be renewed after expiration by re-subscribing to the MCC - CONCORDIA UNIVERSITY mailing list. Article 4: Rights, Privileges and Duties of Active Members 1. All Active Members may attend and participate in events. 2. All Active Members have the right to examine all MCC - CONCORDIA UNIVERSITY records and may request and receive a copy of this constitution and any other MCC - CONCORDIA UNIVERSITY official document. 3. All Active members have the right to be candidates for any MCC - CONCORDIA UNIVERSITY Executive position. 4. Any Active member is entitled to exercise his/her rights. 5. All Active members are permitted to vote for the election of the MCC - CONCORDIA UNIVERSITY President. Article 5: Composition of MCC - CONCORDIA UNIVERSITY For the functioning of the MCC - CONCORDIA UNIVERSITY executive team, a minimum of 4 positions must be occupied in any given year. These are: (1) President (2) VP Finance (3) VP Internal (4) VP Marketing (5) VP Events

3 Article 6: Eligibility requirements, functioning, and duties of the President 1. President must be at least a second year student who is currently registered. 2. President is ultimately responsible for MCC - CONCORDIA UNIVERSITY and all its activities. 3. President shall preside at all meetings and uphold this constitution. 1) In the event of an absence, President shall appoint VP Finance; in the absence of both, the VP Events to stand in as his or her representative. 2) In the event that a President vacates office before the end of his tenure, it is the responsibility of the VP Finance to hold a meeting and decide on the new President from within the board to take over as the other President until another person can be elected to this position in the usual election period. 4. Shall ensure that the Executive appointments are held in accordance with this constitution. Consequently, President is responsible for the planning and execution of the election and appointments of the MCC - CONCORDIA UNIVERSITY Executives and any Associate Executives for the subsequent term. 5. President is responsible for conflict resolution amongst members and executives of MCC - CONCORDIA UNIVERSITY. 6. President is responsible for the whole strategy, vision and overall yearly activities of MCC - CONCORDIA UNIVERSITY. 7. Perform other duties necessary for the proper functioning of MCC - CONCORDIA UNIVERSITY. 8. In the absence of the President for whatever reason, VP Finance becomes solely responsible for all the activities listed below until the President is able to return to his/her duties or another person is elected for the position of the President on a general election of all MCC - CONCORDIA UNIVERSITY members in the usual election period as stipulated by Article In absence of the President, VP Finance can delegate the responsibilities listed to other Executives, whose mandated responsibilities logically coincide with the duties listed below. Nevertheless, he/she remains ultimately responsible for such duties. 6.8 Duties of President: 1. Responsible for attending meetings with any relevant bodies. 2. Ultimately responsible for strategy of MCC - CONCORDIA UNIVERSITY and all yearly activities. 3. Guide and oversee the actions of executive teams according to their mandates. 4. Responsible for overseeing and approving future events, budget. 5. Responsible for reviewing MCC - CONCORDIA UNIVERSITY financial records monthly to ensure the completeness, validity, and existence of transactions and balances.

4 6. Shall sign cheques in the event of the absence of the VP Finance. 6.9 President must always refer to the executives prior to taking any material decisions. Article 7: Duties of VP Finance: 1. Responsible for all financial transactions and ensuring that such are subject to Concordia University/and/or/JMSB financial policies. 2. Orderly maintenance of financial records, including proper internal office system for cash receipts and disbursements. 3. Preparation of monthly revenue and expense summary to be submitted to MCC - CONCORDIA UNIVERSITY and any other relevant bodies. 4. When and if applicable, attend finance committee meetings where all financial documents should be presented to any other relevant bodies. 5. At the end of the term, an annual revenue and expense summary report shall be prepared for the new President and VP Finance. 6. Responsible for coordinating student refunds for activities requiring student deposits. 7. Responsible for following up and obtaining collection of any monies owed on outstanding invoices. 8. Represents the President. 9. Perform other duties as needed for the proper functioning of MCC - CONCORDIA UNIVERSITY. Article 8: Duties of VP Internal: 1. Responsible for establishing and maintaining strong links with internal Concordia clubs, societies and various associations. 2. Responsible for prospecting for funding opportunities within the Concordia community. 3. Responsible for soliciting cross-promotions, joint events and internal Concordia support for overall MCC activities. 4. Shares the responsibility with VP Events for booking. 5. Responsible for responding to all s. Article 9: Duties of VP Marketing: 1. Act as a liaison between the MCC - CONCORDIA UNIVERSITY Presidents, other associations, and any other relevant bodies. 2. Perform and coordinate all promotional activities held by MCC - CONCORDIA UNIVERSITY.

5 3. Launch, overlook, and update all the web pages MCC - CONCORDIA UNIVERSITY has and might have, including MCC - CONCORDIA UNIVERSITY web-site, Facebook page, LinkedIn page, Twitter account, and all other future communication platforms. 4. Be primarily responsible for coordinating MCC - CONCORDIA UNIVERSITY s involvement during FROSH and welcome week. 5. Perform other duties as needed for the proper functioning of MCC - CONCORDIA UNIVERSITY. Article 11: Duties of VP Events: 1. Responsible for coordinating the speakers for industry panels and events and logistics of such events. 2. Responsible to ensure the fluidly and detailed logistics of the event 3. Ensure to book and/or receive the required equipment of material for events Article 12: Overall Duties of other Executives: 1. Each executive is responsible for carrying out the mandate handed them in the beginning of the year. 2. Each executive is required to attend weekly MCC - CONCORDIA UNIVERSITY executive meetings and provide ample notice if they are expected to be absent. 3. All executives should devote at least two office hours per week during the fall and winter semesters. 4. All executives must be registered undergraduate students in the year they assume their duties. 5. Executives have the right to delegate a director who will be a non-voting member of the MCC - CONCORDIA UNIVERSITY board, to carry any duties with which they require assistance. 6. Shall an executive graduate or leave school for any reason before the ending of his/her mandate, a temporary replacement shall be appointed by the President to perform his/her duties. Article 13: Succession, turnover and Quorum 1. An annual meeting of present year and following year executives must be held in order to pass on knowledge and maintain institutional memory. 2. At least 2 executives of the entire MCC - CONCORDIA UNIVERSITY executive body must be present at any meeting in order to satisfy quorum

6 Article 14: Budget and Finances 1. All expenditures must be reported to and approved by the President and Financial Consultant in accordance with the established budget. 2. The budget must be annually prepared by the VP Finance within 4 months of entering office with the assistance of any executives he or she deems necessary. Article 15: Fiscal Year 1. The fiscal year for MCC - CONCORDIA UNIVERSITY terminates on April 30th. 2. The financial statements must be prepared for presentation to MCC - CONCORDIA UNIVERSITY and any other relevant bodies within one month of the fiscal end year. Article 16: General Elections and Appointments 1. The President shall be elected by a majority vote of MCC - CONCORDIA UNIVERSITY executives. 1) Interested candidates for this position will either submit their nomination bid for consideration to a MCC - CONCORDIA UNIVERSITY executive or the MCC - CONCORDIA UNIVERSITY executive will nominate candidates that they see fit to be considered for President. 2) Any nominated candidate may choose to present the nature of their candidacy to the MCC - CONCORDIA UNIVERSITY Executive or may be called upon to present the nature of their candidacy. 2. Positions will be acclaimed if there is only one candidate for the position. 3. The remaining positions on the executive shall be voted upon by all Club members. Executives and members alike are entitled to one vote each. 4. All candidates must be registered undergraduate students. 5. The incoming officers shall take office May 1st of each year. All appointments would last one year till end of April of the following year. Article 17: Removal from Office 1. Any Executive, including the President may be removed from office for violation of these by-laws, for delinquency of duties which occurs when the officer does not adhere or only partially fulfil their mandate as outlined in their job description- or for misappropriation of funds. 2. A petition for the removal of any member from office must state the charges against the member in question. It does not require the approval of other executives, it shall be originated exclusively from members if necessary. 3. Upon receipt of the petition by the Executive body, the next most senior Executive will call a Board meeting where the Executive so-charged may be present to answer any charges. 4. A Petition for removal from office voting on the removal of other executives. At an impeachment meeting, all club members and executives each have one equivalent vote.

7 5. Any disputes and appeals of the Club shall be referred to the to the Concordia Student Union's Judicial Board. Article 18: Appointments in contingency 1. In the case where amendments to the constitution have affected the organizational structure of MCC - CONCORDIA UNIVERSITY. The executives do not have the right to appoint other executives; these shall be elected by members at a meeting called with that purpose. The newly elected members will enjoy all the due privileges and responsibilities until the next annual election and appointments. Article 19: Interpretations and Amendments 1. If an interpretation of the constitution is called for by any member, by vote of all Club members an interpretation shall be made. 2. The by-laws to this constitution may be amended only if greater than 50% of the Club members vote in favor at a meeting held duly for such a purpose. 3. Any amendment will be communicated to the CSU Club s VP. Article 20: General & Special Meetings 1. General meetings are held per academic term. 2. Special meetings can be held anytime when 2 or more members call for one. Article 21: Activities Article 22: CSU Policies 1. Three major type of events will take place throughout each academic term; these include a by-weekly case cracking session (held on Fridays every two weeks where students(members and non-members alike) learn step by step how to tackle a case through a presentation held by a Consultant, a group discussion will follow to reflect and analyze the presentation); at least 2 conferences per academic term (these further explain or present information on specific issues where different panelists speak about the perspectives, held mostly on Thursdays or Fridays); an end of semester networking event (where undergraduate students get (members and non-members alike) to meet industry professionals from different consulting firms. 1. Where items are not defined in this constitution or there are inconsistencies with the CSU s By-Laws, regulations, and policies, the CSU s By-Laws, regulations, and policies shall take effect.
