1 The Challenge Contest OFFICIAL CONTEST RULES March 21, 2016 May 31, 2016 By entering this Contest, the entrants and participants automatically agree to accept and abide by these Official Contest Rules. All decisions of the Contest Sponsors with respect to any aspect of this Contest, including without limitation the eligibility of entries, are final and binding on all entrants in all matters as they relate to this Contest. 1. Contest Sponsor. The contest sponsors are The Globe and Mail Inc. ( The Globe ) and TELUS Communications Company ( TELUS ) (collectively, the Contest Sponsors ). 2. Contest Entry Period. The Challenge Contest (the Contest ) begins at 12:01 a.m. Eastern Daylight Time ( EDT ) on March 21, 2016 and ends at 11:59 p.m. EDT on May 31, 2016 (the Contest Period ). 3. Contest Eligibility. To be eligible to participate in this Contest, you must: (1) be a legal resident of Canada (excluding Quebec) and be of the legal age of majority in your province or territory of residence at the time of your entry in this Contest; and (2) be either: i. the owner of a company or business domiciled in Canada (excluding Quebec) with 1 99 employees (an Eligible Small Business ); or ii. an employee of an Eligible Small Business who has obtained written permission to participate in this Contest from the owner, president or chief executive of the Eligible Small Business. If you meet all of the eligibility requirements to participate in and enter the Contest, you are referred to herein as an Eligible Entrant. For greater certainty, residents of Quebec and companies or businesses domiciled in Quebec are not eligible for this Contest. You are not eligible if you are: (1) any person that was or is a director, officer, employee of a Contest Sponsor, its affiliates (including parent, sister and subsidiary companies), or other party in any way involved in the development or administration of this Contest, including advertising and promotional agencies, public relations agencies, suppliers of materials or services or prizes related to the Contest, or a member of the immediate family (spouse, parents, siblings and children, regardless of where they reside) or household member of any such employee; (2) any person that was or is a director, officer or employee of any retailer or dealer (or any such retailer s or dealer s division, parent, subsidiary or affiliated company, or any other company or organization where such person is a principal and such other company s or organization s employees) of the Contest Sponsors; or (3) a winner of a contest sponsored by any Contest Sponsor within the six (6) months preceding the start of this Contest (including persons designated by such winners to take ownership of prize) and persons domiciled with such a winner. Groups, associations and entities cannot participate. 4. How to Enter. No purchase is necessary. To enter the Contest, please visit the Contest website at (the Contest Website ) during the Contest Period, and completely fill out the online entry form (the Submission ), which requires the following information: (1) Personal Information: name, age, current job title, phone number, address, and residential address.

2 (2) Business Information: name of your Eligible Small Business; the number of employees employed by your Eligible Small Business; address, business phone number and website of your Eligible Small Business; number of years your Eligible Small Business has been in operation; and revenues to date. (3) The Challenge Information: In a total of 630 words or less, describe the following: i. What does your Eligible Small Business do (approximately 30 words)? ii. iii. iv. What challenge is your Eligible Small Business currently experiencing (drop down selection)? What solution do you propose for the challenge and how would $100,000 CDN help to overcome the challenge (approximately 200 words)? What results do you expect to achieve once the challenge is overcome (approximately 200 words)?; and v. Describe how your Eligible Small Business incorporates the following values into your business: (a) community investment/commitment to charities; (b) customer service; and (c) innovation (approximately 200 words). (4) OPTIONAL and NON-PROMOTIONAL CATEGORY FROM TELUS - Small Business Community Investment Acknowledgement: This section is an offer solely from TELUS, and is optional and not part of The Challenge. Eligible Small Businesses are not required to fill out this section as part of The Challenge Contest. Anything provided in this section will not be used as part of The Challenge Contest. Please see Section 16 for details. LIMIT: only one (1) Submission per Eligible Small Business and/or only one (1) Submission per Eligible Entrant. All Submissions received within the entire Contest Period will be eligible for a chance to win a maximum of one (1) prize. Odds of winning the Prize depend on the number and quality of eligible Submissions received. (5) Official Contest Rules, Background Check, Privacy Policy: To enter the Contest, you must expressly agree to these Official Contest Rules, the Privacy Policy of The Globe and Mail Inc., and acknowledge that if you are selected as a potential Finalist, the Contest Sponsors will perform a background check on you and your Eligible Small Business, including but limited to a Dun & Bradstreet Report. No Submissions will be returned. All Submissions become the property of the Contest Sponsors. Your Submission must adhere to the Submission Rules (as described below). 5. Proof of Receipt. The sole determinant of time for the purposes of receipt of a valid entry and ballot will be the computer servers of the Contest Sponsors. Proof of mailing or transmission (screenshots or captures, etc.) does not constitute proof of receipt. 6. Conduct. By participating in the Contest, you acknowledge that you have read and understood these Official Contest Rules and agree to abide and be bound by them and all decisions of the Contest Sponsors, which shall be final and binding, without right of appeal, in all matters relating to this Contest and the awarding of prizes. The Contest Sponsors reserve the right, in their sole and absolute discretion, to disqualify any entrant that it finds to be: (a) violating the Official Contest Rules; (b) tampering or attempting to tamper with the entry process or the operation of the Contest; (c) acting in an unsportsmanlike or disruptive manner; or (d) attempting to undermine the legitimate operation of the Contest. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR TO UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS. SHOULD ANY SUCH ATTEMPT BE MADE, CONTEST SPONSORS RESERVE THE

3 RIGHT TO SEEK REMEDIES AND DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW, AND TO BAN OR DISQUALIFY AN ENTRANT FROM THIS AND FUTURE CONTESTS. 7. Identity of Entrant and/or Eligible Small Business. Upon request by the Contest Sponsors, each entrant must provide the Contest Sponsors with proof of their identity, qualification as an Eligible Entrant, and/or qualification as an Eligible Small Business. Contest Sponsors may disqualify any Submission where such proof is not provided upon request. In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the authorized holder of the account, as assigned by the internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) responsible for assigning addresses for the domain associated with the submitted address. 8. Judges, Judging Criteria and Selection of Finalists. Submissions will be judged by a panel composed of representatives of TELUS, representatives of The Globe and Mail Inc. and one or more representatives of small businesses selected by the Contest Sponsors (the Judges ) on or about June 3, Judging is at the sole and absolute discretion of the Judges, without right of appeal. The Judges will judge the Submissions using the following evaluation scheme: Criteria Weighting What does your Eligible Small Business do? 0% What challenge is your Eligible Small Business currently experiencing? 15% What solution do you propose to the challenge and how would $100,000 help to overcome the challenge? 55% What results do you expect to achieve once the challenge is overcome? 15% Describe how your Eligible Small Business incorporates the following values into your business: (a) community investment/commitment to charities; (b) 15% customer service; and (c) innovation. 9. Confirmation of Finalists. The Judges will select the top five (5) Submissions from among the Submissions of all Eligible Entrants based on the above noted criteria (the potential Finalists ). On or about June 3, 2016, the Contest Sponsors, acting reasonably, will attempt to contact each potential Finalist by telephone. To be confirmed a Finalist, the potential Finalist must: (1) Respond to the telephone notification within two (2) business days of being contacted; (2) Review, sign and return within the time frame specified by the Contest Sponsors any and all agreements as required by the Contest Sponsors, including waivers, release agreement, release of liability and indemnity agreements and intellectual property licences; (3) Be available to be profiled in the ROB section of The Globe and Mail print newspaper and globeandmail.com on or about June 29, 2016; and (4) Be available and able to attend The Challenge Event at TELUS House, tentatively scheduled on June 29, 2016 at 25 York Street, Toronto, Ontario. Potential finalists determined by the Contest Sponsors to be ineligible, for reasons including but not limited to failure to comply with the Official Contest Rules, failure to be contacted or respond to contact attempts, and being unable to attend The Challenge Event, will be disqualified from the Contest. The Contest Sponsors reserve the right to award the potential Finalist spot to the Submission with the next highest score in accordance with the criteria in their sole discretion. Contest Sponsors may, at their sole discretion, profile one or more of the confirmed Finalists and their Submissions in print, digital, electronic, mobile and social media formats of the Contest Sponsors. All confirmed Finalists hereby consent to the profiling and publication of their Submissions in accordance with these Official Contest Rules, and will use reasonable efforts to cooperate with the Contest Sponsors in the preparation of such profiles and publicity by the Contest Sponsors.

4 10. The Challenge Event at TELUS House, Video Pitch and Online Public Voting and Comments. The five confirmed Finalists will attend The Challenge Event at TELUS House, tentatively scheduled on June 29, 2016 at 25 York Street, Toronto, Ontario. Transportation, accommodations and other reasonably necessary expenses to confirmed Finalists will be arranged and provided for by the Contest Sponsors at their sole discretion. Each Finalist will be required to make a two to three minute presentation at The Challenge Event to the Judges and attendees as to why the Finalist should win the Prize (the Pitch ). Each Pitch will be recorded (the Video Submission ) and made available online, including but not limited to the Contest Sponsors websites. Members of the public will be invited to comment on and vote for their favourite Pitch at or other authorized social media websites such as Facebook or Twitter, until the voting expiry date, which will be on or before August 31, Limit one (1) vote per person. The use of any third party voting tools, such as tools designed to increase votes that are not based on the merits of the submission is strictly prohibited. The Contest Sponsors reserve the right to discount any vote that appears, in its sole determination, to be made by the same person using different accounts. Any use of robotic, automatic or other programmed methods, or any other fraudulent mechanism, as determined by the Contest Sponsors, may void all votes. 11. Selection of Winner and Winner Confirmation. On or about September 1, 2016, the Judges will select a potential winner from the five confirmed Finalists in accordance with the following criteria: Criteria Weighting Judges: Original Submission Score 50% Judges: Video Submission Score (based on the criteria at section 8) 45% Public: Online Votes 5% On or about September 1, 2016, the Contest Sponsors, acting reasonably, will attempt to contact the Finalist with the highest score by telephone (the Winner ). To be confirmed a Winner, the potential Winner must: (1) Respond to the telephone notification within five (5) business days of being contacted; (2) Review, sign and return within the time frame specified by the Contest Sponsor any and all agreements as required by the Contest Sponsors, including waivers, release agreement, release of liability and indemnity agreements and intellectual property licences; and (3) Be available and able to record a Winner s Video on or about September 8, 2016 in Toronto, Ontario or as otherwise reasonably determined. A potential Winner may be determined by the Contest Sponsors to be ineligible for the Prize, for reasons including but not limited to failure to comply with the Official Contest Rules, failure to be contacted or respond to contact attempts, and being unable to create a Winner s Video, and will be disqualified from the Contest. The Contests Sponsors reserve the right to award the Prize to the Finalist with the next highest score in accordance with the criteria in their sole discretion. 12. Regional Recognition winners. On or about October 3, 2016, the top ten Submissions by the regions specified below, excluding the Finalists and Most Promising Start-Ups, as determined by The Globe and Mail Inc. s editorial staff, will be announced during Small Business Week in Toronto, Ontario and will be published in the ROB section of The Globe and Mail newspaper and on globeandmail.com. 5 Alberta 2 Prairie (Saskatchewan, Manitoba) 1 Ontario 3 Atlantic (Newfoundland, New Brunswick, Nova Scotia, PEI) Most Promising Start-ups winners: The three (3) Most Promising Start-ups, as determined by The Globe and Mail Inc. s editorial staff and based on their sole opinion of the potential of success of Eligible Entrants that identify themselves as a start-up, will be selected and mentioned in The Globe and Mail newspaper and/or on globeandmail.com on or about October Most Honourable winners: The fifty (50) Most Honourable winners, as determined by The Globe and Mail Inc. s editorial staff, will be mentioned in The Globe and Mail newspaper and/or on globeandmail.com on or about October Prizes. There is one (1) Grand Prize, four (4) Finalist Prizes, three (3) Most Promising Start-ups Prizes, (10) Regional Recognition prizes, and fifty (50) Most Honourable mentions available to be won: (a) Grand Prize: The Grand Prize available to be won consists of (1) a $100, CDN grant (the Grant ) payable by TELUS by cheque to the Winner, (2) a $10,000 CDN charity prize (the Charity Prize ) to donate to a charity of their choice, subject to the terms and conditions below, and (3) a full page feature in The Globe and Mail newspaper and a video feature on on or about September 14, 2016 (collectively, the Prizes ). The Grant will be awarded in two instalments: (1) $50,000 upon confirmation of the Winner; and (2) $50,000 upon the Winner providing the Contest Sponsors with a written report (the Status Report ) within one year of being awarded the first instalment of the Grant, indicating: (1) How the first $50,000 instalment of the Prize awarded was used and what successes resulted from the application of the money to the Eligible Small Business; and (2) How the remaining $50,000 will be applied to the Eligible Small Business. The Status Report must adhere to the Submission Rules. The Charity Prize may be donated only to a charity that is: (1) a registered Canadian charity with the Canada Revenue Agency, and (2) not registered with the Canada Revenue Agency under the religious category or any of the categories below: Religious or sectarian organizations (except where they represent non-denominational community and social support services) Political organizations and candidates Individuals For-profit organizations Travel, accommodation, meal expenses, field trips and tours Conferences, seminars and workshops Advocacy of special interest groups Prizes must be accepted as awarded, without substitution, transfer, exchange or assignment except in the Contest Sponsors sole and absolute discretion. Contest Sponsors reserve the right to substitute the Prize in whole or in part. Winners are solely responsible for all costs not expressly described herein.

6 (b) Finalist Prizes: Each of the four (4) Finalists who do not win the Grand Prize, will receive a Finalist Prize, consisting of: (1) $10,000 CDN cash; and (2) $2,000 worth of Telus services or devices. The estimated value of each Finalist Prize is $12,000 CDN. (c) Most Promising Start-ups: The three (3) Most Promising Start-ups, as determined by The Globe and Mail Inc. s editorial staff and based on their sole opinion of the potential of success of Eligible Entrants that identify themselves as a start-up, will receive a prize package consisting of services from Agency59 Response Ltd. The estimated value of each Most Promising Start-ups prize is $5,000 CDN. (d) Regional Recognition Prizes: The ten (10) Regional Recognition winners, as determined by The Globe and Mail Inc. s editorial staff, will each receives a Telus prize package consisting of Telus services or devices. The estimated value of each Regional Recognition prize is $1,500 CDN. (e) Most Honourable: The fifty (50) Most Honourable winners, as determined by The Globe and Mail Inc. s editorial staff, will be mentioned in The Globe and Mail newspaper on or about October 12, Small Business Community Investment Acknowledgement and Prize. This is an offer solely from TELUS, and is optional and not part of The Challenge Contest. The Globe and Mail expressly disclaims all responsibility and liabilities for the Small Business Community Investment Acknowledgement. Eligible Small Businesses should direct any questions regarding this Acknowledgement directly to TELUS. The Small Business Community Investment Acknowledgement is designed by TELUS to recognize a passionate Eligible Small Business that is making a substantial impact in our local communities and demonstrating leadership in creating a culture of giving within their organization. In a total of 400 words or less describe how your Eligible Small Business demonstrates the following: 1. Local Impact: The Eligible Small Business has made a significant contribution and impact within their local community: 2. Leadership: The small business is a leader in doing good and inspiring others through their commitment to community investment; 3. Innovative Approach to Giving: The small business does more than simply write a cheque, and infuses creativity and passion into their community giving. The one (1) Small Business Community Investment Acknowledgement prize is awarded to the Eligible Small Business that best exhibits the TELUS Community Investment values of giving back to the community in which they serve. The selected Eligible Small Business winner will be awarded $10,000 CDN to donate on their and TELUS behalf to the eligible charity or organization that they actively work with (the Charity Prize ) to donate to a charity of their choice, subject to the terms and conditions below. On or about September 1, 2016, the TELUS Judges, acting reasonably, will attempt to contact each potential Finalist by telephone. To be confirmed a winner, the winner must: 1. Respond to the telephone notification within two (2) business days of being contacted; and 2. Review, sign and return within the time frame specified by TELUS any and all agreements as required by TELUS, including waivers, release agreement, release of liability and indemnity agreements and intellectual property licences; Potential winners determined by the Contest Sponsors to be ineligible, for reasons including but not limited to failure to comply with the Official Contest Rules, failure to be contacted or respond to contact attempts, and being unable to attend The Challenge Event, will be disqualified from the Small Business Community Investment Acknowledgement. The Contest Sponsors reserve the right to award the potential winners spot to the Submission with the next highest score in accordance with the criteria in their sole discretion. Submission Rules: Intellectual Property Warranties, Representations and Licences. All materials submitted (the Submissions and Status Report, as applicable) become the property of the Contest Sponsors and will not be returned to the Eligible Entrants. You hereby warrant that your Submission is wholly original and that you are the copyright owner of the Submission. You warrant that your Submission does not infringe or violate any intellectual property rights including copyrights and trade-marks, proprietary rights, privacy or publicity rights, or any other rights of any kind whatsoever including any federal, provincial or municipal laws. The Submission has not been created using any pirated or unlicensed content, or other materials that include copyrighted or trademarked material that Contest Sponsors would not be entitled to use without a further payment to the intellectual property owner. Upon the request of the Contest Sponsors, you agree to obtain in writing any intellectual property licences, assignments, waivers, consents and releases as required. You hereby grant the Contest Sponsors a perpetual, irrevocable worldwide, exclusive licence to publish, display, retain, archive, use, store, produce, reproduce, perform in public, broadcast and communicate to the public by telecommunication, the Submission, in any material form, in whole or in part, on any

8 platform, including but not limited to its print newspaper, digital platforms, in syndication, videos, and social media platforms such as blogs, Twitter feeds, Facebook posts, in connection with any product (whether in print, digital or any other form) created, owned or published by either Contest Sponsors or any of its affiliates, now and in the future, and to sub-license such rights to any licensee of either Contest Sponsors. You hereby waive all moral rights in and to the Submission in favour of the Contest Sponsors. You hereby acknowledge and understand that the Contest Sponsors may edit, modify or alter the Submission at its discretion and place the Submission in its products and on any platform without your further consent. The Contest Sponsors reserve the right to judge void any entry that Contest Sponsors, in their sole and absolute discretion, determine do not meet these Submission Rules. 18. Release of Liability / Consent to Publicity. By entering the Contest, you are deemed to: (i) confirm compliance with the Official Contest Rules; (ii) consent to the use of your name, city, comments, photographs, video, sobriquet, and/or other likenesses and all other indicia of personality, for publicity, general news, entertainment, advertising and informational purposes by each Contest Sponsor and its parent, affiliated subsidiary and related companies, without further notice or compensation; and (iii) release each Contest Sponsor, its affiliates (including, without limitation, any parent, sister and subsidiary companies), suppliers of materials or services related to the Contest and other parties in any way involved in the development or administration of this Contest (including advertising and promotional agencies, public relations agencies), and all of their respective employees, directors, officers, shareholders, agents, partners, licensees, successors and assigns (collectively the "Releasees") from and against any and all manner of action, causes of action, suits, debts, covenants, contracts, claims, liabilities, demand or damages (including legal fees and expenses), of any nature or kind, arising out of, or in connection with your participation or attempted participation in the Contest and the awarding or use of a prize, including as set out below in the Limitation of Liability section. 19. Limitation of Liability. Releasees do not assume any responsibility and each entrant releases Releasees from any and all claims, actions, damages, loss, injury, costs, demands and liabilities of whatever nature or kind arising in connection with the Contest and/or Prizes including, without limitation, the administration of the Contest, the selection and confirmation of Winner, and the awarding and use of the Prize. Without limiting the generality of the forgoing, Releasees are not responsible for (i) the incorrect or inaccurate capture of entry information; (ii) late, lost, stolen, illegible, damaged, misdirected, mutilated, garbled or incomplete entries or entries that are altered or otherwise irregular, mechanically reproduced, submitted using robotic, automated, programmed, or through illicit means, included in a bulk-drop off, or contain false information, or do not conform with or satisfy any or all of the conditions of the Official Contest Rules, as determined by each Contest Sponsor, in its sole and absolute discretion; (iii) any failure of, errors, or problems with websites associated with the Contest, including any website feature, howsoever caused, (iv) traffic congestion on the Internet and any postal delays, strikes or failures, (v) injury or damage to an entrant's or any other person's computer related to or resulting from participating in the Contest; (vi) any website functionality lost due to not having cookies enabled; (vii) any errors, omissions, incorrect or inaccurate information in any Contest-related materials howsoever caused; (viii) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third party computer "hackers" or otherwise. 20. Privacy and Communications. By participating in this Contest, you hereby consent to the Contest Sponsors collecting and using your personal information and to receiving commercial electronic messages from the Contest Sponsors for the purpose of administering this Contest. 9 21. This Contest will be run in accordance with these Official Contest Rules, subject to amendment by the Contest Sponsors. The Official Contest Rules at shall govern in the event of any inconsistency with other Contest-related materials. 22. Contest Sponsors, in their sole and absolute discretion, reserves the right to modify or terminate the Contest and amend the Official Contest Rules at any time, without individual notice, and for any reason. In no event will more than the stated number of prizes be awarded. 23. All intellectual property, including but not limited to trade-marks, trade names, logos, designs, promotional materials, web pages, source codes, drawings, illustrations, slogans and representations are owned by each Contest Sponsor and/or its affiliates. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited. 24. This Contest is void where prohibited by law and is subject to all applicable laws and regulations. To the extent permitted by law, any dispute arising from this Contest will be determined according to the laws of the Province of Ontario, without reference to its conflict of law principles, and the entrants consent to the personal jurisdiction of the courts located in Toronto, Ontario and agree that such courts have exclusive jurisdiction over all such disputes.
