JV with The Corvus Group RAC Contractor, Investigation Manager As an Investigations Manager (IM), contracted to the FDIC, for the purpose of investigation and analysis of reasons that have led to the failure of a financial institution. Primary duties include management and organization of an Investigations team in the function of in-depth forensic analysis with regard to bank disciplines in the areas of Credit, Compliance, principles of Safety and Soundness, Directors and Officers liability, Fidelity Bond liability, Senior Management operational capabilities, defalcation and/or fraud, and forensic loan review. In this capacity, the IM reports to the FDIC oversight Investigator, and/or members of the FDIC Professional Legal Group (PLG), and/or assists in internal investigations conducted by the FDIC Office of the Inspector General (OIG). Supervised and directed Investigation personnel in the collection of data integral to the process of evaluating bank internal Policies and Procedures, Risk Management, and Board oversight that may have been contributing factors that led to failure. Responsible for the preparation and submission of rigidly scheduled and formatted reports that detail significant findings associated with the investigation of the Credit process and preparation of special investigation Memos on unique findings that required immediate supervisory assessment and/or action. The Corvus Group, Inc. JV with RSM/McGladrey RAC Contractor, Investigations Senior Professional As an Investigations Senior Professional, contracted to the FDIC, for the purpose of investigation and analysis of reasons that lead to the failure of a financial institution. Duties include prediscovery and discovery for summarization and case preparation, litigation support functions, analysis of the history of the financial institution and personnel interviews with Senior Management and Board members. These efforts assisted in determining reasons for institution failure and to identify Directors, Officers, or other professionals that caused or contributed to losses resulting in failure. Additional duties included gathering and inventory of all bank records necessary for the investigation process; review and assessment of Credit Policy, Board Minutes, Executive Loan Committee Minutes, and Audit and Compliance records to determine adherence to State and Federal Guidelines, and bank response to Regulatory Examinations at multiple levels, as well as evaluate compliance with internal Policies and Procedures relating to Safety and Soundness of the institution. The Investigations assignment included extensive evaluation of significant loan assets to determine possibility of fraud, mismanagement, and/or lack of supervisory controls. SolomonEdwardsGroup, LLC RAC Contractor, Asset Manager As an Asset Manager, contracted to the FDIC, (leading a 6 member team) to determine, confirm and prepare repudiations on all bank vendor contracts for a $26.5B bank. Initial indication for the number of contracts was established at 495. Subsequent and lengthy investigation of matters pertaining to the actual number of contracts established the final number to be in excess of 1600 contracts. The processes in determining the final number of contracts involved extensive investigation into corporate level, regional level, branch level and individual personal level executory contracts that were previously unrecorded within the bank s risk management profiles. The work required a close relationship with the failed bank s risk management division for analyzing, documenting and reporting each previously undisclosed contract found, as well as
4 Senior Consultant 4 extensive reporting of all findings to the contract management attorney representing the Acquiring Institution. Additional duties included supervision and reporting requirements for the evaluation and repudiation of 500 Standby Letters of Credit, and related review and reporting requirements on Leased Equipment repudiations. Worked in conjunction with the FDIC and the Acquiring Institution (AI) for the creation and development of a web site portal structured to meet weekly/monthly project reporting requirements. Watkins Consulting, Inc. Senior Consultant Performed loan review, analysis and reporting as part of an 8-member team on approximately $3B of commercial and residential real estate loans for a $4.4B bank in the Atlanta, GA. Area. Objectives realized were in cooperation with the OCC. Specific areas of credit investigation and analysis included financial analysis of borrowers and verification of credit and loan officer procedures in association with corporate loan policy and State and Federal guidelines on Commercial Real Estate lending. Andrew Johnson Bank Senior Vice President Chief Credit Officer, Senior Risk Management Officer, Chief Compliance Officer, Information Security Officer, CRA Officer, Regulation O Officer In the position of Chief Credit Officer, responsibility for providing support, direction, credit information, and creation of loan policies and procedures to ensure the overall quality of the Bank's lending portfolio. This position reported directly to the President and CEO of the Bank. Duties included calculating the Allowance for Loan and Lease Loss Reserve (ALLL) and making recommendations to Executive Management and the Board of Directors for monthly allocations to the Loan Loss Reserve. Reviewed and concurred/not concurred with decisions on large and complex commercial loans prior to submission to Finance Committee. Recommended structuring and data collection for the decision making process. Participated in multi-level committees involved in the management of the Bank. Performed direct supervisory duties and coordination of Loan Operations Department staff, Collection Manager and Staff, and Secondary Market Loan Brokerage Department. As Senior Risk Management Officer, varied responsibilities for performing bank-wide Risk Assessments for various Departments, Products, and Services in keeping with Regulatory guidelines. Chief Compliance Officer functions incorporated adherence to all Regulatory, State and Federal mandates; tracked and implemented all new Financial Institution guidelines. As Chairperson of the Bank s Compliance Committee, established/wrote Policies and Procedures for integration by Bank Management. Prepared monthly/quarterly and/or annual reports for presentation to Audit Committee and the Board of Directors. As Information Security Officer, bank-wide annual training and implementation of best practices in relation to matters pertaining to Information Security (IS), IS breaches, ID Theft Prevention Program, monitored and reported to IT Committee on IS inspections at Branch and Department levels. As CRA Officer, preparation and reporting on bank-wide efforts to develop and promote lending programs in a multi-county area.

Managed sales and purchases of discounted commercial and residential mortgage products throughout a nationwide network of lenders.
