Throughahostofproprietaryleadgenerationsystemsdesignedtoidentifycustomersthataremorelikelytogrowwith itsclientsbeyondasingletransaction,nexusenterprisesolutions,inc.hasestablisheditselfasaleaderinprovidinga broadrangeofinternetmarketingstrategiestocapturetargetedbuyerdataandusethatdatatogeneraterevenues throughbothaffiliatemarketingandleadgenerationsales.

5 Page5of26 NexusEnterpriseSolutions,Inc.isquicklyexpandingintoanumberofdifferentverticalsandcurrentlyservesasalead generationengineforseveralofthenation slargestcompaniesintheinsuranceandfinancialservicesectors. MutualoanCorp.hasterminateditsmergeragreementwithGreatVacationLeads,Inc.baseduponthecontractual provisionsofthemergeragreement.towit,thecontractualagreementprovidedthatmutualoancorp.provide assistanceinraisingfundsfortheoperationsofgreatvacationleands,inc.,andgreatvacationleads,inc.hadcertain benchmarkprovisionsforrevenuegeneration.neithermutualoancorp.,norgreatvacationleads,inc.fulfilledits contractualobligations.thesituationturnedintoacatch22situationbecausemutualoancorp.couldnotraisecapital becausegreatvacvationleands,inc.wasnothittingthebenchmarks,becausemutualoancorp.coldnotraisecapital. Assuch,allpartiesinvolvedagreedtoamicablypartswaysongoodtermsasallpartiesagreedthatnoinstanceofbad faithwasinvolved,oraverred,anditwassimplyabusinessideathatdidn tworkoutashopedfor. Duringthesecondquarter2011,Leadbarrel,Inc.wasmutuallyandamicablyspunout,pursuanttorescissionprovisions inthecombinationagreement,uponsuchtermsandconditionsthereto,andupontimingthatwouldmutuallybenefit andnotdisadvantageanypartymaterially.alsoduringthesecondquarterof2011,mutualoanwasunwoundasboth partieswereunabletofulfilltheircontractualobligations.bothpartiesretainedtheirindividualassetsandbothparties partedwayamicably. NexusEnterpriseSolutions,Inchasneverbeenashellcompany.Itiscurrentlyinoperationandiscurrentlyinthe processofestablishingverticalleads.therearenosubsidiaryoraffiliatesofthecompany. NexusEnterpriseSolutions,Inc.hasnotdeclaredastockdividend,recapitalizeditsstock,nordeclaredastockdividend. NexusEnterpriseSolutions,Inc.hasnotbeendelistedbyanysecuritiesexchangeordeletedfromtheOTCBB.Nolegal proceedingsarependingorthreatenedagainstnexusenterprisesolutions,inc.,itsdirectors,officers,oraffiliates.
