1 SPECIAL TERMS AND CONDITIONS FOR DOMAIN NAME MANAGEMENT SERVICES (DOMAIN PORTFOLIO MANAGEMENT SERVICE, LOCAL PRESENCE SERVICES AND ANONYMOUS REGISTRATION SERVICES) 1. Services 1.1 These Special Terms and Conditions ( Special Terms ) apply to the provision of domain name management services for generic Top Level Domains ( gtlds ) and country code Top Level Domains ( cctlds ). 1.2 These Services will be performed by Melbourne IT Ltd (trading as Melbourne IT DBS) or its Related Bodies Corporate. All references to we, us and our shall also include a reference to Melbourne IT DBS, WebCentral Pty Ltd and their Related Bodies Corporate. 1.3 By requesting us to register or manage a domain names or names on your behalf, you agree to: be bound by the required rules and regulations required by the registry administrators for each individual gtld and/or cctld, as applicable, as amended from time to time; and To the extent of any inconsistency between the Special Terms and the terms of any Registration Agreement, the Registration Agreement will prevail; and To the extent of any inconsistency between the Special Terms and the terms of any Services Agreement, the Services Agreement will prevail. 1.4 You agree to cooperate and supply to us all information reasonably required by us to perform our obligations under this Agreement. You specifically acknowledges that: our performance of the obligations under this Agreement is subject to you providing all required information to us in a timely manner; and we will rely on any information supplied by you as being true and correct. 1.5 We may change, modify or discontinue a Service or any part of a Service at any time on 60 days prior written notice. We shall not incur any liability in respect of such change, modification or discontinuance. If you do not accept the change to or modification of a Service within 50 days, you may terminate that Service (but not any other Services) by written notice. 2. Licence to Portal 2.1 We grant to you a non-exclusive, non-transferable, royalty free license (with no right to sub-license) to use and access the Portal solely for the purpose of placing orders for, and/or receiving the Services on the terms of this Agreement. 2.2 Your employees, contractors and agents are permitted to use the Portal. You will ensure that such persons use the Portal in the manner explained to you in training provided by us. You will be responsible for any orders placed via the Portal by all employees, contractors or agents that have access to the Portal. You shall not permit any third parties to access the Portal. 2.3 You will not sub-license, modify, adapt, translate, reproduce, distribute, reverse engineer, decompile or disassemble the Portal (or any software or systems used to provide the Portal) except and only to the extent that such activity is expressly permitted by law. You will ensure that the Portal and its contents (including any databases) are not copied, disclosed or made available to any third party. 2.4 You acknowledge and agree that:

2 the Portal and its contents (including any databases) are confidential to us, and unauthorised access by third parties would cause loss to us; we own all rights, including but not limited to intellectual property and trade secret rights, in the Portal and its contents (including any databases); and you will give us prompt notice in writing of any suspected infringement of any intellectual property rights in the Portal or any of its contents (including any databases) which comes to your attention. 3. What is a domain name registration? 3.1 You acknowledge that a Registry must confirm that the applicable domain name registration information has been accepted and implemented by the Registry administrator for that domain before you can rely on the registration or continued registration of a particular domain name. 3.2 You further acknowledge that: a domain name is an entry on a Domain database which appears as a name on a particular Registry s nameservers; and neither a pre-registration application nor a registration of a domain name grants any legal rights of ownership of the Relevant Domain Name, nor does it confer immunity from objection to the pre-registration, registration or use of the domain name; and we will be entitled charge you on a pass through basis any fee increases imposed by ICANN or other registry. 4. What does ICANN require? 4.1 Melbourne IT DBS is an accredited Registrar with ICANN and must comply with certain obligations under any ICANN s Accreditation Agreement or other policies issued by ICANN. You agree that we may be required, from time to time, to amend these Special Terms to comply with those obligations. You agree to accept any such amendments. 4.2 You are required to provide to us: accurate and reliable contact details and promptly correct and update them while ever the domain name is registered. The contact details will include: the full name, postal address, address, voice telephone number, and fax number if available; and an authorized person for contact purposes if you are a legal or quasi legal entity; and to ensure the above details are supplied within 15 days of receiving any request from us. You acknowledge that the failure to comply with this clause will be a material breach of this Agreement and may result in the cancellation of the registration of Domain Name; to enable us to supply the above information to ICANN upon request and to make that information available through a publically available register known as WHOIS which is a free public accessible database together with information relating to the domain name including the nameservers and registrar, the date the domain was created and when its registration expires. 4.3 You will be viewed by the relevant Registry as the domain name holder (known as the registrant ) even where you license the use of the Domain Name to a third party. 4.4 Where you license the Domain to a third party, you further agree that as the registered domain name holder, you are liable for all wrongful use of the domain name and shall promptly disclose the identity of its licensee. For the avoidance of doubt this does not permit you to operate a Proxy Service. 4.5 You agree and warrant: that you will not apply to register any domain names that will infringe the legal rights of any third party;

3 that you will not permit the use of its domain names in any way that infringes the rights of third parties; that you will use the domain name in accordance with the TLD requirements, standards and policies of the relevant registry or sponsoring organization; and to indemnify and hold harmless the Registry operator for the applicable TLD, its directors, officers, employees and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees and expenses) arising out of or related to your domain name registrations. 4.6 You acknowledge that you will be bound by the Registration Agreements of the relevant Registrar or Registry in respect of those domain names. 4.7 You agree not to transfer a domain name to another registrar within 60 days of either the creation date as shown in the registry Whois record for the domain name or an inter Registrar transfer. 5. How MIT DBS register or renew Domain Names 5.1 We agree to register or renew domain names for you as part of the Domain Name Management Services. 5.2 We will use reasonable efforts to register or renew your chosen domain name with the various registries. 5.3 Where we are not a Registrar in the relevant domain space for domain names in your Domain Portfolio, you appoint us as your agent to obtain such services from third parties and on your behalf, enter into any agreements with third parties which may be required in order to register or renew the domain names in the Domain Portfolio in your name. 6. When MIT DBS can Suspend, Cancel or Transfer a Domain Name 6.1 You acknowledge and agree that the registration, renewal and on-going license of its domain name shall be subject to denial, suspension, cancellation, hold, registry-lock or transfer if either a Registry Administrator or we: (e) determine that you have provided information that is incorrect, false, or inaccurate either in the initial registration process or in any subsequent communications; including for inclusion in any WHOIS database; determine you are in breach of the ICANN requirements; need to correct mistakes by us or the Registry Administrator or the Registry Services Provider in connection with the domain name; need to resolve a dispute concerning the domain name; or in case of arbitration or court proceedings being commenced with respect to the rights to the domain name. 6.2 In addition to the above rights, we may suspend or cancel the registration of your domain name, or, suspend the delegation of your Domain Name, if as reasonably determined by us in our sole discretion, you or any other person uses the domain name in connection with any: activity that may infringe the intellectual property rights or other rights of any third party; activity that may defame or disparage any third party; or otherwise may be considered illegal or fraudulent activity, or breaches these Special Terms and Conditions. 7. Acknowledgements and Warranty 7.1 You acknowledge that it is your responsibility to ensure that: you instruct us to renew a domain name; or

4 you renew the domain name where you are Admin C contact for that domain name. 7.2 We will not be responsible for your failure to renew a domain name where we are not the Admin C contact or where instructions to renew a domain name are not received by us by the due date. 7.3 You represent and warrant that you will not use the domain name for an unlawful purpose in violation of any applicable laws or regulations. 7.4 You represent and warrant that it you are authorised to act on behalf of a Relabed Body Corporate and that each Related Body Corporate for which you act has agreed to place their domain names under your management as if you were the licensed holder of the Relevant Domain Names 8. UDRP 8.1 From time to time disputes arise in relation to domain names. ICANN has developed the UDRP for the purposes of managing such disputes and which can be found at Many cctlds also have similar dispute resolution procedures. 8.2 You agree to be bound by the terms and conditions of any UDRP of cctld procedure and submit, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts of your domicile and where we are located. 9. Fees and Payments 9.1 In this section, Portfolio Management Fees means all fees payable under this Agreement, excluding the fees payable to third parties (including registries) in respect of any licence to use a domain name. You agree to pay: the Portfolio Management Fees listed in the Pricing Schedule; any fee increases imposed by ICANN or other Registry; any transfer fees if you transfer all or part of its Domain Portfolio to another Registrar or registrant; or any agreed one off fees. 9.2 You acknowledges that Portfolio Management Fees are non-refundable even when the relevant Domain Name is suspended, cancelled or transferred from us prior to the end of the Initial Term. 10. Personal data 10.1 We shall ensure that when storing and processing personal data ( Data ) we shall at all times comply with the provisions and obligations of the applicable rules and legislation in the jursidictions in which you operate ( Data Protection Law ) and will only store or process Data in relation to the Services You acknowledge that the Data will be processed by us or our suppliers, subcontractors or agents; and may be transferred outside the jurisdiction in which you are based. By providing or giving access to Data, you warrant that you have complied with all Data Protection Laws and that you have obtained the necessary consent of any employees or third parties that you may be acting on behalf of We shall not keep Data longer than is necessary for the purposes for which the Data was collected or for which it is further processed. The Data we collect shall not be processed in a manner that is incompatible with the purposes for which it was obtained. You may request to see the Data and amend it at any time if necessary We agree to take reasonable precautions to protect Data from loss, misuse, unauthorised access or disclosure, alteration or destruction You agree that we may use personal data for the purpose of registering, renewing, transferring or cancelling any Domain name associated with you We will use personal data for:

5 Inclusion in any registry where that registry requires it; Provision to any agent if you orders any Local Presence services; Inclusion in the WHOIS; and Provision to any government or law enforcement agency if they ask for the personal data in writing and any other person who has a legitimate reasoning for asking for it such as part of a UDRP process or similar process. 11. Local Presence 11.1 You acknowledge that the Local Presence Services will only be provided by us where such services are permitted by the relevant Registry s policies In addition, you acknowledge that additional paperwork or documentation, beyond that provided or facilitated by us, may be required including, but not limited to, powers of attorney YOU AGREE AND ACKNOWLEDGE THAT WE DO NOT AND WILL NOT PROVIDE TAX OR LEGAL ADVICE TO YOU, AND THAT THE PROVISION OF LOCAL PRESENCE SERVICES DO NOT CONSTITUTE TAX OR LEGAL SERVICES. YOUARE ADVISED TO CONSULT WITH YOUR OWN TAX AND/OR LEGAL ADVISORS AS NECESSARY You authorize us to register the requested domain name(s) with the appropriate registry, and to list us or an entity controlled by us or an agent as the registrant. We agree not to use the domain name(s) for our own purposes You agree that we may utilize local third parties to serve as the administrative, technical registrant or billing contacts for domain name(s) and that we will pass on to you any fees and/or charges imposed by such third parties for their services At your reasonable request, we shall delegate the domain name to a name server such that it resolves to a website for the purposes of a synchronous product launch in the relevant jurisdictions as part of our Anonymous Registration Service but only as an interim measure while the domain name is transferred to you. You agree that if you use the Anonymous Registration service, the domain name(s) registered when registered, will resolve to our holding page, and you represent and warrant to us that you have not commenced and will not commence using the domain(s) until such time as the domain(s) has been transferred to your own entity as the registrant If a registry does not allow a domain name to be registered in a hold or inactive status, you may not receive the domain name registration for that registry. If the domain name registration is not transferred to you during the term of this Agreement, then at the end of such term, we will, at our sole option, delete the domain name registration or allow it to lapse We will commence the transfer process of the domain name to you upon thirty (30) days after receiving a written request and all necessary completed requirements from you, provided that we receive such request during the Term of this Agreement. You understand that in some registries, a transfer is not possible, and that in such registries the only way to effect such a transfer is to delete our registration and to attempt re-registration in your name. You acknowledge and agree that such cancellation and re-registration may result in the loss of the domain name registration, and you agree that we shall not be liable to you in the event the domain name registration cannot be reregistered by you You authorize us to take such steps as in our opinion are reasonably necessary in order to limit our liability and to comply with any laws, regulations or other legal requirements, or in response to any third party claims that the domain registration or the use thereof violates any third party rights or your breach of this Agreement. Such actions may include, but are not limited to, transferring the domain name(s) to you as registrant, cancelling the registration of the domain name(s), allowing the registration of the domain name(s) to lapse, transferring the registration to an entity which is awarded the registration through an arbitration hearing or as directed by the local registry or any law or regulation, or terminating the Local Presence Service. In any such event, you agree to pay for our reasonable out of pocket expenses.

6 11.10 You agree to keep us apprised of all non-mit DBS activity with respect to domain names registered pursuant to these Local Presence Services, including, but not limited to, all direct contact with service providers providing service with respect to those domain names. You agree that you shall not take steps to exclude us from our role as the provider and coordinator of the Local Presence Services, except as otherwise explicitly agreed or permitted. 12. Survival of these Special Terms These Special terms survive termination of the Agreement. 13. Glossary (e) (f) (g) (h) (i) (j) Domain Name Management Services means the services described in this Services Order Form. Domain Portfolio means all corporate domain names licensed to you or your Related Bodies Corporate, which are managed by us on your behalf under the terms of this Agreement. ICANN means the Internet Corporation for Assigned Names and Numbers. Portal means the online system developed and owned by us, through which you may place orders for certain Services. Proxy Service a service which masks ownership of the domain name for a live site and forwards via the use of a proxy server. Registrar means an entity authorised by the Registry and/or Regulator to register domain names for a particular domain space. Registry means the entity authorised to operate the registry for a particular domain space. Registration Agreement means the terms and conditions of a Registrar or Registry which governs the license of domain names to its customers. Relevant Domain Name means any domain name in Domain Portfolio. UDRP means the "Uniform Domain-Name Dispute-Resolution Policy" and any similar policy for the resolution of disputes concerning domain names published by any authority responsible for the administration and management of domain name policy under an agreement with ICANN
