2 AGREEMENT PROCUREMENT OF CONSULTANCY SERVICE FOR THE PREPARATION, DEVELOPMENT AND DOCUMENTATION OF COMPREHENSIVE BUSINESS CONTINUITY PLAN AND DISASTER RECOVERY PLAN FOR THE REGISTRY OF SCRIPLESS SECURITIES SYSTEM This Agreement made this 15th day of November 2012 between the BUREAU OF THE TREASURY (BTr) (hereinafter called the Procuring Entity ) with office address at Palacio del Gobernador, Intramuros, Manila, represented herein by Ms. Rosalia V. De Leon,, and FINANCIAL SOFTWARE TECHNOLOGIES, INC., with office address at Unit 726 Mega Plaza Building ADB Avenue corner, Garnet Road, Ortigas Center, Pasig City, represented herein by Mr. Arnaldo D. del Rosario (hereinafter called the Consultant ): WHEREAS, pursuant to Article XVI, Section 53, R.A. 9184, in relation to Section 53.7, Rule XVI of the Revised Implementing Rules and Regulations of Republic Act No. 9184, Alternative Methods through Negotiated Procurement shall be allowed where the proposed consulting service to be procured requires the consultant to have unique experience and expertise to deliver the required service or in the case of individual consultant where such consultant is to be hired to do work that is highly technical or proprietary; or primarily confidential or policy determining, where trust and confidence are the primary consideration for the hiring of the consultant; WHEREAS, on October 29, 2012, the Scripless Securities Registration Division (SSRD) through the Bids and Awards Committee (BAC) requested the procurement of consultant who will carry out the required task for the preparation, development and documentation of the RoSS System business continuity and disaster recovery plans; WHEREAS, (FiST), has the technical knowledge and skills relevant to these needs of BTr and had previously been a consultant for BTr in the implementation of a computerized RoSS and in fact owns the source code of RoSS and related materials; WHEREAS, in Resolution No dated November 14, 2012, the BAC found that the services subject of procurement is indeed proprietary and highly technical in nature and only FiST can provide the required services for the Preparation, Development and Documentation of a Comprehensive Business Continuity Plan and Disaster Recovery Plan for RoSS System considering that it is the current consultant of the RoSS System and since it owns the source codes of the RoSS and recommend for the approval of the Head of the Procuring entity the procurement through the Alternative Mode by Negotiated Procurement with Financial Software Technologies, Inc., amounting to ONE MILLION EIGHT THOUSAND PESOS (Php1,008,000.00), inclusive of all applicable taxes. (hereinafter called the Contract Price ); WHEREAS, on the same date, the approved the recommendation of the BAC and accordingly, issued the Notice of Award;

3 P a g e 2 NOW THIS AGREEMENT WITNESSETH AS FOLLOWS: 1. In this Agreement words and expressions shall have the same meanings as are respectively assigned to them in the Conditions of Contract referred to. 2. The following documents shall be deemed to form and be read and construed as part of this Agreement, viz: (a) the Terms of Reference (b) the Project Proposal (c) the Notification of Award (d) the Notice to Proceed 3. In consideration of the payments to be made by the Procuring Entity to the Consultant as hereinafter mentioned, the Consultant hereby covenants with the Procuring Entity to provide the required services and to remedy defects therein in conformity in all respects with the provisions of the Agreement. 4. The Procuring Entity hereby covenants to pay the Consultant in consideration of the provision of services and the remedying of defects therein, the Contract Price or such other sum as may be payable under the provisions of the Agreement at the time and in the manner prescribed by the Agreement. 5. This agreement shall be effective upon receipt of Notice to Proceed on and shall continue to be in force for a term of or until, unless otherwise terminated upon grounds as provided in the GCC.
