5 GENERAL SPONSOR INFORMATION Space is limited Booth space includes Rods and curtains 1 5-amp electrical outlet 1 skirted table 2 chairs 1 wastebasket Carpeting Exhibitor check-in and set-up is Sunday, October 5, from 11:00 am to 1:00 pm Exhibitor take down is Monday, October 6, after 4:00 pm Exhibitors are encouraged to provide small gifts or raffles to attract Aldelo dealers to their booths and to have price lists available We invite you to conduct your (optional) prize drawing during the closing session of the Conference Aldelo dealers will receive a drawing entry form requiring a visit to each booth for completion to be eligible for the grand prize drawing. Dealers will submit completed entries to Aldelo by 2:00 pm on Monday, October 6. This will encourage dealers to visit your booth, and dealers must be present during the drawings to win. Exhibitors will receive an Exhibitor Checklist after the reservation and deposit are received. Exhibitors will receive the Exhibitor Service package from the service provider as soon as it is available. A limited number of discounted rooms are available through the Aldelo Dealer Conference Group at Denver Marriott City Center. Visit mode=welcome_ei_new&eventid= or call and request the Aldelo Group Name "Aldelo". Please make the hotel reservations before September 7, 2014, to receive the discounted group rate. Exhibit booth selection is determined by sponsorship level and date of receipt of required forms and deposit. Preference is given to 2014 Strategic Partners. Qualified Strategic Partners may use partnership funds for exhibit booth space reservation. Only paid employees of the sponsor may work the sponsor s booth. 6 Exhibitor Agreement Dealer Conference 2014 This Agreement (the Agreement ) is made BETWEEN: AND: (Exhibitor), a corporation organized and existing under the laws of the with its head office located at. Aldelo, LP. (Aldelo), a corporation organized and existing under the laws of the California, with its head office located at 6800 Koll Center Parkway, Suite 310, Pleasanton, CA Both Parties agree as follows: I. NON-DISCLOSURE OF CONFIDENTIAL INFORMATION Both Parties understand and agree that each may have access to the confidential information of the other. For the purposes of this Agreement, confidential information means proprietary and confidential information about each party (or its suppliers ) business or activities. Such information includes all business, financial, technical, and other information marked or designated by such as confidential or proprietary. Confidential information also includes information, which, by the nature of the circumstances surrounding the disclosure, ought in good faith to be treated as confidential. For the purposes of this Agreement, confidential information does not include: Information that is currently in the public domain or that enters the public domain after the signing of this Agreement. Information a party lawfully receives from a third without restriction on disclosure and without breach of a non-disclosure obligation. Information that the Exhibitor knew prior to receiving any confidential information from Aldelo. Information that the Exhibitor independently develops without reliance on any confidential information from Aldelo. Each party agrees that it will not disclose to any third party or use any confidential information disclosed to it by the other except when expressly permitted in writing by the other. Each also agrees that it will take all reasonable measures to maintain the confidentiality of all confidential information of the other in its possession or control. The term of this Agreement is 3 years from the date of execution by both Parties. The Exhibitor agrees that all confidential information furnished by Aldelo shall remain the sole property of Aldelo. Nothing contained in this Agreement or in any Confidential Information constitutes any express or implied warranty of any kind. All representations or warranties, whether express or implied, including fitness for a particular purpose, merchantability, title, and noninfringement, are hereby disclaimed. Neither this Agreement nor any confidential information shall create, nor shall be deemed to create, a legally binding or enforceable Agreement or offer to enter into any business relationship. Neither grants to the other any license, by implication or otherwise, to use any confidential information except as expressly provided in this Agreement. Any copies or reproductions of the Proprietary Information shall bear the copyright or proprietary notices contained in the original. Exhibitor shall promptly advise Aldelo in writing if it learns of any unauthorized use or disclosure of Proprietary Information by any Exhibitor personnel or former Exhibitor personnel. Exhibitor acknowledges that the use or disclosure of the proprietary information in a manner inconsistent with this Agreement will cause Aldelo irreparable damage, and that Aldelo shall have the right to equitable and injunctive relief to prevent the unauthorized use or disclosure, and to such damages as are occasioned by such unauthorized use or disclosure. II. NON-COMPETITION RESTAURANT POS SOFTWARE For good consideration, the receipt of which is hereby acknowledged, the undersigned agrees not to compete with Aldelo, or its successors or assigns. The term "not to compete" shall mean that the undersigned shall not directly or indirectly compete with Aldelo by serving as an officer, owner, partner, director, agent, employee, or consultant to any firm or entity substantially engaged in a business similar or competitive to the business of Aldelo. The term of this Agreement is 3 years from the date of execution by both Parties. III. INDEMNIFICATION The Exhibitor assumes all responsibility for all loss, theft, or damage to Exhibitor s displays, equipment, and other property and hereby waives any claim or demand it may have against arising from such loss, theft, or damage. In addition, the Exhibitor agrees to defend (if requested), indemnify, and hold harmless Aldelo, LP. and other related or affiliated companies from and against any liabilities, obligations, claims, damages, suits, costs and expenses, including, without limitation, attorney s fees and costs, arising from or in connection with the Exhibitor s occupancy and use of the exhibition premises or any part thereof or any negligent act, error or omission of the Exhibitor or its employees, subcontractors or agents. 7 Exhibitor Agreement Dealer Conference 2014 IV. Dealer Conference Booth Activities Exhibitor will advise Aldelo if any company other than Exhibitor pays sponsorship fee in part or in full. Additional fees may apply. Only Exhibitor employees may work the exhibit booth. Exhibitor will not hire booth models or other temporary employees for the exhibit booth. Exhibitors may not invite sub dealers, vendor partners, or other vendors into the booth without prior written approval from Aldelo. Exhibitor will not allow entrance to anyone without an authorized Aldelo registration badge. Exhibitor will show only Aldelo POS or XERA POS certified hardware and/or integrations or hardware that meets the minimum specifications as shown on Exhibitor will not use Aldelo dealer information to market restaurant POS software that may compete with Aldelo software. Exhibitor understands violation of any item in this section may result in the loss of post event benefits even when such benefits are a part of the sponsorship package. V. Hotel Rooms Platinum Level Exhibitors/Sponsors will book three or more hotel rooms each night of the event through the Aldelo Dealer Conference Group. Gold Level Exhibitors/Sponsors will book two or more hotel rooms each night of the event through the Aldelo Dealer Conference Group. Silver Level Exhibitors/Sponsors will book one or more hotel rooms each night of the event through the Aldelo Dealer Conference Group. VI. Modifications This Agreement may be modified only by a contract in writing executed by the party to this Agreement against whom enforcement of such modification is sought. VII. Prior Understandings This Agreement contains the entire agreement between the parties to this Agreement with respect to the subject matter of the Agreement, is intended as a final expression of such parties' agreement with respect to such terms as are included in this Agreement is intended as a complete and exclusive statement of the terms of such agreement, and supersedes all negotiations, stipulations, understanding, agreements, representations and warranties. If any, with respect to such subject matter, which precede or accompany the execution of this Agreement. VII. Waiver Any waiver of a default under this Agreement must be made in writing and shall not be a waiver of any other default concerning the same or any other provision of this Agreement. No delay or omission in the exercise of any right or remedy shall impair such right or remedy or be constructed as a waiver. A consent to or approval of any act shall not be deemed to waive or render unnecessary consent to or approval of any other or subsequent act. VIII. Compliance with law Both parties agree to abide by all federal, state, and local laws, ordinances and regulations.
