Progress Energy/Enterprise Contract Number XZ53131 PIN: PRO 1. Enterprise rental vehicles are available at discounted rates to Progress Energy employees (includes active, inactive, and retired employees) for their personal use. Except for specialty vehicles, these rates include unlimited mileage if the vehicle is driven within and between the following states: For employees in the Carolinas, the states are North/ South Carolina, Virginia, West Virginia, Tennessee and Georgia. For employees in Florida, the states are Florida, Georgia and Alabama. This service is offered as a benefit to Progress Energy employees by Enterprise. You will be responsible to sign a personal rental agreement with Enterprise and pay for all rental fees and services. If you rent a vehicle for personal use, please remember to verify your insurance needs 2. To reserve a car, call 1-800-Rent-A-Car (1-800-736-8222) or if you know the local number, you can call directly to the Enterprise office closest to you. When calling the 1-800 number, you will hear a recording directing you to press 1 and your call will be routed to the Enterprise Office closest to your location. Once routed to the nearest business office, your call and remaining transactions with Enterprise will receive personal attention. 3. Payment/Billing/Insurance: All payment should be made by a personal credit card. The total cost of the rental and gas for the vehicle is the responsibility of the renter. At no time should a company credit card be used for a rented vehicle for personal use. Insurance: If you rent a vehicle for personal use, at any location, please verify your insurance needs. Enterprise and Progress Energy do NOT insure the personal use of vehicles. It is important that you call Enterprise when you are finished with the vehicle in order to stop billing. Please state your name, time of return, and the return location of the vehicle. Vehicles returned after hours or over the weekend should be called in to Enterprise by 8 a.m. of the next business day (Example: If you return the vehicle by 2:00 p.m. on Saturday, you would call Enterprise by 8 a.m. the following Monday). Enterprise offices open at 7:30 a.m. Enterprise guarantees Progress Energy employees will be billed at the lowest rate. There is no penalty for returning a vehicle early or late. Example: If you rent assuming you will keep the vehicle a few days, but keep it for a week, you will be billed the weekly rate. If you rent assuming you will keep it a week, but return it after 2 days, you will be billed for 2 days. 4. Enterprise Rental Rates: Rentals are available on a daily, weekly and monthly basis. Enterprise Rent-A-Car Corporate Rates available for personal use (attached). The rates include free delivery and pick up at a mutually agreed upon location. This location could be your home or office. Depending on the available manpower at a given Enterprise branch office, Enterprise may meet you at the designated location with the car or pick you up and bring you back to the Enterprise branch for you to pick up the car. Either way, the delivery of the car should be mutually agreed to in advance. 5. Reservations: Reservations require at least a two-hour notice for cars and a 48-hour (two days) notice for orders of more than five cars and specialty vehicles. If/when Enterprise cannot access the Progress Energy Account by name, please refer them to account number XZ53131 PIN: PRO All reservations are guaranteed. 1

Advanced reservations are encouraged. Normal delivery hours are Monday-Friday, 7:30 a.m. till 6 p.m. and Saturday from 9:00 a.m. till noon. After-hour delivery and drop-off arrangements can be made with the local Enterprise branch manager. Gas: In both the Carolinas and Florida, vehicles will be provided with a ½ tank of gas at a minimum. Enterprise s goal is to provide vehicles with a full tank of gas, but this is not always possible. Progress Energy employees should return the vehicle with the same level of gas that was in the vehicle when it was rented. (Example: if the vehicle was rented with ¾ tank of gas, then it should be returned with a ¾ tank of gas.) Estimating less than a full tank of gas can be difficult. This estimate will be done by the Progress Energy employee and accepted by Enterprise. This is a convenience for Enterprise and will support Enterprise's ability to speed our transactions. Progress Energy employees are responsible to pay for the rental rate, taxes, fees, and gas. Again, at no time should a company credit card be used to purchase fuel for a rented vehicle for personal use. If a vehicle you requested is not available within a car class, you will automatically be upgraded to the higher car class at no additional cost. 6. Damage to a vehicle: It is the employee s responsibility to thoroughly inspect the vehicle for damage prior to accepting the vehicle and after turning it back to Enterprise. Report any existing damage to Enterprise prior to driving the vehicle. Damage to vehicles while rented by employees must be reported to Enterprise. Enterprise provides a 24 hour Road Side Assistance Service at no additional cost to the employee. This service can be reached at 1-800-325-8007. 7. Additional Benefits with Enterprise: Retired Enterprise vehicles are available for sale to company employees at prices designated to beat the prices at other used car dealerships. Enterprise is currently offering a 7 day/1,000 mile repurchase agreement, 12,000 mile service agreement, financing, and will accept trade-ins. Please contact your local Enterprise branch manager for details. Enterprise vehicles are equipped with automatic transmission, air conditioning and an AM/FM stereo. In addition, the vehicles are often equipped with cruise control, AM/FM stereo cassette, power windows, power door locks and dual air bags. 2

No drop charge or per mile charge will be applied to authorized oneway rentals for Economy through Full-size 4-door, Minivan and Standard 4x4. A one-way per mile charge of $.40 will apply for Premium and Luxury vehicle classes. 2. Economy through Premium vehicle classes include unlimited free miles per day and per week, and 2,500 free miles per month; all other vehicle classes include 150 free miles per day, 1,050 free miles per week, and 2,500 free miles per month, as applicable. Any additional miles will be charged at the rate of $0.25 per mile. 3. All U.S. locations will honor the rates listed above. Certain locations located outside of National's top 100 airport locations may impose an additional surcharge not to exceed $6 per day. For specific car classes not listed, all U.S. locations will apply up to a 20% discount to the National Business Rate (NBR). 4. For rentals commencing in Manhattan all day Friday through 12:59 p.m. Sunday and for rentals commencing at JFK and LaGuardia airports between the hours of 1:00 p.m. Friday through 12:59 p.m. Sunday, current published rates, less a discount will apply. 6. The weekly rate will be calculated at 6 times the daily rate. For rentals of twenty-four through thirty-one consecutive days, the rate will be a monthly rate calculated at 4 times the weekly rate. 7. Rates are valid at all locations in the United States with advanced confirmed reservations, and are subject to the availability of vehicles. Reservations for rentals in certain cities during special events, major holidays, and peak seasonal demand periods may require a guarantee. Rates may not be available in certain cities during special events, major holidays, and peak seasonal demand periods. 8. Rates do not include fuel, optional upgrades or other optional charges, taxes, governmentally authorized or imposed surcharges, airport and airport facility fees, license and concession recoupment fees. 9. Standard driver and credit rental qualifications apply. Minimum rental age at most locations is 21 for commercial travelers renting vehicles for business purposes. However, National will assess an additional charge when the renter or additional authorized driver is under the age of 25. 10. A $3.00 surcharge will be applied to the Corporate Daily Rate for all one-day rentals commencing on a Tuesday or a Wednesday. 6
