Important information about WorldPoints Travel Rewards for Business WorldPoints Travel Rewards for Business Card Program Rules Companies that apply for and receive a WorldPoints Travel Rewards for Business credit card(s) are automatically enrolled in the WorldPoints Rewards program (the Program ). All Points earned by the Cards will accrue to the Company only. Bank of America, N.A. (also referred to as our, us, or we ) sponsors the Program. You or your(s) means the Company, the Guarantors, and/or the Cardholders (if the Cardholders are designated to accrue Points) under a WorldPoints Travel Rewards for Business credit card account ( Account ). A Guarantor may, but need not, be a Cardholder. The Guarantor may identify to us an individual who shall be an Authorized Contact to perform certain functions on behalf of the Company as described in these Program Rules. The Account may include one or more business credit cards ( Card(s) ) issued in connection with the Account. A diversion account will not earn Points. You may earn and use WorldPoints points ( Point(s) ) to obtain the following types of rewards ( Rewards ): travel-related services ( Travel Rewards ) such as auto rentals and hotel stays worldwide ( Auto Rental Rewards and Hotel Rewards ) and air travel ( Air Rewards ); gift cards or gift certificates; and cash ("Cash Rewards"). A complete selection of Rewards is displayed online at bankofamerica.com (the Site ). Review and keep this document ( Program Rules ). The Program Rules are separate from the terms of your Business Card Agreement ( Card Agreement ). From time to time, we may change the Program Rules. When any change is made, we will post revisions at the Site and/or we will notify you in writing,as applicable. It is your responsibility to review the Program Rules to be aware of any changes. By our furnishing a copy of these Program Rules to the Company, any Guarantor, or any Cardholder, the Program Rules are deemed disclosed to all Guarantors, Cardholders, and the Authorized Contact of the Company. General Terms 1. To participate in the Program, the Company and Guarantor(s) must have an Account that is open and has charging privileges, and each Cardholder must be authorized by the Company to maintain and does maintain a Card that is open and has charging privileges. Any fees assessed under these Program Rules are subject to change and are billed to and payable by the Company. 2. Point earnings are based on the new net retail purchase transaction volume (i.e., purchases less credits, returns, and adjustments) charged to the Card during each periodic billing cycle ( Billing Cycle ) by the Cardholders(s) ( Net Purchase(s) ). Earn 1.5 Points for each Net Purchase dollar. You will earn 3 Points for each Net Purchase dollar (consisting of 1.5 base Points and 1.5 bonus Points) on purchases made through the Bank of America Travel Center. All purchases made at the Travel Center will receive 3 Points per dollar with no limit on bonus Points, excluding insurance purchases which will earn 1.5 Points. Points are calculated at each transaction, rounded to the nearest whole Point, and are subject to verification. Balance transfers, cash advances, including purchases of cash equivalents of any kind, fees, interest charges, credit insurance, and fraudulent transactions do not earn Points. From time to time, special promotions may feature Bonus Points. A company is entitled to only one award of Bonus Points at the Company level. Details will accompany the offer. Points can only be accumulated at the Company level. 3. For new customers, accrual of Points may begin on your Enrollment Date. Enrollment Date means the date we mail the Card and the Card Agreement to you. If you are an existing business credit card customer, a Guarantor or Authorized Contact may request to enroll the Account in the WorldPoints program. In that instance, the Enrollment Date is the date we process your request. 4. Points do not expire. Points are available for redemption as long as your Account meets the following conditions: a. It must remain open. If we close the Account, all unused Points are immediately and irrevocably forfeited. b. It must remain in good standing (i.e. with active charging privileges). Points cannot be redeemed if the account is not in good standing at the time of redemption. If your account loses charging privileges but regains its good standing before the point of account closure, your Points will be available for redemption once the charging privileges are restored. However, any Points accrued during any Billing Cycle in which the account is two cycles or greater past due at the end of the Billing Cycle will not be awarded. 5. Information about Points earned under the Program is available on your monthly billing statement and in Online Banking. Any Points displayed on your monthly billing statement, in Online Banking, and at the Site are subject to adjustment in accordance with these Program Rules. Points accrue daily, i.e., the Points related to a transaction are eligible for use on the day the transaction posts to your Account. With the exception of their use in connection with obtaining the specific Cash Rewards, Points have no intrinsic cash value, are non-negotiable, are not your property, and cannot be redeemed for any benefit except those Rewards designated by us. Except as permitted in these Program Rules, Points may not be brokered, bartered, attached, pledged, gifted, sold, or transferred to anyone else under any circumstances, including, but not limited to: disability, death, upon operation of law, or in connection with any domestic relations dispute and/or legal proceeding. We shall have no liability for disagreements between Cardholders or Guarantors regarding Points. Discrepancies about Point earnings are not treated as credit card billing disputes. Refer to your Card Agreement for details about billing disputes. Our decisions regarding Point discrepancies shall be final. You must notify us promptly of any apparent Points discrepancy, but in no event later than 60 days from the date the transaction for which an adjustment is sought is posted to your account. Otherwise, Points earned will be deemed accurate and you will have waived any claim for adjustment. Unless specifically permitted by these Program Rules or authorized by us, Points and Rewards may not be combined with other discounts, special rates, promotions, or other reward programs offered by us or any other entity, including airline frequent flier, hotel frequent guest, or other travel-related or membership reward charge or credit card programs, whether in the U.S. or abroad. A Guarantor may

only transfer Points from another eligible WorldPoints account. A Guarantor may request as many transfers as desired up to the available Points balance. A Points transfer will take effect on the day the Guarantor requests the transfer. Transferred points will not expire. 6. To obtain Rewards, go to the Site or call the WorldPoints Redemption Center at 877.767.9384. Redeemed Points are deducted from your Points balance as of the date you request a Reward. A Guarantor or an Authorized Contact may redeem and/or transfer Points. Decisions made by us regarding Points redemption shall be final. Neither Bank of America, N.A. nor any of the independent third parties shall have any liability for fulfilling Reward requests in good faith in response to any person claiming authority on your behalf. You may designate anyone as the user of a Travel Reward, but all travel documents will be sent to the email address provided at the time of redemption. Gift Cards/Certificates can be shipped to any address you designate, subject to the shipping terms found at the Site or by calling the WorldPoints Redemption Center. For specific information about the fulfillment of Cash Rewards, see the section of the Program Rules discussing this category of reward. 7. Travel rewards, gift card/certificate rewards and cash rewards are considered fully redeemed once issued. No refunds, credits, or substitutions will be issued if improper proof of citizenship or naturalization result in denied boarding or entry when using a travel reward. We shall not be responsible for lost, stolen, or undelivered checks. Once a Reward is issued and the value of any transaction(s) forming part of any or all of the Points used to obtain the Reward is either refunded, credited, or otherwise rescinded, we may, at our discretion, cancel reservations, void travel documents, stop payment on any check(s), and/or withhold subsequent Points, or collect any amount(s) you owe, in any appropriate manner, including, but not limited to, the posting of an equivalent dollar debit in the form of a cash advance transaction to your Card. 8. If you voluntarily close the Account, you will no longer earn Points, but if the Account remains in good standing, you will have up to 60 days to redeem any Points in accordance with these Program Rules. If we close or restrict the Card Account for any reason, or you terminate participation in the Program, or you violate the Program Rules, or you convert your Card Account to another account that is not eligible for the Program, you will no longer earn or redeem Points and all unused Points will be immediately and irrevocably forfeited. However, if your Card Account is closed because the Card was reported as lost or stolen (subject to verification), and a new Card Account is opened for you, we will transfer any existing Points from your old Card to the new Card. We reserve the right to disqualify anyone from participation in the Program, refuse to award or redeem Points, forfeit your Points, and/or close your Card if, in our sole judgment, you or any other person(s) using the Card, have violated any of the Program Rules, including but not limited to acts of fraud or other abuse. You are responsible for all transactions and other activities resulting from the use of your Travel Rewards for Business Card accounts. You must immediately notify us of any actual or suspected unauthorized use of your Accounts. 9. We may, at any time, without prior notice, (a) change, limit, or terminate any aspect of the Program; (b) terminate the Program in its entirety (c) amend the Program Rules, benefits or features, in whole or in part; (d) discontinue or change the redemption options or values at any time; (e) discontinue or replace any Reward with a similar one of equal or greater value; (f) modify, delete or terminate any or all of the Program, the Program Rules or any portion thereof, any or all of the participating partners (if any), Rewards, benefits, or special offers if applicable; or (g) terminate your participation in the Program for any reason. Changes may affect outstanding transactions and Points, and may include, but are not limited to, the earnings rate for Points, the number of Points required to redeem Rewards, the number of Points required for any Reward, the type of transactions qualifying for Points, the type or value of Rewards, the expiration date of Points, and the maximum number of Points that may be earned per month or year, or otherwise, if applicable. Any of the foregoing actions may be taken even if such actions affect the value of Points already earned. The program is not scheduled to end on a predetermined date. 10. We are not responsible for delayed or lost correspondence sent by U.S. mail or any other form of delivery, including email. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, theft, destruction, or unauthorized access to, or alteration of Points accrued and redeemed or other Program activities. For information about our rights and your responsibilities regarding the online portion of the Program, see the Terms of Use at the Site. 11. Suppliers of goods and services are independent contractors and are neither agents nor employees of Bank of America, N.A., Visa U.S.A. Inc., MasterCard International Inc., or any of their affiliates; or any group, organization, or entity endorsing a credit card program issued by Bank of America, N.A. Bank of America, N.A. neither offers, endorses, nor guarantees any of the goods, services, information, or recommendations provided by third parties to you. 12. Bank of America, N.A. manages the Cash Rewards portion of the Program. An independent third party manages the gift card and certificate rewards portions of the Program. Independent third-party travel agencies manage the travel portion of the Program. State Seller of Travel registration numbers for Loyalty Travel Agency LLC in the states that require registration are: California 2097389-50 (registration as a seller of travel does not constitute approval by California. Loyalty Travel Agency LLC is not a participant in the Travel Consumer Restitution Fund); Florida ST38239; Hawaii TAR-6750; Iowa 987; and State of Washington 602 868 200. State Seller of Travel registration numbers for Orbitz, LLC in the states that require registration are: California: CST 2063530-50. Registration as a seller of travel does not constitute approval by the State of California. This Seller of Travel is not a participant in the California Travel Consumer Restitution Fund. California law requires certain sellers of travel to have a trust account or bond. This business has a bond issued by Fidelity and Deposit Company of Maryland in the amount of $50,000. Washington: 602 108 724. 13. You agree to release Bank of America, N.A., the independent third parties, and each of their respective affiliates and subsidiaries from all liability for injury, accident, loss, claim, expense or damages sustained by you, and in the case of a Travel Reward, anyone traveling with you or without you, in connection with the receipt, ownership, or use of any Reward. The foregoing entities shall not be liable for consequential damages, and the sole extent of liability, if at all, shall not exceed the actual value of the Reward. We are not responsible for typographical errors and/or omissions in any Program document. 14. You are responsible for determining any tax liability arising from participation in the Program. Consult your tax advisor concerning tax consequences. You may be issued an Internal Revenue Service Form 1099 (or other appropriate form) that reflects the value of Rewards. The Program is subject to government approval and is void where prohibited by law. All aspects of the Program are governed by the laws of the State of North Carolina, without any reference to its choice of law provisions.

Travel Rewards Fees may be charged by the Program for changes and cancellations of travel bookings after travel reservations are confirmed. Additional fees may be imposed by an airline, car rental company or hotel based on their change and cancellation policies. Any applicable change and cancel fees will be disclosed at the time of booking or cancellation. 1. Air Rewards There are two different types of Air Rewards: FlexAir Rewards ( FlexAir Rewards ) and Premium Air Rewards ( Premium Air Rewards ). a. FlexAir Rewards FlexAir Rewards require a minimum of 2,500 Points and enable you to pay with only Points or a combination of Points plus cash. The final price of the Reward will be determined at the time of redemption. A FlexAir Reward value includes all taxes and destination fees. FlexAir Rewards are not refundable. Miscellaneous costs, including, but not limited to, baggage fees, any additional fees imposed by the airline carrier, gratuities, insurance and airline amenities, are your responsibility. Check requirements when booking. b. Premium Air Rewards We describe all Premium Air Rewards both in terms of the number of Points required and a corresponding maximum dollar value ( MDV ). If the Air Reward you wish to obtain conforms to our specified booking terms and does not exceed the corresponding MDV, it will be considered a Premium Air Reward. If the dollar cost of the Air Reward you wish to obtain exceeds the MDV, you may obtain a FlexAir Reward. MDV includes all taxes, destination fees and the September 11th security fee. The redemption Point levels for coach-class Air Rewards are based on the origination and destination locations. The redemption Point levels for first and business-class Air Rewards are based on the actual cost of the ticket. The number of Points and corresponding MDV required for coach-class Premium Air Rewards are: Coach Class Awards Origination Destination Maximum Dollar Value (MDV) Points Required US50 plus PR and USVI US 48 $400 25,000 US50 plus PR and USVI Canada, Mexico, PR $600 35,000 US50 plus PR and USVI Alaska, Hawaii, Bahamas, Bermuda, The Caribbean $600 45,000 US50 plus PR and USVI Europe $800 60,000 US50 plus PR and USVI Central America, South America, Asia, Africa, South Pacific $1,150 85,000 The number of Points and corresponding MDV required for First and Business-class Premium Air Rewards are: First and Business Class Awards MDV Points Required $1,500 100,000 $2,000 135,000 $3,000 200,000 $4,000 265,000 $5,000 335,000 References to the 48 and 50 states include travel to the District of Columbia. Round-trip ticketing must be made through the WorldPoints Redemption Center on the same U.S. carrier and be approved by the Airline Reporting Corporation. Unless redeeming Points for first or business-class travel, the ticket will be coach-class and the lowest fare available through the travel provider at the time of booking. Reservations and ticketing require at least 21 days advance notice and must include a Saturday night stay. Check requirements when booking. Stopovers of more than 4 hours are not permitted. Actual travel dates/times for all air travel are subject to availability. Premium Air Rewards are not refundable. Miscellaneous costs, including, but not limited to, baggage fees, any additional fees imposed by the airline carrier, gratuities, insurance, and airline amenities, are your responsibility.

2. Auto Rental and Hotel Reward You may obtain Auto Rental and Hotel Rewards through participating car rental agencies and hotels worldwide. Rewards may be redeemed online by going to the Site or through the Redemption Center. Redeem for all or a portion of your rental/stay with your Points plus cash option. Rewards begin at 2,500 Points, but have no corresponding maximum dollar value. We will determine the specific Point redemption level based on the dollar value of each Reward. When you retu rn the vehicle/check out of your hotel, your Card will be charged for any Miscellaneous Costs. You earn Points for additional costs charged to the Card. There are no exchanges or refunds for no-shows or unused portions of Auto Rental or Hotel Rewards obtained through the Program. For Auto Rental Rewards, you must meet credit, age and driver requirements in effect at the time and place of rental. You must present your Card upon arrival and when returning the vehicle/checking out. Any optional or ancillary charges ( Miscellaneous Costs ) are not included in the value of the Auto or Hotel Reward and are your responsibility. For Auto Rental Rewards, Miscellaneous Costs could include: optional charges, including but not limited to refueling, optional/supplementary liability insurance, personal effects coverage and loss damage waiver, drop-off charges, late-return fee, additional driver fee and/or excess mileage fees, or upgrade in vehicle category. For Hotel Rewards, Miscellaneous Costs could include personal charges, food and beverages, additional person(s) and other optional and incidental expenses, or upgrade in room category. 3. Travel Credit Rewards You can redeem Points for a statement credit in U.S. dollars to offset qualifying travel purchases ( Travel Credit ). Travel Credit Rewards redemptions start at 2,500 Points. Travel Credit Rewards can be redeemed in increments of 1 Point. There is no limit to the number of Points you can redeem. The Redemption value of your Points is 1%. A travel credit will only be available to redeem for purchases from the Travel Center or for qualifying travel purchases made elsewhere as defined by the following merchant category codes ( MCC ): (a) Airlines, Air Carriers (MCC Codes 3000-3299, 4511); (b) Lodging-Hotels, Motels, Resorts (MCC codes 3501-3999, 7011); (c) Car Rental Agencies (MCC codes 3351-3441, 7512, 4121); (d) Cruise Lines (MCC code 4411); (e) Travel Agencies and Tour Operators (MCC codes 4722, 4416, 4417); (f) Passenger Railways (MCC code 4112); (g) Transportation Suburban and Local Commuter Passenger, including Ferries (MCC Code 4111); (h) Bus Lines (MCC codes 4131, 4722); (i) Transportation Services not elsewhere classified (MCC code 4789); (j) Real Estate Agents and Managers Rentals (MCC code 6513); (k) Timeshares (MCC code 7012); (l) Campgrounds and Trailer Parks (MCC Code 7033); (m) Motor Home and Recreational Vehicle Rental (MCC Code 7519); (n) Tourist Attractions and Exhibits (MCC Code 7991, 5971); (o) Amusement Parks, Carnivals, Circuses, Fortune Tellers (MCC Code 7996); (p) Aquariums, Dolphinariums, Zoos, and Seaquariums (MCC Code 7998); (q) Boat Leases and Boat Rentals (MCC Code 4457); or (r) Recreation Services-not elsewhere classified (MCC Code 7999). A purchase qualifies for the Travel Credit if the merchant assigns it to the appropriate merchant category code. The minimum redemption value for a Travel Credit is $25. This can be comprised of a single credit that equals at least $25 or multiple individual credits that total at least $25 redeemed in one event. Purchases will be available for redemption for a Travel Credit on the Site for a period of 6 months from the posting date of the transaction and by phone for a period of 12 months from the posting date of the transaction. Redeemed Points will be deducted from your Points balance on the date you request the Travel Credit. Travel Credits will be applied to your existing balance with the highest priced Annual Percentage Rate (APR). Receipt of a Travel Credit does not affect your responsibility to pay your Total Minimum Payment shown on each Statement you receive from us. Gift Card/Certificate Rewards Redeem Points for gift cards or certificate selections at the Site or through the WorldPoints Redemption Center. All redemptions are final. The selection of items and the number of Points needed to obtain them may change at any time. Rewards are shipped prepaid. Gift card/certificate rewards can be sent to street addresses or P.O. Boxes. Requests for delivery outside the continental U.S. or expedited delivery, if available, are subject to additional shipping charges. Complete details about shipping are found at the Site and by calling the WorldPoints Redemption Center. Gift cards are subject to specific rules set forth by the independent retailers. Use of any gift card or certificate is subject to any additional restrictions contained on or with the card or certificate. Cash Rewards Redeem Points for a variety of Cash Rewards either at the Site or by telephoning us. You can redeem Points for an electronic ACH deposit into a checking or savings account with Bank of America, N.A. ( Bank of America Deposit Account ), a contribution to a Cash Management Account including a Working Capital Management Account with Merrill Lynch or a check. Cash Rewards are issued in U.S. dollars. Cash Rewards redemptions start at 2,500 Points. Cash Rewards can be redeemed in increments of 1 Point. The Redemption value of your Points is $0.006. For example: 2,500 Points = $15.00. There is no limit to the number of Points you can redeem. Redemption values resulting in fractions of Cash Rewards will be rounded up to the nearest whole cent. A Travel Rewards for Business credit card is separate and distinct from any accounts you may have with Bank of America and its affiliates. Approval of this credit card account does not mean a checking or savings account will be established for you. 1. Redemptions for an Electronic Deposit into a Bank of America Deposit Account or Contribution to a Merrill Lynch Cash Management Account When you redeem Points for an electronic deposit into a Bank of America Deposit Account or for a contribution to a Merrill Lynch Cash Management Account ( CMA ) including Working Capital Management Accounts (WCMA ), your funds will be transferred electronically and deposited through the Automated Clearinghouse System (ACH) within 5 business days of your request. If an electronic deposit is rejected by us for any reason, we will void the deposit and reinstate the Points to your credit card account. If your credit card account is closed before the Points can be reinstated, you will forfeit your Points (except if your Card has been reported as lost or stolen, subject to verification). If an electronic transfer is rejected, we will notify you within 15 days of your request at the email address provided at the time of redemption. 2. Redemption for a Check Cash Reward checks are not issued automatically; checks will be issued only upon request of the Guarantor or Authorized Contact. The check will be made payable to the Company. Each check is mailed to the payee s billing address via first-class U.S. mail within fourteen (14) business days of receipt of the request. Cash Reward check redemptions are final once processed. Requests for multiple checks are processed and mailed separately. Each check will be valid for ninety (90) days from its date of issue. The expiration date will appear on the check. A check that is not presented for payment before the expiration date will be void and the Cash Reward will then be awarded as a

statement credit posting to the applicable Account, within two Billing Cycles following the expiration date and will be applied to your Account as a retail credit adjustment. If your Card is closed before a check is drawn or a statement credit appears, then the Cash Reward will be forfeited (except if your Card has been reported as lost or stolen, subject to verification). Receipt of a Cash Reward check or the appearance of a statement credit does not affect your responsibility to pay your Total Minimum Payment shown on each Statement you receive from us.
