Management Discussion of Fund Performance This management discussion of Portfolio Fund performance presents views of the portfolio management team about the significant factors and developments during the past year that have affected the Portfolio Fund s performance and outlook. Please read the caution regarding forward-looking statements located on the first page of this document. Investment Objective and Strategies The Portfolio Fund aims to provide a high level of long-term capital growth. The Portfolio Fund invests in Underlying Funds invested in Canadian, U.S. and international equity markets. The portfolio management teams of the Underlying Funds manage the assets invested by the Portfolio Fund, and investments are made in accordance with the objectives of the Underlying Funds. Excluding any assets held as cash, the Portfolio Fund s long-term asset class exposure based on its mix of Underlying Funds is generally expected to be about 1% in equity. This allocation will vary from time to time as a result of daily management of the Underlying Funds and market fluctuations. Risk The overall level of risk of investing in the Portfolio Fund remains as discussed in the Prospectus, and is not expected to have significantly increased or decreased as a result of operations during the period. Accordingly, the Portfolio Fund also remains suitable for the same investors as discussed in the Prospectus. Results of Operations CHANGES IN NET ASSETS The Portfolio Fund s net assets decreased by 4.5% during the period to $126.1 million. This change was comprised primarily of gains of $9.5 million from investment operations and a decrease of $15.4 million due to net securityholder redemptions. FEES AND EXPENSES The management expense ratios (MERs) for all series are generally similar to the MERs for the 12-month period ended March 31, 214. Total expenses paid vary period to period mainly as a result of changes in average assets in each series. Average net assets of the Portfolio Fund for the period were $129.2 million, an increase of.7% compared to the period ended March 31, 214. INVESTMENT PERFORMANCE In accordance with National Instrument 81-16, the following comparison to broad-based indices has been included to help explain the Portfolio Fund s performance relative to the general performance of the markets, but the portfolio management team cautions that the Portfolio Fund s mandate may be different from the indices shown. For a description of the indices, see Annual Compound Returns. Also, investors cannot invest in an index without incurring fees and expenses, which are not reflected in the index returns. For the returns of all series and for longer-term performance of the Portfolio Fund, see the Past Performance section of this report. Performance will vary by series primarily because fees and expenses may differ between series, or because securities of a series were not issued and are outstanding for the entire reporting period. See Series Information for the annual expense rates for each series. For the year ended March 31, 215, the Series A securities returned 7.6% (after deducting fees and expenses paid by the Fund). In comparison, the S&P/TSX Composite Index returned 6.9% and the MSCI World Index (Net) $ CAD returned 21.5%. The Portfolio Fund outperformed the S&P/TSX Composite Index given its exposure to non-canadian equities markets and significantly underperformed the MSCI World Index (Net) $ CAD due in part to its exposure to Canadian equities. IG Mackenzie Canadian Equity Growth Fund, currently representing 2% of net assets, contributed the most to the Portfolio Fund s performance, and Investors Canadian Small Cap Fund, currently representing 15% of net assets, detracted the most from the Portfolio Fund s performance. Recent Developments (BASED ON INFORMATION AS AT APRIL 24, 215) Canada s S&P/TSX Composite Index advanced over the period. It hit a series of record highs beginning in June and surpassed the previous record set in 28. Declines in commodities prices later put pressure on Canadian equities. Global stocks moved higher. Stocks were driven by a growing U.S. economy, accommodative central bank policies and expansion of valuations relative to earnings. Other Developments RECENT CHANGES TO INVESTMENT MIX In June 214, the Manager made the following adjustments to the investments held by the Portfolio Fund: Increase: Investors Canadian Small Cap Fund (+5%) Decrease: Investors Canadian Growth Fund (-5%) INTERNATIONAL FINANCIAL REPORTING STANDARDS (IFRS) Effective April 1, 214, the Portfolio Fund adopted IFRS as its basis of accounting as required by the Canadian Accounting Standards Board (AcSB). Previously, the Portfolio Fund prepared its financial statements in accordance with Canadian generally accepted accounting principles as defined in Part V of the Chartered Professional Accountant (CPA) Handbook (Canadian GAAP). The financial statements for the period ended March 31, 215, including comparative information, are the first annual financial statements prepared on an IFRS basis. The impact of the change from Canadian GAAP to IFRS has been applied retrospectively and is disclosed in the notes to the financial statements. Key changes to the financial statements as a result of the implementation of IFRS are: Statement of Financial Position replaces the Statement of Net Assets: - The Portfolio Fund s issued and redeemable securities have been classified as a financial liability. Statement of Comprehensive Income replaces the Statement of Operations. Statement of Changes in Financial Position replaces the Statement of Changes in Net Assets. The Portfolio Fund now presents a Statement of Cash Flows. Other notable changes to the financial statements include reclassification of certain balances, changes to the format of the financial statements, and additional or enhanced information in the notes to the financial statements, including a detailed note and reconciliation on the Portfolio Fund s transition from Canadian GAAP to IFRS.
Related Party Transactions I.G. Investment Management, Ltd. is the Manager, Trustee and Portfolio Advisor of the Portfolio Fund. The Portfolio Fund is offered through the Consultants of Investors Group Financial Services Inc. and Investors Group Securities Inc., together referred to as the Distributors. The Manager, Portfolio Advisor, Distributors and Trustee are, indirectly, wholly owned subsidiaries of IGM Financial Inc. The Portfolio Fund paid a management fee to the Manager and Portfolio Advisor for management and portfolio advisory services (see Management Fees). The Portfolio Fund also paid the Manager an administration fee and in exchange the Manager paid the operating costs and expenses of the Portfolio Fund, except for certain specified costs. The Portfolio Fund paid the Distributors a service fee as compensation for providing or arranging for the provision of services to the Portfolio Fund, including the issue or allotment of securities. A portion of the service fee for Series C is rebated by the Distributors to the Portfolio Fund quarterly as outlined in the Prospectus. The Portfolio Fund also paid the Distributors a distribution fee in recognition for distributing the Portfolio Funds to all Investors Group clients, including those who do not have a minimum of $15, in household investments. The Trustee is responsible for the overall direction and management of the affairs of the Portfolio Fund. The Portfolio Fund paid the Trustee a fee for its services. See Series Information for the annual rates paid by each series (as a percent of average net assets) for these fees. Securityholders in Series U also pay an advisory fee directly to Investors Group. This fee is not included in the Portfolio Fund s expenses. The Portfolio Fund s investments are entirely comprised of investments in other Investors Group funds (the Underlying Funds). Please see the Summary of Investment Portfolio later in this report, for more details. All transactions in Underlying Funds are executed in accordance with standing instructions approved by the Investors Group Funds Independent Review Committee and based on the net asset value per security determined in accordance with the stated policies of the Underlying Fund on each transaction day. No commissions or other transaction fees were paid by the Portfolio Fund in relation to these transactions. Certain other investment funds distributed by Investors Group and other qualified investors may invest in Series S of this Portfolio Fund. All such transactions in the Portfolio Fund are executed in accordance with standing instructions approved by the Investors Group Funds Independent Review Committee and based on the net asset value per security determined in accordance with the stated policies of the Portfolio Fund on each transaction day. No commissions or other transaction fees were paid by the Portfolio Fund in relation to these transactions. As at March 31, 215, these funds held approximately.6% of the Portfolio Fund s net assets. Management Fees The Portfolio Fund pays Investors Group a management fee. The management fee paid by each series is calculated as a percentage of the net asset value of the series, as of the close of business on each business day (see Series Information for rates payable by each series). Management fees were used in part to pay costs incurred in providing investment advisory and management services, and distribution-related services including the cost of financial planning services, Consultant commissions and bonuses, marketing and other Portfolio Fund promotional activities and educational conferences. For the 12-month period ended March 31, 215, on average approximately 45% of the total management fee revenue received from all Investors Group funds was attributable to investment advisory and management services. The balance of these fees was used to fund the payment of distribution-related services. For this Portfolio Fund, investment advisory and management services represented approximately 61%, and distribution-related services represented approximately 39%, of the management fees paid (excluding fees paid by non-retail series if issued) for the period ended March 31, 215. This may vary by series depending upon the assets invested in each series.

The financial information presented for the periods ended March 31, 215 and 214 is determined in accordance with IFRS. Information for periods prior to April 1, 213 is derived from financial statements prepared in accordance with Canadian GAAP. 2 Net asset value and distributions are based on the actual number of securities outstanding at the relevant time. The increase/decrease from operations is based on the weighted average number of securities outstanding over the financial period. In the period a series is established, the financial information is provided from the date of inception to the end of the period. 3 Distributions were paid in cash, reinvested in additional securities of the Portfolio Fund, or both. 4 ratio (MER) is based on total expenses, excluding commissions and other portfolio transaction costs, for the stated period and is expressed as an annualized percentage of daily average net assets during the period, except as noted. In the period a series is established, the MER is annualized from the date of inception to the end of the period. Where a Portfolio Fund directly or indirectly via derivative contract invests in securities of an Underlying Fund, the MERs presented for the Portfolio Fund include the portion of MERs of the Underlying Fund(s) attributable to this investment. Correspondingly, the MERs presented for the Portfolio Fund exclude any management or other fees that are waived as a result of its investment in the Underlying Fund(s). Certain expenses that are non-recurring and/or otherwise uncertain as to their future timing and amount have not been annualized. For Series C, the service fees are divided by the assets attributable to Series C on the days on which the fee is charged. The MERs presented for Series C represent the maximum MER applicable to an account because service fee rebates have not been offset against service fees. Eligible clients in Series C are entitled to a rebate of service fees based on their asset levels held in the Portfolio Fund and in other Investors Group funds as outlined in the Portfolio Fund s Prospectus. The rebate is distributed as a return of capital distribution to eligible securityholders and is required to be reinvested in additional Series C securities. 5 The trading expense ratio (TER) represents total commissions and other portfolio transaction costs incurred as an annualized percentage of daily average net assets during the period. Where a Portfolio Fund invests in securities of an Underlying Fund, the TERs presented for the Portfolio Fund include the portion of TERs of the Underlying Fund(s) attributable to this investment. 6 The Portfolio Fund s portfolio turnover rate indicates how actively the Portfolio Fund s Portfolio Advisor manages its portfolio investments. A portfolio turnover rate of 1% is equivalent to the Portfolio Fund buying and selling all of the securities in its portfolio once in the course of the period. Generally, the higher a Portfolio Fund s portfolio turnover rate in a period, the greater the trading costs payable by it in the period, and the greater the chance of an investor receiving taxable capital gains in the period. The portfolio turnover rate for a Portfolio Fund reflects the rebalancing necessary to maintain its target mix in Underlying Funds. No commission or other transaction fees were paid by the Portfolio Fund in relation to these transactions. There is not necessarily a relationship between a high turnover rate and the performance of a Portfolio Fund. Transactions incurred to realign the Portfolio Fund s portfolio after a fund merger, if any, are excluded from the portfolio turnover rate. For the period ended March 31, 212, securities acquired to realign the portfolio after the merger amounting to $13.5 million, have been excluded from the portfolio turnover rate.
