2 OUTLINE TERMS OF REFERENCE FOR CONSULTANTS 1 1. The technical assistance (TA) will be implemented over three years during project implementation. The TA will have three main outputs focused on improving capacity of PCBs to lend to women s small businesses and rural small businesses; improving capacity of women s small businesses and rural small businesses; and strengthen regulatory and supervisory framework for the development and supervision of e-banking, including Anti-Money-Laundering/Combating the Financing of Terrorism (AML/CFT). The TA will require consulting services of 5 international consultants for 10 person-months, and 3 national consultants for 16 person-months. As all the skills mix and qualifications required from consultants are diverse and difficult to source from a single firm, ADB will engage individual qualified consultants in accordance with its Guidelines on the Use of Consultants (2013, as amended from time to time). 2. The first output will support enhancement of PCBs capacity. It will help: assess their existing lending strategy towards small businesses and entrepreneurs with a focus on women s small businesses and rural small businesses and help adopt gender-inclusive policies and gender action plans with performance indicators; design and conduct annual customer surveys on quality and demand for financial services; sensitize and train PCB s staff on women entrepreneurship needs and tailored programs; strengthen risk management practices and credit assessment standards; assist in the adoption of IFRS standards; develop women friendly loan application procedures; design at least two new financial products in each bank (e.g. collateral-free financial products) targeting project beneficiaries; develop monitoring and supervision methodology to prevent loan delinquency in the target group; (ix) establish a monitoring and evaluation framework with sex-disaggregated data to track performance, outreach, impact and achievement of targets and indicators for the ADB project. 3. The second output will through workshops provided by PCBs enhance capacity of women s small businesses and rural small businesses to enable them to better access finance and enhance their abilities to build viable business and access to financial services and markets. It will help increase women s small businesses and rural small businesses capacity in budget planning, accounting, money and inventory management; business plan development and marketing; financial literacy, and knowledge of bank services and products. 4. The third output will enhance regulatory and supervisory capacity of the CBU in the development and supervision of e-banking. It will help CBU staff develop a sound regulatory framework that expands the reach of e-banking and promotes financial inclusion; increase understanding of advanced concepts of emerging technologies and their impact on bank technology and architecture; identify business, operational and supervision risks related to e-banking; assess the impact of identified risks on the financial institution s operations; develop adequate risk management processes; strengthen consumer protection; and assess the outreach of e-banking and evaluate its impact on financial inclusion. 1 Terms of reference for consultants will be firmed up during the fact-finding mission.

3 A. Micro and Small Enterprise Finance Specialist (international, 3.0 person-months, intermittent) 5. The specialist shall have a graduate degree in economics, finance, business management or other relevant discipline for the assignment. He/she should have at least 10 years of international experience in finance, banking and microfinance. The specialist shall have experience doing the type of work defined in their terms of reference, and strong ability to write, communicate verbally, and work in multicultural teams. Experience in structuring and administering programs in which a government agency or similar body provides financial support to small business is preferred. Experience in special financial products and e-banking that target particular focus groups (e.g. rural and women entrepreneurs) will be valued. Experience working in Eastern Europe and/or the former Soviet Union will be preferred. The specialist will review PCBs existing financial services and products and distribution channels supporting small businesses and start-ups, identify strengths and weaknesses, and lessons learned taking into consideration international best practice and feedback from the clients; provide recommendations on how to improve existing financial services and products to better meet the demands and repayment capacity of women s small businesses and rural small businesses; develop new financial services and products to match demands and repayment capacity of women s small businesses and rural small businesses (agricultural finance, alternate collateral, flexible withdrawal and repayment schedules, etc.); assist PCBs design simplified loan applications, and loan appraisal and approval procedures; provide recommendations on new or improved distribution channels for financial services and products, including the use of information communication technology to support subborrowers, especially women s small businesses and rural small businesses access financial services and products (provide information on available financial services and products, provide information on government programs supporting entrepreneurship, facilitate business training and counseling, deliver market and financial information, make payments, market subborrower products, and facilitate networking); explore demand for of e-banking for PCBs, the modality of e-banking preferred and how to raise awareness of e-banking; prepare a TA summary report: 10-15 page report outlining existing financial products and services as well as distribution channels, and progress made in developing new financial services and products and distribution channels. B. Micro and Small Enterprise Credit and Financial Reporting Specialist (international, 2.0 person-months, intermittent) 6. The specialist shall have at least 10 years of international experience in finance, banking and financial reporting. He/she shall have a graduate degree in finance, economics or other relevant discipline for the assignment. Experience in working with gender related issues will be preferred. The specialist shall have experience doing the type of work defined in their terms of reference, particularly working with IFRS accounting systems and internal controls, and strong ability to write, communicate verbally, and work in multicultural teams. Experience working in Eastern Europe and/or the former Soviet Union will be preferred. The specialist will

4 (ix) review PCB s credit risk management system and make recommendations for improvement based on best international practices; assess possibilities of automatization of the risk management process and identify steps needed; develop formal written reconciliation procedures for reconciling project bank accounts; develop advanced credit risk assessment tools and train PCBs staff; develop training course on IFRS accounting standards and train PCBs staff; review PCB s credit appraisal procedures and make recommendations for improvement; develop standardized credit analysis technology to support the subloans under the project; review and develop internal controls to ensure the integrity of financial and accounting information, meet operational and profitability targets; and train PCBs staff in risk management, IFRS accounting, reconciliation procedures and internal controls. C. Women Micro and Small Enterprise Development Specialist (international, 2.0 person-months, intermittent) 7. The consultant shall have a graduate degree in economics, business management or other relevant discipline for the assignment. He/she should have at least 8 years of international experience in designing and implementing programs to support small business development and in advising institutions which provide non-financial support to small businesses and, in particular, to experience in gender related issues that support women s entrepreneurship. The specialist shall have experience doing the type of work defined in their terms of reference, and strong ability to write, communicate verbally, and work in multicultural teams. Experience working in Eastern Europe and/or the former Soviet Union will be preferred. The specialist will assist PCBs establish a framework for annual customer surveys to review quality of and demand for financial products and services among women s small businesses and rural small businesses; assess constraints by women (cultural factors; collateral norms; loan size; terms and conditions); assist PCBs strengthen/develop Gender Action Plans (GAP) and monitoring frameworks, improve methods for collecting sex-disaggregated information and consolidate them into project-wide GAP progress matrix; develop strategies and conduct workshops for PCB staff on how to raise awareness among women s small businesses and rural small businesses of available financial products and services; prepare public information materials on financial services and products available to small businesses, including women s small businesses and rural small businesses; develop training-of-trainer program for the project beneficiaries (subborrowers) with focus on: a. knowledge on business plan, marketing, risk management, etc.; b. financial knowledge (accounting, bookkeeping, finance/cash flow management, inventory management, portfolio management, etc.); c. knowledge on business registration, taxation, customs regulations, etc.; and d. access to bank credit (application, document preparation, bank products).

5 Prepare a TA summary report: 10-15 page report on lessons learned on women s small business and rural small businesses access to finance in Uzbekistan. D. Electronic-banking Regulation and Supervision Specialist (international, 1.5 personmonths, intermittent) 8. The specialist shall have a graduate degree in finance, economics, business management or other relevant discipline for the assignment. He/she should have at least 8 years of international experience in regulation and supervision of the financial sector, including work in electronic-banking (e-banking). Experience in developing e-banking regulation and related skills in central banks are required. The specialist shall have strong ability to write, communicate verbally, and work in multicultural teams. Experience working in Eastern Europe and/or the former Soviet Union will be preferred. The specialist will review the existing regulatory and supervisory framework on e-banking in Uzbekistan and identify strengths and weaknesses and lessons learned, taking into consideration international best practice; present to CBU international regulatory and supervisory framework for e-banking; develop recommendations to develop a sound regulatory framework for e- banking in Uzbekistan; identify operational, liquidity, AML/CFT and supervision risks related to e-banking in Uzbekistan; assess the impact of identified risks on the financial institution s operations; develop adequate risk management systems; help develop consumer protection framework; assess the outreach of e-banking and evaluate its impact on financial inclusion; and (ix) identify the modality of e-banking. E. Impact Evaluation Specialist (international, 1.5 person months, intermittent) 9. The specialist should have at least 8 years of experience in micro and small enterprise development and conducting high quality rigorous impact evaluation studies. The specialist should have a graduate qualification in economics, business administration or other relevant discipline for the assignment. The specialist shall have experience doing the type of work defined in their terms of reference, and strong ability to write, communicate verbally, and work in multicultural teams. Experience working in Eastern Europe and/or the former Soviet Union will be preferred. The specialist will design an analytical framework and methodology of the impact evaluation study and prepare a complete impact evaluation research plan; identify key potential economic and social impacts of the project on end users and suggest relevant indicators; develop an appropriate survey design; prepare the baseline questionnaire, supervise and advise the national consultant on translation; provide ongoing guidance to the national consultant to conduct the survey; provide guidance to the national consultant on establishment of an appropriate data entry system and develop validation checks to monitor the quality of the data collected;

6 lead the analysis and interpretation of the collected data; and prepare a comprehensive report with the required baseline information. F. Micro and Small Enterprise Finance Specialist/Project Coordinator (national, 10 person-months, intermittent) 10. The specialist should have at least 5 years of experience in small business finance development and project management. Experience with initiatives providing support to women s small businesses is required. The specialist should have a graduate qualification in business management, economics, finance or other relevant discipline for the assignment. The specialist shall have experience doing the type of work defined in their terms of reference, and strong ability to write, communicate verbally, and work in multicultural teams. The specialist will coordinate the work between ADB, PCBs, international consultants, and national consultants in order to facilitate the implementation of the project, including arranging meetings and field visits; support in identifying and assessing constraints faced by potential subborrowers in accessing finance and in establishing small businesses, including constraints faced by women; assist PCBs establish a framework for annual customer surveys to review quality of and demand for financial products and services among women s small businesses and rural small businesses; prepare public information materials on financial services and products available to small businesses, including women s small businesses and rural small businesses; support the design, organization, and delivery of workshops for PCBs; organize focus group discussions; monitor the implementation of the Small Business and Entrepreneurship Development Project and prepare and submit regular progress reports which should include achievement of targets and indicators, both for the ADB project and government targets; and identify lessons learned; and prepare relevant sections of progress and final TA reports. G. Gender Specialist/Training Specialist (national, 3 person-months, intermittent) 11. The specialist should have at least 5 years of experience in micro and small enterprise development, capacity development and training delivery. Experience with initiatives providing support to women will be valued. He/she should have a graduate qualification in business management, economics or other relevant discipline for the assignment. The specialist shall have experience doing the type of work defined in their terms of reference, and strong ability to write, communicate verbally, and work in multicultural teams. The specialist will support the Woman Micro and Small Enterprise Development Specialist review existing business training programs for women s small businesses in Uzbekistan, identify what kind of training PCBs have already received in regards to gender sensitization, and identify existing gender related training programs in respective PCBs; train and sensitize PCB staff (including those in the rural areas) on the specific needs of women s small businesses;

7 develop strategies and deliver workshops for PCB staff on how to raise awareness among women s small businesses and rural small businesses of available financial products and services; develop training-of-trainer program for the project beneficiaries (subborrowers) with a focus on: a. knowledge of business plans, marketing, risk management, etc.; b. financial knowledge (accounting, bookkeeping, finance/cash flow management, inventory management, portfolio management, etc.); c. knowledge of business registration, taxation, customs regulations, etc.; and d. access to bank credit (application, document preparation, bank products). assist PCB to strengthen/develop GAPs and monitoring frameworks, improve methods for collecting sex-disaggregated information and consolidate them into project-wide GAP progress matrix; and prepare relevant sections of progress and final reports. H. Impact Evaluation Specialist (national, 3 person months, intermittent) 12. The specialist should have at least 5 years of experience in micro and small enterprise development project monitoring and evaluation. Experience in conducting quality rigorous impact evaluation research will be valued. The specialist should have a graduate qualification in economics or other relevant discipline for the assignment. The specialist shall have experience doing the type of work defined in their terms of reference, and strong ability to write, communicate verbally, and work in multicultural teams. The specialist will (ix) (x) support the international consultant in developing the framework and methodology of the impact evaluation; recruit a team of survey enumerators and provide them with necessary training; work with international consultant to develop the survey questionnaire; lead and supervise the survey team for the pre-testing of the questionnaire; finalize the questionnaire with support from the international consultant; lead and supervise the survey team in conducting the survey and ensure authenticity and completeness of collected data through continuous monitoring; recruit and train data encoding operators; lead and supervise data entry and operationalize consistency checks for data accuracy; help analyze the collected data; and contribute to preparation of the baseline and final reports.
