TERMS OF PARTICIPATION TICKETMATES AUSTRALIA PTY LTD (TICKETMATES ) & RESELLER DEFINITIONS TicketMates Business System: Includes, but is not limited to, the methodology under which TicketMates operates, including the website, product catalogue magazine, and any other marketing, advertising or promotions provided by TicketMates. Us/We: TicketMates incorporating Experience Oz and Gift It Now (ABN 73 127 532 147). You: The Reseller, defined as Organisation: Authorised Representative: Any person that is employed by You and is authorised by You to use the TicketMates Business System as a representative of You. Customer: Any holder of a TicketMates generated ticket for Offered Product. Face Value: The recommended retail price (inclusive of GST), as set by the Operator, for an Offered Product. Offered Product: Goods, services and entries as listed from time to time on the TicketMates website as provided by TicketMates Operators. Reseller Commission: A percentage based commission, as agreed in this Terms of Participation, which is applied across product offered to you. In accordance with the advertised Amount Available for Discount, less any associated transaction fees. ORGANISATIONS Operator: An organisation, business or person that offers products or services for sale through the TicketMates business system. Resellers: Businesses, organisations or individuals that participate in the TicketMates business system as points of sale. REFUNDS Operator Initiated Refund: A refund condition where an Operator postpones, cancels or fails to Offer the purchased Product so that a Customer is unable to use a valid ticket for the Offered Product. Customer Initiated Refund: A refund condition where a Customer seeks a refund on a ticket for any reason, other than an Operator Initiated Refund Which complies with the operator and TicketMates refund policy. Reseller Initiated Refund: A Reseller initiated refund given to the customer based on an individual Reseller policy. Non Valid Refund: A Refund will not be given for a booked ticket if on or after the booked date unless it has been cancelled a minimum of 24 hours prior to the booking date on the ticket, or as required by the individual operator. These terms govern the relationship between Us and You: General: Each ticket sold is subject to the Operator s Terms and Conditions of use. TicketMates does not maintain these details however; they can be obtained from the Operator by contacting them directly. You agree: To abide by the Terms of Participation of the TicketMates business system as outlined in this document. To operate and conduct business in good faith when using the TicketMates business system; to issue tickets to the tour, event or activity as purchased by the Customer; at all times be solvent, creditworthy, not bankrupt or insolvent and be of good financial standing; to at all times have the legal capacity to enter and continue to act as a Reseller in the TicketMates program; to not represent yourself as TicketMates ; that TicketMates reserves the right of refusal for your continued participate in the TicketMates business system; and to promptly advise TicketMates of any changes in your circumstance that may effect your participation under these terms or any changes of ownership or business and contact details. We: Reserve the right to vary these terms of participation at any time: reserve the right of refusal for your initial and continued participation in the TicketMates business system for whatever reason; appoint you as its Reseller to issue tickets to the Customer for which you will be paid a Reseller commission; will make our best effort to ensure that the information available on the web site is accurate but cannot guarantee that it is free of errors or misdescription; make no warranty or representation about the fitness or suitability of any product or services advertised in its website; agree to: make the website and ticket purchasing process available to Resellers as often as possible; allow you a right of withdrawal from participation in the TicketMates business system at any time for whatever reason; COSTS AND FEES TicketMates You agree: If set up with an account, to remit to TicketMates Australia all monies owed within 7 days of receiving an invoice/statement from us that we reserve the right to terminate your access to the TicketMates online system without prior notice to you if these payment terms are not met and may charge you a late fee for late payments. If set up with the credit card payment option, TicketMates Australia will pay you your commission into the nominated bank account provided by You within 7-14 business days. Experience Oz & Gift It Now You agree: To complete a Reseller Joining Form to become an Experience Oz Reseller. No fees or costs are applicable. Any web developer fees to include links or make changes on your website, are at your own cost. We agree: To pay you your commission within 7-14 business days directly into your nominated bank account as provided by You, otherwise this will be credited onto your TicketMates account is using the TicketMates platform also. We: Reserve the right to vary at any time, any Reseller Commissions payable and any transaction fees charged as the result of a sale of a ticket. OFFERED PRODUCT/S You agree: To represent TicketMates business system and the offered products available for sale in a reasonably professional manner to your customers. TicketMates does not make any warranty or representation to the Customer or you about the fitness or suitability of Products on the TicketMates website. POSTPONEMENTS, CANCELLATIONS AND REFUNDS You agree: That if a refund is transacted by You or any of your Authorised Representatives and the refund does not comply with TicketMates and operator refund policies, that You are liable for the full cost of the ticket. 1. In the event of a customer initiated refund, not to refund any monies or cancel the ticket until the original voucher has been given back to you and the cancellation has been approved by the Operator. You must then refund the monies to your customer and cancel in the TicketMates system. 2. In the event of an Operator Initiated refund, the customers monies need to be refunded in full by You and cancelled in the TicketMates system. 3. A booked ticket is only cancelled if it is outside the 24 hour cancellation period or as required by the operator and that the operator has been notified of the cancellation. We: Agree not to invoice You for a ticket: 1. That can not be used by the Customer due to an Operator Initiated Refund. 2. For an open voucher ticket has been cancelled by you through the system (as long as the voucher has been handed back to you and the voucher has not been used). 3. For a booked ticket that is returned to TicketMates and struck as cancelled by you, a minimum of 24 hours prior to the booking date that appears on the ticket or as required by the operator. SPECIFIC WEBSITE PROVISIONS You agree to: Allow Username and Passwords access only to Authorised Representatives that you are liable for any misuse of the website by any of your Authorised Representatives or any person accessing the system with your or your Authorised Representatives credentials the TicketMates website. INDEMNITY In consideration of TicketMates allowing you to be part of the TicketMates business system you will indemnify TicketMates on a full indemnity basis for all direct and consequential loss and damage and liabilities whether monetary or capable of being converted into money suffered by You as a result of your use of the TicketMates Business System. CONFIDENTIALITY You must: Maintain confidentiality in any information or data concerning TicketMates that is not generally known or in the public domain or which has the characteristics of confidentiality. Not disclose to any other party information regarding commissions, fees or sales data without the prior written consent of TicketMates We: Will maintain confidentiality in any information or data concerning you that is not generally known or in the public domain or which has the characteristics of confidentiality. LIABILITY & INSURANCES You must: Comply with the public indemnity Insurance provisions as required by you in compliance with the laws of the state and country. We: Are not liable to you for any misrepresentation, errors or omissions; do not accept any liability for any indirect or consequential loss arising out of or connected to the use of products and services purchased from our website. All claims are the responsibility of the Operator and TicketMates has no liability to you. PRIVACY You agree: To comply with the provisions of the Privacy Act 1988. SPECIFIC GST PROVISIONS: You agree: Our relationship is governed by the provisions of section 29-70 (3) of the A New Tax System (Goods and Services Tax) Act 1999 (the GST Act). to be registered for GST at all times and that you must notify TicketMates immediately when you are no longer registered for GST. We: TicketMates will supply the Customer with the ticket, a tax invoice and any adjustment notes relating to the provision of the ticket in our name. TicketMates warrants that we are registered for GST; TicketMates is registered for GST and will be at all times. TicketMates will notify you immediately when its registration for GST ceases; TicketMates undertakes to issue to you a tax invoice within the meaning of the GST Act and Regulations for the goods/service you are provided in accordance with this arrangement. UPDATES TO THESE TERMS You agree: That your ongoing participation is conditional on acceptance of changes to these and any other terms and conditions that TicketMates may apply.
