GUIDELINES FOR THE PROMOTION OF HOME BOX OFFICE, INC. ("HBO") PROGRAMS The following guidelines shall govern the advertising and promotion of those programs under license to you from HBO ("Programs"). These guidelines are in addition to the provisions set forth in the license agreement between Licensee and HBO (the "Agreement") pursuant to which the Programs were licensed to you ("Licensee"). In addition to complying with these guidelines, Licensee must also comply with the limitations and restrictions contained in the Agreement regarding Licensee's advertising, marketing, promotion and publicity of the Programs, and in the event any provision in the Agreement is more restrictive than the corresponding provision contained herein, the Agreement shall control. 1. Generally Applicable Restrictions. The promotion of each Program by Licensee shall comply with the following restrictions: A. With respect to each Program, the advertising and promotional material, including without limitation, the Program name and logo, supplied by HBO to Licensee (the "Material") and any advertising and promotion material created by Licensee including, but not limited to, television, radio and new media spots and newspaper and magazine advertisements ( Licensee Created Material ), shall be used solely for the purpose of promoting, during the period and in the territory authorized in the Agreement, the exhibition of such Program during its license period, and shall not be used in any manner not specifically authorized herein or in the Agreement, and shall not be used to promote: (1) Licensee generally, (2) any other product or service of Licensee, (3) any other product or service, (4) the exhibition of any other program or (5) in any other manner not specifically authorized herein or in the Agreement. With respect to Licensee Created Material: (a) Licensee shall be responsible for all payments and clearances in respect of such material, (b) such material shall not include any stills from the Program, or any stills, non-photographic likeness or biography of any person rendering services on the Program or appearing recognizably in the Program, except for any such still, nonphotographic likeness or biographies as are included in the Material, (c) Licensee agrees that any clip used in the Licensee Created Material may not exceed a total of three (3) minutes in length, and (d) Licensee shall not use any music or any other third party materials (i.e. archival footage, news footage, stock images, etc.) that are included as part of the Materials or the Programs, other than music or third party material that is included in clips that HBO has informed Licensee are cleared for use. The Material shall be the sole source of materials used for the advertising, marketing, promotion and the publicity of the Programs. With respect to documentary Programs, Licensee shall exclusively use the clips provided by HBO for promotion thereof, without any edit or alteration. B. Licensee will ensure that all Material and Licensee Created Material used to advertise, market and promote the Programs will contain a prominent reference to "HBO" and a prominent graphic or chyron designating the Program being promoted. - 1 -
C. With respect to Materials that are comprised of photographs, except as to overall size, the cropping, composition and look of each photograph shall not be altered or obscured. In no event shall screengrabs from the Program or Material be used as still images for any purpose whatsoever. D. If the Program is a documentary Program, Licensee shall use only the clips provided by HBO for promotion thereof, without any edit or alteration. If the Program is a series, miniseries or some other form of episodic program, with respect to Materials or Licensee Created Materials that constitute photographs or still images or footage of cast members taken from the Program ("Cast Images"), only those Cast Images reproducing series regulars (and no other cast members) shall be used to promote such Program; provided, however, that, should Licensee desire to promote a specific episode of such series, Licensee may use still images and footage reproducing cast members other than series regulars, if any, who appear in the specific episode being promoted. All promotions shall contain Cast Images of a group of principal cast members unless otherwise allowed pursuant to the series restrictions for the particular Program being promoted. E. Licensee shall not use any Material that contain the trademark, service mark or logo of any third party in the promotion of the Program(s). F. Licensee shall not have the right to combine the Materials with any other product, service or program or to use the Materials to create a new product, program or compilation program. If the Materials include promotional films (e.g., programs three (3) to thirty (30) minutes in length discussing the making of the Program, interviewing cast and/or crew or otherwise promoting the Program), such promotional films must be used in their entirety without edit or alteration. No "behind the scenes" or other "B-Roll" footage, and no interview soundbites, may be used for any purpose whatsoever without the prior written approval of HBO on behalf of itself and all subjects depicted therein. Should HBO approve any such use, Licensee shall pay any and all reuse fees and/or other compensation that may be required by applicable collective bargaining agreements, other third party agreements or otherwise required by law resulting from Licensee's use of such behind the scenes and/or B-Roll footage or interview soundbites. G. Subject to the requirements of any applicable union collective bargaining agreement and any obligations or requirements contained in the restrictions supplied to you by HBO or referenced herein or in the License Agreement, Licensee may use excerpts from the Program to create promotional spots provided that no one excerpt exceeds three (3) minutes in length and in no event shall the aggregate excerpts from the Program used in the promotional spots exceed a total of five (5) minutes. H. No promotional spot created by Licensee may exceed an aggregate of five (5) minutes in length unless otherwise approved in writing by HBO and, in circumstances where HBO has provided a credit block, must include such credit block. promotional platform (e.g., website, mobile, on-demand service, etc.) shall contain more than an aggregate of five (5) minutes of promotional content for any one Program (whether a series, documentary or movie) at any one time unless the content is a preapproved HBO supplied promotional film. I. The promotion of any Program to be exhibited shall carry a listing of time(s) at which and service or channels over which the Program being promoted will be available to viewers. J. Licensee shall not use any copyrights, trademarks, service marks, logos or other intellectual property or indicia of HBO (collectively, "HBO Marks"), excepted as permitted pursuant to the Agreement. Licensee shall not use any HBO Mark as a domain name or website name. If any Material carries a copyright, trademark or service mark notice and Licensee reproduces or exhibits any such Material, then the reproduction or exhibition shall be accompanied by such notice and shall comply with the attached HBO Marks Guidelines. K. HBO is, and shall remain, the owner of all copyrights and other proprietary rights in and to the Material and the Licensee Created Material to the extent the Materials are included therein. Licensee shall have only the limited right to use the Materials and the Licensee Created Materials as set forth herein and in the Agreement. L. The promotion of any Program shall not constitute a direct or indirect endorsement, sponsorship or promotion of, or other direct or indirect tie-in with, any goods or services, other than the Program and its exhibition by Licensee pursuant to the Agreement. In no case may cast members' names or likenesses be used in an advertisement or endorsement (implied or direct) for any product, service, company or the like. Without limiting the foregoing, the cast members' names and likenesses must not appear in the same frame with a product, picture, logo or pitch for a product or service, and there must be no implication that the cast members use, would use, like or in any way endorse any product or services. In any material where the cast members' name or likenesses are used, Licensee will advertise and promote the Program stating the name of the Program and the time and day the Program is available for viewing. No standee may be used in such a way that it constitutes a direct or indirect endorsement of a product or service. Any time a standee is used, all principal cast members must appear thereon. No products may be sold on a standee or on any point of sale material. M. If Licensee intends to conduct any sweepstakes or contests in connection with the promotion of the Program, Licensee must comply with all applicable federal, state and local laws and regulations governing sweepstakes and contests and Licensee's use of any and all Material supplied to them is conditioned upon Licensee s compliance with all such laws and regulations and all other provisions set forth herein and the Agreement. - 3 -
N. Except as otherwise provided in the Agreement, Licensee shall be solely responsible for all costs of any kind incurred or accrued by Licensee hereunder in connection with the promotion of any Program including, without limitation, the clearance of any music or voiceovers used therein. O. Licensee shall notify any appropriate third party of these specific guidelines and of those restrictions that may have already been provided to Licensee or may be provided to Licensee in the future. 2. Additional Restrictions Regarding New Media Promotion. A. Subject to all restrictions and guidelines set forth above, Licensee may advertise or promote by means of so-called new media (e.g., on-line distribution, (including without limitation the Internet, and all forms of wireless transmission)) ("New Media") as follows: B. Licensee shall (i) with respect to Material comprised of photographs, cause the exhibition or distribution of the photographs on a low-resolution basis only and not exceed 72 dpi, (ii) with respect to Material comprised of clips or footage, cause the exhibition or distribution of the clips or footage on a streaming basis only, not in a downloadable format and solely on websites that incorporate geofiltering technology that prevents any person located outside the Territory, as defined in the Agreement, from viewing any Material, (iii) include and/or be accompanied by tune-in information (i.e., date, time, channel and/or other access information) for the Programs that such Material are intended to promote, and (iv) have only the right to use clips of five (5) minutes in the aggregate for any one Program, which clips shall be clips that HBO has informed Licensee are cleared for such use or clips that do not contain music or third party material on any one New Media platform at any time. C. Licensee shall not post or allow any third party banners, advertisements, links, promotions or similar content next to, on top or below or near any Material including, without limitation, any pop-ups, pop-unders, interstitials or other media transitionals of third parties or interfere or affect the Materials in any manner. D. Licensee agrees to work with HBO in good faith to develop a process of encoding metadata to identify the source of the content as being from HBO and Licensee (e.g., by including metadata in each promotional asset) in a manner that would cause New Media search engines to prioritize such content and thereby distinguish between material that has been generated by unauthorized distributors and those authorized by the Licensee or HBO. 3. Guild/Union/Collective Bargaining Restrictions. Licensee must comply with any and all applicable restrictions promulgated by any applicable union collective bargaining agreement. Any summary or description of such restrictions noticed by HBO shall not be deemed to be comprehensive. - 4 -
4. Specific Restrictions for Programs. A. Licensee and its sponsors and advertisers shall comply with applicable third-party contractual restrictions provided to Licensee in writing regarding editing the Programs, advertising and billing requirements and limitations on the use of the names and likenesses of the actors and characters for each Program. No advertising created by or edited by Licensee will infringe on the rights of others or constitute an express or implied endorsement of any product or service. B. HBO Masters may include CGMS-A on Line-21 Field-2 (and additionally, if included, CEA-708 bytes equivalent to Line-21 Field-2). If any content editing is permitted, especially editing that requires re-encoding of Closed Captioning on Line-21 Field-1, care should be taken not to remove (or to regenerate, if necessary) the CGMS-A information. 5. Other Restrictions. A. In addition to the above, for each Program licensed by Licensee, HBO will provide Licensee with a memo outlining contractual restrictions specific to any such Program. B. If a conflict should exist between these guidelines and the Agreement, or if these guidelines are silent where the Agreement sets forth a condition, the Agreement shall prevail. - 5 -
GUIDELINES FOR USE OF THE HOME BOX OFFICE WORDMARKS/MARKS (the HBO Marks ): 1. The service mark symbol or SM must always immediately follow the first and most prominent use of the Marks (as illustrated below). Home Box Office Series Logo SM or SM or Series Name (SM or according to the material provided by HBO) 2. Each Mark must be used exactly as it appears on the material provided to you by HBO, subject to paragraph 1, although size may be adjusted to accommodate your size specifications. In no event, however, shall any other programming service mark be of greater prominence or size. - 6 -
3. The following legal line should be incorporated in any material that includes a Mark: HBO and related service marks are the property of Home Box Office, Inc. 4. The Marks may not be used as an endorsement, express or implied, of any other product or service. - 7 -
