1 Telx Branding Guidelines and Marketing Requirements About these guidelines These guidelines are for Telx s authorized partners, resellers, customers and other parties wishing to use Telx s logo, trademarks, images, location information or any printed or online materials produced by Telx in: promotional activities, advertising, trade shows, instructional, or reference materials, or on their web sites, products, signage or collateral. Use of Telx s logo, tagline, trademarks, likeness, images or any printed or online materials produced by Telx for commercial or other purposes, in violation of the terms defined in this document, or without the prior consent of Telx, may constitute trademark infringement and unfair competition in violation of international, national, federal or state laws. Telx s General Marketing Policy Telx s primary business is the leasing of retail data center space and providing interconnection services in North America to customers both domestic and international. In order to avoid confusion in the market with prospects, clients or any other regulatory or compliance bodies, under no circumstance is it permissible for a partner or agent to pose as a data center operator of Telx s assets or as Telx for the purpose of marketing Telx data centers or services. Telx locations may not be listed or offered in any way that does not clearly identify Telx locations as Telx assets. Any and all such postings require clearly visible web links to Telx appropriate information on Telx.com. These requirements apply to all partner, customer or agent websites and all third party websites or marketing resources utilized by these parties. Telx Marketing retains exclusive authority to determine whether to approve or deny any use for failure to comply with these requirements. Certain provisions will be made and authorized for licensed Telx resellers who have secured data center space for the purpose of selling value added services or offerings. Approved licensing will extend only to the named licensee and it s owned affiliates but will not extend to third parties with whom Telx does not a contractual reseller October

2 relationship. In almost all cases, a written agreement with Telx is required to obtain rights to use of the materials described in this document. Telx s General Copyright Policy Telx reserves copyrights on all its brand names, logos, trademarks, service marks, images, facility locations and materials while remaining flexible to the special needs of our partners. Some (not all) of our materials may be used and altered by partners for promotional use, strictly according to the guidelines for the specific material items as described in this document or in a written agreement with Telx. If in doubt, please contact us at marketing@telx.com with any questions before using or altering our materials. Telx Consent Telx s consent for use or waiver to any part of this policy may only be done so by Telx Marketing or by Telx Legal department in writing, dated and in such a way as clearly defined or by an accompanied and approved example. Any other Telx individuals including Sales, Sales Representatives or Sales Support staff may not grant authorization, approval or a waiver of any kind to the policy. All consent for use or exceptions to the policy are for a period of one year unless otherwise noted as part of the waiver or agreement. Telx reserves the right to cancel any agreement, authorized use or waiver at any time. Should the relationship between Telx and the authorized partners, resellers, customers, and other parties end, such authorization or waiver shall also be revoked immediately. Telx Material Specific Copyright Policies The following sections describe Telx copyright policies and practices in relation to specific Telx materials. Before using Telx materials, please carefully read and understand relevant sections to ensure you conform to our copyright terms. October

3 The Telx logo The Telx logo and others encompasses the graphics elements shown below: Telx Logo with Tag Line Telx Single Color Telx s Powered by Logo Telx Logo without Tag Line Telx X Symbol Telx s MarketplaceLIVE Logo You may not alter any of the Telx logos in any manner, including proportions, colors, background, elements, and so forth, or animate, morph, or otherwise split, or distort its perspective or appearance. On websites, you may only display the logo as an active link to or another approved page provided by Telx Marketing. Under these terms, Telx encourages its partners to use the Telx logo for promoting Telx data centers, products and services. The quality and appearance of the Telx brand is paramount and at our discretion, we may provide an alternative logo format when the above is not an appropriate fit. Note: others may be added and not show here Trademarks and Registered Names Trademarks and registered trademarks include Telx s company names, product names, service names, and logos, icons, symbols representing these. October

4 Telx resellers or other cooperative partners may use Telx Trademarks in their materials. Companies in general, that are not resellers or cooperative partners, may not use, duplicate or register, Telx trademarks in any context including in online content, printed materials, company names, web domain names, etc. Telx trademark registered with the USPTO include Telx, Telxvault, TelxVision, Telx Virtual Exchange and Managed Hub. Examples of Telx trademark brands are C3 (Cloud Connection Centers), TELX SEA1 Data Center, Telx MarketplaceLIVE and Telx SmartHands. Telx Trademarks include also Telx-owned graphics such as symbols, logos, and icons. Telx trademarks are marked in its materials by the TM or symbol. Many of Telx trademarks are officially registered trademarks in various countries around the globe. Note that in many countries, including the United States and Canada, legal action can be taken to protect both registered trademarks and trademarks that are in use but are not registered. Telx Website All website design, content, texts, documents, movies, music and/or other services and the selection and arrangement thereof, and all software compilations, underlying source code, software (including applets) and all other material on its website are the copyright of Telx or its suppliers. Materials that are specifically made available for download on the website may be used by partners for promotional purposes. These can be brochures, exhibition materials, and more. The terms of use for each type of material, whether obtained as downloads from the Telx website or obtained in print, must follow the material-specific copyright guidelines as stated in this document. Under no circumstance can downloaded materials be altered without the written permission of Telx Marketing. Other than materials that are specifically made available for download, you are not allowed to use or reproduce the information and materials on the Telx website. Telx authorized partners or resellers that wish to use website content or materials for promotional purpose in any other way than stated above, must obtain Telx Marketing s prior written consent. October

5 Telx Code and SEO Meta Data Telx code, HTML or meta data may not be used. Telx or its locations may not be used in conjunction with any non Telx website or in meta data unless such authorization has been granted as outlined in this policy. Telx s name, brands or other identifying marks or information may not be used without consent as outlined. Telx authorized partners, resellers, customers, and other parties may not take any action or activity that infringes upon Telx s ability to sell its own products or services, including but not limited to achieving rankings on Google, Bing or any other search engine. For the purposes of security and privacy, the posting of a business on various online maps as being within the location of Telx data center is also not allowed. Brochures and Collateral Telx brochures are available in print and as PDF files on the Telx website. These materials may be used freely by Telx partners for internal and promotional purposes, including delivery to customers. We reserve copyrights on all our brochure materials. We generally do not allow alterations to brochure content. However, in many cases, we do give authorized partners and resellers special permission to add their own logo and contact information. Please contact Telx Marketing at marketing@telx.com for written approval before making any type of alterations to our brochures. Images All images used by Telx in online and printed materials are original and the property of Telx. Telx staff creates all of its images and Telx reserves copyrights on all our image materials. A wide range of Telx images are available in special image download areas/libraries and can be made available. These images may be used by Telx partners for internal and promotional purposes, including delivery to customers. Copying and using images from other areas on our website requires permission from Telx. We generally do not allow alterations to our images, but remain flexible to special needs of our partners. Please contact marketing@telx.com for special image requests or approval before altering our images. October

6 Advertisements and Public Relations Telx reserves complete copyrights on all our advertisements and PR materials. Telx's advertisements and PR are very central in Telx branding and we therefore do not permit that they be used or duplicated either entirely or partially. Telx makes its advertisements and PR materials available to partners on its website - for inspiration only. Video Telx reserves complete copyrights on all its videos. Telx s videos may be used by partners for promotional purposes so as long this guidance is followed. Telx does not permit that its videos be duplicated, or altered in any way - either entirely or partially. No method may be used to obscure any Telx branding or part of the image or frame. Sound and narration must be audible and may not be recorded over or have an alternate narration provided. All versions or files must be immediately updated or removed upon request by Telx Marketing. Any Telx video used on the Internet by any party must be embedded with embed code provided by Telx Marketing and may not be subsequently changed or removed during the period in which the video is being displayed or used. To request use of Telx video request may be sent to DigitalMarketing@telx.com Press Releases Telx reserves complete copyrights on all its Press Releases. Telx Press Releases are available to the public on the Telx website. Telx does not permit that its Press Releases be duplicated, or altered in any way - either entirely or partially. Telx does not permit that its Press Releases be redistributed in another company s name or used by another company for its commercial purpose. Exhibition Material We reserve copyrights on all our exhibition materials such as roll-ups, pop-up walls, etc. They may be used by Telx partners for promotional purposes at trade shows, live events or internally with written approval by Telx Marketing. We generally do not allow alterations to our exhibition materials. However, we can give authorized partners and resellers special individual permission and assistance to customize our exhibition October

7 materials to match their needs. Please contact Telx Marketing at for approval before making any type of alterations to our exhibition materials. Boilerplates Telx reserves complete copyrights on all its boilerplates. Members of the press, authorized partners, resellers, and collaborators in joint-press release ventures may use Telx s boilerplates in their own press releases with approval. Telx boilerplates must always be used in their entirety and must not be altered in any way. Telx maintains the right to revise its boilerplates and post them on its website at any time. Product Presentations Our product managers have developed Power Point presentations and other collateral for each of our products and services. Telx makes these available on its website and through the process of engagement with prospects. Telx reserves copyrights on all its presentations. However, Telx allows its authorized partners and resellers may use these presentations freely for their own promotional purposes but must retain all Telx logos and branding. Partners and resellers may use them as they are, customize them with their company s Power Point template so long as the Telx branding or identifiable information remains, or select individual slides for inclusion in their own presentations.
