TERMS AND CONDITIONS A. Participation Requirements and Use of Personal Information The Scotia Rewards program is automatically available to all ScotiaGold Passport VISA* Cardmembers and ScotiaGold Passport for business VISA* Cardmembers with accounts in good standing 4. The program is offered at no extra cost to you, and no application or enrollment is required. As a Scotia Rewards member, you will receive program communications containing updates and special offers as part of the Scotia Rewards program. As a customer of Scotiabank, the Scotiabank Group Privacy Agreement safeguards your privacy. B. Earning Scotia Rewards Points The program is based on a points system. You are awarded one Scotia Rewards point for every $1.00 in purchases of goods and services charged to your ScotiaGold Passport VISA account and/or your ScotiaGold Passport for business VISA account. Points are not awarded for cash advances, Scotia VISA cheques, Scotia Rewards Credit and Investment Dollars, returns, payments, annual membership or card fees, interest charges or service transaction charges 2. Scotia Rewards points will be added to your ScotiaGold Passport VISA account and/or your ScotiaGold Passport for business VISA account, whichever is applicable, shortly after a debit transaction has been posted to your account, and will be deducted from the appropriate VISA account shortly after a credit transaction for returned merchandise has been posted to your account. In addition, Scotia Rewards points on your ScotiaGold Passport VISA account or your ScotiaGold Passport for business VISA account will be adjusted shortly after an adjustment for previously billed charges has been posted to your account. Purchases made by authorized supplementary cards will earn points for the account of the principal Cardmember. There will be one set of points for purchases made through all the authorized cards issued on any given account. Every month, your ScotiaGold Passport VISA statement and/or your ScotiaGold Passport for business VISA statement will detail the number of points earned since your previous statement, the balance of points carried forward from a previous statement, the number of points exchanged for rewards or adjusted, and your new points balance. You can also get your points information by registering and logging into scotiarewards.com where your points balance will be updated daily. Cardmembers who redeem Scotia Rewards points are responsible for declaring the total value of the merchandise (including Gift Cards and Scotia Rewards Dollars), travel rewards received to the appropriate tax authorities. C. Point Combining Scotia Rewards points are non transferable from one ScotiaGold Passport VISA account to another person s account. However, as a borrower or co-borrower, if you have more than one eligible account, you may combine the accumulated points, provided your accounts are in good standing 4 and the Cardmember s name and address are the same on both accounts. ScotiaGold Passport for business VISA Cardmembers who also carry a ScotiaGold Passport VISA card will have the option of combining their points. If you are a borrower or co-borrower and are eligible to redeem points on both cards, you may combine points from your ScotiaGold Passport for business VISA card with your ScotiaGold Passport VISA card, provided your accounts are in good standing 4 and the Cardmember s name and addresses are the same on both accounts. All lending requirements must be up to date and not be delinquent or over limit. Supplementary cardholders CANNOT merge or redeem points. Cardmembers must contact 1 800 665-2582 in order to pool points for redemption.

Scotia Rewards points are not transferable from your ScotiaGold Passport VISA account and/or your ScotiaGold Passport for business VISA account to another person's account. Upon the death of a borrower or co-borrower, and after verification and confirmation by a Scotiabank branch, the surviving borrower or co-borrower or in the absence of a surviving borrower or co-borrower, the estate can redeem the outstanding points within 60 days of closure of the account(s) 5, provided the account(s) is in good standing 4, after which the unredeemed points will be deleted permanently. Redemptions for Luxury Retailers will not be accepted on closed accounts For joint accounts, the co-borrower could redeem the points within 60 days of the closure of the account(s), provided the account(s) is in good standing 4, or request the transfer of points to a new ScotiaGold Passport VISA account or ScotiaGold Passport for business VISA account, provided the account(s) is in good standing 4. D. Reward Redemption for Closed Accounts Should you decide to cancel your ScotiaGold Passport VISA account and/or your ScotiaGold Passport for business VISA account, you may redeem any unused Scotia Rewards points within 60 days of closing your account(s), provided your account(s) is in good standing 4. When your account has been closed, you will not be able to use it to redeem for travel rewards using the "Points Plus ScotiaGold Passport VISA card or ScotiaGold Passport for business VISA card" option or the "ScotiaGold Passport VISA card or ScotiaGold Passport for business VISA card Only" option as the cancelled VISA card is no longer valid to be used for payment. Redemptions for Luxury Retailers will not be accepted on closed accounts. After 60 days, all unredeemed points will be deleted permanently. Points accumulated on an account that is not in good standing 4 will not be eligible for redemption. E. Rewards Availability All reward items shown in the Scotia Rewards Catalogue are subject to availability. If the ordered item has been discontinued, a similar item of equal value will be substituted whenever possible. If a suitable substitution is not available, the Scotia Rewards points used will be credited back to the appropriate VISA account, and you will be contacted and advised to make another selection. If an item is temporarily out of stock, you will be notified and advised of the anticipated delivery date. The items received may not be exactly as illustrated in the Catalogue or website, due to the fact that manufacturers sometimes change models or the displayed articles are in limited quantities. F. Merchandise, Scotiabank VISA Prepaid Cards, Gift Cards, Scotia Rewards Dollars and Precious Metals Allow 4 to 6 weeks for delivery. All rewards are delivered to Canadian street addresses only. Rewards will not be delivered to a P.O. Box, US address or International address. The Bank and the Scotia Rewards Centre are not responsible for any merchandise, Gift Cards or Scotia Rewards Dollars that are lost or stolen after delivery. 1. Merchandise Merchandise items will be sent via pre-paid delivery to the address you specify with your order. Please note we do not ship to P.O. Boxes. It may be necessary for you to make appropriate arrangements for receipt. You can track your reward shipment online through the Shipping Tracking Number when you log on to scotiarewards.com and select your Order History. Every attempt will be made to deliver the order as quickly as possible. However, we are not responsible for delays due to a union dispute, postal disruption or any other valid reason. Where applicable, merchandise rewards are delivered with the Manufacturer Warranties and Service Policies. Retain all documents for your records. The Purchase Security and Extended Warranty Protection Plans on your ScotiaGold Passport VISA card and/or your ScotiaGold Passport for business VISA card extend to the Scotia Rewards program under the Terms and Conditions of the specified insurance policies 6. In the event that the item ordered arrives damaged or is missing pieces, please contact the Scotia Rewards

Centre immediately at 1 800 665-2582. Items will be replaced without charge, if reported to the Scotia Rewards Centre within 48 business hours of receipt. It is important to inspect the delivered parcel upon receipt for any apparent damage, and to save the packing materials for inspection and possible return. If the package is damaged, note the damage on the delivery receipt before you sign for the merchandise. If damage to the ordered item is noticed after opening the packing materials, or if missing parts are noticed, immediately call the Scotia Rewards Centre before you take any action and they will provide instructions for returning the item. 2. Scotiabank VISA Prepaid Card For instructions on how to redeem for Scotiabank VISA Prepaid Cards and to review the Cardholder Agreement, please visit scotiarewards.com. Scotiabank VISA Prepaid Cards are subject to the terms of the Cardholder Agreement. Using the Card: You may use your Card only in the manner and for the purposes described in the Cardholder Agreement. Use of the Card is limited to the stored value balance of the Card from time to time. The Card may be used to purchase goods and services at merchants that accept VISA cards as a form of payment. You may not draw on the stored value balance of the Card through the use of cheques. Please note that this card does not allow cash advances from any bank or Automated Banking Machine. You are responsible for all authorized transactions initiated by the use of your Card and for all losses as set out in the Cardholder Agreement. If a negative stored value balance is created in error on your Card following any transaction initiated or authorized by you, you agree to repay the amount of the negative stored value balance to us within ten (10) days of such transaction. Other restrictions to the Card are: a. You may not use your Card for any illegal purpose or transaction and any such transaction may be declined; b. You may not make pre-authorized regular payments through the use of your Card; c. You may not use the Card at an Automated Banking Machine; d. You may not add funds to the stored value balance of the Card as only the Card Sponsor may do so; and e. You may use your Card for online transactions and at unattended terminals, however, due to certain security features, we cannot guarantee your Card will be accepted on every website or unattended terminal. We are not liable to you for declining authorization for any particular transaction, regardless of our reason. Cardholder Fees: You will be charged the following fees to your Card as outlined below: a. Replacement of a lost or stolen Card: $20.00 per replacement card; b. Expiry fee: If there is a Balance when the Card expires or is cancelled, a charge will be applied equal to the balance on the Card; c. Call Fee: No Charge for the first call. A $.50 charge will apply for all subsequent calls to Berkeley Payment Solutions 1 866 466-8018; d. Customer service call with a live agent: A $2.00 charge will apply for all calls to Berkeley Payment Solutions 1 866 466-8018. Your Liability for Unauthorized Use or Lost and Stolen Cards You will inform Berkeley immediately by telephone and in writing about any actual or suspected loss, theft or unauthorized use of your Card. Berkeley Payment Solutions toll free number is 1 866 466-8018. You agree that we may assume you have authorized all transactions unless you tell us otherwise. If your Card is lost or stolen, you will not be liable for any unauthorized use. If you have previously authorized someone to use your Card, and have subsequently withdrawn your authorization, you will continue to be liable for all debts incurred by their use until they have been surrendered to the Bank.

Scotia Rewards Dollars You can redeem your points toward Scotia Rewards Investment and Credit Dollars, online on through the Scotia Rewards Centre, issued in increments of $100 (minimum order $200). These Scotia Rewards Dollars may be used as a credit toward Scotia investment or credit products as defined below: Scotia Rewards Investment Dollars Can be used toward the following Scotia investment products only; Scotia Tax-Free Savings Account, Scotia Mutual Funds, Scotia RESPs, Scotia 1-5 year GICs, Scotia Stock-Indexed GICs, as well as most investments available through ScotiaMcLeod and ScotiaMcLeod Direct Investing. You may have to provide a cash balance, in addition to the Scotia Rewards Investment Dollars, in order to meet the minimum requirement of some investments. Scotia Rewards Credit Dollars May be redeemed at any Scotiabank branch by the bearer (not necessarily the Cardmember) as payment toward Scotia Mortgages, Scotia Plan Loans, Scotia VISA accounts, ScotiaLine Personal Lines of Credit and ScotiaLine VISA accounts. Scotia Rewards Dollars may not be used to deposit funds in savings/chequing accounts or cashed at the counter. Scotia Rewards Investment and Credit Dollars must be used in their total face value on one occasion only. All Scotia Rewards Investment and Credit Dollars are subject to expiration as indicated on the front of the Scotia Rewards Dollars. 4. Scotiabank Precious Metals To redeem for Gold Bars and other Precious Metals: i. Purchase your Gold Bars and other Precious Metals at any Scotiabank Branch nearest you; ii. Call Scotia Rewards at 1 800 665-2582 for reimbursement; iii. Provide proof of purchase in the amount being used for reimbursement of points by faxing in the stamped Scotiabank branch order form to 905-696-5635; iv. Points will be adjusted immediately; v. Reimbursement on ScotiaGold Passport or ScotiaGold Passport for business VISA Card(s) will be processed within 5-7 business days of receipt of the fax. All precious metal redemptions can only be made through a Live Agent by calling Scotia Rewards at 1 800 665-2582. All precious metals redeemed through the Scotia Rewards Program will be nonrefundable and non-exchangeable. A faxed copy of the proof of purchase will be required for full reimbursement. The point value for redemption will be based on the purchase price of the Metal including any administration and/or delivery fees through your Scotiabank Branch. There will be a 5-7 business day turn around for total reimbursement and point adjustment for the redemption of precious metals. All reimbursements for precious metal redemptions will be credited on your ScotiaGold Passport or ScotiaGold Passport for business VISA Card(s) regardless of method of purchase. When redeeming points towards Gold Bars & Precious Metals, a minimum of 5,000 points must be redeemed. Redemptions for cash back rebate reimbursement rewards i.e. Precious Metals will not be accepted on closed accounts. Points value conversion rate: 130 Scotia Rewards points = $1.00 Canadian. 5. Gift Cards Gift Cards will be sent via pre-paid courier delivery to the address you specify with your order. Terms and Conditions of Gift Cards are dictated by gift card issuers (retailers or service providers).

6. Luxury Retailers To redeem for Luxury Retailers: i. Purchase your goods at the featured Luxury Retailer in Canada on your ScotiaGold Passport VISA Card or ScotiaGold Passport for business VISA Card between August 1 st, 2011 and December 3 rd 2011; ii. Email your date of purchase, total including taxes and store location to scotiarewards@maritz.com or call 1 800 665-2582 Option 2 to provide these details (Purchase receipts dated from August 1st, 2011 to December 3 rd, 2011 will be accepted until December 17th, 2011 at midnight). iii. Points will be adjusted within 2 business days but may not appear on your statement for 2 cycles; iv. Reimbursement on ScotiaGold Passport VISA Card or ScotiaGold Passport for business VISA Card will be processed within 5-7 business days. Redemptions for Luxury Retailers will not be accepted on closed accounts. Points value conversion rate: 130 Scotia Rewards points = $1.00 Canadian. 7. Air Canada Maple Leaf * Lounge Pass Valid in the Air Canada Maple Leaf Lounges in North America, Europe and the Air Canada Arrivals Lounge at London Heathrow. Not valid in Star Alliance airport lounges or affiliated lounges operated by other carriers. Valid in conjunction with a confirmed same-day departing ticket for a scheduled flight operated by Air Canada or Air Canada Jazz for travel in North America including Hawaii, Mexico and the Caribbean. Lounge passes are non refundable and valid for a one-time visit to an Air Canada Maple Leaf Lounge. Lounge passes are transferable to another individual during valid period. Passes valid from: March 2011 - February 2012 12 months. Passes will be shipped via pre-paid courier delivery to the address you specify with your order. Certain Terms & Conditions apply. 8. Cancellations You may cancel your order on the Scotia Rewards website, as long as your order is "Pending". To cancel a pending order: i. Log on to the Scotia Rewards website (scotiarewards.com); ii. Go to your "Order History"; iii. Browse through your orders to identify the order you wish to cancel; iv. Click on the trash can icon to cancel your order. If the trash can does not appear, it means that your order has been sent for fulfillment and cannot be cancelled. 9. Returning Merchandise, Scotiabank VISA Prepaid Cards, Gift Cards, Scotia Rewards Dollars and Air Canada Maple Leaf Lounge Pass If you are not completely satisfied with the item you ordered, you have 30 days from receipt of the item to request a return by contacting the Scotia Rewards Centre for return instructions, prior to returning the item and to ensure you will receive full credit. Merchandise may be returned by contacting the Scotia Rewards Centre within 30 days from receipt of the item (10 days for electronic/audio visual equipment or jewelry). Scotiabank VISA Prepaid Cards and Gift Cards are non-refundable. Please visit scotiarewards.com for additional terms and conditions. Scotia Rewards Credit and Investment Dollars may be returned by contacting the Scotia Rewards Centre within 30 days from receipt of the item. Items such as ipods, cellular telephones, PCs, laptops etc. are non-refundable. If an item is non-refundable, however is defective, please notify the Scotia Rewards Centre at 1 800 665-2582 and you will be provided with contact information to have the item repaired or exchanged. Upon receipt of the return instructions by telephone, Cardmembers must ship the merchandise, or Scotia Rewards Dollars back to the Scotia Rewards Centre within 10 days. Air Canada Maple Leaf Lounge Passes are non-refundable.

G. Travel Rewards 1. Travel Redemption and Reservations After verifying that you have the required minimum Scotia Rewards points, simply call the Scotia Rewards Travel Service at 1 800 665-2582 and speak with a Travel Consultant to book your Travel Reward or sign onto the Scotia Rewards Site to book your travel online 1. Reservations made through any other travel agencies, travel suppliers or airline companies will not qualify as Travel Rewards. When redeeming points toward Travel Rewards, a minimum of 5,000 points must be redeemed (5,000 points is equivalent to a $50 savings). You may use additional points toward your selected Travel Reward, up to the full value of the trip. As an example, 22,619 points will be equivalent to $226.19 in travel purchases, including taxes, service charges, etc. The Scotia Rewards Travel Service does not permit price matching. Travel Rewards are available to all Scotia Rewards members and any other traveler of your choice using earned 'Points Only' (minimum 5,000 points, except for special offers) or the 'Points Plus ScotiaGold Passport VISA card or ScotiaGold Passport for business VISA card' option (minimum 5,000 points plus your ScotiaGold Passport VISA card or your ScotiaGold Passport for business VISA card). Travel arrangements may also be made using 'ScotiaGold Passport VISA card or ScotiaGold Passport for business VISA card Only'. If the 'Points Plus VISA card' or ' VISA card Only' options are selected, the card portion is charged to the appropriate VISA account following your verbal authorization. Taxes must be applied to both card and points portions. If using 'Points Only' and your chosen Travel Reward has a lower cash value than $50, no refund of points or refund of credit is allowed. Points cannot be redeemed for any extra activities or usage associated with trips reserved through Scotia Rewards Travel Service (e.g. long-distance phone calls, hotel services, sight-seeing tours, transportation, etc.). Foreign currency exchange fees will be applied on the ScotiaGold Passport VISA card portion and ScotiaGold Passport for business VISA card portion when booking a Travel Reward. Delivery of Travel Itinerary If you have an email address, you will be provided with a file reservation number via email that you can use to view and print your electronic ticket on virtuallythere.com. If you do not have an email address, you will receive all relevant documentation by mail, provided sufficient advance notice has been given. All paper tickets will be sent via regular courier service. If rush option is required, additional charges will be applied to the appropriate VISA account. Delivery of travel documents sent outside of Canada will be delivered at the Cardmember's expense. 3. 5% Cash Back Rebate To qualify for the 5% Cash Back rebate, your travel arrangements must be made through the Scotia Rewards Travel Service and charged to your ScotiaGold Passport VISA card or your ScotiaGold Passport for business VISA card. Eligible expenses include airline tickets, pre-packaged tours and cruises. Taxes, service charges, insurance, hotels, motels, car rentals, fully independent tours and personal expenditures, such as meals, are excluded, unless already included in the pre-packaged tours. The Cash Back rebate will automatically be credited to the appropriate VISA account within 2 billing cycles after your departure date. A notice detailing information of your Cash Back rebate will be sent to you as a confirmation. When using the 'Points Plus VISA card' option to redeem the Travel Rewards through the Scotia Rewards Travel Service, the 5% Cash Back rebate is applicable only to the portion of eligible travel expenses (excluding taxes) charged to your ScotiaGold Passport VISA card or your ScotiaGold Passport for business VISA card. Deposit on Trip To qualify for the Deposit on Trip option with the Scotia Rewards Travel Service, the total value of the trip must be over $8,000 Cdn. (including taxes). A minimum 50% of the total trip value (including taxes) is required at time of booking as a deposit and is non-refundable. The balance must be paid at least 60 days prior to the trip or the time outlined by the 3rd-party supplier, whichever comes first. The Scotia Rewards program deposit and cancellation Terms and Conditions will supersede those of the 3rd-party suppliers. If you are unable to pay the balance with your ScotiaGold Passport VISA card or your ScotiaGold Passport for business VISA card, your trip will be regarded as cancelled and the original deposit will not be returned. 5. Pay at Destination Hotel and/or Car bookings are Pay At Destination. For these bookings, points are redeemed in the form of travel credit. Credit is applied to your ScotiaGold Passport VISA card or ScotiaGold Passport for business VISA card within 14 days of booking. Full payment is collected by the hotel and/or car rental agency. Holiday Packages are not Pay At Destination. Pay At Destination is only applicable to trips reserved through the Scotia Rewards Travel Service and paid with a ScotiaGold Passport VISA card or a ScotiaGold Passport for business VISA card. 6. Travel Cancellation You may cancel any portion or your entire Travel Reward reservation. After a verbal confirmation is issued, cancellation is subject to the Terms and Conditions of the travel supplier. In some cases, such as nonrefundable tickets, cancellations are not allowed or are subject to cancellation fees. All cancellation fees will be charged directly to the appropriate VISA account and are non-refundable. All Scotia Rewards points related to the allowable cancellation portion of the Travel

Rewards will be credited back to the appropriate VISA account on the basis of 1 Scotia Rewards point for every $0.01 in cancelled charges. Travel cancellations and/or changes made to a travel reservation outside of Scotia Rewards Travel Service hours may be dependant on Tour Operators, suppliers hours of operation and therefore Scotia Rewards Travel Service is not liable for earlier closures of suppliers hours of operation.
