Glossary of Terms for Capacity Based Demand Response Market Manuals Market Manuals The Market Manuals consolidate the market procedures and associated forms, standards, and policies that define certain elements relating to the operation of the IESO-administered markets. Market procedures provide more detailed descriptions of the requirements for various activities than is specified in the Market Rules. Where there is a discrepancy between the requirements in a document within a Market Manual and the Market Rules, the Market Rules shall prevail. Standards and policies appended to, or referenced in, these procedures provide a supporting framework. 1. Introduction GOT-1 1. Introduction 1.1 Purpose This document is composed of terms used in the transitional Capacity Based Demand Response program. Terms, abbreviations and definitions are presented in the form of a glossary to complement the applicable market manuals for the program. 1.2 Scope This glossary of Capacity Based Demand Response terms, abbreviations and definitions is consistent with the market documents. These documents include: IESO Market Manuals This glossary excludes any definition that is: in the Market Rules; and a universally accepted definition such as volt, ohm, watt, etc. 1.3 Who Should Use This Document This document should be used by anyone seeking clarification or accepted understanding of a term, abbreviation or definition contained within the Capacity Based Demand Response program. 1.4 Conventions Source document titles are presented in italics within brackets following the definitions. Terms for Capacity Based Demand Response Activate, Activated, Activation, or DR Activation Activation Hour Activation MW Activation Notice Activation Period Actual Activated MWh or DR Curtailment Means that the demand response market participant has received an Activation Notice from the IESO to Curtail the Activation MW for the Activation Period. Means any twelve consecutive dispatch intervals within an Activation Period. For greater certainty, an Activation Hour shall commence on the Start Interval as set out in the Contract Schedule. Means the number of MW, if any, in respect of which the IESO issues an Activation Notice to the demand response market participant, and shall be: (i) the Confirmed MW, where a Fixed Standby Notification has been issued to the demand response market participant, or (ii) either the Monthly Contracted MW where the Monthly Contracted MW is less than the Confirmed MW, or the Confirmed MW, at the election of the IESO, where an Open Standby Notification has been issued to the demand response market participant. Means a request, from the IESO to the demand response market participant for DR Curtailment of Activation MW for the Activation Period. Means the period of time, if any, in respect of which the IESO issues an Activation Notice to the demand response market participant, and shall be, at the election of the IESO: (i) the Confirmed Hours, where a Fixed Standby Notification has been issued to the demand response market participant, or (ii) either the Contracted Dispatch Period where it is less than the Confirmed Hours, or the Confirmed Hours, at the election of the IESO, where an Open Standby Notification has been issued to the demand response market participant. Means the sum, over all dispatch intervals of the MWh Curtailed by a demand response market participant within an Activation Hour, per dispatch interval as calculated using the CBDR Baseline. Such number cannot exceed: (i) the product of the Activation MW and the Activation Period, plus (ii) the lesser of (A) an additional 15% of the Activation MW per hour of the Activation Period, or (B) 15 MWh per hour of the Activation Period. Terms for Capacity Based Demand Response GOT-1 After Deadline Outage Day Availability Over- Delivery Payment Availability Payment Behind the Meter Generator CBDR Baseline CBDR Resource Commercially Reasonable Efforts Confirmation or Confirmation Notice Means a business day where, after the deadline to receive a Standby Notification or an Activation Notice passes without the demand response market participant receiving a Standby Notification or an Activation Notification, the demand response market participant s Interruptible Load, in whole or in part, undergoes a DR Outage (including, for greater certainty, a DR Planned Outage or a DR Forced Outage). The demand response market participant must notify the IESO in writing as part of its weekly measurement data submission that the demand response market participant has claimed such business day to be an After Deadline Outage Day. The number of allowable After Deadline Outage Days is described in Market Manual 5.5. Means the over-delivery payment calculated in accordance with the formula in Market Manual 5, Part 5.5. Means the payment to the demand response market participant calculated in accordance with the formula in Market Manual 5, Part 5.5. Means a demand response contributor, other than an Interruptible Load, that is either a Non-Submetered Generator or a Submetered Generator, and satisfies the criteria for an Eligible Project. Means the profile of a Demand Response Account determined using the methods set out in Market Manual 5, Part 5.5. Means the IESO created set of demand response resources for which it will submit dispatch data to represent aggregated capacity from Demand Response Accounts by Designated Settlement Area. Offers reflecting capacity registered under CBDR shall be submitted for each CBDR resource, as defined in Appendix H.1 of Market Manual 4.2. Means efforts which are designed to enable a Party, directly or indirectly, to satisfy a condition to, or otherwise assist in the consummation of, a transaction, activity or undertaking contemplated by participation in capacity based demand response and which do not require the performing Party to expend any funds or assume liabilities other than expenditures and liabilities which are reasonable in nature and amount in the context of the transaction contemplated by participation in capacity based demand response. Means (a) if required to be sent in writing as described in the applicable market manual, a response delivered to the IESO, in a form determined by the IESO from time to time, in response to a Standby Notification; or (b) if not required to be sent in writing as described in the applicable market manual, a deemed confirmation given by the demand response market participant to the IESO in response to a Standby Notification; that in either event defines the Confirmed MW and Confirmed Hours available for DR Curtailment. 4 Public Issue 3.0 June 1, 2016

Terms for Capacity Based Demand Response Confirmed Hour Confirmed Reduction or Confirmed MW Contract Schedule Contracted Dispatch Period Contractual MW Contributor Loss Control Equipment Curtail, Curtailing, DR Curtailment Means the number of consecutive hours available for DR Curtailment as specified by the demand response market participant in the Confirmation, and such number: (a) Shall be no greater than the Contracted Dispatch Period, where the Standby Notification is a Fixed Standby Notification; and (b) Shall be no greater than the Hours of Availability, where the Standby Notification is an Open Standby Notification. For greater certainty, a Confirmed Hour will commence on the Start Interval set out in the Contract Schedule. Means the number of MW available for DR Curtailment by the demand response market participant, and which shall be equal to the Monthly Contracted MW, unless a Confirmation to the IESO is required, in which case the Confirmed MW will be such other amount as set out in the Confirmation delivered to the IESO. Means the transaction schedules given to demand response market participants who previously held DR3 contracts. The transaction schedules contain specific terms such as: the schedule start date which will be the start date of the CBDR program, the schedule term end date, the Monthly Contracted MW, and the Hours of Availability. Means four consecutive hours collectively containing 48 dispatch intervals, with the first dispatch interval commencing on the Start Interval. Each Contracted Dispatch Period shall occur within the Hours of Availability, and shall occur within and no more than once in accordance with the Daily Schedule. Means the MW of demand reduction capacity for a specific month of a Contract Schedule established as a reference threshold for the contributor management process described in Market Manual 5.5 Section 1.6.24.2. Means any sudden loss of a demand response market participant s capacity that needs to be communicated to the IESO in order to keep an accurate record of actual available capacity as described in a demand response market participant s approved M&V Plan. Means the equipment (which may include generating facilities), software and associated services of the Project that enable the demand response market participant to provide DR Curtailment. Means the act of using the Control Equipment and DR Measures at the Project in order to deliver the Confirmed MW by reducing Interruptible Load and/or the Load, and/or by providing net electricity output from a Behind the Meter Generator where the generator s Nameplate Capacity is not greater than the annual peak demand of the Project s Load. Terms for Capacity Based Demand Response GOT-1 Daily Schedule Demand Response Account Means the Hours of Availability for each business day that the demand response market participant is registered to be available for Activation. Means the account number assigned to a Project or a Designated Settlement Area, as the case may be, in accordance with the following rules: (a) for a demand response direct participant, a Demand Response Account shall refer: (i) to one specific Project referred to in a Contract Schedule, should the demand response direct participant wish the Project to be considered to be a different Project from any other Project(s) located in the same Designated Settlement Area; or (ii) more than one Project within a Designated Settlement Area; or (iii) to all Projects within an entire Designated Settlement Area, should the demand response direct participant wish the Project to be considered together with other Projects located in the same Designated Settlement Area. (b) for a demand response aggregator, a Demand Response Account shall refer: (i) to all Contract Schedules with the same Option and Hours of Availability (such that Contract Schedules with different Options and Hours of Availability cannot be contained within the same Demand Response Account), and except for those Contract Schedules that are assigned to a separate Demand Response Account; or (ii) to an entire Designated Settlement Area; or (iii) to one legal entity that has an Eligible Project or Eligible Project(s) that meet all of the following criteria: (a) that legal entity owns the Eligible Project(s) and controls the site(s) where those Eligible Project(s) are located, (b) that legal entity is an industrial sector entity, where industrial sector means the sector consisting of facilities and equipment used for producing goods, extraction and processing of natural resources including mining and forestry and construction, (c) the Eligible Project(s) are located in one Designated Settlement Area, and all have the same Option and Hours of Availability, (d) the Eligible Project(s), when aggregated meet the minimum Monthly Contracted MW and minimum Load specifications as follows: 6 Public Issue 3.0 June 1, 2016

For a demand response aggregator s Project to be considered an Eligible Project historical data submitted as part of the M&V Plan must demonstrate the following minimums depending on the Season: Season Minimum Monthly Contracted MW Minimum Load Summer 1.0MW 0.25MW Winter 0.8MW 0.2MW Shoulder 0.6MW 0.15MW b. For a demand response direct participant s Project to be considered an Eligible Project historical data submitted as part of the M&V Plan must demonstrate the following minimums depending on the Season: Season Minimum Monthly Contracted MW Maximum Monthly Contracted MW Summer 5.0MW 125MW Winter 4.0MW 125MW Shoulder 3.3MW 125MW (e) To be considered as an Eligible Project must contain demand response contributors that are either: a. An Interruptible Load with a minimum Load of 50 kw, or b. A Behind the Meter Generator (Non- Submetered or Sub-metered) having a minimum capability to Curtail or produce Generator Output of 50 kw. (f) For a demand response direct participant that is aggregating multiple demand response contributors to meet the Monthly Contracted MW, each demand Issue 3.0 June 1, 2016 Public 7

Terms for Capacity Based Demand Response GOT-1 response contributor must have the following minimum Load or minimum capability to Curtail or produce Generator Output, as the case may be, depending on the contributor type as evidenced by historical data: Type of Contributor Seasons Summer Winter Shoulder Interruptible Load Minimum Load Behind the Meter Generator (Nonsubmetered or Submetered) Minimum capability to Curtail or produce Generator Output 0.5MW 0.4MW 0.3MW 0.5MW 0.4MW 0.3MW Designated Settlement Area DR Forced Outage DR Measures DR Zonal MW Cap Means specific and mutually exclusive areas of the IESO-controlled grid. The Designated Settlement Areas are defined in Appendix A. Means an unanticipated and unintentional removal of equipment from service or the temporary de-rating of, restriction of use or reduction in performance of equipment specifically relating to CBDR. Means the demand reduction measures or protocols that are implemented by the demand response market participant as part of the Project in order to provide DR Curtailment. Means the maximum aggregate demand response capacity that a demand response market participant will be compensated for in any given CBDR Resources for which they have active DR Accounts and Contract Schedules. Demand response market participants may choose to under or oversubscribe contributor capacity within a CBDR Resource, however compensation and activation will be subject to this cap. Eligible Project An Eligible Project in CBDR is a Project: 1. that is composed of one or more demand response contributors that are each either: a) an Interruptible Load, being a demand response contributor, other than a Behind the Meter Generator, that is a Load for which a measure is or measures are undertaken to reduce electricity consumption in response to an Activation. A typical Interruptible Load might involve the use of Control Equipment that will, for example, allow lighting and 8 Public Issue 3.0 June 1, 2016

Terms for Capacity Based Demand Response appliances, such as air conditioners, to be cycled on and off; or b) a Behind the Meter Generator being a demand response contributor, other than an Interruptible Load, that: 1. is either: a) An embedded generator to a Load which produces electricity in response to an Activation and whose impact is measured through the Load meter for the purposes of capacity based demand response (a Non-Submetered Generator ), instead of being measured through a separate revenue grade submeter. For greater certainty, any net metered electricity generation from a Behind the Meter Generator into the IESO-controlled grid or Local Distribution System shall also be eligible to be considered as a DR Curtailment for purposes of capacity based demand response and compensated in accordance with the capacity based demand response program; or b) an embedded generator to a Load which produces electricity in response to an Activation but whose impact is measured through a separate revenue grade sub-meter located behind the Load meter for the purposes of capacity based demand response (a Sub-Metered Generator ); and 2. that is located in Ontario and is connected under all conditions to the IESO controlled grid, directly or indirectly; and a) must demonstrate the capability of each demand response contributor to provide its stated contribution to the Monthly Contracted MW based on historical meter data; and b) is capable of being dispatched by DR Account separately and independently of any other DR Account; and c) the Project must participate in all Seasons, namely Summer, Winter, and each of the Shoulder Seasons, to the amount of Monthly Contracted MW for a demand response direct participant, or to the amount of Monthly Contracted MW for a demand response aggregator; and d) the Project or any demand response contributor or Facility does not participate in respect of more than one Contract Schedule on behalf of a given demand response market participant or any other participant in capacity based demand response or DR3 with the former OPA. Terms for Capacity Based Demand Response GOT-1 3. that the Project, or any demand response contributor or Facility that is a part of such Project, is not the subject of: a) a current contract arising from the Ontario Hydro Non-Utility Generation program, the Province of Ontario s or the IESO s requests for proposals for clean energy supply or renewable energy supply, or any IESO-administered standard offer program; or b) a current physical or financial power purchase agreement or contract relating to the generation of electricity by the Project, or any other current contract relating to electricity or related products relating to the Project; or c) an IESO contract for equipment that would facilitate demand reduction; and 4. that is capable of Curtailing the Monthly Contracted MW during Hours of Availability for the Contracted Dispatch Period, and that such DR Curtailment is not offset by, does not result in, or in any way not cause an increase in electricity Load elsewhere on the IESOcontrolled grid or on any Local Distribution System, either directly or indirectly. 5. that, when aggregated, meets the minimum Monthly Contracted MW and minimum Load specifications as follows: a) For a demand response aggregator s Project to be considered an Eligible Project, historical data submitted as part of the M&V Plan must demonstrate the following minimums depending on the Season: Season Minimum Monthly Contracted MW Minimum Load Summer 1.0MW 0.25MW Winter 0.8MW 0.2MW Shoulder 0.6MW 0.15MW b) For a demand response direct participant s Project to be considered an Eligible Project, historical data submitted as part of the M&V Plan must demonstrate the following minimums depending on the Season: 10 Public Issue 3.0 June 1, 2016

Means a building or buildings controlled by a demand response direct participant at a specified street address with postal code. Means a Standby Notification, in a form to be determined by the IESO, from the IESO to the demand response market participant to stand by, subject to the demand response market participant s receipt of an Activation Notice, for a potential DR Curtailment of the Monthly Contracted MW for the Contracted Dispatch Period. Means the electricity output of a Sub-Metered Generator that will be assessed at its sub-meter in respect to its contribution to the Monthly Contracted MW. Terms for Capacity Based Demand Response Interval Load Local Distribution System Maximum Activation Hours Means a 5 minute period, with such 5 minute period being one of the twelve five minute periods occurring within a clock hour. Means the facility directly associated with an end-user s consumption of electricity which may be Curtailed by the demand response market participant as a direct result of the operation of the Control Equipment or DR Measures. Means a system for conveying electricity at voltages of 50 kilovolts or less and includes any structures, equipment or other things used for that purpose. Means the demand response market participant has committed to reducing consumption for up to a specified number of hours per year during the Hours of Availability. The options for Maximum Activation Hours is as follows: Options Maximum Activation Hours Option A 100 Option B 200 Measurement & Verification Plan Monthly Contracted MW Nameplate Capacity Non-Submetered Generators Open Standby Notification Means application documentation provided by a demand response market participant that describes the data acquisition procedure and the analytical methodology that will be used by the demand response market participant to determine the delivery of DR Curtailment by the Project as described in Market Manual 5.5. Means the MW of demand reduction capacity for a specific registered program month during the CBDR term as identified in one or more Contract Schedule which may increase and decrease up to a demand response market participant s DR Zonal MW Cap. Means, with respect to a Behind the Meter Generator, the rated, continuous load carrying capability net of parasitic or station service loads, expressed in MW, of the Behind the Meter Generator to generate and deliver electricity at a given time. Means an embedded generator to a Load which produces electricity in response to an Activation and whose impact is measured through the Load meter for the purposes of capacity based demand response (a Non- Submetered Generator ), instead of being measured through a separate revenue grade submeter. Means a Standby Notification from the IESO delivered to the demand response market participant allowing the demand response market participant to submit a Confirmation for a MW quantity that exceeds the Monthly Contracted MW and/or to Curtail for a duration that exceeds the Contracted Dispatch Period. Means the demand response market participant has registered to Curtail the Monthly Contracted MW for the Contracted Dispatch Period in response to the first 200 hours set out in Activation Notices from the IESO for each calendar year. Means the removal of equipment from service, unavailability for connection of equipment or systems or temporary de-rating, restriction of use, unavailability of protocols or measures intended to provide DR Curtailment or reduction in performance of equipment or systems for any reason (including to permit the performance of inspections, tests or repairs on equipment), which outage results in a partial or total interruption in the ability of a Project to Curtail. Means an event or events determined by the demand response market participant in respect of which the DR Account is, in whole or in part, in a DR Outage or otherwise unable to Curtail for a period of time. Means a DR Outage that is planned and intentional, and has been disclosed to the IESO. Means an Interruptible Load and/or a Behind the Meter Generator that will contribute toward DR Curtailment of the Monthly Contracted MW. Any change to a feature or specification of a Project. All proposed project amendments must be accepted by the IESO before such changes can take place. Means the preapproved period of time provided to a demand response aggregator to have increased its portion of the Monthly Contracted MW provided up to the full Monthly Contracted MW for existing Demand Response Accounts. The duration for which a Contract Schedule is authorized to participate in CBDR as defined in each Contract Schedule. Shoulder Seasons Means April 1 to May 31 and October 1 to November 30.
