Quorum and Attendance: Shareholders representing 44.12% of the Company s voting capital attended the meeting, as per the signatures in the Shareholders Attendance Book, completing the quorum necessary to install the Extraordinary Shareholders Meeting. Carlos Affonso Seigneur d Albuquerque and Antônio Batista Coury Jr., representing the Company s Board of Executive Officers, Rodrigo Nigri Adelson and Raíla Marcondes de Lima e Silva Sousa, representing Apsis (as defined below), and Diogo Lisa de Figueiredo, representing the Company s Fiscal Council, also attended the meeting. Presiding: In the absence of the Board of Directors Chairman and Vice-Chairman, Carlos Affonso Seigneur d Albuquerque, the Company s CEO, was appointed by the Chairman to preside over the meeting. Agenda: To resolve on the approval, pursuant to Article 256, I of Brazilian Corporation Law, of the acquisition of 100% of the shares issued by Fundamenture A/S, a company established under Danish law, by the Company through its subsidiary, Valid Soluciones Tecnologicas S.A.U., a company established under Spanish law. The shareholders unanimously waived the reading of the documents related to the resolutions since they were cognizant of their content. Resolutions: After analyzing and discussing the matter on the Agenda, all attending shareholders, with the exception of Fundo LEGG Mason Global Funds PLC, which abstained from voting, unanimously resolved: (i) To approve, pursuant to Article 256, I of Brazilian Corporation Law, the acquisition of 100% of the shares issued by Fundamenture A/S, a company established under Danish law, by the Company through its subsidiary, Valid Soluciones Tecnologicas S.A.U., a company established under Spanish law, as disclosed by the Company through the material fact of September 2, 2015, in light of the appraisal report drawn up by Apsis Consultoria Empresarial Ltda., a limited liability company headquartered at Rua da Assembleia, nº 35, 12º andar, Centro, in the city and state of Rio de Janeiro, inscribed in the roll of corporate taxpayers (CNPJ) under no. 27.281.922/0001-70 ( Apsis ); as well as to ratify all measures taken by the Company s management and approve all measures that are still necessary to conclude the acquisition, in accordance with the conditions detailed in Exhibit 19 of CVM Instruction 481/09, previously made available to shareholders. Pursuant to item II and Paragraph 1 of Article
256 of Brazilian Corporation Law, according to the conclusions appointed in Apsis appraisal report, shareholders holding common shares who disagree with the resolution are not entitled to withdraw from the Company. (ii) To authorize the Board of Executive Officers to take all the measures necessary to formalize the operations approved herein with public agencies and third parties in general. Quorum and abstentions: The resolutions were taken unanimously, observing the applicable quorums, legal impediments and recording the abstention. Closure: There being no further business to discuss, the floor was offered and, as no one wished to speak, the meeting was adjourned and these minutes were drawn up in summary format, to be published with the omission of the shareholders signatures, pursuant to Paragraphs 1 and 2 of Article 130 of Law 6404/76, and Paragraph 6 of Article 10 of the Company s Bylaws, which after being read and approved were signed by the Chairman and Secretary and all attending shareholders, comprising the necessary majority to take the above resolutions.
