General Conditions for the Utilization of the Exchange EDP 1 Definitions (1) XONTRO shall mean the EDP the utilization of which is enabled by the Management Board of the Frankfurt Stock Exchange (hereinafter: FWB ) for OTC trading and for entering OTC-concluded transactions in respect of settlement purposes. (2) Xetra shall mean the Exchange EDP determined by the Management Board of FWB, including the option of its utilization in OTC trading and for entering OTCconcluded transactions for settlement purposes. (3) Xetra Trade Entry Facility is an entry facility within Xetra which enables the entry of OTC-concluded transactions for purposes of settlement. (4) Business day is a stock exchange trading day at the FWB. (5) GUI Connection is a connection with a graphical user interface of the Xetra J- Trader. (6) Structured Products are non-standardised derivatives. They are currently certificated in the German market. Financial intermediaries issue them as debt securities under the German Civil Code (Bürgerliches Gesetzbuch, BGB) as standardised products in great numbers. These are mainly certificates, warrants (ex company-issued warrants) and reverse convertible bonds. Excluded are warrants which are placed in connection with a corporate action at an issuing company, including financial intermediaries company-issued warrants; standardised, non-certificated derivatives such as traded on Eurex Deutschland s futures exchange; financing bonds with a coupon, paid at regular intervals, which is set already at flotation, whereby the nominal coupon to maturity can be either homogenous or heterogeneous or linked to a reference rate such as EURIBOR or LIBOR; equities and certificates representing them such as ADRs or GDRs; bonus shares, participation certificates; cooperative society shares; investment fund units; exchange-traded funds (ETFs) and comparable securities and exchangetraded commodities (ETCs); real estate investment trusts (REITS); contracts for difference (CFDs) and similar products. 2 Utilization of the Exchange EDP and of the EDP Xontro (1) Only companies who are admitted as trading participants to exchange trading at the FWB by the Management Board of the FWB are entitled to the utilization of the Exchange EDP and of the EDP Xontro. Companies who are admitted as trading participants to exchange trading at other German exchanges are entitled to the utilization of EDP Xontro solely in order to enter OTC-concluded transactions for purposes of settlement. (2) The trading participant shall be entitled to use the Exchange EDP and the EDP Xontro operated by Börse Frankfurt Zertifikate AG, subject to the regulations of the FWB and the present General Terms and Conditions. The utilization requires trading participants having been assigned a participant number and code by

Exchange and of the EDP Xontro for Trading in Structured Products Page 3 of 9 Börse Frankfurt Zertifikate AG or a third party it has so mandated, for identification in the EDP systems. When entering OTC transactions into the Exchange EDP or the EDP Xontro for settlement purposes, the exchange participant must ensure that an orderly settlement of such transactions is guaranteed. (3) For the duration of the Agreement and subject to the technical possibility and economic reasonableness, Börse Frankfurt Zertifikate AG shall be obliged to take appropriate measures to enable the contractual utilization of the Exchange EDP and the EDP Xontro in accordance with the regulations of the FWB. In case of an interruption of the availability of the Exchange EDP and the EDP Xontro, Börse Frankfurt Zertifikate AG shall be obliged, subject to the technical possibility and economical reasonableness, to take immediate steps to restore the contractual utilization. Börse Frankfurt Zertifikate AG shall exercise the care of a prudent merchant. Notwithstanding the foregoing, Börse Frankfurt Zertifikate AG shall be entitled to charge third parties to carry out all tasks necessary to perform the Agreement. In such cases, Börse Frankfurt Zertifikate AG shall be obliged to exercise prudence in its choice and induction of third parties. (4) Börse Frankfurt Zertifikate AG shall provide to the Trading Participants through the Exchange EDP trading information in the form of final data as well as preliminary data. It is obligated to make all technically possible and economically reasonable efforts to guarantee the correctness and completeness of these data. Preliminary data made available which relate to the status of the execution of certain orders or quotes may, in few cases, deviate from the respective final data. Börse Frankfurt Zertifikate AG is not obligated to transfer completely correct data with regard to the transferred preliminary data. (5) With regard to a connection to the Exchange-EDP or to the EDP Xontro via bandwidths on a leased line, the acquisition, installation and operation of such leased line between the Exchange-EDP or the EDP Xontro respectively and the Participant System shall be carried out or assigned by Börse Frankfurt Zertifikate AG. (6) With regard to a connection to the Exchange-EDP or to the EDP Xontro by means of the internet, including the utilisation of GUI Connections, Börse Frankfurt Zertifikate AG shall not warrant for the availability and performance of the internet connection. The trading participant shall be responsible for and shall carry out the acquisition, installation, configuration as well as the operation and maintenance of the connection of the Participant System to the internet. The trading participant is obliged to ensure that the bandwidth of its internet connection is sufficient for connecting to the Exchange-EDP. 2a Entry of Trading Risk Limits (1) Trading participants may through their admitted exchange trader enter Trading Risk Limits into the Trading System with the aim of restricting the number of orders and quotes entered. For this purpose, trading participants may define in the Trading System limits for specific trader subgroups, such limits triggering a warning (Warning Limit) and a stop preventing orders and quotes to be entered (Stop Limit). (2) If the Warning Limit is reached, a warning message is sent to the exchange

If the Stop Limit is exceeded by the trader subgroup, a message is sent to the exchange traders of the trader subgroup informing them that the Stop Limit for their trader subgroup was exceeded; as a result, the exchange traders of such subgroup are no longer permitted to enter orders and quotes. Any and all orders and quotes of such exchange traders shall be deleted, provided that the relevant trading phase allows such a deletion with regard to the point in time at which the Stop Limit was exceeded. Börse Frankfurt Zertifikate AG shall not guarantee for such deletion of orders and quotes to be made within a specific time span. After the Stop Limit has been exceeded, the entry of orders and quotes by the exchange traders of the relevant trader subgroup shall not be permitted until the Stop Limit is increased or suspended by the trading participant. On the next business day, the entry of orders and quotes is permitted again until the Stop Limit is reached. 3 Limitation on Utilization (1) A trading participant shall be obliged to refrain from any misuse of the Exchange EDP and the EDP Xontro, in particular omitting any utilization of the Trading Systems contravening orderly stock exchange trading and its settlement. (2) A trading participant shall be obliged to solely use information or data obtained while using the Exchange EDP and the EDP Xontro, for purposes of trading and settlement. The submission or provision of these data or information to third parties is impermissible, unless this is carried out for purposes of settlement or unless Börse Frankfurt Zertifikate AG has given its prior written consent. The foregoing shall not affect a trading participant s statutory disclosure obligations. 4 Fees (1) The service which is subject matter of the agreement is granted by Börse Frankfurt Zertifikate AG against consideration. The trading participant shall be obliged to pay the fees according to the respective current Price List. The trading participant shall be obliged to grant Börse Frankfurt Zertifikate AG upon its request a drawdown authorization. (2) Börse Frankfurt Zertifikate AG shall be entitled to amend the Price List at any time paying due regard to the interests of the trading participant. Amendments to the price list will be notified to the trading participants at least six weeks before they take effect. They shall be deemed to have been approved if the trading participant does not lodge an objection with Börse Frankfurt Zertifikate AG in writing within six weeks of notification of the amendment. 5 Liability (1) Börse Frankfurt Zertifikate AG shall pay damages - irrespective on which legal ground (e.g. default or tort) in case of violation of obligations arising from the contractual obligation by its employees or the persons who it commissions in order to fulfil its obligations only within the following scope:

Exchange and of the EDP Xontro for Trading in Structured Products Page 5 of 9 (a) In the event of wilful intent or gross negligence, Börse Frankfurt Zertifikate AG shall be fully liable; (b) In the event of simple negligence, Börse Frankfurt Zertifikate AG shall not be liable unless injury of life, body, health or guarantees as well as under the Product Liability Act are concerned. Furthermore, the liability of Börse Frankfurt Zertifikate AG for the violation of duties the fulfilment of which guarantees the orderly implementation of the Connection Agreement in the first place, and on the adherence to which the injured party may rely remains unaffected. In this case, Börse Frankfurt Zertifikate AG shall be liable for the direct damage which is typical and was foreseeable; (c) Beyond lit. (a) and (b), Börse Frankfurt Zertifikate AG shall not be liable; (d) As far as Börse Frankfurt Zertifikate AG is obliged to compensate frustrated expenses, the stipulations at lit. (a) and (b) shall apply mutatis mutandis; (2) The objection of contributory negligence shall remain unaffected. (3) Börse Frankfurt Zertifikate AG shall not be liable for damages cause by force majeure, violence, riot, war and forces of nature or by other events it is not responsible for (e.g. strike, lockout, instructions of higher authority domestic or abroad). 6 Duration of the Agreement and Termination (1) The Agreement is concluded for an unlimited duration. The parties shall be entitled to terminate the Agreement with one month s notice to the end of a month. The Agreement shall terminate automatically - without requiring notice to be given - upon completion, revocation, cancellation or another type of termination of the trading participant s admission to exchange trading at FWB (condition subsequent). (2) The rights of the parties to terminate this Agreement without notice for material reason shall not be affected. A particular reason for Börse Frankfurt Zertifikate AG shall exist if a trading participant, notwithstanding a warning in writing, (i) violates material obligations under this Agreement; or (ii) violates its obligation to cooperate with or tolerate audits pursuant to Section 7 (2) of these General Terms and Conditions. (3) Any termination of contract shall be in writing. 7 Connection abroad (1) If the trading participant uses the Exchange EDP outside the Federal Republic of Germany, it shall be obliged, at the request of Börse Frankfurt Zertifikate AG, to mandate a person authorized to receive service, domiciled in Germany and accepted by Börse Frankfurt Zertifikate AG, for the entire duration of this Agreement. The trading participant shall immediately notify Börse Frankfurt Zertifikate AG in writing of any change to the person authorized to receive service. (2) If a trading participant uses the Exchange EDP outside the Federal Republic of Germany, it shall be obliged to permit Börse Frankfurt Zertifikate AG or its agents to check at any time that the contractual obligations are being adhered to in the

This shall include in particular access to the premises of the trading participant, inspection of documents as necessary, questioning of employees of the trading participant and adoption of all other measures needed in the context of necessary investigations. If there are reasonable grounds for suspecting that a trading participant is violating its obligations under this Agreement, Börse Frankfurt Zertifikate AG may instruct at the trading participant s expense a neutral party, notably an auditor, to conduct an audit pursuant to sentence 1. 8 Transfer of rights and responsibilities under this Agreement Börse Frankfurt Zertifikate AG shall be entitled to assign or transfer all rights and obligations under this Agreement to an affiliated company within the meaning of 15 ff. of the German Stock Corporation Act. Upon assignment or transfer of the Agreement, only the assuming company shall be a party to the rights and obligations; Börse Frankfurt Zertifikate AG shall be released from all obligations of the Agreement. In case Börse Frankfurt Zertifikate AG intends to carry out such assignment, the trading participants shall be informed with prior notification of six weeks. 9 Amendments Börse Frankfurt Zertifikate AG shall be entitled to amend the Price List at any time paying due regard to the interests of the trading participant. Amendments to the General Terms and Conditions will be notified to trading participants six weeks before they take effect. They are deemed to have been approved if the trading participants do not lodge objections with Börse Frankfurt Zertifikate AG in writing within six weeks of notification of the amendment. 10 Data Protection The trading participant agrees to the disclosure of the trading participant s data and information to companies of Deutsche Börse Group, www.deutscheboerse.com such data and information arising within the scope of the present Connection Agreement in particular for purposes of information and analysis to improve the product portfolio as well as for advertising purposes. B. Additional Provisions for a GUI Connection via line or internet 11 Means of Authentication (1) For GUI Connections the trading participant shall receive from Börse Frankfurt Zertifikate AG for authentication a token as well as a personal identification number (PIN) or an encrypted SSL certificate and the corresponding key for authentication. (2) Tokens are attributed to a the user identification of a trading participant. The trading participant must keep the token and the PIN in safe custody and separate

Exchange and of the EDP Xontro for Trading in Structured Products Page 7 of 9 from one another in order that taking of notice or removal by an unauthorised person cannot occur. The trading participant may grant access to the token and the PIN to only one admitted exchange trader at any one time. The trading participant may not duplicate such PIN and guarantees that its admitted exchange traders will not duplicate such PIN either. It is not permitted to pass on to a third party any passwords which were generated using the token and the PIN. (3) A SSL certificate is attributed to a user identification of a trading participant. The trading participant shall be obliged to protect the SSL certificate and the corresponding key against unauthorized access and duplication. The trading participant may grant access to the SSL certificate to only one admitted exchange trader at any one time. (4) The trading participant shall be obliged to inform Börse Frankfurt Zertifikate AG immediately in writing if a token is damaged or lost or cannot be found. The same applies if facts exist to support the suspicion that a third party has, without authorisation, taken notice of the PIN or possession of the token or has taken notice of the SSL certificate or the corresponding key. Börse Frankfurt Zertifikate AG shall then immediately block the trading participant s access to the token and the PIN or the SSL certificate and the corresponding key respectively and shall, for a fee according to the Price List to this Agreement, provided the trading participant with another token and PIN or a new SSL certificate and key respectively. The trading participant shall be obliged to immediately send to Börse Frankfurt Zertifikate AG the damaged token or the token the PIN of which has been compromised. (5) Tokens remain the property of Börse Frankfurt Zertifikate AG at any time. They must be sent back to Börse Frankfurt Zertifikate AG immediately after termination of the Agreement. If the token is not received by Börse Frankfurt Zertifikate AG within 15 days after termination of the Agreement, the trading participant must pay compensation for lost value according to the Price List. (6) It is only possible to carry out authentication using the token or the SSL certificate. An alternative to temporarily circumvent this procedure does not exist. (7) In addition, Börse Frankfurt Zertifikate AG provides additional information for purposes of authentication: a) For token: A user name and a user password. Authentication can only be carried out with the user name, user password and the information from the token. b) For SSL certificate: A certificate name and user a password. Authentication can only be carried out with the certificate name and the user password. 12 Technical Infrastructure (1) The GUI Connection shall be carried out with a web browser via internet or leased line. (2) With GUI Connections, it is not possible to make more than 1,000 entries per hour and login into the Exchange-EDP. C. Special Conditions concerning the Utilization of Xetra Trade Entry Facility

Exchange and of the EDP Xontro for Trading in Structured Products Page 8 of 9 13 Utilization of the Xetra Trade Entry Facility (1) For trading participants admitted to using Xetra, Börse Frankfurt Zertifikate AG additionally provides the possibility of using the Xetra Trade Entry Facility. (2) For the utilization of the Xetra Trade Entry Facility, it is mandatory to enter the following trade data: instrument, price, volume, trade date, settlement code, settlement date, the participant number of the trading participants which are party to the OTC-concluded transaction, and the participant code of the exchange trader acting on behalf of the relevant trading participant. Börse Frankfurt Zertifikate AG shall not be responsible for the correctness and completeness of the trade data entered. 14 Entry by the parties to the transaction (1) The entry of the trade data pursuant to 13 paragraph 2 can be made by a trading participant which is party to the OTC-concluded transaction ( Entering Party ). The entry must be confirmed manually by the other party to the OTCconcluded transaction ( Counterparty ) using the Xetra Trade Entry Facility. Such confirmation may be given using an automated procedure provided that the participant number of the Entering Party is deposited in the authorization table of the Counterparty. The automated confirmation may be limited to certain instrument groups or a maximum value of the OTC-concluded transaction. (2) An entry that was not confirmed by the Counterparty may be deleted by the Entering Party. Such entry may only be deleted on the business day on which the entry was made ( Entry Day ). An entry that was neither confirmed by the Counterparty nor deleted by the Entering Party will be deleted by the system at the end of the Entry Day. (3) An entry which was confirmed by the Counterparty can be cancelled by either party. Such cancellation must be confirmed manually by the respective other party. Such confirmation may be given using an automated procedure provided that the participant number of the cancelling party is deposited in the authorization table of the Counterparty. 15 Entry by a third party ( On Behalf Entry ) (1) The entry of trade data according to 13 paragraph 2 may also be made by a trading participant that is not party to the OTC-concluded transaction ( On Behalf Entry ). The On Behalf Entry needs to be confirmed manually by either party. Such confirmation may be given using an automated procedure provided that the participant number of a party is deposited in the authorization table of the respective other party.

Exchange and of the EDP Xontro for Trading in Structured Products Page 9 of 9 (2) An On Behalf Entry which was not confirmed by either party will be deleted by the system at the end of the Entry Day. A deletion by either of the parties or by the third party is not possible. (3) An On Behalf Entry which was confirmed by either party may only be cancelled by the parties pursuant to the provisions of 14 paragraph 3.
