Software Utilisation and Web Hosting Digital Brand Impressions (Pty) Ltd is experienced in website layout and design, making use of the best tools available to transform your company website into a powerful marketing tool that is both interactive and creatively dynamic. Web software such as Wordpress and Weebly provide powerful tools to create websites and blogs that are both functional and eye-catching. Digital Brand Impressions offers an efficient and streamline service that is cost effective. Monthly retainer fees will ensure that your website is updated regularly and that your website is hosted with a reliable hosting company. We utilise Afrihost for all our web hosting needs. 2. Expected Time Frame Digital Brand Impressions will endeavour to arrange a face-to-face meeting with the prospective client to introduce the available services that we are able to offer as well as to assess the client s needs in terms of functionality of the website and design elements required. The purpose of this introduction meeting will be to brainstorm ideas and develop an overview of work to be carried out. Based on the outcome of the initial meeting and assessment, Digital Brand Impressions will provide a concept layout that will be presented to the client along with a detailed quotation based on the client s individual needs. Once the concept has been approved by the client, all relevant artwork that the client would like included in the design work must be sent to Digital Brand Impressions within 7 working days as well as 50% payment must be made to Digital Brand Impressions to secure order. Only once 50% of the payment has been received by Digital Brand Impressions will design work and transferring of hosting commence. All relevant and existing artwork must be supplied in high resolution formats, should Digital Brand Impressions be responsible for designing a completely new concept, please supply Digital Brand Impressions with an outline of the concept of the design work required as well as the preferred colour pallets. Initial framework and drafts will be available for testing and reviews within 7 working days, the client and Digital Brand Impressions will then have an additional 7 working days to test the functionality and process of the website. Following the testing period, Digital Brand Impressions will have 10 working days to complete the project. On condition that the remaining 50% payment is made to Digital Brand Impressions at this stage, the project once completed will be handed over to the client. Search Engine Optimisation (SEO) is imperative to building your online presence. Regular and timely updates are necessary to build up an audience and create traffic directed at your website and social media pages. Please see our monthly retainer fee which includes such updates on all digital platforms. 3. Supply Of Materials And method Of Communication In the process of development there is a certain amount of input required in order to successfully progress though the developmental process. Digital Brand Impressions and the Client need to agree on a preferred method of communication. Either email, telephone, skype or whatsapp are frequently utilised. The client can select their preferred method of communication, please ensure that the client is to make themselves available on the preferred communication method in order to expedite and streamline the feedback process. Incomplete content or alterations can cause delays in the progress of the project. Dropbox is used to transfer images, documents and videos. The Client is to supply all relevant material and information required for the project according to the agreed specification. Images need to be high resolution and colour codes of the preferred colours must be supplied to Digital Brand Impressions in CMYK, Pantone and RGB formats. We can offer professional photographs of our products or business at additional fees. Digital Brand Impressions has the right to extend previously agreed upon deadlines for the completion of work by a reasonable amount, should the Clients requests for additional work not fall within the original agreed upon amount. Where the Client fails to supply the necessary information for more than 20 days, Digital Brand Impressions reserves the right to invoice the client for work already completed. 4. Fees Payable For Website Design And Development A 50% upfront payment is immediately due upon acceptance of the quotation. No work will commence until the 50% payment is made to Digital Brand Impressions. The remaining 50% payment will become due when the work is completed and accepted by the Client. The completed design work, website and other materials will only be handed over to the Client once the final 50% payment has been made to Digital Brand Impressions. The fee mentioned in the quotation includes the annual domain registration and monthly web hosting by Afrihost. Web hosting is either payable monthly or annually in advance. If web hosting is not paid within 30 days of the invoice, the website will go offline until such time as the account is settled in full. 5. Project Delays Client Responsibility The proposed time frames are contingent upon full co-operation of the Client, and complete and final content and images for the web pages. Digital Brand Impressions will not be held to the agreed completion date should the above conditions not be met. Should the website development be delayed for more than 15 working days by the Client, or is paused indefinitely, Digital Brand Impressions can request full and final payment for the services specified in the proposal. Should this in fact happen, additional costs may be charged to the Client should the project resume at a later stage. 3 Initial:
6. Design And Development Variances The website development phase will be flexible and allow certain variances to the original specification. However, any major changes from the original specification agreed upon, will be charged for at an additional hourly rate of R500. Any changes deemed to be major will be identifies and quoted before development takes place. 7. Approval Of Work Upon completion of the project, the client will be notified and will be afforded the opportunity to review the work done. The Client is afforded 7 working days in which to review the project from the date of the notification. Any points that the client finds unsatisfactory must be communicated to Digital Brand Impressions within the 7 working days afforded to the Client. Any work that is not reported in writing to Digital Brand Impressions within the 7 working days will be deemed to be satisfactory and approved by the Client. Once approved, or deemed approved, the work or project cannot subsequently be rejected, the project will be completed and the 50% payment remaining will immediately become due for payment. The contract will remain in effect until all obligations have been completed in terms of this clause. 8. Rejected Work Should the client reject the work done within the 7 working days allowed for review, or will not approve subsequent work performed by Digital Brand Impressions to rectify any points reported by the Client to be unsatisfactory, and Digital Brand Impressions considers the Client to be unreasonable in the repeated rejection of work done by Digital Band Impressions, the contract will be deemed to have expired and Digital Brand Impressions can take legal measures to recover both payment for the completed work and reasonable expenses incurred in recovering payment. 9. Remedies For Overdue Payment Should payment not be received by the due date, Digital Brand Impressions has the right to suspend ongoing work for the Client, until such time that full payment of the outstanding account has been settled. Should full payment still not be paid by the Client 30 days after the due date, Digital Brand Impressions has the right to replace, modify or remove the website until full payment has been made to Digital Brand Impressions. By removing the content from the internet, Digital Brand Impressions does not remove the Clients responsibility to settle all outstanding monies. 4 Initial:

Warranty By Client As To Ownership Of Intellectual Property Rights The Client will obtain all the necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks or any other material it supplies to Digital Brand Impressions and /or includes in the Clients website or web applications. The conclusion of the contract between Digital Brand Impressions and the Client shall be regarded as a guarantee by the Client to Digital Brand Impressions that all such necessary permissions and authorities have been obtained and the inclusion of such material on the Website or in the software would not constitute a breach of contract. Once the Client has read and accepted these terms and conditions, the Client removes the legal responsibility of Digital Brand Impressions and indemnifies the same from any claims or legal actions however related to the content of the Clients website or software. Digital Brand Impressions assumes all content supplied by the Client is free of copyright and takes no responsibility for using copyrighted material on the site or in the software that has been supplied by the Client. 11. General Unless specified, general quotations are approximate values until detailed specifications are obtained regarding the work to be carried out. Once the 50% upfront payment has been made, Digital Brand Impressions accepts the website development to commence and that the terms and conditions have been read and accepted. The required purchase of software, images or tools which are not included in the original quotation, will be invoiced separately and payment will be required before the purchase will be made by Digital Brand Impressions. The handover of the website by means of releasing the access link/s and codes for admin access or any other access to the website will only be done once final payment has been received by Digital Brand Impressions. Payment of the full web design invoice confirms the acceptance and handover of the website in full.
