THE COLLECTIVES PORTFOLIO SERVICE The Collectives Portfolio Service (CPS) is a discretionary investment management service, which invests solely in funds and provides clients with a managed exposure to best-in-class third party fund managers. Your portfolio will be constructed and monitored by a dedicated team of Charles Stanley investment managers and analysts. The team conducts extensive research to identify the most rewarding investment opportunities with the aim of satisfying your investment objectives whilst taking an appropriate level of risk. Using collective investment schemes is a popular way of investing for the long-term and an efficient way to spread risk. The CPS is managed by the Charles Stanley Collectives team. The team of seven investment managers and analysts has over 100 years of combined experience and draws upon the expertise of investment specialists, strategists and economists from across the Charles Stanley Group and beyond. The team is focused on implementing a robust asset allocation process and then identifying the very best funds in each asset class, to reflect this asset allocation and provide the opportunity for optimal performance whilst taking into account portfolio risk. The Collectives team advises on more than 7bn held through Charles Stanley as at 30th September 2014. As a result the CPS team enjoys excellent access to fund managers from across the industry encompassing both onshore and offshore funds. Charles Stanley has been a member of the London Stock Exchange since 1852, and has grown to become one of the most respected UK firms in the field of private client wealth management. Our Collectives Portfolio Service has been benchmarked with investment services across the UK, by independent financial research and software company Defaqto, and has received a 5 Star rating. 2
THE PORTFOLIOS We first and foremost consider what you wish to achieve from your investments and how much risk you are prepared to take. We offer investment flexibility by offering portfolios across income, growth and balanced objectives intertwined with a specific risk profile. OBJECTIVES Income Strategies: The objective is to invest predominantly in asset classes which have a yield that can be paid out as income. Capital growth is not necessarily a consideration; however a desire to maintain the real value of portfolios does inform investment decisions. As such investments with the potential to generate capital growth may also be included. Maximising income may necessitate a higher risk strategy, which may erode capital. We subscribe to the risk profiling service provided by Distribution Technology, which maps the CPS strategies against Distribution Technology s pre-defined risk categories on a scale of one to ten. The categories and the Distribution Technology rating are prominently displayed on our monthly information sheets. Growth Strategies: The objective is to achieve long-term growth. The level of income generated will not be considered as a constraint on the investment decisions, however income-paying investments may contribute to achieving a total return objective. Maximising growth may necessitate a higher risk strategy. Balanced Strategies: The objective is to achieve a balance of income and growth. This is achieved by combining the appropriate Income and Growth Strategies. 3
LEVELS OF RISK Risk assessments are highly subjective and will change over time as a result of market or economic events. Wherever possible we will seek to produce the investment objective and attendant risk profile by formulating a portfolio which is diversified by asset class and sector. Whichever risk profile you select it will apply to the overall composition of the portfolio and not individual holdings. Therefore, some investments from a higher risk category may be included when appropriate. Each portfolio within the CPS has been designed to invest in broadly the same underlying investments, but in varying proportions, to reflect the different investment objectives and risk profiles. Individual funds, which may on a standalone basis be regarded as higher risk, may contribute to the overall diversification benefits of a portfolio structure, such that the aggregate risk profile of a portfolio is lower than the sum of its constituent parts; this is usually explained by reference to the correlations (or lack thereof) of different asset classes. A key measure of risk which we use to distinguish between the different portfolios is volatility; we define this as being a measure of the dispersion in the returns of an investment or, to put it another way, the breadth of the historic swings in a security s price. Lower Risk - Collective products investing across all asset classes such as UK and international equities, bonds (including government and corporate), and alternative assets (such as commodities and property) will be considered. Although your capital is at risk, your portfolio would contain a higher allocation to lower risk investments, such as Absolute Return funds (which are usually defined as those funds which aim to deliver absolute (i.e. more than zero) returns in any market conditions over a 12 month period but which do not guarantee any such return), and lower risk Fixed Income sector funds. Such lower risk funds aim to produce returns in excess of a cash benchmark and to reduce the overall volatility of returns, albeit these return objectives are not guaranteed. There may also be an allocation to further bond funds and funds investing in property. There may also be an exposure to some higher risk funds, although this would be limited. Higher risk collectives may include those invested in equities and more focused regional exposures, encompassing sectors such as UK All Companies, Global Growth, North American, Europe ex UK, Japan, Global Emerging Markets, Asia Pacific ex Japan and Specialist. Your capital and/or level of income may not retain its real value after inflation and, as with all investments, there is some risk to your capital and income. Medium Low Risk - Collective products investing across all asset classes, such as UK and international equities, bonds (including government and corporate), and alternative assets (such as commodities and property) will be considered, but with an increasing exposure to higher risk investments in place of allocations to lower risk investments, such as Absolute Return funds and lower risk Fixed Income sector funds, relative to the Lower Risk profile above. Higher risk collectives may include those invested in equities and more focused regional exposures, encompassing sectors such as UK All Companies, Global Growth, North American, Europe ex UK, Japan, Global Emerging Markets, Asia Pacific ex Japan and Specialist. Generally, these investments will experience some volatility due to their exposure to UK and International equity markets. Medium High Risk - Collective products investing across all asset classes, such as UK and international equities, bonds (including government and corporate), and alternative assets (such as commodities and property) will be considered, but with an increasing exposure to higher risk investments in place of allocations to lower risk investments, such as Absolute Return funds and lower risk Fixed Income sector funds, relative to the Medium Low Risk profile above. Higher risk collectives may include those invested in equities and more focused regional exposures, encompassing sectors such as UK All Companies, Global Growth, North American, Europe ex UK, Japan, Global Emerging Markets, Asia Pacific ex Japan and Specialist. Generally, these investments will experience higher volatility due to their exposure to different markets and geographic regions, and so pose a greater degree of risk to your capital and/or income growth over the longer term. Higher Risk - Collective products investing across all asset classes, such as UK and international equities, bonds (including government and corporate), and alternative assets (such as commodities and property), but with an increasing exposure to higher risk investments in place of allocations to lower risk investments, such as Absolute Return funds and lower risk Fixed Income sector funds, relative to the Medium High Risk profile above. Higher risk collectives may include those invested in equities and more focused regional exposures, encompassing sectors such as UK All Companies, Global Growth, North American, Europe ex UK, Japan, Global Emerging Markets, Asia Pacific ex Japan and Specialist. Generally, these investments will experience higher volatility, particularly in the short term, due to their exposure to market and currency risk, as well as potentially riskier investment structures, and so pose a considerably greater degree of risk to your capital and/or income. To generate a higher level of income, the Higher Risk Income Strategy invests in collectives targeting higher yields; such collectives may themselves invest in riskier securities carrying a greater risk to capital, such that the real value of your portfolio may be eroded. 4

Each portfolio is designed to provide: An outcome aligned to investment objectives A controlled risk framework A strategy attuned to prevailing market conditions Diversification TACTICAL ASSET ALLOCATION Dynamic Technical Monthly Review FUND SELECTION Collectives Research Team 12 MODEL PORTFOLIOS Investments within the CPS will predominantly be collective investment schemes, such as open-ended investment companies (OEICs) and unit trusts. From time to time exchange traded products and investment trusts may also be included. The collective investment schemes held within the CPS will themselves invest in a wide variety of asset classes across a range of international and domestic markets. These asset classes will include government and corporate bonds, equities, currencies, properties and commodities, as well as derivatives such as futures, options, contracts for difference and total return swaps where such investments are permitted by regulatory rules. Each portfolio is created using qualitative and quantitative research techniques designed to identify market-leading funds. To augment and perfect this process, the CPS team conducts over 300 face-to-face meetings with fund managers each year. Each individual fund is assessed on the basis of the following criteria:- A clearly articulated investment objective and methodology The ability to invest with conviction rather than follow an index Consistency of the manager s track record The level and quality of reporting key factors, including the quality of the people, processes, performance and product risk 5
FURTHER INFORMATION We pride ourselves on the excellence of our service. COMMUNICATION AND ADMINISTRATION Your account will be classified as a Discretionary Account and reporting will be directly from the CPS team. The account will be treated as a separate account to any other account(s) you may have with Charles Stanley. The investments will be held in our nominee facility, which offers simplicity, security and efficiency. Interest is automatically paid on your cash balances. Current rates will be quoted on request. Income is reinvested on a timely basis or payable to you on a monthly basis, as agreed. We will send you half-yearly valuations of your portfolios, together with a full investment review which will be produced every six months as at 30th September and 31st March. We offer secure online portfolio access, enabling you to view valuations and statements at your convenience. You can elect to receive contract notes via email. We will prepare and issue annual consolidated tax vouchers for inclusion with tax returns. Please note that the CPS is not managed within Capital Gains Tax constraints. MINIMUM ACCOUNT SIZE The Collectives Portfolio Service requires a minimum investment of 30,000. TYPES OF ACCOUNT A CPS portfolio may be held within the following accounts; Ordinary/standalone ISA SIPP Other wrappers, including many trusts and offshore products OUR FEES AND CHARGES Transaction charges nil. The charge for the CPS is 0.75% + VAT per annum of the value of your portfolio. We will only purchase commission-free units or shares. Our charges do not include an intermediary s customer agreed remuneration, which may include initial and ongoing charges. Fees are invoiced and debited to your account half yearly in arrears. Where units of FP Matterley funds are used in a model portfolio, their value is excluded when we calculate the Annual Management fee for the portfolio. Our dealing terms are negotiated with the fund managers and are typically the creation price or net asset value of the fund. Occasionally we will pay a marketing charge of up to 1% which is retained by the fund managers. This represents a significant discount on standard dealing terms. There may be additional fees charged by wrapper providers, such as ISA and SIPP administration fees. 6
