Manage your stock plan in three easy steps: 1Enroll at netbenefits.fidelity.com Log on to netbenefits.fidelity.com to enroll in the plan. As part of the process, you'll need to open a Fidelity Account, * which is an individual brokerage account, to manage your Employee Stock Purchase Plan participation. At this time you will also need to select an amount from your paycheck to contribute towards the purchase of shares. 2Take advantage of our online planning tools Log on to netbenefits.fidelity.com and click on Tools & Learning to see the support Fidelity offers you every step of the way through online planning tools. You may also call a Fidelity Stock Plan Services Representative at 1-800-544-9354 for planning assistance. 3Learn how to put ongoing education to work for you Keep on top of your stock plan by providing your email address so you can receive important educational information to help you make the most of your plan. Employee Stock Purchase Plan (ESPP) What is an employee stock purchase plan? An employee stock purchase plan, (ESPP) is a stock plan offering that allows employees to use after-tax payroll deductions to acquire their company's stock. Fidelity Account A Fidelity Account is an individual brokerage account which has been opened for you to manage your UTi, Services, Inc. stock plan participation. Within your Fidelity Account is a "central" money market account. This account holds your liquid assets (cash) until you invest or withdraw them. Any proceeds from the sale of your UTi, Services, Inc. stock will be deposited into your Fidelity Account. ESPP Fees You will not incur fees when you purchase UTi, Services, Inc. shares in the ESPP. Any subsequent sale of shares conducted in your Fidelity Account will be subject to commissions and fees governing that account, as outlined in the Brokerage Commission Schedule contained within the Customer Agreement. Please refer to the Customer Agreement on fidelity.com for further details. Commissions and fees are subject to change. Taxes As with any investment, there are tax consequences and investment risks associated with any stock-related transaction. 5 4 Service Highlights Statements You will receive a monthly statement from Fidelity if activity occurs in your account. Should you have no activity during a month, you'll begin to receive quarterly statements. You will also receive confirmations for transactions that are made in your account. If you would prefer to receive information online, please sign up for e-delivery* at fidelity.com. Address Changes UTi, Services, Inc. has arranged to provide employee address change information to Fidelity. All address changes received by Fidelity from UTi, Services, Inc. will be applied to your plan. To change your address, please contact your Human Resources Department. If you leave UTi, Services, Inc. and wish to change your address, please call a Fidelity Stock Plan Services Representative at 1-800-544-9354. Beneficiary Information As part of the services provided by Fidelity Stock Plan Services in connection with the UTi, Services, Inc. plans, you have the option to designate a beneficiary for any shares that have been purchased on your behalf and then deposited into your Fidelity Account. You may complete the beneficiary designation online at fidelity.com. Log in using your Username and Password. Choose Customer Service at the top of the page. Select Update Your Profile at the top left-hand side of the page. Click on Beneficiaries. In the popup box that follows, select Personal and then click Go. Click on Update Beneficiaries. The screens that follow will contain step-by-step instructions to help you complete the beneficiary designation process. You will know that you have successfully completed your beneficiary designations when you reach the "confirmation" screen with a green checkmark. After successfully completing the beneficiary designation process, you will receive confirmation by postal mail within five business days. Plan Documents You can view the UTi, Services, Inc. Plan Document(s) online at netbenefits.fidelity.com. To view the document(s), log on and select the link for your plan, then select Plan Information & Documents under View in the table of contents on the left-hand side of the page.
