SHAREHOLDERS MEDIOBANCA HAS APPROIMATELY 60,000 SHAREHOLDERS SHARE CAPITAL the Bank s subscribed share capital totalled Euro 433,686,380.50 represented by 867,372,761 Euro 0.50 par value registered shares which entitle the shareholders to one vote for each share held. SHAREHOLDERS Mediobanca has approximately 60,000 shareholders. Certain shareholders representing 31% of the Bank s share capital have entered into an agreement aimed at preserving a stable shareholder base combined with a representative Board of s in order to ensure consistent management objectives (the Agreement ). Compliance with the Agreement is supervised by a Steering Committee of which the chairman is Mr. Angelo Casò. The agreement is filed with the Milan Companies Register. COMPOSITION AND ROLE THE BOARD OF DIRECTORS CONSISTS OF BETWEEN FIFTEEN AND TWENTY-THREE MEMBERS The Board of s consists of between fifteen and twenty-three members. Of the s thus appointed, five are managers with at least three years experience of holding management positions at companies belonging to the Mediobanca Banking Group, at least three must qualify as independent as defined in Article 148, para. 3 of Italian Legislative Decree 58/98, and at least four, who may coincide with the three qualifying as independent referred to above, must qualify as independent based on the Code of Conduct for Listed Companies issued by Borsa Italiana. No person aged seventy-five or over may be appointed. The Board of s appointed on 28 October 2014 for the, 2016 and 2017 financial years consists of 18 members, 10 of whom qualify as independent pursuant to Article 148, para. 3 of Italian Legislative Decree 58/98, 8 of whom also qualify as independent pursuant to the Code of Conduct operated by Borsa Italiana.
