INTENT: The St. Andrews Public Service District is inviting licensed and qualified architectural/engineering firms to submit proposals on qualification for consideration to provide consulting services for new Fire Stations, Administrative offices, and Environmental Service facilities building architectural design and construction management. SECTION I: GENERAL SCOPE/PURPOSE The PSD is inviting licensed and qualified architectural/engineering firms to submit proposals for consideration to provide consulting services for new Fire Stations, Administrative Offices, and Environmental Services Facilities. The vision is to provide the PSD with the infrastructure to operate four (4) working fire stations housing six (6) fire companies, administrative offices for all department heads and support staff. Services shall include, but not be limited to, complete planning, programming, architectural design services, construction administration, completing all necessary permit documents, and other necessary work required to construct the new Fire Stations, Administrative Offices, and Environmental Services Facilities to accommodate the aforementioned personnel. The current budget for this project is $16,000,000 million. Due to the complexity of Fire Station and Environmental Service Facilities, experience in the planning and design of this type of facility is an essential criterion for selection. As part of this proposal, firms are asked to submit statements of qualifications and specific experience in similar facilities for at least three (3) to ten (10) of such facilities within the past five years. It is of equal importance for a firm to have direct design experience with survivable facilities in the States similar to costal South Carolina, capable of withstanding a Category 4/5 storm. Experience for these project types must be as Architect of Record. References as well as appropriate contact information is to be provided for each identified similar project to be evaluated at the PSD s discretion. SECTION II: ANTICIPATED SCOPE IS AS FOLLOWS: A/E shall meet with the PSD s project manager, as the principal contact for this project, who will provide information and make decisions concerning the project. The requirements for data and programming shall be reviewed and established. The A/E shall collect information from the PSD and other sources to identify and document site characteristics that may influence the design of the facilities. The A/E shall perform the following phased functions and other necessary requirements as part of the Scope of Work: Page 2 of 14

A. PROGRAMMING/PLANNING Provide a detailed Spatial Needs Assessment of the identified entities, including current and future requirements; Evaluation/Recommendation of Site Issues/Constraints; Site analysis/master planning based upon the selected option; Identifying construction costs/constraints based upon the criteria developed and the master plan. B. ARCHITECTUAL/ENGINEERING SERVICES Provide all architectural design and construction documents. Provide all electrical, alarm system, HVAC, plumbing design and construction documents. Provide any Geotechnical Engineering or testing. Provide any Civil Engineering or site work design. Provide any exterior lighting design. Provide any irrigation or landscape design. Provide all specifications for all material and equipment used on the project. Meet with PSD staff to review at predetermined phases during the project. Work with construction manager to provide necessary cost estimate/value engineering as necessary phases to maintain budgetary constraints and quality control. Assist in obtaining all permits required to construct the building and develop the appropriate site. C. CONSTRUCTION ADMINISTRATION SERVICES The architect will be required to review and approve project submittals and maintain a log for request for information, responses and change orders. Attend meetings to answer questions as required, including follow-up questions as necessary. Participate in the scope, selection and negotiation for the Construction Manager, representing the PSD s interests. Work with Construction Manager. Value engineering assistance as required in order to maintain established budgets. Oversee project, close out, completion process. D. Additional duties, include, but are not limited to, attending all scheduled meetings and conferences required by the PSD and/or Council for this project. The firm selected shall be solely responsible for planning, design, completing necessary permit documents, bidding, construction administration and other required services identified to complete the project contained herein. Teaming is encouraged; however, only one team member will be the primary consultant under the negotiated contract with the St. Andrews Public Service District for the Fire Stations, Administrative Offices, and Environmental Services Facilities building project. E. Additional requirements necessary to complete the entire Fire Stations, Administrative Offices, and Environmental Services Facilities project may be added to the negotiated contract at the sole discretion of the St. Andrews Public Service District. F. All CONSULTANTS shall hold licenses required to perform the above referenced scope of work. This Consultant shall ensure compliance with all laws, rules, codes, ordinances, and licensing requirements that are applicable to the conduct of its business, including those of federal, State, and local agencies having jurisdiction and authority. The PSD expressly desires the Consultant to keep all the files and records that pertain to the project to relieve the PSD of the task of filing and record keeping. SECTION III: SUBMISSION REQUIREMENTS AND EVALUATION CRITERIA Interested firms or individuals should include the following information in their submittals in the exact order listed here with separating page tabs in an 8.5 by 11 page format: PLEASE INCLUDE THE PAGE TABS so that those evaluating your submittal can compare each section with others that are submitted. The Submission of Qualifications (SOQ) shall include a one-page cover letter plus a maximum of thirty-five (35) pages to address the SOQ criteria specified herein (including resumes). The table of contents and divider pages will count towards the total page count. Failure to comply with the following criteria may be grounds for disqualification: Receipt of submittal by the specified cut-off date and time. The number of originals and/or copies of the submittal specified. Adherence to maximum page requirements. Adherence to the maximum page criteria is critical; each page side (maximum 8-1/2 x 11 ) with criteria information will be counted. Pages that have photos, charts and graphs will be counted towards the maximum number of pages. Minimum font size: 11pt Arial or Times New Roman. Please number all pages (including table of contents and dividers). 1. Letter of Interest: A letter stating your interest in this project signed by the person who will have contract authority over this project and stating that the contents of the submittal are true and accurate. Provide an overview of the key areas of the proposal and summarize the proposer s position as to why the company should be selected. Please state in this letter that you can meet the insurance/bonding requirements of the PSD and that you are willing to execute a standard agreement with the St. Andrews Public Service District. 2. Experience: Describe experience completing most recent and similar work for other entities as Firm of Record, including contract amounts & dates of at least three to five most similar projects. Also, include short bios of key staff to be assigned to project. Please state the maximum number that could reasonably be assigned to a project at any given time to help expedite various projects. (40 points) 3. Project Understanding/Approach: Describe understanding of project scope, and ability and willingness to respond to questions for PSD Staff, PSD Commission and others concerning the administration of the process. Additionally, include an innovative or alternative value-added processes or approaches that may be considered applicable to this project. (30 points) 4. Company Background/Location/Related Services: Description of firm, including locations of offices, person responsible for contracting services, location where the contract authority resides and location of individuals to be assigned to this project. Include an organization chart showing the working relationship of the management structure. Please make it clear out of which offices you propose your work to be done and assign a percentage of work that is likely from each location. (15 points) 5. Recent, Current, and Projected Workloads: Description of the firm s recent, current, and projected workloads that may effect the firms ability to manage the project and meet the time and budget requirements of the PSD. 6. References: Include the name of a responsible individual, address, phone number/fax number and email of five (5) client references for most similar projects. DO NOT USE CURRENT PSD STAFF AS REFERENCES. (5 points) 7. Additional Requirement: Include copy of Certificate of Insurance for consultant. Proposer s Certification must be signed and provided utilizing the attached form (Attachment A). Statement of Prior St. Andrews PSD Experience must be provided utilizing the attached form (Attachment B). 8. Each firm shall submit ten (10) copies of its proposal and an electronic copy of the same proposal. At least one submittal must have an original signature. If only one original signature is submitted, please mark on the outside of the submittal which is the original. Submittals shall not exceed 35 pages. Page 5 of 14

SUBMITTAL: Ten (10) sets of the proposal and an electronic copy shall be submitted in a SEALED envelope, clearly marked on the outside as follows: SAPSD-1501-RFQ A/E Services for Fire Stations, Administrative Offices, and Environmental Services Facilities. (NAME, ADDRESS, & TELEPHONE NUMBER OF PROPOSING FIRM) The St. Andrews PSD will receive submittals until 2:00 P.M. on July 6, 2015. Any submittals received after that time will be returned unopened. All submittals must be delivered to: Selection Committee C/O St. Andrews Public Service District 1775 Ashley River Road Charleston, SC 29407 SECTION V: EVALUATION OF THE SUBMITTALS: Submittals will be evaluated by a Selection Committee to ascertain which qualifications best meets the needs of the PSD based on criteria set forth in section III. The PSD reserves the right to reject any or all proposals and/or waive any minor irregularities or qualifications that the PSD determines to be in the best interest of the PSD. Please note that evaluation & selection of the Consultant is intended to be completed in accordance with State of South Carolina selection process for professional service to be based upon but not necessarily be limited to: Interest Experience Understanding Approach Background/Location References The firm or individuals found most qualified may be short-listed and asked to make presentation(s). The PSD reserves the option to select in a one or two step evaluation process or to reject any/all proposals received. This means the PSD may select the Page 6 of 14

Consultant(s) from written submittals (step one) or after a second step of evaluation, which may or may not include presentations/discussions with the Selection Committee. The PSD will select the firm found to be best suited to provide the needed services at its discretion. If second step process is adopted, evaluation scores on step one will not count toward the final selection determination. If selected, the presentation shall be done by the Project Architect for this project. A. SECTION VI: MISCELLANEOUS Questions/Requests for Clarification/Addenda: In order to ensure consistent and correct information, prospective entities shall submit all questions and requests for clarification in writing to the St. Andrews PSD Selection Committee, Attention: Charles Lamoreaux, via email at clamoreaux@standrewspsd.org. Telephone inquiries will not be accepted. If information requested is deemed beyond common knowledge, a written addendum will be issued. It will be the responsibility of the company to ascertain if any addenda have been issued, to obtain all such addenda, and the acknowledge receipt of the addenda. The PSD will not respond to questions submitted less than five (5) business days prior to the proposal due date. Deadline for submitting question is 5:00P.M. on June 29, 2015. B. Modifications: The PSD reserves the right to modify, alter or change the scope, size or other aspects of this project. C. Level Playing Field: The contents of this Request for Qualifications are intended to provide a level playing field on which firms or individuals may base their responses. D. Public Entity Crime Affidavit: As required by the State of South Carolina, a person or affiliate who has been placed on the convicted vendor list following a conviction for a Public Entity Crime may not submit a bid on a contract to provide any goods or services to a Public Entity, may not submit a bid on a contract with a Public Entity for the construction or repair of a public building or a public work, may not submit bids on leases of real property to a Public Entity, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under a contract with any Public Entity, and may not transact business with any Public Entity for a period of 36 months from the date of being placed on the convicted vendor list. Any person must notify the PSD within 30 days after a conviction of a Public Entity crime applicable to that person or to an affiliate of that person. Page 7 of 14

E. Contract: The selected CONSULTANT shall be expected to execute a St. Andrews PSD contract negotiated in accordance with PSD Policies and Procedures. This agreement may be terminated by the PSD for its convenience upon thirty (30) days prior written notice to the Consultant. F. Insurance: (a) The selected professional shall during the term hereof maintain in full force and effect the following insurance: (i) a comprehensive general liability policy of insurance for bodily injury, death and property damage insuring against all claims, demands or actions relating to the professional s performance of services pursuant to this agreement with a minimum combined single limit of not less than $1,000,000.00 per occurrence for injury to persons (including death), and for property damage; (ii) policy of automobile liability insurance covering any vehicles owned and/or operated by professional, its officers, agents, and employees, and used in the performance of this agreement with policy limits of not less than $500,000.00 combined single limit and aggregate for bodily injury and property damage; (iii) statutory Worker s Compensation Insurance at the statutory limits and Employers Liability covering all of professional s employees involved in the provision of services under this agreement with policy limit of not less than $500,000.00; and (iv) Professional Liability covering negligent acts, errors and omissions in the performance of professional services with policy limit of not less than $2,000,000.00 per claim and $2,000,000.00 in the aggregate. (b) All policies of insurance shall be endorsed and contain the following provisions: (1) name the PSD, its officers, and employees as additional insureds as to all applicable coverage with the exception of Workers Compensation Insurance and Professional Liability; and (2) provide for at least thirty (30) days prior written notice to the PSD for cancellation of the insurance; (3) provide for a waiver of subrogation against the PSD for injuries, including death, property damage, or any other loss to the extent the same is covered by the proceeds of insurance, except for Professional Liability Insurance. The Professional shall provide written notice to the PSD of any material change of or to the insurance required herein. Page 8 of 14

(c) All insurance companies providing the required insurance shall be authorized to transact business in South Carolina and rated at least A by AM Best or other equivalent rating service. (d) A certificate of insurance and copies of the policy endorsements evidencing the required insurance shall be submitted prior to commencement of services and upon request by the PSD. Indemnification PSD SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR INJURY OF ANY KIND OR CHARACTER TO ANY PERSON OR PROPERTY ARISING FROM THE SERVICES OF THE PROFESSIONAL PURSUANT TO THIS AGREEMENT. PROFESSIONAL HEREBY WAIVES ALL CLAIMS AGAINST PSD, ITS OFFICERS, AGENTS AND EMPLOYEES (COLLECTIVELY REFERRED TO IN THIS SECTION AS PSD ) FOR DAMAGE TO ANY PROPERTY OR INJURY TO, OR DEATH OF, ANY PERSON TO THE EXTENT ARISING AT ANY TIME AND FROM ANY CAUSE OTHER THAN THE NEGLIGENCE OR WILLFUL MISCONDUCT OF PSD OR BREACH OF PSD S OBLIGATIONS HEREUNDER. PROFESSIONAL AGREES TO INDEMNIFY AND SAVE HARMLESS PSD FROM AND AGAINST LIABILITIES, DAMAGES, CLAIMS, SUITS, COSTS (INCLUDING COURT COSTS, REASONABLE ATTORNEYS FEES AND COSTS OF INVESTIGATION) AND ACTIONS OF ANY KIND BY REASON OF INJURY TO OR DEATH OF ANY PERSON OR DAMAGE TO OR LOSS OF PROPERTY TO THE EXTENT CAUSED BY THE PROFESSIONAL S NEGLIGENT PERFORMANCE OF SERVICES UNDER THIS AGREEMENT OR BY REASON OF ANY NEGLIGENT ACT OR OMISSION ON THE PART OF PROFESSIONAL, ITS OFFICERS, DIRECTORS, SERVANTS, EMPLOYEES, REPRESENTATIVES, CONSULTANTS, LICENSEES, SUCCESSORS OR PERMITTED ASSIGNS (EXCEPT WHEN SUCH LIABILITY, CLAIMS, SUITS, COSTS, INJURIES, DEATHS OR DAMAGES ARISE FROM OR ARE ATTRIBUTED TO NEGLIGENCE OF THE PSD, IN WHOLE OR IN PART, IN WHICH CASE PROFESSIONAL SHALL INDEMNIFY PSD ONLY TO THE EXTENT OR PROPORTION OF NEGLIGENCE ATTRIBUTED TO PROFESSIONAL AS DETERMINED BY A COURT OR OTHER FORUM OF COMPETENT JURISDICTION). THE PROFESSIONAL S OBLIGATIONS UNDER THIS SECTION SHALL NOT BE LIMITED TO THE LIMITS OF COVERAGE OF INSURANCE MAINTAINED OR REQUIRED TO BE MAINTAINED BY PROFESSIONAL UNDER THIS AGREEMENT. G. Limitations: This request does not commit the PSD to the award of a contract or to pay any costs incurred in the preparation for a response to this request. There is no obligation on the part of the PSD to select and award any submitting response or to any firm or individual submitting a response. No work is guaranteed under this RFQ. A professional services agreement will be negotiated with the selected firm which will not guarantee any work either. H. South Carolina Statutes: All offers are advised that under Open Records Act/South Carolina Public Information Act, all responses are deemed a public record and opened to public scrutiny as provided for in said statute. I. Annual Appropriations: The PSD s performance and obligation to pay under a contractual agreement is contingent upon annual appropriation of funds. J. Conflict of Interest: All vendors must disclose in their RFQ, the name of any officer, director or agent who is also an employee of the St. Andrews PSD, or any of its agencies. Furthermore, all vendors must disclose the name of any PSD employee who owns, directly or indirectly, an interest of ten (10%) or more or $15,000 of the firm s market value in the vendors firm or any of its subs/branches. K. Financial Ability: The selected vendor may be required to demonstrate financial stability as evaluated at the sole discretion of the St. Andrews PSD. L. Evaluation of Submittal Criteria: Points are selected and evaluated at the discretion of the Selection Committee in accordance with the evaluation criteria outlined in section III of these specifications. Recommendations are submitted to PSD Commission for final approval. M. Utilization of Contract By Other Entities: If mutually agreeable to the Vendor, other governmental entities may wish to utilize a piggyback to this agreement subject Page 10 of 14
