1 TRUSTEES OF THE GOVERNOR WILLIAM STOUGHTON TRUST REQUEST FOR QUOTES FOR THE PROCUREMENT OF APPRAISAL SERVICES The Trustees of the Governor William Stoughton Trust (hereinafter the Trustees ) issue this Request for Quotes for the procurement of appraisal services to estimate the fair market value of a parcel of land held by the Trustees for the Town of Milton, which the Trustees desire to lease or to sell, subject to appropriation by Milton Town Meeting. Specifications and Quote forms may be obtained in the Office of the Milton Town Administrator, 525 Canton Avenue, Milton, MA 02186, beginning at 11:00 A.M. on Thursday, March 24, Quotes will be received until 12:00 P.M. (noon) local time, on Friday, March 25, 2011, at the Office of the Milton Town Administrator, 525 Canton Avenue, Milton, MA All Quotes shall comply with the Request for Quotes issued by the Trustees. The Trustees reserve the right to waive any informality in or to reject any, any part of, or all Quotes in the best interest of the Governor William Stoughton Trust. 2 Section 1: INSTRUCTIONS TO PERSONS SUBMITTING QUOTES In accordance with the provisions of Chapter 30B of the Massachusetts General Laws, the Trustees of the Governor William Stoughton Trust, Milton Town Office Building, 525 Canton Avenue, Milton, MA 02186,, hereinafter the Trustees, or the Awarding Authority ), invites written quotes for the procurement of appraisal services to estimate the fair market value of a parcel of land held by the Trustees for the Town of Milton, which the Trustees desire to lease or to sell, subject to appropriation by Milton Town Meeting. This Request for Quotes may be obtained from the Office of the Town Administrator, Milton Town Office Building, 525 Canton Avenue, Milton, MA 02186, Monday through Friday, between 8:30 A.M. and 5:00 P.M. local time, beginning on Monday, March 14, No formal Pre-Quote Conference will be held. Questions regarding this Request for Quotes shall be submitted in writing and shall be delivered to the Office of the Town Administrator by at by the close of business (5:00 P.M. local time) on Friday, March 18, Questions shall be received by that date. Any questions requiring consideration shall be answered in an addendum delivered to all persons obtaining this Request for Quotes. Questions presented after this time shall not be considered. Inquiries will not be answered directly. The Trustees will issue an addendum to address the written questions submitted by the aforementioned deadline. Any addenda will be issued via to interested persons submitting a Quote; therefore, persons submitting a Quote shall provide a valid address. Written quotes, marked Quote for Appraisal Services shall be received by 12:00 P.M. (noon), local time Friday, March 25, 2011 at this address: Office of the Milton Town Administrator Milton Town Office Building 525 Canton Avenue Milton, MA The name, address and contact phone number for each person submitting a Quote shall be clearly visible from the outside of each sealed envelope. The clock in the Office of the Milton Town Administrator shall be considered official. No late Quotes shall be accepted. No faxed Quotes shall be accepted. Any Quotes submitted shall be binding for sixty (60) days subsequent to the time for submission of Quotes. The Trustees may cancel this Request for Quotes, may waive, to the extent allowed by law, any informalities, and may reject any and all Quotes, if the Trustees, in 2 of 22

3 their sole discretion, determines said action to be in the best interest of the Governor William Stoughton Trust. The Trustees may reject as non-responsive any Quote that fails to satisfy any of the Quote Submission Requirements.) Subject to M.G.L. c.30b, 4, the Town will award one (1) Contract, if at all, within thirty (30) days of the submission deadline for receipt of Quotes. Nothing in this Request for Quotes will compel the Trustees to award a Contract. Submission of a Quote shall be conclusive evidence that the person submitting the Quote has examined this Request for Quotes and is familiar with all the conditions of the proposed Contract. Upon finding any omissions or discrepancy in this Request for Quotes, each person submitting a Quote shall notify the Trustees immediately so that any necessary addenda may be issued. Failure of a person submitting a Quote to investigate completely the Request for Quotes and/or to be thoroughly familiar with this Request for Quotes shall in no way relieve him/her/it from any obligation with respect to the Quote. Changes, modifications or withdrawal of Quotes shall be submitted in writing to the Procurement Officer prior to the deadline and shall be contained in a sealed envelope clearly marked CORRECTION, MODIFICATION OR WITHDRAWAL OF QUOTE FOR APPRAISAL SERVICES/GOVERNOR WILLIAM STOUGHTON TRUST PROPERTY. No corrections, modifications, or withdrawal of Quotes shall be permitted after Quotes have been received. Any person who enters into a Contract with the Trustees pursuant to this Request for Quotes shall be responsible for obtaining, at its own expense, all appropriate federal, state and local permits, licenses and approvals. The Trustees may terminate any such Contract upon written notice to the responsible and responsive party submitting the lowest Quote if a source of money to fund the Contract is lost during the Contract term. In the alternative, the parties may agree in writing to amend any such Contract to provide for a Contract price which represents a reduced appropriation for the Contract term. Massachusetts General Laws Chapter 30B, which is incorporated herein by reference, shall govern all procedures. For further information, please refer to the succeeding sections, with which each person submitting a Quote shall comply. Section 2: General Terms for the Procurement of Appraisal Services By a will dated July 6, 1701, former Governor William Stoughton gave to the Town of Milton approximately forty (40) acres of undeveloped land, the whole improvement thereof to be for the benefit of the poor of that Town as the Selectmen thereof shall judge best ( the Property ). The history of the Selectmen s stewardship of the Property can be obtained from the Trustees, c/o the Office of the Milton Board of 3 of 22

The Property presently consists of approximately thirty-four (34) acres and is located at the end of Governor Stoughton Lane in Milton, Massachusetts. The Property is shown on the Town of Milton Assessors Maps as Map K, Block 6, Lot 2. A detailed description of the subject property is available from the Trustees c/o the Office of the Milton Board of Selectmen, Milton Town Office Building, 525 Canton Avenue, Milton, MA The description of the property includes without limitation background information and conditions, reservations and restrictions which apply to the property, zoning information, environmental information, and site maps. The term of any proposed Lease is twenty (20) years. At the end of the initial twenty (20) year term the Lessee shall have the right to extend the term of the Lease for an additional period of ten (10) years, provided that the Lessee is not then in default of any of its obligations under the Lease, and subject to negotiation by the parties of the rent to be paid by the Lessee during such ten (10) year period. The Trustees invite written quotes for the procurement of appraisal services to estimate the fair market value of a parcel of land held by the Trustees for the Town of Milton the Property, which the Trustees desire to lease or to sell, subject to appropriation by Milton Town Meeting. The Town specifically seeks quotes for the following contracted services: To provide a complete self-contained appraisal report in accordance with the Uniform Standards of Professional Appraisal Practice (USPAP) as adopted by the Appraisal Foundation, as well as the standards and ethical rules of the Appraisal Institute, to estimate the market value of the property. Section 3. Pre-Quote Conference No formal Pre-Quote Conference will be held. Section 4. Quote Submission Requirements Each person submitting a Quote shall submit the following with his/her/its Quote: 1. 5 A. He/she/it is licensed by the Commonwealth of Massachusetts as a Certified General Real Estate Appraiser. He/she/it shall attach to the Quote Form copies of all applicable State and Federal permits, licenses, and approvals.) B. He/she/it shall have a minimum of ten (10) years of experience appraising land parcels in the South Shore of Boston, Massachusetts metropolitan area. (He/she/it shall attach to the Quote Form a short statement of the status of the business, the year of incorporation/commencement, a list of any name changes, and a list of any lawsuits pending against it.) C. He/she/it holds all applicable documentation and Insurance in accordance with this Request for Quotes. (He/she/it shall attach to the Quote Form copies of relevant insurance certificates hereto. Nothing in this provision, however, shall eliminate the requirement that the person submitting a Quote, if selected to enter into a contract with the Trustees, shall submit to the Trustees an endorsement or a rider in compliance with the Contract.) D. He/she/it shall attach to the Quote Form contact information for all clients over the last three (3) years as well as all current contracts (contact person, address and telephone number). E. He/she/it has not defaulted on any contract within the last five (5) years. F. He/she/it has suitable financial status to meet obligations incident to the work. (He/she/it shall attach to the Quote Form a financial statement that shows his/her/its present financial status. This information will not be considered a public record, pursuant to M.G.L. c.4, 7, cl. 26 th.) G He/she/it is registered with the Secretary of the Commonwealth of Massachusetts to do business in Massachusetts. (He/she/it shall attach to the Quote Form a copy of a Letter of Good Standing from the Secretary of the Commonwealth s Office.) H. He/she/it has not failed to perform satisfactorily on contracts of a similar nature. (He/she/it has not failed to perform satisfactorily on contracts of a similar nature.) I. He/she/it possesses the skill, ability and integrity necessary for the faithful performance of the work. 2. A fully executed Certificate of Non-Collusion. 5 of 22

6 3. A fully executed Certificate of Tax Compliance. 4. A fully executed Conflict of Interest Certification. 5. A fully executed Conflict of Interest Statement. 6. A fully executed Certificate of Corporate Person submitting a Quote, if applicable. 7. A fully executed Certificate of Compliance with M.G.L. c.151b 8. A fully executed Certificate of Non-Debarment. 9. A certificate of insurability from an insurance company that is licensed to do business in the Commonwealth of Massachusetts indicating that all the provisions of the specifications can be met. Section 5. Qualifications of persons submitting Quotes To be considered responsible and responsive, a person submitting a Quote shall meet the following minimum requirements: A. A person submitting a Quote shall comply with the Quote Submission Requirements set forth in Section 4 above. B. He/she/it is licensed by the Commonwealth of Massachusetts as a Certified General Real Estate Appraiser. He/she/it shall attach to the Quote Form copies of all applicable State and Federal permits, licenses, and approvals.) C. He/she/it shall have a minimum of ten (10) years of experience appraising land parcels in the South Shore of Boston, Massachusetts metropolitan area. Selection Process and Award For this procurement, Quotes submitted to the Trustees prior to the deadline will be reviewed by the Procurement Officer to determine compliance with the foregoing Quote Submission Requirements and this Request for Quotes. Pursuant to M.G.L. c.30b, 1, the term responsible shall refer to a person who has the capability to perform fully the contract requirements, and the integrity and reliability which assures good faith performance. Pursuant to M.G.L. c.30b, 1, the term responsive shall refer to a person who has submitted a Quote which conforms in all respects to the Request for Quotes. The Trustees will award one (1) Contract, if at all, to the responsible and responsive party submitting a Quote, who/which offers the lowest price. The Trustees will award a contract, if at all, within thirty (30) days of the deadline for receipt of Quotes, and the award of any contract pursuant to this Request for Quotes shall be subject to appropriation by Milton Town Meeting. For each procurement, nothing in this Request for Quotes will compel the Trustees to award a Contract. The Town may cancel this Request for Quotes, may waive, to the extent allowed by law, any informalities, and may reject any and all Quotes, if the Trustees, in their sole discretion, determines said action to be in the best interest of the Governor William Stoughton Trust. 8 For each procurement, no person or firm debarred, suspended, or otherwise prohibited from practice by any federal, state, or local agency shall be awarded a Contract. For each procurement, the successful person submitting a Quote shall provide certification of insurance coverage and shall be required to indemnify and hold the Trustees, the Governor William Stoughton Trust and the Town of Milton harmless (see below for more information). For each procurement, the successful person submitting a Quote shall be required to execute a Contract in a form of the attached document. The successful person submitting a Quote shall, within ten (10) days after presentation thereof by the Trustees, execute a Contract in accordance with the terms of this Request for Quotes. Section 7. Insurance The successful person submitting a Quote shall be required to provide and to maintain throughout the term of any Contract and any extension or renewal thereof with the Trustees the following insurance with companies that are authorized and licensed in the Commonwealth of Massachusetts to issue policies for the coverages and limits so required: a. Workers' Compensation Insurance as required by the laws of the Commonwealth of Massachusetts and employer's liability insurance in the amount of $500,000/$500,000/$500,000. b. Commercial General Liability Insurance, $1,000,000 each occurrence and $2,000,000 aggregate limit. Commercial General Liability insurance shall include personal injury liability, broad form property damage liability, products/completed operations liability and broad form contractual liability. c. Automobile Liability Insurance, covering all leased, owned, non-owned, and hired vehicles - Combined single limit of $1,000,000. d. Professional Liability Insurance (Errors and Omissions Insurance included) - $1,000,000 each occurrence and $2,000,000 aggregate limit. Such coverage shall also be in effect for three (3) years from the date of final payment of the general contractor. e. Excess Liability Insurance, Umbrella Form - $2,000,000 each occurrence and $2,000,000 aggregate, which shall be following form, providing coverage over commercial general liability insurance, automobile liability insurance, and employer's liability under workers' compensation insurance. 8 of 22

The Trustees, the Governor William Stoughton Trust, and the Town of Milton shall be named as additional insureds on each such policy of Commercial General Liability Insurance, Excess Liability Insurance, Umbrella Form, and Automobile Liability Insurance. g. All certificates and policies provided by the party submitting a Quote shall contain the following provision: Notwithstanding any other provision herein, should any of the above policies be cancelled or materially amended before the expiration date thereof, the issuing company will mail thirty (30) days prior written notice thereof to the named certificate holder and to the Trustees of the Governor William Stoughton Trust, Milton Town Office Building, 525 Canton Avenue, Milton, MA 02186, before such cancellation or amendment shall take place. h. Certificates evidencing such insurance in five (5) copies shall be furnished to the Trustees, the Governor William Stoughton Trust, and the Town of Milton by the successful person submitting a Quote at the execution of any Contract. Such certificates shall not merely name the types of policy provided, but shall specifically refer to said contract and shall state that such insurance is as required by said contract. The successful person submitting a Quote shall make no claims against the Trustees, the Governor William Stoughton Trust, and the Town of Milton or their officers for any injury to any of its officers or employees or for damage to its equipment arising out of work contemplated by any contract. i. The successful party submitting a Quote shall also be required to provide to the Trustees, the Governor William Stoughton Trust, and the Town of Milton with his/her/its proof of insurance coverage endorsements or riders to the policies of commercial general liability insurance, automobile liability insurance, and excess liability insurance, umbrella form, which indicate that the Trustees, the Governor William Stoughton Trust, and the Town of Milton are named as additional insureds on each such policy. i. No insurance shall be obtained from an insurer which: (1) is not licensed to sell insurance in the Commonwealth of Massachusetts; (2) is not authorized to provide insurance as an excess or surplus lines insurer, and does not have a current Best s rating of A or better; or (3) is a risk retention group lawfully providing insurance to its members in Massachusetts. 9 of 22

10 j. Failure to provide and continue in force such insurance as aforesaid shall be deemed a material breach of any contract and shall operate as an immediate termination thereof. Section 8. Indemnification To the fullest extent permitted by law, the successful person submitting a Quote shall indemnify, defend, and hold harmless the Trustees, the Governor William Stoughton Trust, and the Town of Milton and all of their officers, employees, boards, commissions, committees, agents and representatives from and against all claims, causes of action, suits, costs, damages, and liability of any kind which arise out of the breach by the successful party submitting a Quote of his/her/its obligations under any contract, or the act or omission of the successful party submitting a Quote, his/her/its subcontractors, or their officers, employees, agents and representatives or anyone directly or indirectly employed by them, or anyone for whose acts or omissions they may be liable, regarding the work to be performed by the successful person submitting a Quote under any contract, or which arise out of the violation of any federal, Massachusetts or Town of Milton statute, by-law, rule, regulation, order or directive, or which relate to personal injury or property damage suffered by the successful Person submitting a Quote or any of his/her/its officers or employees regarding the subject matter of any contract. Said costs shall include, without limitation, reasonable legal costs, collection fees, and counsel fees incurred in defending any claim or suit that may be brought against the Trustees, the Governor William Stoughton Trust, and the Town of Milton and any judgment that may be obtained in any such claim or suit. Neither the Trustees, the Governor William Stoughton Trust, and the Town of Milton, nor their officers, employees, boards, committees, commissions, agents and representatives shall be under any personal obligation or incur any personal liability by reason of any contract, the execution thereof or anything relating thereto which arises out of the breach or violation of any provision of any contract, or the violation of any Federal, Massachusetts or Town of Milton statute, by-law, rule, regulation, order or directive, or which relates to personal injury or property damage suffered by the successful party submitting a Quote or his/her/its employees, regarding the subject matter of any contract. As used in this subsection the word "person'' shall mean any natural person, joint venture, partnership, corporation or other business or legal entity. The person submitting a Quote further certifies under penalty of perjury that the said person submitting a Quote is not presently debarred from doing public construction work in the Commonwealth of Massachusetts under the provisions of section twenty-nine F of chapter twenty-nine, or any other applicable debarment provisions of any other chapter of the General Laws or any rule or regulation promulgated thereunder. The person submitting a Quote has not given, offered, or agreed to give any gift, contribution, or offer of employment as an inducement for, or in connection with, the award of a Contract pursuant to this Request for Quotes. 2. No consultant to, or subcontractor for, the person submitting a Quote has given, offered, or agreed to give any gift, contribution, or offer of employment to the person submitting a Quote, or to any other person, corporation, or entity as an inducement for, or in connection with, the award to the consultant or subcontractor of a Contract by the person submitting a Quote. 3. No person, corporation, or other entity, other than a bona fide full time employee of the person submitting a Quote has been retained or hired to solicit for or in any way assist the person submitting a Quote in obtaining the Contract (pursuant to this Request for Quotes) upon an agreement or understanding that such person, corporation or entity be paid a fee or other compensation contingent upon the award of a Contract to the person submitting a Quote.
