MASSEY UNIVERSITY COLLEGE RESEARCH CENTRE AGREEMENT Agreement effective from: PARTIES: Between the Vice-Chancellor and the Pro Vice-Chancellor of the College of College of Sciences concerning the operation of the Massey University Research Centre to be known as the Centre for Parallel Computing, (referred to as The Centre in this Agreement) established on within the Institute of Information and Mathematical Science. 1. OBJECTIVES: 1. The Centre will enhance the University s research and teaching capacity and overall performance by contributing to the research outputs in an area relevant to the University s research strategy. 2. The Vice-Chancellor wishes to ensure that the Centre, which has primarily a research focus, maintains a close relationship with appropriate Colleges or Academic Units. The Vice-Chancellor believes that this will ensure that the Centre s activities are of maximum benefit to the academic and research programmes of the University. 3. To record the parties understanding as to the manner in which the Centre is operated. The specific guidelines for the operation of the Centre aim to ensure that there is agreement and understanding between all parties concerning the manner in which the Centre is to be operated. 4. To specify financial responsibility for the Centre. 5. This Agreement reflects the confidence of the University in the expertise of the researchers involved in the undertaking and the expectation that the University will derive substantial benefits from the establishment of the Centre. 2. THE CENTRE: There shall be constituted a Research Centre ( Title ) hereafter referred to as ( Initials ) with the following Mission: 3. TERMS: 1. The terms and conditions of this Agreement shall be read in conjunction with the University s policies and procedures, especially the Policy for Establishment and Operation of Research Centres. Any deviations from standard procedures are detailed in the attached schedules. 2. As a College Centre is not a separate cost unit, all of its operations will be carried out through the host Academic Unit. 3. Definitions detailed in the Policy for Establishment and Operation of Research centres will apply to this Agreement. 4. This agreement shall commence upon signing by the parties and shall continue in force for a period of three years (referred to as the Term from 1 January 2010. (establishment or review date) 5. Three months prior to the expiry of the Term, the parties shall meet to review this Agreement and determine the terms and conditions for continuation of the Centre. 6. The Centre s work programme is to be funded through external Contract and trading revenue and from Massey University sources. 7. The University regards the management of the Centre as important and shall use its best endeavours to ensure the quality of the management and operation of the Centre : a) The Centre shall have a director ( Director ) appointed by the Pro Vice-Chancellor on the recommendation of the Head of the host Academic Unit. b) The appointed Director of the Centre is this appointment will be for a period of 3 year(s) from the date of review of the Centre, and will be subject to annual performance review. 4. MANAGEMENT: The Director shall be responsible to the Pro Vice-Chancellor through the Head of the host Academic Unit for the overall management of the Centre s research including: Research leadership Quality control Co-ordinating the development of research funding applications, proposals and contracts Delivery of agreed research outputs Financial performance with regard to project accounts Monitoring of collective research outputs Publicity associated with the Centre Financial and activities reporting through the host Academic Unit 5. PERFORMANCE TARGETS: Any performance targets for the Research Centre will be specified in Schedule 2. 6. REPORTING: 1. The Head of the Academic Unit will ensure that the Director understands the importance of complying with University policies and procedures and requirements for financial and activities reporting. Details regarding other specific reports are outlined in Schedule 1. 2. The University agrees that, provided the Centre adheres to University policies, procedures and requirements for financial and activities reporting, and meets performance expectations; the University will accord the Centre financial and other support services through the host Academic Unit. 3. The Head of the Academic Unit will ensure that the Centre Director reports to the Pro Vice-Chancellor as and when required and as outlined in Schedule 1. 7. INTELLECTUAL PROPERTY: 1. It is acknowledged that a primary focus of the Centre will be to undertake research and develop national and international research and industry linkages in order to further research opportunities. 2. The Centre Director acknowledges the importance of retaining control and ownership of Intellectual Property and it is agreed that: The Centre shall comply with the University s policy on Intellectual Property; The Centre shall refer all opportunities for benefits from Intellectual Property to the University Director of Commercialisation through the Head of the Academic Unit; Any surplus of income over expenditure from the commercialisation of intellectual property, after meeting direct costs incurred in its development and any agreed sharing of profits with third parties, shall be disbursed according to the University s policy on Intellectual Property. 8. CONFIDENTIALITY: The Director acknowledges the importance of keeping information relating to the Centre and its activities confidential and agrees to adhere to any University policy on confidential information notified by the University from time to time. 9. RESEARCH FUNDING: 1. The Head of the Academic Unit will ensure that the Centre follows the University s policies and procedures, in particular the Delegations policy, in relation to research funding applications and proposals. 2. The Centre Director will not necessarily be involved in all or any Centre project as an investigator or contractor. 3. The Centre Director is responsible for ensuring the delivery of agreed research outcomes, and will have management systems in place to ensure outcomes are achieved. 4. Funds received by the University for Research Contracts shall be disbursed to the host Academic Unit(s) according to an agreed and approved budget. 5. On closure of a research contract account held by the Academic Unit, any surplus or deficit shall be disbursed to, or paid by, the Academic Unit. TEMPLATE Page 4 09/06/2011
10. SPECIFIC REQUIREMENTS: In addition to the requirements listed above, there are specific requirements that the Centre must meet which are set out in Schedule 2. In the event that there is any difference between the requirements set out in Schedule 2 and this Agreement, then Schedule 2 shall apply and prevail. Schedule 1 Reporting Requirements 1. Annual reports will be submitted to the Head of the Academic Unit by the due date using a template provided by the Research Centres Coordinator in Research Services. Once approved by the Head of the Academic Unit they will be forwarded by the Head of the Academic Unit to the Pro Vice-Chancellor and copied to the Research Centres Coordinator. The following matters will be covered by the report: Performance against Centre Objectives; A fully referenced list of all Research Outputs during the reporting period; Activities and Achievements publications, seminars, etc; Future opportunities and directions; Work in progress; List of PR accounts with balances associated with Centre members; and Other as relevant. 2.
