Private Client Investments Advice tailored to your personal circumstances Rowan Dartington offers a comprehensive service to our private clients including advising on, managing, buying and selling stocks, shares, unit trusts and a wide range of other financial instruments. We also provide extensive services in administering clients investments and cash, in financial planning, managing Individual Savings Accounts (ISAs) and many ancillary activities. We offer all of the services because we recognise that every client has different goals and objectives for their finances from finding tax-efficient ways to invest a lump sum through to setting up a comfortable retirement in every case the investment solution we create will reflect your goals and objectives. In order to create a personal portfolio service, your Investment Executive will focus on the details of your financial background and your plans for the future so that they can suggest the best service and solution for you. You will also have the reassurance of knowing that we are completely independent, having no ties to any fund managers, banks or financial institutions and our Investment Executives are free to search across a wide range of the markets to find the investment solution that suits you. Looking after your investments When putting together a service for clients, our Investment Executives are guided by our clear and consistent portfolio management process and top-class investment research. Rowan Dartington has a dedicated in-house research team which in all market conditions are continually monitoring, discussing and making decisions on behalf of our clients to ensure the portfolios we look after are in line with their objectives. Our investment services Discretionary management services This service is ideal if you want to delegate the day-to-day management of your portfolio to a trusted and experienced investment specialist, safe in the knowledge that he or she will be acting in your best interests at all times. Your Investment Executive will discuss your requirements, your attitude to risk and your investment objectives, and create an investment portfolio that suits your needs. As market conditions and your needs change, your Investment Executive will adjust your portfolio accordingly. We will carry out all the administration and keep you informed with regard to the performance of your portfolio and any changes we make. Advisory services If you like to be involved in the management of your assets but require advice about suitable transactions this service may be for you. ADVISORY MANAGED SERVICE This service is designed for clients that require advice on both the structure of their overall portfolio and individual investments. We will advise you on the composition of your portfolio on an on-going basis taking into account your investment objectives and risk profile. ADVISORY DEALING SERVICE We provide this service for clients that do not wish to have a comprehensive portfolio management service but who may require advice on individual stocks from time to time. We will advise you, taking into account your investment objectives and risk profile. We will make recommendations to you, where appropriate, but will only act on your instructions and do so without reference to your portfolio, or other investments, as a whole. Execution only services This service is for the investor who knows exactly what they want to buy and sell and when. No advice is provided but we deliver a straightforward dealing facility. Our investment services Tax-efficient investing Wherever possible we want to ensure that your investments are held in the most tax-efficient way. With Rowan Dartington, you ll have access to an Individual Savings Account (ISA) and we can provide investment management for your Self Invested Personal Pension (SIPP), Small Self- Administered Scheme (SSAS) or Offshore Bond. ROWAN DARTINGTON ISA The Rowan Dartington ISA allows you to invest up to your full annual subscription in a stocks and shares ISA. This can be invested in direct equities and/or bonds as well as collective funds such as unit trusts. SIPP AND SSAS MANAGEMENT Rowan Dartington focuses purely on your investment management needs, in order to achieve your retirement planning objectives. This allows you to continue existing relationships with your preferred SIPP or SSAS provider. We will work together with these companies to ensure a complete service is provided. OFFSHORE BONDS Again Rowan Dartington will focus purely on your investment management needs, in order to achieve your investment objectives. We will work together with your Offshore Bond provider to ensure a complete service is provided. Capital gains service As part of our portfolio management service we can offer a fully integrated capital gains taxation service, to ensure that we maximise your annual allowances where possible. We will work in conjunction with you or your accountant and can take into account other gains or losses made on assets that you hold outside of our management if necessary. Charities and trusts - services for trustees Recent legislation has firmly placed the responsibility for the investments held by charities and trusts with their trustees. We can offer a specialist service that works with trustees to ensure that the underlying investments of your charity or trust fulfil their objectives and meet your obligations. 10 - Company Overview

Probate service We understand that probate valuations can be costly, complicated and time consuming. We can provide a fast and cost effective administration service to reduce the workload of probate work for law firms and private clients. Inheritance tax service At Rowan Dartington we have developed a service that helps you mitigate your Inheritance Tax liability. This service has very specific criteria in order to qualify for the tax relief and involves investing into the Alternative Investment Market (AIM). This is a specialist area and we would work closely with you to explain all of the risks and benefits involved. Company Overview - 11

Portfolio Management Our approach Investors at Rowan Dartington benefit from a client centred approach to portfolio management. The objectives, risk profile and requirements of each client are defined and the parameters within which the portfolio will be managed are set. Objective Before starting to build an investment portfolio it is very important to agree on your investment objective. The examples below are the most commonly agreed objectives: Invest for capital growth with no need for an income from the investments. Invest for income but with an eye on the capital value in order to achieve longer term income growth. Invest with a balance between income and capital growth. This does not generate an income as high as in a portfolio focussed purely on income.

Risk profile The next stage is to ascertain the level of risk you wish to embrace. This is never as easy as it sounds because perceptions of risk vary from person to person and changing personal circumstances and the economic environment can also affect your attitude to risk. We work with you to establish a clear understanding of your risk profile and ensure your portfolio is aligned with your expectations. How do we select investments? At Rowan Dartington we have a specialist in-house research team who apply the rigorous process that underpins our actions; we draw on source material and third party research from a large number of external market participants. In addition, there are two separate committees: The Asset Allocation Committee The Investment Committee The Asset Allocation Committee defines the house view at a macroeconomic level and determine our views on equities, fixed interest and alternatives, whilst also driving the investment process at a geographic and sector level. The Investment Committee translates the prevailing asset allocation view into appropriate investment selections at a portfolio level. The investments we select for our portfolios are largely equities and fixed interest securities (bonds). Equities may be held directly or through collective investments (Exchange Traded Funds (ETFs), Investment Trusts, Unit Trusts or OEICS); likewise fixed interest holdings can be directly held, for example UK Government Gilts or again via collective investments. In addition to equities and fixed interest we may invest in commodities such as gold or precious metals, or other alternatives such as property via a collective investment. All our recommendations will be carefully assessed on the basis of risk and suitability for client portfolios and consistency with the output of our Asset Allocation and Investment Committees. Creating your portfolio 14 - Company Overview

Asset allocation This establishes which types of investment best suits your objectives and risk profile and sets guidelines for your Investment Executive to work within. Examples are equities, fixed interest, cash and alternatives such as property. This provides a disciplined framework against which we monitor the performance of your investment. It allows us to change investments as and when we see opportunities or to become more defensive if needed. Typically a portfolio will include a mixture of UK Equity, Overseas Equity and Fixed Income securities, all of which have varying performance characteristics. The proportional weighting of each asset class within the portfolio is driven by a combination of the investment objectives and risk profile. Portfolio construction & monitoring Having agreed the appropriate risk profile, objective and weighting for each asset class, the individual investments can begin to be purchased and we can build your portfolio. This can be a gradual process as we sometimes favour drip-feeding funds into the market rather than investing all the funds immediately, as we attempt to use market timing potentially to our advantage. Establishing and building the initial portfolio is of course only the first step in the process of portfolio management. The next stage is to manage the portfolio on an on-going basis, adjusting it to any changes in your life that may alter your objectives or appetite to risk. We continually monitor all of the investments in our portfolios ensuring that we remain convinced of their quality and value and that their outlook is positive and in line with the objective of the portfolios within which they are held. We continually look for new opportunities and will replace an existing investment if we find a superior alternative. This monitoring process is on-going and our proprietary Portfolio Management System (PMS) allows us to monitor our client portfolios and to make changes across portfolios in an easy, quick and timely manner. We monitor portfolios in four dimensions; asset allocation, portfolio risk, investment risk and geographical allocation. If you have one or more existing portfolios that you wish to transfer to Rowan Dartington this can be accommodated and we will apply all the processes and steps discussed above to realign it to our investment process. Our in house research team The universe of investment opportunities is complex and constantly evolving. To ensure we remain at the forefront of all developments, our research specialists provide objective analysis on UK equities (company shares), investment funds (Unit Trusts and OEICs) and fixed income securities. Rowan Dartington has no ties to any fund managers, banks or financial institutions and our research team is able to examine the whole market to find investments that suit you. Equity research We thoroughly research all potential investment ideas and constantly review holdings against the ever-changing economic and financial background. Collective research When researching collective investments we like to meet the manager and the investment team. We look at the investment process they employ, the factors they place greatest emphasis on, how they analyse their underlying investments, how they construct their portfolios, how they decide to sell investments and much more. A fund can then be compared with others that have a similar objective. Historical performance is of course assessed, along with the macro outlook for the economy and hence the fund. With all this information we are in a good position to decide if the fund is suitable for our clients. Fixed income research We also have a highly experienced fixed income team generating research on the main bond markets in both the UK and overseas, encompassing government, index linked and corporate bonds. Clear & comprehensive service 01 02 Valuations & reports Clients receive a regular valuation report every six months but can request for these to be issued more frequently if preferred. Online access We also offer portfolio access through our secure website where up to date valuations can be viewed at any time and printed for future reference. 03 Tax Information Clients can receive a comprehensive tax schedule at the end of the tax year which includes a tax certificate for UK and overseas income, a schedule of transactions and UK capital gains tax calculations. 18 - Company Overview

Security of your assets 20 - Company Overview

Security of your assets Nominee Services Rowan Dartington uses a nominee company to register and administer holdings on our clients behalf. This minimises the paperwork and speeds up settlement of transactions, without affecting ownership. Our nominee company is a separate legal entity from Rowan Dartington. Our nominee company is run in accordance with the Financial Conduct Authority rules (FCA). Crest personal membership account Crest is the central electronic settlement system for the London Stock Exchange and most UK equities are held in Crest. A Crest personal membership account allows you to have all Crest eligible assets held in electronic form in Crest, but your name is retained on the register with the company. This enables you to receive all dividends and company reports direct from the company. Also, as the assets are held electronically, you are no longer required to sign transfer forms to settle trades. This is available to advisory clients for all their investments if they wish to retain regular communications. Financial Services Compensation Scheme Whilst your investments with Rowan Dartington are looked after, you should also be aware that as a client of an FCA-authorised firm, you are covered by the Financial Services Compensation Scheme (FSCS). The FSCS is the UK s statutory customer compensation fund. This means that FSCS can pay limited amounts of compensation to customers if a firm is unable, or likely to be unable to pay claims against it. FSCS is an independent body, set up under the Financial Services and Markets Act 2000 (FSMA). Its service is free to customers. Insurance Protection In addition, Rowan Dartington has specialist insurance cover in place to protect us and our clients from fraud, misappropriation, theft, loss or damage to any client s assets in our custody and control which includes securities and cash.
