AT&T Corporate Co-Pay for Equipment Program End User Handout Introduction Welcome to the AT&T Corporate Co-Pay for Equipment Program ( Program ). Your employer has made the Program available to you, and the information contained in this End User Handout ( Handout ) will help you understand how the Program operates and how your wireless account will be impacted. Please read the Handout carefully in its entirety before enrolling in the Program. Corporate Co-Pay for Equipment Program Overview In general, the Program allows participating business customers to assume financial responsibility for approved wireless equipment purchases by their respective authorized employees. Under the Program, a participating business customer (the Company ) is billed for and pays for the wireless device (or wireless device and accessories) selected by each of its participating employees and approved by the Company with respect to each employee s enrolled wireless telephone number ( Number ), and each of the participating employees is billed for and pays all other amounts due under the employee s wireless account, including, without limitation, all service and all non-approved equipment charges. Equipment requests approved for payment by the Company are referred to in this Handout as Approved Equipment. This Handout will go on to provide greater detail into how the Program works, so please read on!

2 Eligibility Requirements and Acknowledgements IMPORTANT! There are several requirements for you to participate in the Program: Your Company must authorize you to participate in the Program. If you do not already have wireless service with AT&T, you must (a) sign up for qualified wireless voice and/ or data service as an Individual Responsibility User ( IRU ) with a personal account, and you must agree to AT&T s Wireless Customer Agreement for consumers; and (b) enroll in the Program by providing a Company-provided authorization code and following AT&T s other policies and procedures. In most cases, you must be a current employee of your Company in order to subscribe to service as an IRU. If you are already an AT&T subscriber (consumer or IRU), you may still need to change your plan and/or establish a new IRU account, as explained in more detail in the Enrollment section of this Handout. In order to be eligible to enroll in the Program: --you must be the IRU account holder; --the Number you wish to enroll must be the primary line of service on your account; --you cannot have purchased wireless equipment under an AT&T Next SM installment agreement with respect to any Number under your account;* and --you must not be enrolled in any other flexible or combined billing program offered by AT&T (e.g., combined wireline/wireless billing or Split Liability Billing). * AT&T Next is incompatible with the Program. After your account is set up and your Number is enrolled in the Program, you may take advantage of AT&T Next for qualified equipment purchases with respect to other Numbers associated with secondary lines under your account, but, due to systems limitations, the enrolled Number cannot be associated to equipment that is subject to an AT&T Next installment agreement. You understand that the Program impacts your wireless account in how you are billed for wireless equipment, and what will happen if you or your Company fail(s) to pay or decide(s) to terminate participation in the Program (all as explained in this Handout). You understand that your Company determines which types of wireless equipment and accessories, if applicable, are eligible for approval under the Program. In addition, you understand that your Company determines whether it will approve equipment orders for more than one of your lines of service and whether Approved Equipment will be shipped to a Company address or to your address. By agreeing to participate in the Program, you understand that your Company will have access to your name, wireless phone number, Approved Equipment make/model, and upgrade eligibility date, but not to any detailed information about your wireless service usage. Charges and Financial Responsibility Under the Program, your Company will pay for the Approved Equipment, together with all applicable taxes and shipping costs (if any), and you will pay for all other amounts you incur under your wireless account, including without limitation service charges, charges for non-approved equipment, and all applicable taxes, fees, assessments and surcharges. NOTE: The equipment billing solution presented by the Program is a benefit provided to you solely as a result of your Company s business agreement with AT&T and may be modified or discontinued at any time.

3 Invoices and Other Billing Matters Each month you will receive an invoice for your wireless account. You are responsible to pay the amount listed under TOTAL CHARGES for the current billing cycle. During your participation in the Program, when you purchase Approved Equipment (either at the time of initial activation and enrollment in the Program or in connection with a subsequent equipment upgrade), the Total Charges amount indicated on your corresponding monthly invoice will not include the Approved Equipment amounts invoiced to your Company. Enrollment The following steps are required to enroll in the Program: 1. To participate in the Program, you must obtain your Company s authorization from its designated representative. If you are authorized to participate, your Company will provide you with the applicable Program authorization code, which you must use to enroll in the Program. NOTE: Your Company may also require an additional identification number or password to be used in conjunction with the required authorization code. 2. If you are not already an AT&T consumer or IRU subscriber, you will need to determine your wireless service needs and subscribe to wireless service from AT&T as an IRU. If you have an existing consumer or IRU account with AT&T, you will need to establish a new IRU account (with a new account number) and/or change your plan if you (a) are currently billed in arrears, or (b) your current rate plan is not available in AT&T s National Billing Instance (a.k.a. NBI) system. In such cases, your existing account will be closed out, and you will receive a final invoice for any remaining balance on that account; you will also receive a new IRU account with a new account number. PLEASE NOTE: Any unused Rollover Minutes associated with your old account cannot be transferred to your new IRU account and will be lost. In addition, your equipment upgrade eligibility status may not carry over to your new IRU account. You will also need to establish a new IRU account and/or change your plan if you already have wireless service with AT&T but your wireless phone number is associated with a secondary line of service on someone else s AT&T account. In such cases, you must follow AT&T s standard policies and procedures to transfer service into an IRU account for which you are financially responsible. You must be the account holder in order to enroll in the Program. NOTE: You may need to provide standard credit information required of AT&T consumer customers to obtain approval, if you are not already an AT&T wireless subscriber. 3. You will need to read this Handout and discuss any questions or concerns with your Company before enrolling in the Program via the AT&T Premier Enterprise Portal for your Company ( Premier ). The Program is only available through Premier. Please be aware that your order(s) for wireless service and equipment may be delayed as a result of your participation in this Program. Before your IRU order for wireless equipment (either new activation or upgrade) can be processed, AT&T will seek your Company s approval of your equipment selection. If your

4 Company approves your equipment selection within the required thirty (30) day timeframe, AT&T will proceed to process your order. However, if your Company has specified a Company address as the ship to address, your receipt of your order may be further delayed, as your Company will have responsibility for distributing the Approved Equipment to you following delivery to the specified address. If your Company rejects your equipment selection (or fails to approve it within the thirty (30) day timeframe), AT&T will notify you so that you can either (i) request Company approval of a new equipment order, or (ii) proceed with a non-approved equipment order for which you will be personally liable. Program Termination Participating in the Program will change how you are billed for Approved Equipment. Please read and understand this section carefully before agreeing to participate. 1. Your Company Terminates Program Participation Your ability to participate in the Program is entirely dependent on your Company s willingness to participate in the Program and pay for your wireless equipment. If your Company notifies AT&T that it no longer wants to participate in the Program, then, within two (2) billing cycles, AT&T will terminate your Company s participation in the Program. Upon such termination, your participation in the Program will cease as well, and, except for Approved Equipment amounts already invoiced to your Company, your Company will no longer have any financial responsibility for additional wireless equipment costs you incur. Under such circumstances, you will retain your wireless account, subject to the terms of your service agreement, and you will remain liable for all amounts you incur under your individual account, including, without limitation, all equipment charges. If your Company no longer wants you to participate in the Program, your Company will either reject all subsequent orders you submit for approval through the Program or establish a new authorization code for use by those IRUs who are still eligible for the Program. Under such circumstances, you will retain your wireless account, subject to the terms of your service agreement, and you will remain liable for all amounts you incur under your individual account, including, without limitation, all equipment charges. 2. You Fail to Pay Your Bill If you fail to timely pay for amounts due under your individual account, then you are ineligible to participate in the Program, and AT&T will follow its standard processes and procedures to suspend or terminate all wireless service under your account. 3. Your Company Fails to Pay for the Approved Equipment If your Company fails to timely pay for your Approved Equipment amounts, then AT&T may immediately terminate your Company s (and your) participation in the Program. Under such circumstances, you will retain your wireless account, subject to the terms of your service agreement, and you will remain liable for all amounts you incur under your individual account, including, without limitation, all equipment costs.

5 4. You Want to Terminate Program Participation You may terminate your Program participation at any time by ceasing to use the Company-provided authorization code to access the Program via Premier. You will retain your wireless account, subject to the terms of your service agreement, and you will remain liable for all amounts you incur under your individual account, including, without limitation, all equipment costs. 5. AT&T Cancels the Program AT&T may discontinue the Program upon thirty (30) days notice. Except for Approved Equipment amounts already invoiced to your Company, your Company will no longer have any financial responsibility for your wireless equipment costs upon any such Program discontinuation. Under such circumstances, you will retain your wireless account, subject to the terms of your service agreement, and you will remain liable for all amounts you incur under your individual account, including, without limitation, all equipment costs.
