Comprehensive assistance to the extent of conducting a due diligence analysis of the selected companies, preparation and negotiation of relevant agreements, including the acquisition of shares, stock, organized parts of an enterprise, establishment of collaterals, joint-venture agreements and other similar activities. n Reckitt Benckiser: legal assistance related to transaction projects, including: renegotiating privatization agreements between Joh A. Benckiser and the Treasury for the purchase of the plant in Nowy Dwór Mazowiecki, capital group restructuring, the acquisition of Boots Healthcare, investments in new production facilities, separating of the production part and transfer to the new company, compulsory acquisition of minority shareholders. 8

9 Our Experience - selected transactions n Ringier Axel Springer: legal assistance in investment projects within the media industry, including in particular: tied transaction comprising the sale and purchase of a package of a dozen newspapers, projects of acquisition of newspapers and selected websites, a project related to the launch of the Dziennik and dziennik.pl website. Representation during negotiations and conclusion of contracts. Legal assistance in a merger transaction between two sales and advertising offices belonging to Ringier Axel Springer Polska, the largest media group in Europe and Onet Group, the largest internet group in Poland, creating a new entity under the name of Media Impact Polska, the largest integrated sales company in Poland in the media sector. n Salamanca: daily legal assistance concerning the business activity of the investment fund focused mainly on the real estate market in Central and Eastern Europe, including the due diligence process of potential investment targets, i.e., real estate and companies, negotiating and drafting sales agreements and other investment contracts. Legal assistance in corporate, commercial, tax and investment matters. n Samsung Electronics: legal assistance to the holding in all matters including corporate law, antimonopoly and competition law, public procurement, contractual law, administrative law and compliance. Legal support concerning new investments. n Schooner Capital, Vincent J. Ryan, Atlantic Investment Partners: representation of the American fund in an international arbitration project of the American investor against the Republic of Poland for a lost investment based on the Bilateral Investment Treaty between the USA and Poland. The claim is linked with the largest bankruptcy in Polish history resulting from Poland's inability to grant foreign investors appropriate protection and fair and equitable treatment. The investor, despite various actions undertaken, went bankrupt and was expropriated. As a result, the investor decided to raise an arbitration claim against Poland for compensation for the lost investment. The dispute is being dealt with by the arbitration tribunal formed at the International Centre for Settlement of Investment Disputes in Washington DC, USA. The case is closely linked with corporate and bankruptcy practice. Proceedings have been concluded before the Paris Arbitration Tribunal. n SEKAB Biofuels and Chemicals: legal assistance to the Swedish investor regarding the Polish bio-fuel manufacturer, Bioagra S.A. Legal assistance regarding the sale and purchase of shares, setting up the shareholder structure, financing and refinancing and collateralizing daily operations of the Polish business. n Siódemka S.A. (DPD): legal assistance on debt and corporate restructuring of a leading courier enterprise in Poland, linked with its merger with the majority shareholder and re-financing and collateralizing of existing debt. Legal assistance in connection with drafting and negotiating various restructuring arrangements. Representation before the Office of Competition and Consumer Protection (UOKIK) and protection of the management board during merger control proceedings in the process of acquisition of Siódemka S.A. by DPD. n Techmex: advising on the transactions with the Military Property Agency participation regarding the increase of share capital in a subsidiary company (public private partnership) and debt restructuring this company to Techmex. n Tata Global Beverages (previously Tetley): on-going advice to a British company on corporate and commercial matters, as well as on the acquisition transactions of Polish companies and financing projects. n Westport Capital: legal assistance to the US investment fund in the start-up of a business dealing with trading and distribution of frozen food. Our assistance covers inter alia: Polish companies set ups, purchase of several hectares of land in a special economic zone for the purposes of a central warehouse construction, acquisition of several local distributors, financing of the investment and other legal advice in daily matters. 9

Katarzyna provides legal advice with respect to civil and commercial law, as well as bankruptcy law. She is also experienced in providing comprehensive legal assistance pertaining to banking receivables, covering the drafting of statements of claim, motions and pleadings in civil proceedings, including payment-order proceedings and writ-of-payment proceedings, enforcement, enforcement warrant proceedings, and inheritance proceedings. She has also gained experience in representing clients before civil and criminal courts. Katarzyna is involved in the Litigation and ADR Practice, she primarily specializes in international investment arbitration. She advises foreign investors during investment disputes with a state, where an investment has been undertaken pursuant to Bilateral Investment Treaties. She possesses experience at all stages of the arbitration process, including but not limited to, fact-finding and evidence gathering, preparation of procedural strategy and any documentation required for the proceedings, representation before international investment tribunals and, provision of legal advice with respect to court proceedings related to the investment arbitration. 17

Karol specializes in commercial law and digitalization of the registration of business activities. He is highly experienced in proceedings before the National Court Register (KRS). He has advised on corporate issues related to the funding of NGOs including activities for the public good. He has participated in public sector procurement projects, in particular those in the medical and pharmaceutical sectors. Prior to joining the Firm, Karol worked at the Legal Department of the Ministry of Finance. 19

Michał specializes in commercial and investment arbitration, as well as international business regulations, disputes and arbitration. As a student, he represented the University of Warsaw and the New York University in numerous prestigious competitions in the field of investment and commercial (20th and 21st Willem C. Vis International Commercial Arbitration Moot, 5th Foreign Direct Investment International Moot). Currently he is an arbitrator in student arbitration competitions. During his studies at the University of Warsaw he received a scholarship as one of its best students and earned his master s degree summa cum laude. Prior to joining KZP, Michał König worked in many Warsaw offices of international law firms. He also completed his apprenticeship with the Constitutional Court. 20

Postgraduate studies in Competition Law, The Institute of Law Studies of the Polish Academy of Sciences. Polish, English, French. Karolina specializes in real estate, corporate and commercial law. She mainly deals with issues related to real estate and construction law. She drafts lease contracts, real estate sale and purchase contracts and pleadings, in particular in administrative, civil and corporate law. She has participated in the audits regarding real estate transactions and asset deals. She has experience in M&A, corporate restructuring and private equity. She drafts share sale and purchase contracts, confidentiality agreements, partnership agreements/articles of associations and documents related to ongoing services provided to companies, prepares analysis, recommendations to commercial contracts, as well as legal opinions for foreign investors on setting up and doing business in Poland. She has participated in a number of due diligence audits, in particular in the area of corporate, commercial, competition, labor, insurance and environmental protection law. Aneta specializes in corporate and civil (contract) law, civil proceedings, as well as bankruptcy and recovery law. She currently predominantly advises banks and other financial institutions. She conducts court, bankruptcy and enforcement cases. She possesses experience in providing advice in matters pertaining to civil law, with particular consideration of contract (the drafting of contracts, pleadings at various stages of civil and administrative proceedings, the preparation of legal opinions, and mediations), corporate, labor as well as criminal law. 22
