2 Live Downtown Employee Eligibility equirements pplicants must be regular employees of DE Energy. o Eligible applicants include both full-time and part-time employees (provided the employee works a minimum of 20 hours per week or 40 hours in a two-week pay period). ll regular full-time and part-time new hires are eligible to apply for housing incentive monies upon first day of employment. o his program is not open to individuals working in a temporary capacity, including individuals classified as consultants, contractors, co-ops, summer students, interns, or any other temporary classification. Eligible employees who take advantage of the home purchase program will be required to make a five-year commitment to remain employed with DE Energy and must maintain the home as their primary residence in order to take full advantage of the loan forgiveness provision. o Home purchase program loans are paid in a single lump sum payment of $20,000 and are forgiven on a pro-rated basis over a five-year period, as long as the participant is in compliance with the terms of the program. (efer to the ax Disclosure cknowledgement). o If the amount necessary for buying and closing on a home is less than $20,000, the employee will receive the extra money as cash paid directly to him/her. For example, if an employee only needs $15,000 to purchase and close on the home, the extra $5,000 will be paid directly to the employee and will be taxable immediately. he remaining monies remain taxable as described in the ax Disclosure cknowledgement. o If the participant has a separation of employment (either voluntary or involuntary), sells the home, no longer uses the home as their primary residence, forecloses, or the home is deemed uninhabitable, the participant must repay the total amount of the loan that has not yet been forgiven. rimary residency will be verified by Midtown Detroit, Inc. For rental properties, this will be on a quarterly basis before the rent payment is made to the landlord. he first rent subsidy will be paid at the beginning of the first full quarter which falls after the date on which the employee is approved for the program. For home purchases, this will be done on a yearly basis. o he employee must also make the property the primary address on file with DE Energy. For rental properties, this must be done before the first quarterly payment is made. For home purchases, this must be done within 60 days of the closing. Only one incentive amount is available per family, per house (renting, buying, or improving) in the program. o If a husband and wife both work at DE Energy, only one incentive option will be given to the family. he same provision applies to parent/child relationships where everyone is living in the same home. o he above mentioned limitation also applies to employees who have family members participating in other housing incentive programs. For example, if there is already someone in the household who has taken advantage of the Live Midtown program, then the household is not eligible to take place in the Live Downtown program. If an employee is found to be abusing the program and not living in the home as their primary residence, they are subject to disciplinary action, up to and including termination of employment.

7 Live Downtown X DISCLOSUE CKNOWLEDGEMEN I, (print name), understand that participation in the Live Downtown rogram has certain income tax consequences. ny amounts paid to me or on my behalf pursuant to the Live Downtown rogram will be reported by my employer as income on my Form W-2 and will be subject to income and employment tax withholdings. I acknowledge that applicable federal, state and local income and employment taxes will be withheld from my paychecks during the period of the loan. I agree to be responsible for all tax consequences as a result of my participation in the Live Downtown rogram. I have been advised to consult my own tax advisor to determine how these benefits will affect my particular tax situation. New ental greement: Employees who meet rogram eligibility requirements and enter into a new housing rental agreement will receive a $2,500 subsidy in the first rental year and $1,000 in the second rental year. ental subsidies are paid in quarterly installments directly to the landlord. 2. enewal of Existing ental greement: Employees who meet rogram eligibility requirements and renew an existing rental agreement will receive a $1,000 rental subsidy in the first year. ental subsidies are paid in quarterly installments directly to the landlord. he rental subsidies are additional income and are subject to applicable tax withholdings from regular wages when the subsidy payment is paid by DE Energy directly to the landlord because the employee is deemed to have constructive receipt of the rental subsidy under the Internal evenue Code. Example: If an employee entered in a new leasing agreement on January 1, 2012 and the total approximate tax rate is 37.40% (federal tax at 25%, state tax at 4.25%, Detroit city resident tax at 2.5% and employment taxes, including FIC, at 5.65%), which could vary by employee and is subject to change, then the following would apply: he employee would receive a $2,500 rental subsidy in the first year, payable in increments of $625/quarter for four quarters directly to the landlord. he first rental subsidy would be paid by DE Energy on pril 1, 2012, and the employee s first paycheck on or before pril 1, 2012 would have taxes withheld from that pay in an amount of $ ($625/quarter multiplied by 37.40%). his would also occur on July 1, 2012, October 1, 2012, and January 1, 2013, assuming the employee remains in compliance with the terms of the program. he second year of the rental program (2013) would result in quarterly rental subsidy payment by DE Energy of $250/quarter and $93.50 ($250/quarter multiplied by 37.40%) would be withheld in each quarter in an identical manner as those occurring in he total tax withholdings related to the rental subsidy payments would be reflected in the employee s Form W-2 in the calendar year in which the taxes are withheld. 9 SECION B Home urchase quarter after move in ($250 per quarter) Employees who meet rogram eligibility requirements and purchase a home will receive a $20,000 forgivable loan at the closing of the real estate transaction. he term of the forgivable loan is five years and the entire amount of the forgivable loan is subject to an interest rate of 3%. he forgivable loan and applicable interest are considered additional income and are subject to applicable tax withholdings from regular wages as the loan is forgiven by DE Energy at each of the 26 bi-weekly pay periods over the five year term. he amortization schedule attached shows the income associated with the $20,000 forgivable loan that is subject to tax withholdings at each pay period for year one only. If the employee ceases to meet the eligibility requirements during the period of the loan, the full amount of the loan that has not previously been forgiven will be immediately due and payable to DE Energy. Example 1: If an employee closes on the purchase of new home on January 1, 2012 and the total approximate tax rate is 37.40% (federal tax at 25%, state tax at 4.25%, Detroit city resident tax at 2.5% and local income and employment taxes, including FIC, at 5.65%), which could vary by employee and is subject to change, then the following would apply: he employee would receive a forgivable loan in the amount of $20,000 on January 1, er the above year one schedule, the employee would have taxes withheld from the first pay in the amount of $61.99 (total income at pay one multiplied by 37.40%). ax withholding in an identical manner would occur in each pay period over the five year term of the forgivable loan, assuming the employee remains in compliance with the eligibility terms of the program. Under this example, over the 5 year term of the forgivable loan, the employee will have had taxes withheld in the amount of approximately $8,000. 10 SECION C Exterior Home Improvements Employees who meet rogram eligibility requirements and perform exterior-home improvements will receive a reimbursement of 50% of approved expenses up to a maximum of $5,000. ny reimbursement is additional income and is subject to applicable tax withholdings from regular wages. Example: If an employee made exterior improvements in the amount of $10,000 January 2012 and the total approximate tax rate is 37.40% (federal tax as 25%, state tax at 4.25%, Detroit city resident tax at 2.5% and local income and employment taxes, including FIC, at 5.65%), which could vary by employee and is subject to change, then the following would apply: he employee would receive a reimbursement of $5,000 in their pay upon the administrative processing of that pay in 2012 and would have taxes withheld from that pay in an amount of $1,870 ($5,000 multiplied by 37.40%). Utilizing this example, the employee would effectively receive a reimbursement of $3,130 ($5,000 minus amount of tax withholding or $1,870). he total tax withholdings related to the exterior improvement reimbursement would be reflected in the employee s Form W-2 in 2012, the year in which the taxes were withheld. 12 elease of Funds articipant s purchase of the roperty was partially incentivized with funding from the Live Downtown program. Under the regulations of the Live Downtown program, articipant s receipt of the funds are conditioned on articipant s agreement to restrictions on articipant s ability to sell or move from the roperty, for the purpose of ensuring that the funds are used only for the purchase of primary residence housing which is located within the Live Downtown program boundaries for at least five years from the closing date ( Forgiveness eriod ). $20,000 Lump Sum Single ayment ("Forgivable Loan") wenty thousand dollars ($20,000) will be made available prior to closing through wire transfer or certified check directly to the title company, closing attorney or other settlement agent for disbursal on behalf of the applicant. hese funds can be applied directly to the purchaser s closing costs and downpayment. For the forgivable loan program:. he amount of the Live Downtown forgivable loan shall be reduced on a pro-rated basis over a five year period so long as the articipant continues to be employed by employer and continues to own, reside in and maintain the roperty as their primary residence, commencing with the date of the loan. B. If articipant sells or vacates the roperty, articipant must repay to the Live Downtown rogram the outstanding balance of the Live Downtown forgivable loan. C. If articipant should separate their employment from the sponsoring institution, articipant must repay to the Live Downtown rogram the outstanding balance of the forgivable loan. 3. Live Downtown administrator must be notified of any sale of the roperty that occurs prior to the end of the five year compliance period. 4.
