1 BY-LAWS OF THE SALT RIVER VALLEY AL-ANON INFORMATION SERVICES, INC. ARTICLE 1 - NAME OF THE CORPORATION The name of the Corporation shall be The Salt River Valley Al-Anon Information Services, Inc. (hereafter SRVAIS). ARTICLE II PURPOSE SRVAIS exists to encourage, assist and serve the Al-Anon Family Groups and Districts it serves. Our common purpose is to carry the Al-Anon and Alateen message of hope to the families and friends of alcoholics. SRVAIS works in partnership with WSO and the AREA to carry the message, disseminate recovery information and offer this fellowship hope; through our Conference Approved Literature and service tools. SRVAIS s surplus funds are used to support other local Al- Anon services. SRVAIS is a nonprofit corporate 501(3)(c) service body. SRVAIS embraces and follows Al-Anon s Twelve Steps, Twelve Traditions, Twelve Concepts and Warranties. SRVAIS is a service organization, not a governing body; and has no authority over individual members, Groups or the Districts it serves. ARTICLE III MEMBERS 1. Any Al-Anon Group, defined by the World Service Office (WSO), meeting in the Salt River Valley area is eligible for membership in SRVAIS provided that they have been registered as a Group with a the WSO and SRVAIS prior to the monthly business meeting at which they wish to have a voting representative. 2. A Group must have no other affiliation outside the Al-Anon/Alateen program and will abide by the Twelve Traditions. ARTICLE IV VOTING 1. Each member Group shall be entitled to one vote in SRVAIS, whether the vote is cast by the District Representative (DR), Group Representative (GR), Alternate Group Representative (AGR), or a Designated Representative (DR s). 2. No individual may represent two or more Groups at one time.

2 3. A voting member may not be a member of Alcoholics Anonymous (AA). 4. Members of the Executive Board shall each have one vote in SRVAIS. If any such person is also a GR, Alternate GR, or Designated Representative of a Group, he/she is still entitled to only one vote 5. GR s, Alternate GR s, Designees, and District Representatives (DR s) shall make or second motions. Proxies and absentee votes may not be utilized. In the event of a tie when a vote is taken, the motion shall fail. 6. A motion passes by a simple majority vote, except in the revision of these By-Laws (See Amendments). ARTICLE V OFFICERS 1. The officers of SRVAIS collectively comprise the Executive Board and shall consist of a Chair, Vice Chair, Recording Secretary, Treasurer, Vice Treasurer and two Members at Large. Officers cannot be members of Alcoholics Anonymous (AA). 2. The Executive Board shall have the right to execute contracts to fulfill the purpose of SRVAIS as stated in these Articles, amendments thereto and resolutions as may be passed by vote pursuant to Article IV. 3. The Executive Board Officers shall be elected at the SRVAIS October Business meeting every two (2) years and cannot exceed four (4) consecutive years on the Executive Board. A member of Al-Anon or Alateen who is also a member of AA is not eligible to serve. 4. Any vacancy may be filled for the unexpired term or vacant Executive Board position by a majority vote of the remaining Executive Board. 5. An Executive Board Officer may be removed from office by a majority vote of registered SRVAIS GR s or a majority vote of FIVE (5) of the SEVEN (7) Executive Board members. 6. A quorum for doing business shall consist of a minimum of FIVE (5) Executive Board Members. In the absence of a quorum no votes or decisions may be made. CHAIR ARTICLE VI DUTIES OF THE EXECUTIVE BOARD 1. Shall preside at monthly SRVAIS Business meetings and the Executive Board meetings. 2. 3 3. Is an ex-officio member of all Board Committees. 4. Remains as transitional advisor as needed for SRVAIS when term of office has expired as 5. Shall perform other duties as needed. CHAIR (in conjunction with the Board) 6. Serves or appoints a liaison to the Area World Service Board (AWSC). 7. Appoints Coordinators as needed. 8. May make recommendations and can create and dissolve special Executive Board Committees chaired by an Al-anon member as needed. 9. Calls special meetings of the Executive Board when necessary. VICE-CHAIR 1. Shall perform the duties of the Chairperson in the absence of the Chair. 2. May attend all Board Committee meetings. 3. Completes the unexpired term of the Chairperson, if necessary. 4. Shall perform other duties as assigned. 5. Vice chair as a non-signer to the SRVAIS bank accounts shall review the monthly bank statements and Treasurer s Reports. 6. Remains as transitional advisor as needed for SRVAIS when term of office has expired as RECORDING SECRETARY 1. Shall record attendance and take the minutes of all SRVAIS Business meetings and Executive Board Meetings. 2. Prepares the previous month s Executive Board minutes for distribution to those present at the next Executive Board meeting. 3. Prepares the previous month s SRVIAS Business meeting minutes for distribution to those present at the next SRVIAS Business meeting. 4. 4 5. Remains as transitional advisor as needed for SRVAIS when term of office has expired as 6. Shall create and submit legally required documentation 7. Perform other duties as assigned. TREASURER 1. Prepares and verifies for accuracy monthly and annual financial report for the monthly SRVIAS Business meeting, Executive Board meetings, and official records. 2. Chairs the Budget Board Committee which is responsible for developing the budget for the upcoming year. Budget to be presented at the November Executive Board meeting. 3. Has fiduciary responsibility for cash, checks and banking. 4. Recommends changes in any cash management and cost saving measures to the SRVAIS Executive Board. 5. Cooperates with Office Manager and Literature Committee on purchase of literature to ensure cost effective management of available resources and reviews the annual inventory. 6. Responsible for arranging for the preparation of all tax returns required to be filed with government agencies for the term of office. 7. Responsible for reconciliation of the monthly bank statement. 8. Remains as transitional advisor as needed for SRVAIS when term of office has expired as 9. Perform other duties as assigned VICE-TREASURER 1. Assists the Treasurer in making deposits, sending donation recognition letters, reviews accounts, ledgers and reports; and other financial tasks and/or other duties as assigned. 2. Is a signer on SRVIAS bank accounts. EXECUTIVE BOARD MEMBERS AT LARGE 1. Serves on the Executive Board. Executive Members At Large shall each have one vote. SRVAIS, Inc. 5 ARTICLE VII FINANCES 1. The fiscal year of SRVAIS shall begin on the first day of January in each year and end on the 31 st day of December thereof. 2. Checks shall be printed in the name of the Corporation. Checks shall be signed in accordance with Policies and Procedures manual. 3. There shall be no dues or fees for SRVAIS membership. Means of support shall be: A. Voluntary AFG and District contributions. B. Individual contributions in conformance with current WSO policy. C. Funds raised though special functions. D. Sale of Al-Anon/Alateen CAL and materials available from WSO. 4. No contributions except those pursuant to Number 3 shall be accepted. ARTICLE VIII MEETINGS 1. The Executive Board shall meet from time-to-time as may be necessary, but must meet at least once quarterly. 2. Special Meetings of the Executive Board may be called by the Chair or at the written request of THREE (3) or more Board members. A. Notice. Notice shall state the purpose of the meeting. No other business shall be acted upon at a Special Meeting. Special Executive Board meetings shall be called by written notice mailed or ed to each member of the Executive Board at least FIVE (5) days before the date of the meeting. B. Quorum. Rules governing the quorums for Executive Board meetings shall also govern Special Meetings. In the absence of a quorum, no motions may be passed. Recommendations can be made for consideration at the next meeting; where there is a quorum. ARTICLE IX COMMITTEES 1. A Budget Committee shall be appointed by the SRVIAS Executive Board consisting of the Treasurer and Vice Treasurer and at least 2 other persons as the SRVIAS Executive Board deems appropriate. 2. 6 ARTICLE X AMENDMENTS These By-Laws may be amended by the proposal of any member of SRVAIS. A proposal shall be submitted at a regular business meeting. Any proposed amendment to these By-Laws shall be voted on at the following monthly meeting. Ratification of the proposed amendments shall require a TWO-THIRDS (2/3) majority of the voting members present. ABBREVIATIONS AA Alcoholics Anonymous CAL Conference Approved Literature. AFG AGR Any Al-Anon Family or Alateen Group located within the Salt River Valley Territory which has registered with SRVAIS, the Area and WSO. Alternate Group Representative AMIAS Al-Anon Member in Alateen Service. An Al-Anon member whom is currently certified through their Area Alateen process and is therefore eligible to be directly responsible for Alateens while being of service to Alateen, including service as an instant or temporary Alateen Group Sponsor. DR GR LDC District Representative. Group Representative. Literature Distribution Center. Provide Al-Anon members with local access and quick delivery of Al-Anon Conference Approved Literature including books, pamphlets, booklets, kits, posters, and films, and other Al- Anon materials. SRVAIS Salt River Valley Al-Anon Information Services. WSO World Service Office. DEFINITIONS ADVISORY MEMBER AL-ANON GROUP A member appointed by the Executive Board to have a voice but no vote. A group of relatives and friends of alcoholics organized and functioning in keeping with the principles and Traditions of the Al- Anon fellowship; includes Alateen Groups and Al-Anon Family Groups, (AFG). 7 ALATEEN GROUP DESIGNATED REPRESENTATIVE EX-OFFIIO A group of teenage relatives and friends of alcoholics organized and functioning in keeping with the principles and traditions of the Al-Aon fellowship, (AFG). A member of Al-Anon or Alateen selected to attend and vote on their Group s behalf when the GR and AGR are unable to attend. A member of a board or committee not through the regular election process but by virtue of another position that is held. MEMBER AT LARGE OFFICE MANAGER QUORUM An Al-Anon member elected by SRVAIS members to serve on the executive Board. Each member at large has one vote. 1. Reports directly to the Executive Board. 2. See SRVAIS Policy and Procedures manual for assigned duties. The minimum number of people needed to conduct business. A Quorum consists of FIVE (5) Executive Board members.
