In using FloodTechs Disaster Services Inc service, you agree to pay FloodTechs Disaster Services Inc a fee of 20% of the total billed amount before tax of all jobs that our company generates for your company. You agree to pay FloodTechs Disaster Services Inc a fee of 10% of the total billed amount before tax of all jobs and subsequent that originate by way of a FloodTechs.com lead generates for you (this includes but is not limited to referrals, insurance companies or next door neighbors). You agree to inform our company of any jobs originating from a lead that our company referred to your company. We are not owed any money on leads that you do not provide services for. Your company does all billing. All money received for work generated by our company will be made payable to your company. You agree to submit payment to our company within 10 days of your receipt of payment for services provided by your company for a lead generated by our company. Note: We understand that the receipt of payment for services is not always received at the completion of the job and sometimes it takes months to collect payment, our policy is that payment is submitted by you within 10 days of your receipt of payment. If the payment is made by your company on the 9 th day for example, we will allow for a reasonable amount of processing time. If your company provides a service for a client that is being paid for the clients insurance company and payment is received by your company 60 days after the work was performed, our company should receive payment by the 70 th day. If for some unforeseeable reason the payment can t be made within the 10 day window, notify our company. We do not expect to get paid until your company gets paid. Initials 5. We reserve the right to pursue legal action in the event that you receive payment for services generated by our company, and no reasonable attempts are made to pay the agreed upon fee s to our company. If legal action is taken against your company, your company will be held liable for the amount(s) billed for the services provided by your 2

7 company for leads generated by our company any and all associated legal, processing and transportation fees associated with the collection of monies owed to our company by your company. If your company should choose to terminate use of our services, all money owed to our company by your company will become due at that time. If payment arrangements need to be made, contact our accounts receivable department to make arrangements. Initials 6. You agree to have available a outside collections agency to service your accounts generated by our company that are deemed uncollectible by your company. An old account is considered by our company to be any account that is 60 days old and older. All payments received for work performed by your company are to be made payable to your company. We reserve the right to suspend or terminate this agreement at any time based on negative service issues, poor performance, poor representation by your company, or negative payment issues. Our standard for a reasonable amount of time is 45 minutes or less from the time the lead is received by your operations personnel. If something prevents you from contacting leads within 45 minutes of the receipt of the lead by our company, notify us beforehand so that we can adjust accordingly. Initials 9. You agree to schedule leads for an appointment / consultation / estimate generated by our company in a reasonable amount of time. We are aware that your reaction time may vary based on several variables but because of the risk of increased secondary damage we do expect a reasonable attempt to respond to the needs of the lead. If circumstances prevent you from responding to a lead in a reasonable amount of time, notify us beforehand so that we can adjust. Initials 10. You agree to adhere to the standards and guidelines set forth in the applicable standards of reference when performing services for a client such as the S500. If you are performing disaster services after in another state for leads generated by our company you may want to consult with your insurance representative regarding your own insurance coverage requirements. If you are performing disaster services in another state for leads generated by our company, it is your company s responsibility to be aware of any local and state laws and licensing that are applicable to the nature of the services that you are performing. Initials 11. You agree to perform applicable background checks on any and all person s that 3

8 will be performing service for any leads generated by our company. Initials 12. You agree to ensure that your company at all times has applicable insurance coverage based on the nature of the services that you provide. If there ever is a time where this coverage should lapse, we are to be notified immediately. Initials 13. You agree to return all update reports to our company with 72 hrs of your receipt. We typically send a update report via weekly or bi-weekly. This report updates our billing department of the status of any jobs that have a outstanding balance. Job specific supporting documents (copy of invoice, copy of check) may also be requested. Initials 14. You agree to represent your company as Floodtechs Affiliate or Floodtechs Affiliate Member in any and all communications with a lead, client, customer or any other entity when communication about the nature of the relationship between Floodtechs.com and your company. Any request made to you to represent our company to the media such as but not limited to TV and radio interviews, newspaper content or any web related content that could be viewed publicly is prohibited (without written consent from FloodTechs.com) and any matter related to this is to be directed to our company. We do encourage your company to take advantage of any opportunity to positively publicize your company s services should the opportunity present itself while providing service for a lead generated by our company. Initials 15. You agree that your company will make available a system that allows our company to contact your company 24 hrs a day. If your company does not offer 24 hr emergency service, check the appropriate block on the contractor info form. We ask that you notify us if there is ever a time where your company will not be providing service such as a holiday. All communications of this nature should be made with a from your company. Should you have a dispute with any lead generated by our company, YOU must address such dispute to the lead, client, customer, or any other entity directly, and you hereby agree to release FloodTechs Disaster Services Inc and any other person, firm, or entity (including our business partners such as a product manufacturer or supplier who may employ the FloodTechs Disaster Services Inc affiliation) from any damages or claims (including consequential and incidental damages, personal or property) of every kind or nature, suspected and unsuspected, known and unknown, and disclosed or undisclosed, arising out of or in any way connected with your relationship with FloodTechs Disaster Services Inc.
