3 Summary of Cases General Chancery Matters Banking (i) National Westminster Bank PLC v D1 & Others [Birmingham District Registry], acting for D1 from whom instructions were difficult to obtain due to her alcoholism and the conflicting interests of other defendants. The subject matter was a public house and associated substantial assets. The claim was settled to the satisfaction of all parties after many hearings and substantial advisory work in which only the bank was represented by Counsel. Counsel for most, if not all, of the High Street banks in many matters regarding repossession cases and the incidence of legal charges. Counsel for Lloyds Bank TSB PLC in many hundreds of claims relating to the infamous bank charges cases. Company Law (ii) Shareholder disputes, fiduciary duty and general claims. Transfer of properties between individuals and limited companies. Directors Disqualification proceedings and duties of directors regarding insolvent companies. Valuation of companies for sale and related issues such as business rate liabilities. Requirements for management buy-outs. Insolvency (iii) Individual Bankruptcy hearings and advice. Company liquidations and administrations. Acted for Trustees, Administrators and Liquidators regarding annulments, sale of assets and property transactions. Directors duties, undertakings and remuneration upon company insolvency. Applications for setting aside statutory demands. Presenting and defending bankruptcy petitions. Proceedings for annulment of bankruptcy. Drafting statements of affairs and representations at creditors meetings. Factoring disputes. Partnership Disputes (iv) High Court multi-million pound dispute regarding a family bakery business [large six figure settlement following lengthy mediation against three firms of solicitors and a QC]. Other smaller scale partnership disputes that also invariably settle. Also advised on various sales of professional practices and assets. Advising on sale of professional partnerships, and distribution of client databases. Winding up of partnerships, account of profits and valuation of business. Trusts and Probate (v) Drafting Deeds of Trust of a generally confidential nature related to both probate and property matters. Also Counsel in High Court and County Court matters related to contentious probate including actions under The Inheritance (Provision For Family And Dependants) Act 1975.
4 Property and Land Law (vi) Claims under Trust of Land And Appointment of Trustees Act 1996 and the Marital Causes Act Commercial and Residential property disputes, repossession claims and rent reviews. Trials regarding rights of way and easements, including the division of former farm land. Planning applications, building regulations and premises licensing issues interacting with local Councils and Emergency Services Taxation (vii) Including advice on inheritance tax and related affairs, such as domicile and residency. Also drafted schemes for HMRC clearance/approval. Advised on income tax and VAT liabilities for companies and sole traders. Intellectual Property (viii) Advised many individuals and companies, generally larger bodies threatening relatively smaller SME s. Passing off claims, infringement of trademarks and assessment of patent claims. General Commercial Matters Commercial Property (i) Many residential and commercial property disputes. For example, Counsel for the Claimant in a High Court [QBD] action before the Commercial Judge in Birmingham [HHJ Alton] involving the transfer of a Public House in which settlement was finally secured. Offshore Registrations (ii) Advising on company registrations Offshore and in Free Trade Zones. Professional Negligence and Regulatory Affairs (iii) Acted at GMC, ICAEW and PCT preliminary hearings and advised many professionals generally, including misleading valuations and wrong advice. Defamation (iv) Advised settlement on several matters, including for Oldham Amateur Rugby League club against their national body, the British Amateur Rugby League Association. Also provided a settlement strategy for a long-standing defamation matter for the Kingspan Group PLC. Employment Tribunals (v) Several Employment tribunals representing mostly employees against SMEs, local authorities and larger companies such as The Body Shop. Miscellany
5 (vi) Contractual disputes and debt recovery. Also many personal injury and/or RTA claims, many including Credit Hire arrangements and all insurance-backed litigation with the insurer s reserve an inevitable consideration. Acted as sole Counsel for three unfortunate children in a Fatal Accidents Claim. Appeared at licensing hearings both at Magistrates Court and Crown Court level.
