4 How to Open Trading Account If investors wants to open trading account in CSX, they must apply for investor ID from SECC first. They can apply for investor ID by Phnom Penh Securities Plc., (Free of charge of service) or they can go to apply themselves directly. After investor receives Investor ID, we will be able to open trading account for them. Investor must have only one trading account at one securities firm. Page Investor ID There are two kinds of investor ID for: Individual : Citizen or foreigner Institution : Local or foreigner institute Investor ID fee of SECC o Individual 20,000 KHR o Institution 50,000 KHR Requirement document: o Individual: Cambodian Identification Card or Passport (Foreigner) 2 Photos 4*6 And Bank account number (any bank) o Institution: Article of Institution/Legal Entity Copy of Patent Cambodian Identification Card or Passport (Foreigner) of Principal Photo 4*6 of Principal Registered Certificate of institution Name list of Board of Director Institution/Legal Entity s Decision Later of Authorize transfer and other documents Maturity date of investor ID is 10 years validity from the date of investor ID issuing from SECC. Investor must apply for investor ID continuing in 3 months before the maturity. 5 1.2. Open Trading Account There are two kind of Trading Account for individual and institution. PPS provide trading account opening for free for those two kinds of investor. Page The Time to receive Investor ID and Trading Account Generally, investor ID and Trading Account will receive in 5 days of working day after registration. After you receive Investor ID and Trading Account, you representative will offer you the Investor Card which has necessary information for you to deposit or withdraw money. 6 How to Trade (Buy/Sell) Investor can ask his/her broker to make order by following means: Personal visit to the company counter Phone call Other electronic forms such as Web trading through our PPS website or PPS itrader on mobile. Page Trading Session From Monday to Friday (Except public holidays) The trading hours shall be from 8:00am to 11:30am and shall be divided into session based on auction method as follows: 1. Trading session using single-price auction: opening session shall be from 8:00am to 9:00am where trading shall be done at 9:00am, and closing shall be from 11:00am to 11:30am where trading shall be done at 11:30am. 2. Trading session using multiple-price auction: continuous session shall be from 9:00am to 11:00am where trading shall be done whenever match able. Currency in use= Khmer Riel (KHR). Other currency must be converted into KHR. 7 2.2. Required Information to Make Order Name of investor Investor ID and Trading Account Type of securities Order type: sell/buy Quantity and price. Page Placing Orders (buy-sell securities) Your Buy/Sell Order can only be entered into the CSX system when: Sell Order: Investor shall have enough securities (100%) in securities account. Buy Order: Investor shall have enough money (100%) for the transaction. Canceling the buy/sell orders can be made in the same session but must be made before execution. Now you can place order by PPS itrader, PPS new service (Free of charge) which uses on your smart phone. With PPS itrader you can place order, check securities and cash balance, profit/lost, more and more. To get PPS itrader you can: Download PPS itrader in App Store (IOS) or Google Play (Android) Username: Trading Account : Ex: (00XXXX) Password: Investor s official birthday, same as ID card or Passport Ex: (Format: YYYYMMDD) 2.4. Execution and Informing CSX system processes the matching through auction principle. After matching or executing time, your broker will inform you the result of execution (if your order is successful executed). Generally, they will inform you during 5 or 10 minutes after execution 7 P a g e

8 You can request broker to send you the transaction report which includes your securities and cash balance to your . You can check your securities balance and cash balance by PPS website. *for client, please register first (Free of charge) Page Cash and Securities Settlement method Settlement day: T+2: 2(two) working days after the trading day (You are able to get share or withdraw). Ex. Trading on Monday, the securities and cash are settled on Wednesday morning. Special With the new rule Trading before settlement method, Investors can: Sell the securities that shall be received from successful bid orders immediately. Buy securities immediately with the cash that shall be received from successful ask orders Matching Priority (in Secondary Market) Principle of Auction All trades shall be executed through a single-price auction and multiple-price auction. Priority of Bid/Offer Orders: 1. Price 2. Time The lower offers have priority over higher offers; and The higher bids have priority over lower bids. In case of the same price orders, the orders received earlier have priority over the orders received later. 3. Volume Priority is given to the higher volume order if orders are made similar in time and price. 4. Simultaneous order: Order from customer account shall have priority over the order from Securities firm's own account. 8 P a g e

9 2.7. Validity of Buy-Sell Order An order shall be valid from the time it is received by the CSX trading system to the time it is executed during the trading session of the same day Price Change Limit Page 9 The first trading price of initial public offering shall be within 90% to 150% of IPO price (determined in the disclosure documents registered at the SECC). ±5% of the daily base price. In case where the base price is less than KHR 200 the daily price change shall be KHR 10. Base price should be the previous day s closing price. In case there is a corporate action such as capital increase/decrease, stock dividend, ex-right, split off, etc., the base price will be automatically calculated by the CSX s system using certain formula. The prices calculated, when they are less than the price unit (tick size), should be rounded up to the price unit Trading Unit and Tick Size The minimum trading unit start s from one (1) share. 10 For the first 3 years counting from the starting of CSX (18 April 2012), government will reduce tax by 50% from the normal tax rate. Following table shows the net effect after tax reduction: Capital Gain Dividend Interest Resident N/A 0% 7.5% Non-resident N/A 7% 7% Page 10 Note: The term resident taxpayer means: a. Any physical person who has his residence in or his principle place of abode in the Kingdom of Cambodia, or who is present in the Kingdom of Cambodia on more than 182 days in any period of 12 months ending in the current tax year; b. Any legal person or pass-through organized or managed in the Kingdom of Cambodia, or having its principal place of business in the Kingdom of Cambodia Market Fee and Brokerage Fee In 2012, CSX reduces its fee by 50% from 0.15% to 0.075%. But from 2013, the fee will increase to 0.15%. Settlement and registrar operator also reduce their respective fee by 50%. Depository The Securities Depository Operator (SDO) is the one who deposits and transfers of securities traded in the CSX. 10 P a g e

11 How to Deposit and Withdraw Money 3.1. Deposit You can use your account from any bank to transfer or deposit the money into PPS Cash Collection Account. At the moment, you can deposit cash or transfer the money into following account: Page 11 Account Name: Phnom Penh Securities Cash Collection Account Bank: Canadia Bank Account Number: SWIFT Code : CADI KH PP If you are in Cambodia, you can go to Canadia Bank at any branch and deposit your money into above account. If you already have Canadia Bank, you can inform us your bank account number and we can link it directly to our system. If you are NOT in Cambodia, you can transfer your money into above account. When transfer or deposit, you should also provide information such as name, investor ID, trading account number to Beneficiary Bank (Canadia Bank). This information will be used to identify the investor with their money and this information is provided on your PPS Investor Card Withdrawal: You must inform PPS in advance through o Visit PPS counter OR o or phone call to your broker directly OR o Login into PPS web trading on PPS website (Username and password required) OR o PPS itrader application on Android or ios running smart phone. (Username and password required). You can download the application for free on App Store or Google Play. Web Trading Phone Application After this, please come to PPS to pick up Instruction to withdraw cash (for Cash Withdrawal) Or PPS will credit to your bank account that you provide.(applicable for local and International). 11 P a g e
