(2) On 30 January 2012 Atlantia reached agreement with the Bertin group for the creation of a joint venture, to which the 100% interests in Triangulo do Sol, Colinas and Nascentes das Gerais are to be transferred. The agreement also provides for an option to acquire 95% of Rodoanel, the operator of 105 km of toll motorway, including 60 km in operation and 45 km under construction. The Atlantia Group will own 50% plus one share of the joint venture and, under the partnership agreements, will consolidate the results of the operators contributed to the joint venture on a line-by-line basis and will appoint its CEO. (3) Under the agreements signed by Atlantia and the Bertin group on 30 January 2012, 50% of Tieté will be held by a joint venture of which the Atlantia Group will own 50% less one share. (4) On 25 February 2012 the Atlantia Group concluded a series of agreements that will result in the acquisition of the interests held by SIAS and Mediobanca in Autostrade Sud America, thereby acquiring full control of Grupo Costanera.

12 ENGINEERING AND WORKS Designing the mobility of the future The most important motorway investment programme currently being implemented anywhere in the world: over 21bn of planned investments in Italy, 7 of which has already been completed, about 900 km of motorway being upgraded on the Italian network, 40% of the work is carried out directly by Group companies. As a result of synergies among Group companies, Atlantia is able to offer integrated solutions for the motorway sector, ranging from design to construction and maintenance. 14 OPERATIONS Traffic flow, safety and services Management and development of the network, groundbreaking technology and innovative communication and services, resulting in industry-leading operating standards on the Italian network: the latest technology to provide road users with traffic information services; Sistema Informativo Viabilità (SIV) is a traffic information system based on networks of sensors and cameras to monitor the entire network operated by the Group in real time; vehicles for winter operations controlled using a GPS tracking system to optimise response times and methods of intervention; 100% of the network (*) is surfaced with draining pavement. entirely designed and developed in-house, Tutor is the world s first automated system for monitoring the average speeds of motorway traffic and levying speeding fines. 16 TECHNOLOGY Technological solutions for advanced mobility The world leader in free-flow tolling, the Group: in 1990 introduced Telepass which, with 7.8 million devices in circulation, is the most widely used automated tolling system in Europe; in 2004 installed the world s first free-flow tolling system for heavy vehicles using the Austrian motorway network; in 2007 acquired ETC - Electronic Transaction Consultants, the leading US designer, producer and operator of free-flow electronic tolling systems for US highways; in 2011 was chosen to implement and operate a satellite tolling system for heavy vehicles on 15,000 km of French public roads. A leader in traffic information services, the Group has developed a technology platform capable of offering multichannel, real-time information services. 14

18 CORPORATE SOCIAL RESPONSIBILITY Combining infrastructure development with sustainability To Atlantia, Corporate Social Responsibility means projects that have a positive impact on the Group s performance and on the community as a whole. The Group s commitment to sustainable development focuses on four areas: improved traffic flow to reduce congestion and pollution; innovative technologies to reduce environmental impact of infrastructures; generation of energy from renewable sources; energy saving. Since 2009, Atlantia has been included in the Dow Jones Sustainability World Index, which ranks the 2,500 best international companies in the Dow Jones Global indexes in terms of their corporate social responsibility.
