2 General Conditions 1.0 Scope of the Proposal 1.1 It is the intention of the Cypress-Fairbanks Independent School District (CFISD and/or District) to establish a three (3) year contract to purchase Data Center Services from a Carrier-Neutral Data Center within or near the District. This contracted Data Center location will support the District s Wide Area and Wireless Network Center, Internet Point of Presence and Secondary Data Center Application Services. 1.2 The District desires to establish a three (3) year contract for Network/Internet Point of Presence and Data Center Colocation beginning December 16, 2015 through December 31, This contract shall remain firm for three (3) years, through December 31, 2017, automatically renewing annually for two (2) additional years, through December 31, 2019, unless either party has given written notice of intent to change the terms of the agreement no less than sixty (60) days prior to the annual renewal date. Upon mutual agreement, proposed prices can be extended beyond the firm price offer date on a month-to-month basis. 1.4 This bid is in twelve (12) parts: Request for Proposal, General Conditions, Special Conditions, Specifications and Bid Form, Appendix A1, Appendix A2, Proposal Acknowledgment Form, Felony Conviction Notification, Conflict of Interest Questionnaire Requirement, Certificate of Residency, Resident Bidder Form, and No Proposal Notification Form. 2.0 Applicability These conditions are applicable and form a part of all contract documents and a part of the terms of all purchase orders for items included in the specifications and bid forms issued herewith. 3.0 Evaluation and Awards The District may award a contract for any or all sections of this bid. Bids shall be held open for sixty (60) days from the time of opening. In evaluating qualified bids, the following considerations will be taken into account for award recommendations: 3.1 the purchase price (30%); 3.2 the reputation of the vendor and of the vendor's goods or services (15%); 3.3 the quality of the vendor's goods or services (20%); 3.4 the extent to which the goods or services meet the needs of the District (25%); 3.5 the vendor's past relationship with the District (10%); 3.6 the impact on the ability of the District to comply with laws and rules relating to historically underutilized businesses; 3.7 the total long-term cost to the District to acquire the vendor s goods or services; 3.8 whether the business or majority owner has its place of business in Texas or employs at least 500 people in Texas; 3.9 any other relevant factor specifically listed in the request for bid or proposal. 4.0 Contract After bids have been awarded, the District will issue purchase orders to activate the contract. 5.0 Warranty Conditions Equipment shall be new and shall carry the manufacturer s maximum standard warranty. Equipment will be maintained and serviced at a 24 x 7 x 365 support level agreement (SLA). 6.0 Terms of Payment The District shall pay all invoices for accepted merchandise no later than forty-five (45) days from date of acceptance of delivery as set forth in the specifications for this bid. 7.0 Delivery Conditions - All deliveries shall be freight prepaid F.O.B. destination. Bid prices must include all freight and inside delivery charges. Not all delivery locations will have a loading dock. Signature proof of delivery is required. 3 General Conditions (continued) 8.0 Texas Public Information Act (TPIA) - Contractor acknowledges that the CFISD is subject to the Texas Public Information Act (TPIA). As such, upon receipt of a request under the TPIA, CFISD is required to comply with the requirements of the TPIA. For purposes of the TPIA, public information is defined as information that is written, produced, collected, assembled, or maintained under a law or ordinance or in connection with the transaction of official business: 8.1 by CFISD; [or] 8.2 for CFISD and CFISD owns the information; [or] has a right of access to the information; or spends or contributes public money for the purpose of writing, producing, collecting, assembling, or maintaining the information; or 8.3 by an individual officer or employee of CFISD in the officer s or employee s official capacity and the information pertains to official business of the CFISD. Contractor is expected to fully cooperate with the CFISD in responding to public information requests. This includes, but is not limited to, providing the CFISD with requested documentation. In the event that the request involves documentation that Contractor has clearly marked as confidential and/or proprietary, CFISD will provide Contractor with the required notices under the TPIA. Contractor acknowledges that it has the responsibility to brief the Attorney General's Office on why the documents identified as confidential and/or proprietary fall within an exception to public disclosure. 9.0 Facsimile Proposals The District does not accept faxed bids. An original signature on the attached Proposal Acknowledgment Form in a sealed envelope is the only acceptable form of bid submittal No Bid Response A vendor choosing not to make a proposal should return the No Bid Notification form located on the last page of this document. Failure to respond by submitting a bid response or a No Bid Notification form will remove the vendor s name from the District Vendor List. Page 3 of 22

4 Special Conditions 1.0 Term of the Contract It is the intention of the Cypress-Fairbanks Independent School District to establish a contract for Network/Internet Point of Presence and Data Center Colocation to be purchased from December 16, 2014 to December 31, Price Escalation/Reduction The prices on this contract may increase or decrease as required upon written verification from the manufacturer of the product. The vendor would need to provide verification of cost and discount/profit levels. 3.0 Bidder Qualifications Bidders not on the District s bid list shall be required to prove their qualifications concerning the following criteria: 3.1 Financial capabilities 3.2 Bonding status 3.3 Contractual history (references) 3.4 Ability to fulfill and abide by the terms and specifications 3.5 Quality and stability of product and sources 4.0 Administrative Cost Due to Non-Performance If at any time the vendor fails to fulfill or abide by the terms, conditions, or specifications of the contract, the District reserves the right to: 4.1 Purchase on the open market and charge the vendor the difference between contract and actual purchase price, or 4.2 Deduct such charges from existing invoice totals due at the time, or 4.3 Cancel the contract within thirty (30) days of written notification of intent, or 4.4 Award to the next responsive bidder. 5.0 Appropriated Funds The purchase, which arises from this solicitation, is contingent upon the availability of appropriated funds. CFISD shall have the right to cancel this contract at the end of the then current fiscal period if funds are not allotted for the next fiscal year to continue this contract. If funds are withdrawn or do not become available, CFISD can cancel the service contract by giving the vendor written notice of its intention to cancel not less than thirty (30) days prior to the end of the term year without penalty. Upon cancellation of the contract, CFISD shall not be responsible for any payment of any services that are received or that occur after the end of the current fiscal year contract period. 6.0 Delivery Requirements 6.1 Deliveries are to be made on work days, Monday through Friday between 7:00 AM and 3:00 PM. 6.2 All bid prices shall include freight and delivery costs. 6.3 Delivery must be inside the designated building. 6.4 Signature proof of delivery is required. 7.0 Warranty 7.1 All warranty terms shall start on the day of official notified acceptance of delivery that the proposer shall receive from an authorized District representative. 7.2 Product must provide the maximum manufacturer s warranty. 5 Special Conditions (continued) 8.0 Contract Period The District intends to establish a contract with the vendor for the purchase of Network/Internet Point of Presence and a Data Center Colocation from December 17, 2014 through December 31, The District may choose to upgrade or downgrade services provided by the successful bidder. The vendor and the manufacturer must jointly agree to provide a process by which the District will be guaranteed the same value throughout the contract. An example of such a process is for the manufacturer and vendor to provide pricing which represents a discount from a national, regional or state publicly available schedule. The discount will be used by the District throughout the contract to calculate the price it will pay the vendor. Alternative approaches to this will be considered by the District. 6 Specifications and Bid Form 1.0 GENERAL PROJECT INFORMATION 1.1 BACKGROUND: The Cypress-Fairbanks Independent School District Information Technology (IT) Department is committed to providing a high-quality education for every child in the District, regardless of where they live or the school they choose to attend. CFISD is one of the largest and fastest growing public school districts in Texas. The District is located in northwest Harris County covering 186 square miles. CFISD has an enrollment of approximately 110,000 students in grades pre-kindergarten to 12. The District has 20 administrative/support sites and 86 campuses. The 86 campuses are comprised of 11 high schools, 18 middle schools, 53 elementary schools, and 4 special campuses. Since , the enrollment has increased by about 13,145 students with the annual growth rate of about 1% - 2% expected to continue. Serving the needs of our growing community of students, teachers, administration, and staff requires a secure, robust infrastructure, state of the art equipment, and innovative software. These tools support both learning in the schools, and the rigorous assessment and analysis necessary to meet the District s educational and operational goals. The CFISD IT Department is building the telecommunications network and data center infrastructure to support the overall technology requirements of the District. This Request for Proposal is for a Carrier- Neutral Data Center contract to support the CFISD Wide Area and Wireless Network Primary Termination Point, an Internet Point of Presence, VOIP DMARC, and a Data Center location. These multiple initiatives have different space, power, and service levels and support requirements and will be evaluated on both an individual and total project basis. 1.2 INFORMATION: The existing CFISD Network and Data Center is located at Jones Road, Houston, Texas The Carrier-Neutral Data Center will be connected to six (6) hub sites, see Appendix A1: Hub Sites, with dark fiber connections and to individual schools on a dark fiber network. It is the intent of CFISD to provide network connections from the existing Network Center and Data Center (both located in the Admin. Bldg.) to the contracted CNDC and from the hubs and individual selected campuses to the CNDC. The CNDC will be the Primary Internet Point of Presence (IPOP) location for CFISD and augment, not replace, an Internet service at the existing location. See Appendix A2: Planned Internet Point of Presence and Network Services Design. CFISD will contract a 10 GB Internet Port Service with options to scale to multiple 10 GB or a 40 GB Port from a Tier 1/2 high capacity, high quality, Internet Service Provider at the CNDC in a separate but related RFP. CFISD will request a Southeast Texas GigaPOP (SETG) Network and Lonestar Education and Research Network (LEARN) connection at the CNDC as a collaborative value-added option in a separate but related RFP. The District would like the option to connect all eleven high schools to the Carrier-Neutral Data Center. Currently, three of the high schools are already hub sites. The District is interested in optional pricing showing eight additional sites connected (14 sites total) to the CNDC. These would be dark fiber connections. This optional pricing request is shown in Appendix A1. Page 6 of 22

7 Specifications and Bid Form (continued) 1.3 SCOPE: The District requests Network and Data Center Colocation services from a Carrier-Neutral Data Center. The CNDC will have a supportive model to extend the CFISD WAN fiber to the CFISD contracted cage/racks with an inter-facility fiber cable. The CNDC will provide 5 racks with an estimated 3.5 kw of protected power per rack and related Data Center Colocation services for the District Internet Point of Presence services. The Internet racks will have cross-connects to Internet Service providers. The CNDC will provide 6-9 high density racks with related Data Center Colocation services for the CFISD Data Center servers and storage with approximately 10 kw of protected power for the equipment for an estimated kw of power. The CNDC will have a robust telecommunication and Internet services, security, access, power, cooling, smart hands, interconnects and business model to support the District s needs. 2.0 REQUIREMENTS AND SPECIFICATIONS 2.1 PROPOSER QUALIFICATIONS Qualified Provider of Requested Goods and Services Data Center Certifications A qualified provider will be a certified data center for the proposed products and services requested. Certification will be determined and evaluated against the industry certification programs. The proposal response will include the facility and industry certifications The Reputation of the Vendor and of the Vendor s Goods or Services A qualified provider will have experience and relationships with comparable customers. A qualified provider will have experience and relationships with the telecommunications providers within the CFISD area, Tier 1 Internet Service providers and local Internet Service providers. The proposal will include three (3) references of comparable customers The Vendor s Past Relationship with the District This is not a requirement for submitting a proposal. The proposal will list any past projects or contracts that the service provider has had with the District The Vendor s Knowledge and Experience with the Solution The provider will have knowledge and experience working with comparable solutions that include Wide Area Network connectivity into the building, Internet Point of Presence Services and Data Center Sites for Customers. 8 Specifications and Bid Form (continued) The proposal will list the personnel and qualifications of the personnel that will be assigned to the project The vendor will provide a project manager for the project(s) during implementation, an ongoing service and support model, and a single point of contact for CFISD Probability of Continuous Availability CFISD plans to enter into a long term contract for services (up to five years) and build significant district resources in the contracted facilities. The probability of continuous availability of not only the facility but of the services and support is an important qualification of the provider. The District will evaluate the provider s ability to provide the solution starting on January 1, 2015 and continuing through the term of the contract The respondent will provide the number of years in business providing comparable services to customers in and around the District The proposal will document any additional assurance for continued services such as long term service agreements, building agreements and power and cooling agreements. 2.2 GOODS AND SERVICES SPECIFICATIONS General Requirements It is the goal of this project to provide the facilities, racks, power and services required to support the CFISD Wide Area Network Primary Node, an Internet Point of Presence and a Data Center Facility provided at a Carrier-Neutral Data Center (CNDC) facility. The primary facility must be located within or in close distance to the CFISD s physical boundaries Wide Area Network Center and Internet Point of Presence Colocation facilities that will allow CFISD to extend the private fiber Wide Area Network into the facilities for a five (5) year contract term. 24 strands of Inter-facility Single Mode Fiber Cable (IFC) from WAN carrier termination rack to the CFISD Internet Service Rack. Full telecommunication 42U rack with 10 kw 15 kw of 2n+1 power to racks. Caging for five (5) WAN/IPOP racks with option for additional caging for 6-9 Data Center Racks. Equipment to be housed in rack may include but not limited to Fiber termination panels, BGP Router, Content Filter Server, Next Generation UTM Firewall District WAN Router and wireless core infrastructure. 2 hours of Smart Hands service technician monthly for onsite physical response. Additional cost for technician services per hour billed in 15 minute increments Data Center Services Six (6) to Nine (9) high density telecommunication 42U racks with kw of 2n+1 power to racks. Private Cage with option to combine with Internet Racks or to provide inter-cage cabling. Biometric Reader or secure cage options. Additional cost for technician services per hour billed in 15 minute increments Contract Terms CFISD requests a three (3) year contract with two (2) one year extensions. CFISD estimated award date is December 2014 with implementation starting in January The vendor will provide a proposal for a comprehensive solution to meet the needs of CFISD that optimizes the systems design and capabilities of the proposed vendor s facilities Network Requirements One of the primary purposes of the CNDC is to build a WAN and Internet Point of Presence for CFISD that provides access to advanced Internet services including Tier 1 and high quality Internet Service Providers; local advanced education and research networks such as SETG/LEARN or peering networks; and to telecommunication providers for WAN connectivity to the District Network/Data Center, hubs and campuses. The basic requirement for this service is WAN connectivity from a base of six (6) Hubs and high school locations with fiber connectivity with the ability to connect additional locations as needed. The other requirement for the IPOP is cross connects to Internet Service Providers and Public Switched Telephone Network access providers. Because of the magnitude of WAN cross connects with Single Mode Fiber and the responsibility of the WAN provider for end to end connectivity from the site to the rack, it is the request of this RFP that the WAN provider as a service provider to CFISD, provide the IFC cable from the Provider rack to the District WAN rack. The solution will provide a 24 pair Single Mode Fiber Inter-Facility Cable (IFC) to support the extension of the CFISD WAN to the WAN/IPOP rack. (One time Cost) Preferred option: CFISD requests any CFISD WAN IFC costs be charged to the CFISD WAN provider as a single point of responsibility for WAN connectivity. The solution will include two (2) IPOP fiber cross connects to the Internet Service Provider Port. The solution will provide two (2) PSTN fiber cross connects to the SIP Service Provider. The solution will provide for additional fiber/copper cross connects as needed The vendor will provide a proposal to support the WAN connectivity with IFC and include Internet Fiber cross connects and PSTN cross connects The vendor will identify current telecommunications and Internet service providers with existing services within the facility. One Time Cost Monthly Recurring The service will provide 5 WAN Internet racks, 2N power whips. 24 pair Single Mode WAN Inter-facility Cabling and 2 Fiber connections to Internet Services and 2 Fiber connections to PSTN service. The service will provide a power model for a base of 10 kw of power scalable to 15 kw to the Internet Racks and a power cost schedule for additional power if needed. The service must include a minimum of two (2) hours of smart hands per month response for basic maintenance of physical equipment. The service will provide an hourly cost for services above the two (2) hours included billable in 15 minute increments. Caging for 5 racks and up to 10 Racks or Right of First Refusal for adjacent space. The service will provide the General Requirements for WAN and IPOP Service and any additional cost associated with the services. Other services/options with associated cost. **OPTION FOR COLLABORATIVE SERVICE cost of SETG/LEARN Network Rack with 5 kw of Power in Carrier Meet Me Room or shared distribution cabinet with Single Mode Fiber Cross Connect to CFISD WAN Rack. The service will provide a High Density power model for a base of 60 kw of power scalable to 70 kw to the Data Center Racks and a power cost schedule for additional power if needed. The service must include a minimum of two (2) hours of smart hands per month response for basic maintenance of physical equipment. The service will provide an hourly cost for services above the two hours included billable in 15 minute increments. Caging 6 to 9 Racks as option with Internet Racks, Right of First Refusal for adjacent space to Internet Cage, or provide a comprehensive space for CFISD Racks and services. The service will provide the General Requirements for Data Center Services and any additional cost associated with the services. Other services/options with associated cost. 3.3 Price Structure Outline a process by which the District will be guaranteed the same value throughout the contract. An example of such a process is for the manufacturer and vendor to provide pricing which represents a discount from a national, regional or state publicly available schedule. The discount will be used by the District throughout the contract to calculate the price it will pay the vendor. Alternative approaches to this will be considered by the District. 3.4 Additional Value Added Service Options. ** The vendor has the option of providing Added Value Offerings that are above and beyond the requirements of this RFP that specifically relate to the specific proposal pricing section. This may take the form of additional functions, features and/or pricing credits. These line item costs will be considered outside the baseline proposal, but will be considered during final vendor negotiations. Page 13 of 22

19 Conflict of Interest Questionnaire Requirement The Texas Senate passed House Bill No. 914, adding Chapter 176 to the Local Government Code, and imposing new disclosure and reporting obligations on vendors and potential vendors to local government entities beginning on January 1, This requirement includes school districts.
