3 Microsoft Volume Licensing Product Catalog 1 Summary of Changes to this Document Kiosk Suite has been added as a new Enterprise Solution, and Dynamics CRM Enterprise and Dynamics CRM Employee Self Serve have been added as Products. SQL Server Developer is now available as a free download and has been removed from the Product Catalog. How to License the Products in this Catalog All Products in this Product Catalog are licensed on a fixed-term (or subscription) basis under Customer s volume licensing agreement. Under Customer s volume licensing agreement, Microsoft offers Customers an opportunity to license various packages of Online Services and that are designed to provide targeted solutions to enterprise needs (each an Enterprise Solution ). By ordering at least one Enterprise Solution license, Customers are eligible to license any of the other categories of Products available in this Product Catalog: Solutions, Microsoft Azure Services, and Infrastructure Products. Products licensed under Customer s volume licensing agreement include certain benefits, which are detailed more fully in the section of this Product Catalog entitled. Enterprise Solutions and Solutions may include Online Services,, or a combination of Online Services and. If the Solution includes a combination of Online Services and : A Licensed may access all of the Online Services included in that Solution and use the equivalent functionality of any included. Certain Online Services may have features and functionality that have no equivalent in a Product. If, as technically enabled, an Online Service imposes an operational restriction on a user (for example, limitations on mailbox or attachment size), that limitation does not apply to a user s use of the corresponding if the does not contain a similar, technically enabled restriction. 5 Microsoft Volume Licensing Product Catalog 3 Information Advanced Threat Analytics Included Technologies: Windows Components Customer may not download Advanced Threat Analytics 2016 for use or distribution in the People s Republic of China. Notwithstanding anything to the contrary in Customer s volume licensing agreement, Licensed may reverse engineer, decompile, or disassemble the Advanced Threat Analytics software, or otherwise attempt to derive the source code for the Advanced Threat Analytics Server software, solely to the extent required to debug changes to any libraries licensed under the GNU Lesser General Public License that may be included with and linked to by the software. External s An External does not need a License to access Exchange Server, SharePoint Server, Skype for Business Server, or Windows Server. Microsoft Desktop Optimization Pack (MDOP) Customer may install and use management functionality in the MDOP on Customer s other devices dedicated to its use to manage software on Licensed s devices. Customer may also use the AGPM, DaRT and UE-V to manage software on servers within its domain, so long as the desktops within that domain are licensed for MDOP use. Office Multi Language Pack Customers may use the latest version of the Office Multi-Language Pack with the copies of Office that they are licensed to use. Office Professional Plus 2016 Included Technologies: Web Apps Server Microsoft grants each Licensed a license to copy, distribute, perform, and display the media elements (images, clip art, animations, sounds, music, video clips, templates, and other forms of content) included with the and the Office web apps in projects and documents, except that users may not sell, license, or distribute copies of any media elements by themselves or as a product if the primary value of the product is the media elements. Each license to Office Professional Plus 2016 includes one license for Office Home and Student RT 2013 Commercial Use, which must be assigned to a single PC. The Licensed s use of this Product is subject to the terms accompanying it, except that the prohibition on commercial use is waived. Skype for Business Server 2015 Included Technologies: Windows Components System Center 2012 R2 Configuration Manager Included Technologies: Windows Components, SQL Server Technology Windows 10 Upgrade Licenses Certain Enterprise Solutions include an upgrade subscription license for Windows 10 Enterprise Current Branch for Business. Full desktop operating system licenses are not available under the Customer s volume licensing agreement. The Licensed must assign its upgrade license to a single device on which a properly licensed qualifying operating system has been installed. Each of the following operating systems is a qualifying operating system: Windows 10: Enterprise and Pro editions (including N, KN) Windows 8 and Windows 8.1: Enterprise and Pro editions (including N, K, KN, and diskless versions, as available) Windows 7: Enterprise, Professional and Ultimate editions (including N, K, KN, and diskless versions, as available) Windows Vista: Enterprise, Business and Ultimate editions (including N, K, KN, and Blade versions, as available) Windows XP: Professional, Tablet editions (including N, K, KN, and Blade PC versions, as available) Apple Macintosh (if preinstalled by the authorized manufacturer prior to the initial sale of the device) Licensed s do not need to uninstall the qualifying operating system and may install and run the qualifying operating system and the licensed Windows desktop operating system at the same time. If all of the permitted virtual OSE Instances are used, the Licensed may only use the Instance in the physical OSE to host and manage the virtual OSEs. On the agreement expiration date, all purchased and unused billable transactions will be forfeited. Terms for Dynamics CRM Employee Self Serve For Dynamics CRM Employee Self Serve to function, Customer must have at least one Licensed with a license to Dynamics CRM Online Enterprise. A license to Dynamics CRM Employee Self Serve does not include access to the Dynamics CRM Online user interface. Terms for Developer Solutions Developer Solutions may be used only for evaluation and to design, develop, test, and demonstrate Customer s programs. The Developer Solutions are not licensed for use in a Production Environment. rights provided in license terms included with the are additive to these terms. However, in the event of a conflict between this Product Catalog and a Licensed s use of software development kits (SDKs), driver development kits (DDKs), feature packs, agents, remote tools, and patterns and practices releases that come with separate license terms, the separate license terms will control. Terms for MSDN Subscriptions Any online service made available with Customer s MSDN subscription may not be used in a production environment. For MSDN subscriptions, software is software made available to a Licensed level via MSDN Subscriber Downloads. A Licensed may run the software on Platform Services during the term of its MSDN subscription. benefits cannot be combined from multiple MSDN subscriptions onto a single account. A Licensed may not run Office Professional Plus or System Center Virtual Machine Manager for production use on Platform Services. Up to 200 anonymous users at a time may use the Remote Desktop Services feature of the Windows Server software to access online demonstrations of Customer s programs. License Grant for Visual Studio Team Foundation Server 2015 A Licensed of Visual Studio Professional with MSDN, Visual Studio Enterprise 2015 with MSDN, or Visual Studio Test Professional 2015 with MSDN is deemed to have a user license for Visual Studio Team Foundation Server Changes to this the Products in Products Infrastructure General Terms

SQL Server 2012 Parallel Data Warehouse Optional Build Without Oracle Java Customers who have existing licenses for SQL Server 2012 Parallel Data Warehouse at the time Appliance Update 1 is made available, or who acquire new licenses thereafter, may acquire a build of the product with Oracle Java or, upon request, without Oracle Java. Visual Studio The following terms apply to all versions of Visual Studio made available in this Product Catalog: Licensed may install copies of the files in the BuildServer Lists found at on build machines solely for the purpose of compiling, building, verifying, and archiving the user s programs or to run quality or performance tests as part of the build process. The Licensed may copy and install the Utilities listed at that it receives with the onto other third-party machines only to debug and deploy the programs and databases the user develops with the software. The Licensed must delete all the Utilities installed onto a device when it finishes debugging the program, but no later than 30 days after the user installs them on that device. Licensed may reverse engineer, decompile, or disassemble the, or otherwise attempt to derive the source code for the, solely to the extent required to debug changes to any libraries licensed under the GNU Lesser General Public License that may be included with and linked to by the. For Visual Studio Enterprise with MSDN or Visual Studio Test Professional 2015 with MSDN, Licensed may install and run SCVMM for the purpose of creating, deploying, and managing lab environment(s). A lab environment is a virtual operating system environment used solely for the purpose of developing and testing Licensed s programs. For each subscription to Visual Studio Enterprise with MSDN purchased by Customer, the Licensed may install and use one copy of Office Professional Plus 2016 on one device for production use. Services Services means one or more of the Microsoft services and features identified at except where identified as licensed separately. Certain Services may be licensed individually as a Services Plan. Current Services Plans are identified below: Support Site Recovery Enterprise Mobility Suite (licensed per user) Azure Active Directory Azure Rights Management Premium (licensed per user) Azure RemoteApp (licensed per user) Operations Management Suite Microsoft MultiFactor Authentication Plan offerings and availability may be updated from time to time. Services Plans are not eligible for the Hosting Exception or the Managed Service Exception in the Online Services Terms. Services are licensed by organization based on actual usage and billed in arrears; however, Services Plans may be licensed per user and may include the purchase of an initial quantity of a service. 10 Microsoft Volume Licensing Product Catalog 8 Hybrid Use Benefit Under the Hybrid Use Benefit ( HUB ), a customer with Windows Server Licenses with may upload to and use its own Windows Server image on. Use of Windows Server software under the HUB is enabled through Azure Virtual Machines that do not include Windows Server ( Base Instance ). One Windows Server processor-based license with SA entitles Customer to use Windows Server on on up to 16 Virtual Cores allocated across two or fewer Azure Base Instances. The cost of the Azure Base Instance is not included in the HUB. Customer must indicate that it is using Windows Server under the HUB when configuring the uploaded image(s) on Azure. Customer may use its uploaded image(s) subject to the Online Services Terms. The HUB provides additive rights to deploy and use the software when exercised in connection with Datacenter Licenses and alternative rights when exercised in connection with Standard Licenses. Standard Licenses are deemed assigned to Azure when Customer uses Windows Server under the HUB, and are subject to the License reassignment limitations in the Universal License Terms. Infrastructure Products All licenses for Infrastructure Products are device licenses (per core or per processor). In place of any permitted Instance, Customer may run Workgroup or Small Business. Customer must assign each license to a single Server. Licensing by Physical Core on a Server 1. The number of licenses required equals the number of Physical Cores on the Licensed Server multiplied by the applicable core factor located at 2. For enterprise and parallel data warehouse editions, Customer may use any number of Running Instances of the server on the Licensed Server in a number of Physical and/or Virtual OSEs equal to the number of licenses assigned to it. 3. For each additional enterprise edition license that Customer assigns, Customer may use Running Instances of the server in one additional OSE on the Licensed Server. 4. For other editions, Customer may use any number of Running Instances of the server only in the Physical OSE on the Licensed Server. The number of licenses required equals the number of Virtual Cores in each Virtual OSE in which Customer will run the server, subject to a minimum of four licenses per Virtual OSE. 2. If any Virtual Core is at any time mapped to more than one Hardware Thread, Customer needs a license for each additional Hardware Thread. 3. Customer may use any number of Running Instances of the in any Virtual OSE for which Customer has assigned the required number of licenses. Terms for BizTalk 1. For BizTalk Server 2013 R2 Branch and Standard editions, Customer may not use the server, including the master secret server, on a server that is part of a networked cluster or in an OSE that is part of a networked cluster of OSEs on the same server. 2. For BizTalk Server 2013 R2 Branch, Customer may run Instances of the on Licensed Servers only at the endpoint of Customer s internal network (or edge of Customer s organization) to connect business events or transactions with activities processed at that endpoint; provided, the Licensed Server may not: a. Act as the central node in a hub and spoke networking model. b. Centralize enterprise-wide communications with other servers or devices. c. Automate business processes across divisions, business units, or branch offices. Terms for SQL Server Enterprise Core Customers with servers licensed to run SQL Server Enterprise Core with may use RRE for Windows on those Licensed Servers. Customer must assign each license to a single Server. One license is required for every two Physical Processors on the Server. For Standard licenses: Customer is permitted to use the software in two OSEs. Customer may use one Running Instance of server in the Physical OSE and, for each license assigned, one Running Instance in up to two Virtual OSEs on the Licensed Server. Customer may use one Running Instance in the Physical OSE (in addition to the two Virtual OSEs per license), if the Physical OSE is used only to host and manage the Virtual OSEs. For Datacenter licenses, the number of Virtual OSEs is unlimited, and use in the Physical OSE is not limited to hosting and management. As long as the total number of licenses and Physical Processors remains the same, license reassignment is permitted any time Customer repartitions a single piece of hardware. External s do not need a license to access Windows Server. All other users who access Windows Server must have a license to do so. Each License for an Enterprise Solution includes certain rights to access Windows Server, and access to additional functionality is available as an Solution. (See the Enterprise Solutions and Solutions sections of this Product Catalog for more information.) Customer may also obtain Windows Server access licenses for its internal users under other Microsoft licensing programs. The following benefits are included with Enterprise Solutions, Solutions, and Infrastructure Products, as indicated. Microsoft reserves the right to refuse unreasonable requests for support services, and at times may refer customers to an additional service level agreement, which may require an additional charge. Products (including prior versions) that are currently in mainstream support by Microsoft as set forth in Microsoft's Support Lifecycle Policy are eligible for 24x7 Problem Resolution Support. Microsoft may add support for new Products or discontinue support for existing Products. Fixes (including hotfixes) provided to a Customer may not be regression tested and may be subject to additional terms. Microsoft may use any technical information it derives from providing services related to its products for problem resolution, troubleshooting, product functionality enhancements and fixes, for Microsoft s knowledge base. An incident is defined as a single support issue and the reasonable effort needed to resolve it. A single support issue is a problem that cannot be broken down into subordinate issues. Phone Support Incident Awards Incidents initiated via the web then converted to phone resolution by Customer will count against the available phone incident balance upon resolution. Incidents initiated via the web then followed up via phone by Microsoft will not count against the available phone incident balance if resolution continues via the web, , or other electronic means. Web-Based Incidents Customers with Standard, Enterprise, and Datacenter Editions of server have access to electronic web-based Problem Resolution Support services on an as-needed basis. Conversion of 24x7 Problem Resolution Support Incidents to Premier Support Services Customers may convert 24x7 Problem Resolution Support Incidents (PRS Incidents) to Premier Problem Resolution Support hours. Customers may be required to purchase additional Support Account Management hours before converting PRS Incidents. Once converted, PRS Incidents cannot be returned to a customer s allowance. Training Vouchers Microsoft Training Vouchers entitle customers to receive courses from a Microsoft Partner with a Learning Competency (Microsoft Learning Partner) for a specific number of training days. Training Vouchers that have not been used will expire at the end of Customer s volume licensing agreement term. Planning Services The Planning Services benefit provides Customers with predetermined customized service offerings. Planning Services may be delivered to the Customer by qualified Microsoft Partners or Microsoft Consulting Services. A list of available services can be found at This list, and associated service levels, may change at any time. Planning Services Days that have not been used will expire at the end of Customer s volume licensing agreement term. Windows Thin PC Customers may use Windows Thin PC in place of instances of the Windows desktop operating system. Customer may use the only to run the following types of applications: security; management; terminal emulation; Remote Desktop and similar technologies; web browser; media player; instant messaging client; document viewers;.net Framework; and Java Virtual Machine. New Version Rights Customer may upgrade to the latest version of an available Product. Use of the new version is subject to the license terms for that version. E-Learning Customers will receive one access code per agreement. The maximum number of users eligible to receive E-Learning training is equal to the number of licenses Customer has subscribed to under Customer s volume licensing agreement. Home Use Program Licensed s of qualifying may acquire a single license for the corresponding Home Use Program, which may be installed on one device. The Licensed s use of the Home Use Program is subject to the terms that accompany it. Home Use licenses expire with the Licensed s termination of employment, termination or expiration of the license rights for the qualifying, or upon the Licensed s installation and use of any prior or later version of that qualifying pursuant to a Home Use Program license. Microsoft assumes no responsibility for compliance with any employment-benefit, tax, or reporting obligation that either Customer or its employees may have. License Mobility within Server Farms and Through for Qualifying Infrastructure Products License Mobility within Server Farms permits Customer to reassign licenses for qualifying Infrastructure Products to any of Customer s Servers located within the same Server Farm as often as needed. Customer may also reassign licenses from one Server Farm to another, but not within 90 days of the last assignment. With License Mobility through, Customer may move qualifying Infrastructure Products from Customer s servers to shared servers and: Access Customer s qualifying Infrastructure Products running on the shared servers under the appropriate access licenses. Run Customer s qualifying Infrastructure Products in Virtual OSEs on the shared servers. Manage Customer s OSEs that Customer uses on the shared servers. Manage OSEs that Customer uses on its servers using qualifying Infrastructure Products that Customer runs on the shared servers. To use License Mobility through, Customer must: Run Customer s qualifying Infrastructure Products and manage its OSEs on shared servers solely for Customer s use and benefit. Deploy Customer s qualifying Infrastructure Products only with Platform Services or qualified License Mobility through Partners. Changes to this the Products in Products Infrastructure General Terms

Customer may move its qualifying Infrastructure Products from a third party s shared servers to Customer s Servers or to another third party s shared servers, but not within 90 days of the last assignment. Customer may also move Instances running or OSEs managed under a particular license from a third party s shared servers in one Server Farm to its shared servers in another Server Farm, but not within 90 days of the last assignment. OSEs managed under the same license must be in the same Server Farm. Customer will be responsible for third parties actions with regard to software deployed and managed on Customer s behalf. SQL Server 2014 Enterprise and BizTalk Server 2013 Enterprise Unlimited Virtualization For each server to which Customer has assigned the required number of licenses, Customer may run on the Licensed Server any number of instances of the server software in any number of physical and/or virtual OSEs. SQL Server Fail-Over Servers Customer may run passive fail-over Instances of the Product in conjunction with software running on the licensed Server in anticipation of a failover event. Passive fail-over Instances may be run in either a separate OSE on the licensed Server or on a different Server dedicated to Customer s use. Fail-Over Rights apply only if the number of licenses that otherwise would be required to run the passive fail-over Instances does not exceed the number of licenses required to run the corresponding production Instances. Servers Disaster Recovery Rights For each Instance of eligible server Customer runs in a Physical OSE or Virtual OSE on a licensed Server, Customer may temporarily run a backup instance in a Physical OSE or Virtual OSE on a Customer Server dedicated to disaster recovery or on Services if the backup Instance is managed by Azure Site Recovery to Azure. The recovery Server can run only as follows: For brief periods of disaster recovery testing within one week every 90 days. During a disaster, while the production Server being recovered is down. Around the time of a disaster, for a brief period, to assist in the transfer between the primary production server and the disaster recovery Server. The OSE on the disaster recovery server may not be in the same cluster as the production server. Other than backup instances run on Microsoft Azure Services, Windows Server licenses are not required for the disaster recovery Server if: The Hyper-V role within Windows Server is used to replicate virtual OSEs from the production server at a primary site to a disaster recovery server, Changes to this the Products in Products Infrastructure General Terms

17 Microsoft Volume Licensing Product Catalog 15 The disaster recovery server is used only to run hardware virtualization software, provide hardware virtualization services, run software agents to manage hardware virtualization software, serve as a destination for replication, receive replicated virtual OSEs, test fail-over, await fail-over of the virtual OSEs, or run disaster recovery workloads as described above, and The disaster recovery server is not used as a production server. SQL Server Parallel Data Warehouse Feature Updates Microsoft may make feature releases (for example, appliance updates) available between major product releases. General Terms These license terms apply universally to Customer s use of Products licensed under Customer s Volume Licensing agreement. Definitions External s means users that are not Customer or Customer s Affiliates employees, onsite contractors, or onsite agents. Hardware Thread means either a Physical Core or a hyper-thread in a Physical Processor. Instance means an image of software that is created by executing the software s setup or install procedure or by duplicating an existing Instance. Licensed Device means a single physical hardware system to which a license is assigned. For purposes of this definition, a hardware partition or blade is considered to be a separate device. Licensed Server means a single Server, dedicated to Customer s use, to which a license is assigned. Management License means a license that permits management of one or more OSEs by the corresponding version of the server software or any earlier version of the server software. Managing an OSE means to solicit or receive data about, configure, or give instructions to the hardware or software that is directly or indirectly associated with the OSE. It does not include discovering the presence of a device or OSE. Operating System Environment (OSE) means all or part of an operating system Instance, all or part of a virtual (or otherwise emulated) operating system Instance that enables separate machine identity or separate administrative rights, and instances of applications, if any, configured to run on the operating system Instance or parts identified above. A physical hardware system can have one Physical OSE and/or two or more Virtual OSEs. PC means any device that is used by or for the benefit of Customer and is a personal desktop computer, portable computer, workstation, or similar device capable of running Windows Professional locally (in a physical or virtual operating system environment). Physical Core means a core in a Physical Processor. Physical OSE means an OSE that is configured to run directly on a physical hardware system. The operating system Instance used to run hardware virtualization software or to provide hardware virtualization services is considered part of the Physical OSE. Physical Processor means a processor in a physical hardware system. Production Environment means any Physical or Virtual OSE running a production workload or accessing production data, or any Physical OSE hosting one or more Virtual OSEs running production workloads or accessing production data. Running Instance means an Instance of software that is loaded into memory and for which one or more instructions have been executed. Once running, an Instance is considered to be running (whether or not its instructions continue to execute) until it is removed from memory. Server means a physical hardware system capable of running server software. A hardware partition or blade is considered to be a separate Server. Server Farm means a single data center or two data centers each physically located either in time zones not more than four hours apart, or within the European Union (EU) and/or European Free Trade Association (EFTA). Virtual Core means the unit of processing power in a virtual hardware system. A Virtual Core is the virtual representation of one or more Hardware Threads. Windows Components means components of Windows software included in a Product. Microsoft.NET Framework, Microsoft Data Access Components, PowerShell software and certain.dlls related to Microsoft Build, Windows Identity Foundation, Windows Library for JAVAScript, Debghelp.dll, and Web Deploy technologies are all Windows Components. Outsourcing Management Customer may install and use the on Servers and other devices that are under the day-to-day management and control of third parties, provided all such Servers and other devices are and remain fully dedicated to Customer s use. Customer is responsible for all of the obligations under Customer s agreement regardless of the physical location of the hardware upon which the is used. Font Components While Customer runs the or uses an Online Service, Customer may use the fonts included with or installed by that software or online service to display and print content. Customer may only embed fonts in content as permitted by the embedding restrictions in the fonts and temporarily download them to a printer or other output device to print content. Benchmark Testing Customer must obtain Microsoft s prior written approval to disclose to a third party the results of any benchmark test of Server or additional software that comes with it. This does not apply to Windows Server. Products That Include SQL Server Technology Customer may run any number of Instances of any SQL Server database software included in a Product in one OSE for the limited purpose of supporting that Product and any other Product that includes SQL Server database software. Included Technologies Products may include other Microsoft technology components subject to their own license terms, as indicated in this Product Catalog. If separate terms for these components are not addressed in a Product entry in this Product Catalog, they may be found in a separate folder in the Product s installation directory or through the Product s unified installer. Multiplexing Multiplexing or pooling to reduce direct connections with the software does not reduce the required number of licenses. System Center Packs The license terms for the applicable System Center products apply to Customer s use of Management Packs, Configuration Packs, Process Packs, and Integration Packs included with the. Distributable Code The software may include code that Customer is permitted to distribute in programs Customer develops pursuant to the terms below. Distributable Code Generally The code and text files listed below are Distributable Code. REDIST.TXT Files: Customer may copy and distribute the object code form of code listed in REDIST.TXT files and in OTHER-DIST.TXT files, as well as any code marked as Silverlight Libraries, Silverlight Client Libraries and Silverlight Server Libraries. Sample Code, Templates, and Styles: Customer may modify, copy, and distribute the source and object code form of code marked as sample, template, simple styles and sketch styles. Third Party Distribution: Customer may permit distributors of its programs to copy and distribute the Distributable Code as part of those programs. Image Library: Customer may copy and distribute images, graphics and animations in the Image Library as described in the software documentation. Distribution Requirements If Customer distributes any Distributable Code, Customer must: only distribute it with Customer s programs, where Customer s programs provide significant primary functionality to the Distributable Code; require distributors and external end users to agree to terms that protect the Distributable Code at least as much as Customer s volume licensing agreement, including the Product Terms; Changes to this the Products in Products Infrastructure General Terms
