1 National State Attorneys General Program Charities Oversight and Regulation Project Technology, Social Media and Nonprofit Fundraising Resources LEGAL REQUIREMENTS AND GUIDES Unified Registration Statement: The Unified Registration Statement (URS) represents an effort to consolidate the information and data requirements of all states that require registration of nonprofit organizations performing charitable solicitations within their jurisdictions. The effort is organized by the National Association of State Charities Officials and the National Association of Attorneys General, and is one part of the Standardized Reporting Project, whose aim is to standardize, simplify, and economize compliance under the states' solicitation laws. 2 Cases: o Illinois ex rel. Madigan v. Telemarketing Assocs., 538 U.S. 600 (2003) ( holding that for-profit fundraising corporation s failure to voluntarily disclose the corporations' fees of up to 85% of charitable donations when contacting potential donees was insufficient to state a claim for fraud, but that the state was nonetheless entitled to maintain the fraud action alleging that the corporations made false or misleading representations which were not constitutionally-protected free speech designed to deceive donors about how their donations would be used). o Tamburo v. Dworkin, 601 F.3d 693, , (7th Cir. Ill. 2010) (holding that defendants who used their websites and/or blast s to generate a boycott of the plaintiff with knowledge that plaintiff lived in Illinois and would be injured there were subject to specific personal jurisdiction requiring that the contacts in question relate directly to the issue in controversy in the state, but that a defendant who merely reposted messages from other defendants on a private listserve was not subject to such jurisdiction). o Bird v. Parsons, 289 F.3d 865, (6th Cir. 2002) (holding the maintenance of a public Internet website on which customers could pay to register domain names to be insufficient, without more, to establish the court s general personal jurisdiction over defendant in Ohio requiring continuous and systematic contacts with the state but that these contacts amounted to purposeful availment of the privilege of doing business in the state so as to establish specific personal jurisdiction over defendant). o Revell v. Lidov, 317 F.3d 467, (5th Cir. 2002) (finding that defendant s website that allowed users to subscribe to its publication, purchase advertising and submit electronic applications for admission was not sufficiently interactive to establish general jurisdiction in Texas, and that the defendant s internet contacts with the state maintenance of an online bulletin board to which users anywhere could submit information as well as receive it were not sufficiently interactive to establish specific personal jurisdiction). o MGM Studios Inc. v. Grokster, Ltd., 243 F. Supp. 2d 1073, 1087 (C.D. Cal. 2003) (holding that software company had knowingly and purposefully availed itself of the privilege of doing business in California such that it was subject to specific personal jurisdiction in the state, where the company s internet contacts with California were not strictly passive, allowing its software to be downloaded by more than 2 million California residents for an essentially commercial purpose i.e., one which generated income for the company). o ALS Scan, Inc. v. Digital Serv. Consultants, Inc., 293 F.3d 707, 713 (4th Cir. 2002) (applying sliding interactivity scale for defining when electronic contacts with a state are sufficient to establish personal jurisdiction, and finding that where defendant s only contacts with the State occur when persons in Maryland access [defendant s] website, general jurisdiction will not lie). o Cybersell, Inc. v. Cybersell, Inc., 130 F.3d 414, 418, 420 (9th Cir. 1997) (applying sliding scale interactivity test for personal jurisdiction based on websites, holding that operating a passive website, without more, does not establish jurisdiction, and 2
3 that defendant who did not specifically encourage Arizona residents to visit its website or engage in any transaction with any of them, was not subject to personal jurisdiction in the state). o Zippo Mfg. Co. v. Zippo DOT Com, Inc., 952 F. Supp. 1119, (W.D. Pa. 1997) (asserting a sliding-scale personal jurisdiction analysis for internet-based claims based on the interactivity and commercial nature of internet contacts, and finding specific personal jurisdiction over a company that provided an internet news service to 3,000 subscribers only 2 percent of its total subscribers in Pennsylvania and entered into seven contracts with Pennsylvania internet access providers to supply its services to customers). o Inset Systems, Inc. v. Instruction Set, 937 F. Supp. 161, 165 (D. Conn. 1996) (holding that computer tech support company, purposefully availed itself of the privilege of doing business within Connecticut when it directed its advertising activities via the Internet and its toll-free number toward all states, including as many as 10,000 Internet users within Connecticut, so as to reasonably expect to be haled into court in the state); but see Bensusan Restaurant Corp., v. King, 937 F. Supp. 295 (S.D. N.Y. 1996) ( Creating a [web]site, like placing a product into the stream of commerce, may be felt nationwide - or even worldwide - but, without more, it is not an act purposefully directed toward the forum state....
