3 NATIONAL CENTRE OF EXCELLENCE FOR ANIMATION, GAMING, VFX & COMICS AN INTRODUCTION With a vision to develop training capacity for animation and gaming Industry in India, Ministry of Information & Broadcasting (MoIB) has proposed to set up National Centre of Excellence in training for Animation, Gaming & VFX. PricewaterhouseCoopers has been engaged as consultants to prepare detailed project report, for setting up the proposed institute. As part of this study, PwC has conducted several stakeholder meetings/discussion with the institutes, industry experts and studying the publicly available information. The recommendations are taking into account the unique nature of the Industry and win-win situation for all stakeholders. Animation, Visual effects, Gaming and Comics (AVGC) sector in India has seen an impressive growth over the past few years. The AVGC sector is conservatively estimated to be around INR 39.7 billion in 2013, with a growth of 12.4 per cent in the year However, India is losing quality work to other neighbouring nations such as Malaysia, China, Philippines and Korea due to inadequate supply of trained workforce and lack of structured policy It is in this context that the budget announcement made by the Finance Minister Shri Arun Jaitley on 10 th July 2014 that a National Centre for Excellence (NCoE) in Animation, Gaming and Special effects will be soon set up was welcomed by the Industry Stakeholders. After several rounds of industry consultation and discussion with the Ministry, a conceptual PPP model for establishment of NCoE has been evolved KEY OBJECTIVES The objective of the project NCoE is to build a national centre of excellence to impart world class education at affordable fee structure in Animation, Visual Effects, Gaming and Comics and create a world class talent pool in India to cater the Indian industry and global players as well. 4 To create techno-creative labs and tie-ups with technology majors to make it reference site for the industry. To set-up incubation centre for the AVGC sector and student internship program. REQUEST FOR PROPOSAL MESC seeks proposal from reputed consulting firms to undertake the task/ job of preparation of DPR for setting up the National Centre of Excellence for Animation, Gaming, Visual Effects & Comics as per the scope given in this RFP document. PROJECT SCOPE & BRIEF The Ministry of Information and Broadcasting (MoIB) is the nodal Ministry of Government of India (GoI) for formulation and administration of the rules & regulations and laws relating to information, broadcasting, the press and films. The Ministry, through mass communication and media consisting of radio, television, films, the press, publications, advertising and traditional modes of information dissemination (like dance and drama) plays a significant part in helping in the free flow of information. MoIB also undertakes various initiatives on behalf of the GoI to encourage the development of media and communication industry in the country. With advances in technology and recent boom in the Information and Communication Technologies(ICT) in the country, various new segments are emerging in the entertainment and media sectors. Emergence and growth of animation, gaming and visual effect based segments of entertainment industry is a prime example for this. This emerging animation, gaming and visual effect sector offers a multi-million dollar opportunity both in terms of opportunity for global outsourcing as well as the hitherto partially tapped domestic information and entertainment market. While a handful of public and private colleges are offering courses in animation & gaming, however these institutes either lack capacity or structured/well defined curriculum. Hence, there is a gap between the growing demand for skilled professionals in the industry and the availability of these skills. To assist the Ministry in identifying manpower and skill sets requirement parameters and scenario for this industry, PwC undertook a comprehensive study wherein assessment of the skill requirements for the Indian Animation and Gaming industry was conducted. The gap between requirements and availability (quantitative and qualitative) was analyzed and thereafter, a set of recommendations was developed in consultation with the stakeholders. 4

5 Primary research (surveys) of the companies, training institutes, students and professionals were conducted to understand various aspects of manpower issues and opportunities in the sector. While a multitude of privately run institutes offer courses in this sector, only a handful of Government run colleges offer these courses. It was observed that the animation and the Visual effects have been hitherto addressed as a software activity, which shifts the focus of the training of students to software based; which, to some extent, is governed by the demand for teaching software skills which again is linked to the misconceptions about this industry being software driven. The various institutes providing the training courses for the development of such skill do not follow any industry recommended standard curriculum. As a part of the recommendations of previous study, different options were considered to address the demand and supply gap in the Industry including enhancing the existing educational facilities or settingup of new educational facilities. In case of a new set-up, the advantages of public-private-partnership model for setting up of an academic institute have been explored. It was recommended that a National Centre of Excellence should be setup to address the needs of the Industry. Taking this to the next level, MoIB is looking for a partner for Preparation of Detailed Project Report for Setting up a National Centre of Excellence for Animation, Gaming, VFX & Comics. SCOPE OF WORK The scope of this project shall include the following tasks: SCOPE A A1. Detailed costing of the Project: The bidder shall propose the cost-revenue model covering the expenses for land infrastructure, construction, student hostel, faculty accommodation, visitor accommodation, staff accommodation, academic building, shared facilities, library, marketing office, open spaces, incubation centres and other miscellaneous expenditures. In other words, it shall encompass the complete costing with respect to infrastructure and other hardware and software required to impart training. A2. The bidder will prepare a sustainable business plan for a period of ten years taking into account the estimated capital expenditure, estimated operating expenses and the estimated operating revenue. 5

6 A3. Create a detailed project report for setting up of NCOE for animation, VFX, Gaming and Comics in India. The bidder shall cover the following points while submitting the detailed project report: 1. Executive Summary, Background, Recommendations for setting up National Centre of Excellence for AVGC. 2. Propose the vision for the Academic structure, students and faculties for running the institution. 3. To study the AVGC industry covering the trends in the industry, demand for experienced professionals, SWOT of the educational system and Government s involvement in this initiative. 4. Study the trends in the higher education in India at university, college and course level. 5. To study the leading international and national practices, the and existing animation and gaming trends in India. 6. Prepare life cycle in the development of the institution. 7. Study the various information sources, create stakeholder participation matrix, and their feedback by conducting various workshops. 8. To explore Public-Private partnership for the institute. 9. Assess existing programs at FTII, Pune, study the existing courses Governance structure, faculty, collaborations, infrastructure and placement facilities. 10. Prepare the charter of the institute; define the broad vision, mission and goals of NCoE and the ways to achieve the same. 11. Propose a suitable location for NCoE taking the demand and supply of students, faculty and industry into consideration. 6

Prepare Academic programs with overall courses and duration at various levels (i.e. graduation, post-graduation, doctoral courses, short-term vocational courses for industry professionals, certificate courses for new trainees and extended learning through online courses). 13. Propose the estimated number of administrative staff required to run the institute of Animation, VFX, Gaming and Comics, effectively and efficiently. 14. Propose the number of seats for UG students, PG students, MPhil/PhD students, training of trainers/faculty development programs, short term certification programs and for the extended online courses. 15. Estimate the fee structure for the courses and financial aid for the students. Processes to be followed for associating to any scheme/yojana by MHRD, MIB and Ministry of Skill Development and Entrepreneurship. 16. Propose the faculty positions required, their qualifications, compensation, development of recognition mechanism, promotion and confirmation process for faculty and applied research and development activities of the institute. 17. Propose infrastructure requirements for the institute covering the land requirements, administrative buildings, departments/work areas, library facilities and student facilities. 18. Facilitate industries/academia tie-ups (national and international). Identify foreign institutions for partnerships. 19. Prepare an implementation strategy, strategic goals, measurement parameters, high-level implementation blueprint. 20. The formation of the Governing Council and the Academic Council for running of the institution, MESC. 7

8 SCOPE B B1. To prepare a RFP for selection of an apex partner (Educational institution) for a long term arrangement of years. The model proposed should ensure that the private sector builds an infrastructure project, operates it and eventually transfers ownership of the project to the government (BOT Model) B2. The bidder shall float the RFP spelling out the project deliverables, scope and timeline for the selection of thee training partner for operating the National Centre of Excellence. Select bidders would be required to make a presentation to the MESC Committee. EVALUATION OF BID A two-stage Evaluation Criteria will be adopted in evaluating the bids. Stage 1: PRE-QUALIFICATION /TECHNICAL Prior Experience with regard to Preparation of Detailed Project Report for setting up educational institutions Secure at least minimum technical score of 65% of the obtainable score of 100 points. Sum total of all the evaluation criteria, would be intimated before the commercial bid. 9

10 Stage 2: COMMERCIAL BID: The Bidder shall indicate the prices of services it proposes to supply under the contract. The contract will be awarded to the consulting firm which qualifies the technical bid and Commercial bid for the services. Information to be given in the following format; furnish the information as per the sections defined below. * The commercial bids will be opened and evaluated of only those consortia / consulting firms which fulfil the following conditions: Technical bid Consortia / Consulting Firms must A. have prior expertise and experience with regard to Preparation of Detailed Project reports for Media & Entertainment Sector either in India or Abroad, and B. secure minimum technical score of 65% of the obtainable score of 100 points 10

12 Commercial Bid: The bidder shall indicate the prices of services it proposes to supply under the contract. All costs shall be inclusive of all taxes, duties, charges and levies of State or Central Governments, as applicable, at the date of signing the Agreement and subject to deduction of all statutory deductions applicable, if any. In case of upward Bid revision to duties and taxes the Bidder will be responsible to incur the additional cost. The Bidder has to include all costs like Travel, Lodging & Boarding, Local Travel expenses, etc incurred during the preparation of Detailed Project Report. MESC will not bear any additional costs on these. Performance Bank Guarantee A. The successful bidder shall submit a Performance Bank Guarantee (PBG) in prescribed format for an amount equivalent to 30% of the total project cost before signing a contract/agreement, and the PBG to be valid till the submission of the DPR. The Proforma of PBG is enclosed. B. On satisfactory submission of the DPR to the Ministry of the Information and Broadcasting, this PBG shall be released. C. In case the DPR is not completed within the stipulated period as indicated above. MESC reserves the rights to unilaterally short-close or cancel the agreement and encash the Performance Bank Guarantee. PROPOSAL PREPARATION COSTS The bidder is responsible for all costs incurred in connection with participation in this process, including, but not limited to, costs incurred in conduct of informative and other diligence activities, participation in meetings/discussions/presentations, preparation of proposal, in providing any additional information required by MESC to facilitate the evaluation process, and in negotiating a definitive Contract or all such activities related to the bid process. MESC will in no case be responsible or liable for those costs, regardless of the conduct or outcome of the bidding process. This RFP does not commit MESC to award a contract or to engage in negotiations. Further, no reimbursable cost may be incurred in anticipation of award or for preparing this bid. 12

13 All materials submitted by the bidder become the property of MESC and may be returned completely at its sole discretion. BIDDERS INQUIRIES AND MESC S RESPONSES All enquiries/clarifications from the bidders related to this RFP must be directed in writing exclusively to Ms.Leena Jaisani, Secretary, Media & Entertainment Skills Council at her ID: leena.jaisani@ficci.com VENUE AND DEADLINE FOR SUBMISSION Proposals must be received at the address specified below by 1500 hours on 9th July, 2015 by the authorized representative mentioned in the document. The bids submitted by fax/ etc. shall not be considered. No correspondence will be entertained on this matter. MESC shall not be responsible for any postal delay or non-receipt/ non-delivery of the documents. No further correspondence on the subject will be entertained. MESC reserves the right to modify and amend any of the above-stipulated condition/criterion depending upon project priorities vis-à-vis urgent commitments. GENERAL INSTRUCTIONS Consulting Firms / Consortia submitting the proposal must be a legal entity duly incorporated under the law. Must have a Permanent Account Number (PAN) from Income Tax authorities. 13

14 All the communication to MESC including the proposal and the bid documents shall be signed on each page by the authorized representative of the bidder and authority letter should be attached with the bid. The bidders should submit their proposals in 2 sets of printed copies and a non-rewritable CD as a single file in PDF format. The Bid should be submitted in two separate envelops; Technical Proposal ( which is applicable for both scope A & Scope B) Commercial Bid Scope A Commercial Bid Scope B All pages of the proposal must be sequentially numbered and shall be initialled by the Authorized Representative of the bidder. The technical part of the Proposal should not contain any pricing information whatsoever on the services offered. Pricing information shall be separated and only contained in the Financial Bid. Information which the Bidder considers proprietary, if any, should be clearly marked proprietary next to the relevant part of the text and it will then be treated as such accordingly. All prices shall be quoted in Indian Rupees (INR). Proposals shall remain valid for One Hundred and Twenty (120) days after the date of Proposal submission prescribed by the MESC. A Bidder granting the request will not be required nor permitted to modify its Proposal. The Bidder shall seal the Proposal in one outer and two inner envelopes, as detailed below. Both inner and outer envelopes shall be addressed to MESC at the address specified above. The Bidder may withdraw its Proposal after the Proposal s submission, provided that written notice of the withdrawal is received by the MESC prior to the deadline prescribed for submission of Proposals. RIGHTS OF MESC At any time, MESC may, for any reason, modify the RFP Document by an amendment. The amendment will be intimated to all proposers who confirm their intention to participate, by . In order to accord prospective Bidders reasonable time to take the amendment into account in preparing their bids, MESC may, at its discretion, extend the last date for the receipt of Bids. 15

16 The bidders are allowed to resubmit their bid- if required, after such amendments. If MESC deems it appropriate to revise any part of this RFP or to issue additional data to clarify an interpretation of provisions of this RFP, it may issue supplements to this RFP. MESC may, at its discretion, extend the deadline for submission of proposals by issuing a corrigendum through to all confirmed proposers, in which case all rights and obligations of the project and the bidders previously subject to the original deadline will thereafter be subject to the deadline as extended. MESC may terminate the RFP process at any time without assigning any reason. MESC makes no commitments, express or implied, that this process will result in a business transaction with anyone. MESC reserves the right to accept or reject any proposal, and to annul the short listing process and reject all responses at any time without thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform the affected bidder or bidders of the grounds for MESC s action PAYMENT TERMS AND CONDITIONS 1. The contract(s) signed with the successful consultant(s) will be a fixed price contract. 2. In consideration of the contractor satisfactorily completing all of its obligations under this contract, the contractor shall be paid a firm price based on deliverables. 3. Payments shall be made within a month by MESC after submission of the invoice or claim by the Service Provider and upon verification and certification by the concerned official. MESC Advisory Committee shall certify corresponding milestones agreed and achieved. 4. Payments shall be made in Indian Rupees/ INR. 5. Amount payable to the Service Provider as stated in the Contract shall remain non-negotiable and fixed during the tenure of the Contract. 6. It is proposed to enter into a deliverables based payment with the Bidding Agency selected to conduct this exercise details of which are as under. 16

Final submission 50% AWARD OF CONTRACT To assist in the examination, evaluation and comparison of Proposals, MESC may at its discretion, ask the Bidder for clarification/seek information on the Proposal. Arithmetical errors in the proposal will be rectified on the following basis: If there is a discrepancy between the unit price and the total price that is obtained by multiplying the unit price and quantity, the unit price shall prevail and the total price shall be corrected. If the Bidder does not accept the correction of errors, its Proposal will be rejected. Review Meeting with MESC will be held within 2 Weeks of Start of the Project and every two weeks in the following weeks or as and when required. The decision of the MESC Advisory Committee on in the evaluation of proposals shall be final. No correspondence will be entertained outside the process of negotiation/ discussion with the Committee. MESC reserves the right at the time of award of contract to vary the quantity of services and goods specified in the RFP without any change in price or other terms and conditions. The Contract would clearly mention the Service Levels Agreement for all milestones with defined tasks and timelines. 17

18 The Bidders performance to Service Levels will be assessed as per agreed Service Level Agreements (SLAs). Default will occur if Bidder fails to meet the target service levels, as measured on a monthly basis, for a particular Service Level. All delays, failures to adhere to the SLAs will attract a financial penalty. This will be mutually decided by the selected bidder and MESC while signing the contract. Within 3 days of receipt of the contract the successful Bidder shall sign and date the contract and return it to the Purchaser. The MESC reserves the right to: o Reject any or all proposals received o Enter into negotiations with one or more applicant on any aspects of the proposal o Accept any proposal in whole or in part o Award or negotiate one or more consultancy agreements o Verify any or all information provided in the proposal The contract to be entered into will be finalised mutually between selected vendor and MESC and will contain standard terms and conditions. If, in the opinion of the MESC, it appears that a contract will not be finalized with the selected vendor within five days, negotiations with other vendors submitting responsive proposals may be undertaken. Final Report will be validated by the MESC National Committee & Governing Council of MESC. 18

The conditions of this obligations are: (i) If the proposer withdraws its proposal during the period of its validity specified by the Authority; or (ii) If the proposer having been notified of the acceptance of its proposal by the Authority, during the period of the proposals validity; (a) fails or refuses to execute the contract form; if required; or (b) fails or refuses to furnish the performance security; in accordance with the instructions to proposer; We undertake to pay to the Authority, the above amount upon demand, without any demur and without the Authority having to substantiate its demand. 3. This guarantee will remain in force upto six months after the completion of finalization of Detailed project Report for setting up of the National Centre of Excellence for Animation, Gaming, Visual Effects & Comics, which is months from the date of issue, and further extendible by another six months on request and any demand in respect thereof should reach the Bank not later than the date upto which this Bank Guarantee.
