10 An example for functional substitutes Spanish Corporate Enterprises Act, s. 367: If the law requires a company to be wound up (e.g., because losses have reduced the company s equity to an amount lower than one half of the capital) and the directors fail to convene the general meeting to decide on the winding up within two months, they are jointly and severally liable for corporate obligations incurred since the legal ground for the winding-up was satisfied. Directors are liable according to Art. 172 Spanish Insolvency Act for insufficiency of assets if insolvency proceedings are qualified as culpable. Insolvency proceedings are culpable if intentional or grossly negligent acts of de iureor de facto directors caused or aggravated the state of insolvency. As a consequence, the court may order the guilty directors to cover the deficit in the company s assets completely or partially.

18 Another example for functional substitutes Netherlands: shareholders holding at least 10% of the capital or a nominal value of EUR 250,000 can request the Enterprise Chamber of the Civil Court of Appeal of Amsterdam to conduct an enquiry into the policy and conduct of the business of the company. The court may order the suspension of directors, appointment of supervisory directors with special powers, suspension of resolutions of the management board or suspension of voting rights.
