1 PRESENTER BIOGRAPHIES TAX PRACTICE R. LEE CHRISTIE is a partner in the Chicago office and chair of the Insurance Tax practice. He is a tax lawyer with a practice focused on the insurance industry, including all aspects of federal and state taxation affecting insurance companies and insurance products. He has advised insurance companies and investment banks in financings, restructurings, and acquisitions involving insurance companies, and represents insurance companies in tax controversy matters including both administrative proceedings and litigation in federal and state courts. He also counsels non-insurance businesses and nonprofits in the development of captive insurance programs, and regularly represents captive managers and captive insurers. Mr. Christie s clients include life insurers, health insurers, property/casualty insurers, specialty insurers, life/health insurance guaranty associations, and other clients affected by insurance and insurance-related tax issues. Mr. Christie served as Chair of the ABA Tax Section Committee on Insurance Companies during SURESH T. ADVANI is a partner in Sidley s Chicago office who focuses on federal income tax matters. Mr. Advani represents domestic and foreign corporations involved in mergers and acquisitions, partnerships and joint ventures, spin-offs and other divisive transactions, demutualizations, holding company formations, financial products, asset securitizations, restructurings of financially-troubled corporations and partnerships, and foreign and domestic securities offerings. Mr. Advani has been a speaker at the University of Chicago Tax Conference and participated in panels for the American Bar Association and Practising Law Institute. He has also written on a number of tax topics. LAURA BARZILAI is a partner in the firm s New York office and focuses on federal income tax matters. She advises clients in the areas of domestic and cross-border mergers and acquisitions, tax-free reorganizations, joint ventures, restructurings and other major corporate transactions, and domestic and foreign securities offerings. Ms. Barzilai advises insurance companies in alternative risk transfer transactions, including offerings of insurance-linked securities and formations of sidecars. She has also represented insurance companies in connection with credit derivative product companies and acquisitions and dispositions of subsidiaries. Ms. Barzilai also represents corporations in federal income tax controversies.

2 ROBERT M. KREITMAN is a partner in the New York office, where he has focused on the structured finance, securitization, financial products, insurance-linked financing and credit derivative areas since Mr. Kreitman s principal areas and experience include residential and commercial mortgage-backed securitization, asset-backed securitization and structured finance including the structuring of debt repackagings, insurance-linked security offerings, distressed asset funds, credit-default swaps, CDO s CDPCs and synthetic securitizations. Mr. Kreitman has worked on numerous CAT bond and sidecar structures and was the lead tax lawyer representing the ceding insurer on the first ever CAT bond transaction. Mr. Kreitman is a co-author of the Little, Brown and Company book on mortgagebacked securities. He was also the special tax counsel to the Resolution Trust Company (RTC) on over $100 billion of MBS securitization transactions in the early 1990 s. More recently, he served as the senior U.S. tax advisor to Bank of America and Washington Mutual on their respective covered bond programs and as one of the lead managers of the HBOS Treasury Services plc UK covered bond offering that was named IFLR 2004 Securitization Deal of the Year. ANGELICA KWAN is a partner in the firm s New York office. Ms. Kwan advises clients on federal income tax aspects of mergers and acquisitions and cross-border transactions, including transactions involving domestic and foreign insurance companies and entities holding insurance-related assets. She is also active in the formation of private equity funds and other pooled investment vehicles, and in assisting such funds and vehicles to structure their investments. TRACY D. WILLIAMS is a partner in the firm s Chicago office. For the past several years, her practice has focused on federal and state taxation of insurance companies. She has advised insurance companies and investment banks on domestic and offshore transactions, insurance-linked financial products and insurance securitizations. Ms. Williams also advises insurance company clients on premium, income and retaliatory tax issues, represents insurance company clients in administrative proceedings and in litigation in federal and state courts and provides advice to insurance company clients in connection with pending or proposed federal and state tax legislation and regulations. Ms. Williams has counseled and represented property and casualty insurers, life insurers, health insurers, title insurers, mortgage guaranty insurers, specialty writers, surplus lines companies and insurance trade associations.

EDWARDS is an associate in Sidley s Chicago office and his practice focuses on a variety of corporate and regulatory matters relating to the insurance industry. Mr. Edwards represents insurance companies and other insurance entities in connection with mergers, acquisitions, divestitures and other corporate reorganizations; the formation, capitalization and corporate financing of insurance companies and related ventures; insurance company holding company system regulation; insurance company investment activities; the regulation of insurance producers, agencies and other distribution systems; and the structure and regulation of alternative risk financing mechanisms. Mr. Edwards practice also involves the representation of investment banks, commercial banks, private equity funds, investment advisors, derivatives dealers and other sectors of the financial services industry with respect to insurance related transactions. Mr. Edwards regularly advises investment banks, hedge funds and other financial institutions in connection with the life settlement market, including transactions involving the accumulation, disposition and/or financing of life insurance and annuity products. MICHAEL P. GOLDMAN is a partner in the firm s Chicago office and co-chair of the firm s Insurance and Financial Services Group. His practice focuses on the corporate representation of insurance companies and other insurance entities, with a focus on acquisitions, divestitures and corporate reorganizations (including demutualization and mutual holding company conversions); the formation, capitalization and corporate financing of insurance companies and related ventures; the regulation of insurance holding company systems; the regulation of insurance company investment practices, including the use of derivative instruments and strategies; the structure and regulation of alternative risk financing mechanisms and complex reinsurance arrangements, including insurance securitization and derivatives, loss portfolio transfers and commutations; the structure of unique marketing and insurance distribution systems; and captive insurance companies, risk retention groups and other alternative market mechanisms. JEFF S. LIEBMANN is a partner in the New York office. He has for over twenty-five years practiced exclusively in the insurance, corporate, restructuring and insolvency areas. He has represented insurance companies (property-casualty and life; stock and mutual), insurance holding companies, investment banks, financial advisers, commercial banks, private equity funds, financial guarantors, insurance agencies and brokers, credit card companies, insurance markets, insurance regulators, guaranty associations, insurance company receivers and creditor committees in a broad array of insurance matters. 5 surplus note transactions, reinsurance side-cars, reinsurance treaties and contracts of all types, agency captive programs, international reinsurance pooling, insurance insolvency matters (including rehabilitation and liquidation plan design for receivers; counseling creditors, affiliates and guarantee funds). Mr. Liebmann has been recognized by clients and fellow lawyers as a Leading Lawyer (rank one) in the field of insurance (transactional & regulatory) by Chambers USA-America s Leading Business Lawyers (since 2003). MICHAEL MADIGAN is a partner in the firm s Insurance practice in New York. Mr. Madigan advises principally on insurance securitizations, such as catastrophe bond transactions, having represented either issuers or their financial advisors in more than 60 such transactions since Mr. Madigan also has extensive experience in the use of other innovative risk transfer products, including derivative products, as a means of transferring insurance risk to the capital markets. DENNIS M. MANFREDI is a partner in the Insurance practice in New York. Mr. Manfredi represents insurance companies, financial institutions, investors and insurance regulators in a variety of transactional matters relating to the insurance industry. Such matters include insurance securitizations and structured finance solutions, traditional and non-traditional insurance company mergers and acquisitions, acquisitions and dispositions of blocks of insurance business, capital markets financings, complex reinsurance arrangements and other financial transactions. Mr. Manfredi s practice also includes counseling clients on insurance regulatory matters, including structuring transactions, insurance holding company system regulation and general regulatory compliance matters. MICHAEL J. PINSEL is a partner in the Insurance and Financial Services group in Sidley s Chicago office and heads the firm s property and casualty alternative risk transfer practice. His practice is concentrated primarily in the corporate and regulatory representation of insurance companies, investors and financial advisors with a focus on alternative risk transfer mechanisms, including insurance securitization and derivatives (catastrophe bonds, sidecars, industry loss warranties); acquisitions, divestitures and corporate reorganizations; the formation, capitalization and corporate financing of insurance companies and related ventures; the regulation of insurance holding company systems; and the regulation of insurance company investment practices, including the use of

ALEXI PORETZ is counsel in Sidley s New York office. He has broad experience representing U.S. and non-u.s. clients in connection with an array of complex financing, merger and acquisition and other types of transactions which often involve a cross-border component. In particular, in the insurance arena Mr. Poretz regularly advises investment banks, hedge funds and other financial institutions in connection with the life settlement market and more generally transactions involving the transfer of longevity and/or mortality exposure to groups of individuals. ANTHONY J. RIBAUDO is a corporate partner in the Insurance and Financial Service Group where he heads the Capital Markets and Alternative Risk Transfer (Life) practices. Mr. Ribaudo represents insurance companies and financial institutions in the structuring and offering of equity, debt and hybrid securities, structured securities, securitizations and structured finance solutions. He also advises capital markets participants in connection with alternative risk transfer solutions targeted to the life insurance industry. Mr. Ribaudo s practice includes counseling issuers and investors in connection with capital formation transactions. Finally, Mr. Ribaudo advises insurance companies in connection with mergers and acquisitions. PERRY J. SHWACHMAN is a partner in the Chicago office, co-head of Sidley s Global Insurance Group and member of Sidley s Executive Committee. He regularly represents insurance companies, investment banks, banks, investment managers and other financial institutions on insurance securitization, merger and acquisition, private equity, lending, derivative, structured product, structured investment vehicle and stable value transactions.
