CCID CONSULTING COMPANY LIMITED* (a joint stock limited company incorporated in the People s Republic of China) (Stock code: 08235) DISCLOSEABLE TRANSACTIONS SUBSCRIPTION OF WEALTH MANAGEMENT PRODUCTS The Board of CCID Consulting Company Limited* (the Company ) is pleased to announce that on 2 February 2016, the Company subscribed a wealth management product issued by CCB at a consideration of RMB10,000,000 ( Wealth Management Product No. 2 ). On 9 June 2015, the Company subscribed a wealth management product issued by CCB at a consideration of RMB5,000,000 ( Wealth Management Product No. 1 ). The subscription of Wealth Management Product No. 1 itself does not constitute a discloseable transaction of the Company under Rule of the GEM Listing Rules. However, pursuant to Rule of the GEM Listing Rules, when the subscription amount under the Wealth Management Product No. 1 and Wealth Management Product No. 2 is aggregated, the relevant applicable percentage ratios (as defined under Rule of the GEM Listing Rules) exceed 5% but are less than 25%, the subscription of Wealth 1

2 Management Product No. 1 and Wealth Management Product No. 2 constitutes discloseable transactions of the Company under Chapter 19 of the GEM Listing Rules and is subject to the reporting and announcement requirements under the GEM Listing Rules, but is exempted from the compliance of the Shareholders approval requirement. THE SUBSCRIPTIONS 1. Subscription of Wealth Management Product No. 2 Date of subscription: 2 February 2016 Parties: The Company and CCB Name of product: Qianyuan Rixinyueyi (Daily basis) Open-ended Assets Portfolio RMB Wealth Management Product ( ) Currency of principal and return: RMB Type of product: Non-principal guaranteed with floating income Principal of subscription: RMB10,000,000 Term of product: 120 days to 269 days # # Wealth Management Product No. 2 has no term fixed and can apply for wholly or partly redemption within the designated time in any Product Working Days during the effective period of the product. The Board has approved the investment term in the investment of Wealth Management Product No. 2 to be greater than or equal to 120 days, but less than 270 days. CCB has the right to prematurely terminate the product. 2

3 Scope of investment: Expected annualized yield rate: Equity assets, debt assets, bonds and money market instruments assets, and other assets portfolio which satisfies the regulatory requirements. 4.00%, applicable to the investment term in the investment of Wealth Management Product No. 2 is greater than or equal to 120 days, but less than 270 days. CCB may adjust the expected annualized yield rate in view of the prevailing market condition. Return calculation: Return = principal of subscription actual annualized yield rate number of days of investment/365 The return will be calculated according to the principal of subscription, number of days of investment and the actual annualized yield rate. Upon redemption by the Company, the return will be calculated according to the number of days of investment and the corresponding actual annualized yield rate of the amount redeemed. Payment of principal and return upon redemption: The principal redeemed and yield will be deposited to the Company s designated account in real time. Subscription of Wealth Management Product No. 1 Date of subscription: 9 June 2015 Parties: Name of product: Currency of principal and return: Type of product: Principal of subscription: The Company and CCB Qianyuan Gongxiangxing 2015 Wealth Management Product No. 91 ( ) RMB Non-Principal guaranteed with floating income RMB5,000,000 Term of product: 131 days (commencing from 10 June 2015 to 18 October 2015, excluding maturity date of the product, i.e. 19 October 2015) (CCB has the right to establish the product prior to the term or prematurely terminate the product) Scope of investment: Debt assets, bonds and money market instrument assets under the assets portfolio RMB wealth management product and other assets portfolio in compliance with regulatory requirements. Expected annualized yield rate: 4.80% Return calculation: Return = principal of subscription actual annualized yield rate term of product (number of days)/365 (In the case of premature termination of the product, the term of product will be calculated with reference to the actual number of days of investment in the product) 4

5 Payment of principal and return upon maturity: The principal and return will be transferred to the designated account of the Company within 3 Product Working Days after the maturity date of the product (deferred to the next Product Working Day in the case of statutory holidays). (In the case of premature termination of the product, CCB will announce the payment schedule separately) BASIS OF DETERMINATION FOR THE CONSIDERATION The Directors confirmed that the consideration of the subscription of each of the above Wealth Management Products was determined on the basis of commercial terms negotiated at arm s length. REASONS AND BENEFITS OF THE SUBSCRIPTION OF WEALTH MANAGEMENT PRODUCTS Wealth Management Product No. 1 and Wealth Management Product No. 2 are wealth management products provided by a bank which have higher stability, greater product liquidity and lower risks as compared to other non-bank wealth management products, therefore, they can provide reasonable return to the Group through short-term investment of part of its idle cash. The Directors considered that the subscription of each of the Wealth Management Products is on normal commercial terms which is fair and reasonable, and in the interests of the Company and the Shareholders as a whole. INFORMATION OF THE GROUP The principal business of the Group is the provision of management and strategic consultancy, market consultancy, data information management and information engineering supervision services. 5

6 INFORMATION OF CCB CCB is a bank incorporated in the PRC. The principal businesses of CCB include provision of corporate and personal banking services, conducting treasury business, the provision of asset management, trustee, finance leasing, investment banking, insurance and other financial services. To the best knowledge, information and belief of the Directors, CCB and its ultimate beneficial owners are Independent Third Parties. IMPLICATION UNDER THE GEM LISTING RULES The subscription of Wealth Management Product No. 1 itself does not constitute a discloseable transaction of the Company under Rule of the GEM Listing Rules.
