Shunfeng Photovoltaic International Limited 順 風 光 電 國 際 有 限 公 司 (Incorporated in the Cayman Islands with limited liability) (Stock Code: 01165) DISCLOSEABLE TRANSACTION FINANCE LEASE ARRANGEMENT The Board is pleased to announce that, on 27 September 2013, Shunfeng Technology, an indirectly wholly-owned subsidiary of the Company, as the lessee entered into the Finance Lease Agreement with the Lessor, pursuant to which Shunfeng Technology has agreed to sell the Equipment to the Lessor at a consideration of RMB300,000, (equivalent to approximately HK$379,746,835.44) and the Lessor has agreed to lease back the Equipment to Shunfeng Technology for a term of four months. Each of the Company and Shunfeng HK, as the shareholder of Shunfeng Technology which indirectly and directly held the entire equity interest in Shunfeng Technology further entered into the Buy-back Agreements, pursuant to which the Company and Shunfeng HK provided guarantee in favour of the Lessor for, including but not limited to, unpaid principal, unpaid interest, tax payable, handling charge, deposit, default interest, compensation, redemption payment or other payables by Shunfeng Technology relating to the Finance Lease Agreement, with the Lessor having the option to recover the unpaid sums from Shunfeng HK first. As the relevant applicable percentage ratios in respect of the Finance Lease Arrangement exceed 5% but are less than 25%, the Finance Lease Arrangement constitutes a discloseable transaction of the Company under the Listing Rules thus is subject to the reporting and announcement requirements under Chapter 14 of the Listing Rules. 1

THE FINANCE LEASE AGREEMENT 1. Date: 27 September Parties: Lessor: Lessee: The Lessor Shunfeng Technology 3. Subject matter: The Equipment comprise various machinery and equipment for solar cells production line. The finance amount of RMB300,000, (equivalent to approximately HK$379,746,835.44) was determined after arm's length negotiation between the parties to the Finance Lease Agreement with reference to the fair value of the Equipment. 4. Terms of the Finance Lease Agreement: Pursuant to the Finance Lease Agreement, the Lessor will purchase the Equipment from Shunfeng Technology at a consideration of RMB300,000, (equivalent to approximately HK$379,746,835.44) and the Equipment will be leased back to Shunfeng Technology for a term of four months, for the period from 27 September 2013 to 26 January 2014, at an aggregate lease consideration (including the principal amount of RMB300,000,000.00, interest payment of RMB7,733,333.33, tax payable of RMB1,314, and handling charge of RMB585,000.00) of RMB309,633, (equivalent to approximately HK$391,940,506.33). 2

3 The interest rate payable under the Finance Lease Agreement is at a fixed yearly rate of 8% (excluding tax). The principal amount and the interest payment under the Finance Lease Agreement shall be repaid on 26 January 2014 and the handling charge of RMB585, (equivalent to approximately HK$740,506.33) is payable by Shunfeng Technology to the Lessor on or before 26 January The terms of the Finance Lease Agreement including the lease payment, the interest rate and the handling charge have been agreed after arm's length negotiation between the parties with reference to the prevailing market practice. 5. Ownership of the Equipment: During the lease period, the legal ownership of the Equipment will belong to the Lessor. Upon the end of the lease period, Shunfeng Technology can purchase the Equipment at a consideration of RMB (equivalent to approximately HK$126.58). THE BUY-BACK AGREEMENTS Pursuant to the Buy-back Agreements, each of the Company and Shunfeng HK has agreed to provide guarantee in favour of the Lessor for, including but not limited to, unpaid principal, unpaid interest, tax payable, handling charge, deposit, default interest, compensation, redemption payment or other payables by Shunfeng Technology relating to the Finance Lease Agreement, with the Lessor having the option to recover the unpaid sums from Shunfeng HK first. REASONS FOR ENTERING INTO THE FINANCE LEASE ARRANGEMENT It is expected that the financing under the Finance Lease Agreement would be utilised as Shunfeng Technology's general working capital. The Directors are of the view that the Finance Lease Arrangement would enhance the working capital position of Shunfeng Technology by using the Equipment, and would allow Shunfeng Technology to optimize its asset and debt structure. There will not be any gain or loss accrued to the Group in its consolidated financial statements pursuant to the sale of the Equipment under the Finance Lease Agreement. The terms under the Finance Lease Agreement and the Buy-back Agreements have been agreed after arm's length negotiation between the relevant parties with reference to the prevailing market practice. The Directors consider the terms of the Finance Lease Arrangement fair and reasonable and are in the interest of the Company and the shareholders of the Company as a whole. 3

4 GENERAL INFORMATION 1. Principal Business Activities (a) The Group The Group is principally engaged in the manufacturing and sales of solar cells, solar wafers and solar modules. (b) Shunfeng Technology Shunfeng Technology is principally engaged in manufacturing and sales of solar cells and related products and is directly wholly owned by Shunfeng HK. (c) Shunfeng HK Shunfeng HK is an investment holding company and is directly wholly owned by the Company. (d) The Lessor The Lessor is principally engaged in the business of finance lease in the PRC. To the best of the knowledge, information and belief of the Directors after having made all reasonable enquiries, the Lessor and its ultimate beneficial owner(s) are third parties independent of the Company and its connected persons. 2. Implications under the Listing Rules As the relevant applicable percentage ratios in respect of the Finance Lease Arrangement exceed 5% but are less than 25%, the Finance Lease Arrangement constitutes a discloseable transaction of the Company under the Listing Rules thus is subject to the reporting and announcement requirements under Chapter 14 of the Listing Rules. 4
