2 Introduction GotSoccer recognizes how difficult it is for parents to place their children in sports and other programs, especially in this difficult economic environment. GotSoccer Rewards is our attempt to help fund some of those costs. Our rewards are paid in cash to either the individual or their team, depending on which set of links you choose to use. GotSoccer Rewards is a new program designed to take advantage of commissions that online retailers pay to websites when people click a link and buy goods and services. These commissions typically go to the web owner. GotSoccer s program returns 88% of those commissions to the person or team that clicked the link. There is nothing to buy from GotSoccer and no fee to join the program. The cost of the product or service you buy online is exactly the same whether you use the Rewards links or go directly to the merchant s website. The only difference is one pays a commission; the other doesn t. The average man, woman and child in the US bought $785 worth of goods and services online last year. Assuming an average 5% commission, almost $40 could have been returned per person. If you look at a typical soccer team with 15 players, 15 families and 30 extended families (Grandparents), this translates into 150 people that could be helping raise $5,000 without having to spend an extra dollar. You could also ask small businesses and friends to help. Money can also accumulate directly to the parent. If your child plays on a non travel team, use the player links to generate cash back to your personal account. In fact, you don t need a team account, just a player account to participate. To participate in the program, you will need to agree to our Terms & Conditions and book mark the links (you do not have to open the player account every time you want to use the links).

3 To get a Rewards link for your Team or Organzation 1) Go to 2) Click on user Login 3) Click on Teams Login 4) Enter your team username and password. Or if you don t have a team account simple create one using the Create your Account Link. You can name your team The Lincoln High School PTA, or other name. We will then credit the organization with the commissions. 5) Once you have logged in look for the rewards link on the dark blue menu bar.

4 6) It will open to our Terms & Conditions. You must read, sign and agree to get the team links. 7) You will see the link to get the rewards links.

5 8) These links can be ed to team members, family and friends. All purchases will be credited back to the team. Please note that if you use these links we will not be able to tell who made the purchase, if you want to track commissions at the player level you will need team player links. Instructions to get these links can be found below.

6 To get your Rewards links if you already have a player account 1) Go to 2) Click on User Login 3) Click on Players & Parents login 4) Enter your username and password 5) Click Login 6) Look for the Rewards link on the dark blue menu bar

7 7) Read all our Terms & Conditions 8) Type in your Full legal name, click the Agree box and press Submit 9) You will see two sets of links; Personal Shopping Links and Team Shopping Links

8 10) If you click on the Personal Shopping Links, you will see, These links benefit: Player Name. Any funds earned by using these links will go directly to the player. 11) If you click on the Team Shopping Links, you will see, These links benefit: Team Name. Any funds earned by using these links will go to the team and not the player, although we will be able to credit the player whose account the links came from for any money raised.

9 12) Once generated, the links are independent of the account. You can bookmark them or them to friends and family.

10 To get your Rewards links if you do not have a Player Account: 1) Go to 2) Click on User Login 3) Click on Players & Parents login 4) Click on Create your Family Account 5) Fill out the form and click Register

11 6) Click the Click here to add a player profile. 7) Click the Create New Player link

12 8) Fill in the player Info form. Make sure your address is correct and press Create Player Account

13 9) The screen will refresh. Click on the Player Account tab, and change the username and password. Note: Usernames must be unique in the system, so your last name may already be taken. Follow the Instructions under: If you already have a player account above. Using the Links To use the links, just click on a category or subcategory. The main category will contain all the links in all of its subcategories. The subcategories will only have links relating to the specific subcategory. Consumer Electronics is a category and Office Supplies is a subcategory.

14 In this example, we have clicked on the Soccer subcategory of Sporting Goods. The actual links are the small boxes with the merchant s name and/or products. The general commission rate is on the right. Here, we see EuroSport will give a 7.5% commission on most items. If you click the soccer.com link, buy from Eurosport and GotSoccer receives a payment from Eurosport, we will credit your player or team account 88% of the qualifying rebate.

15 GotSoccer will, on a biweekly basis to start, show all qualifying commissions as we receive the reports from the merchants.

Where does the money come from? If you have used the web, you have certainly seen advertisements for different products and services. Website owners are paid commissions and rebates if a visitor clicks on these ads and makes a purchase from the vendor. That commission or rebate may be very small or can be as much as 100% of the purchase. Our program is design to return most of the commission or rebate to you the purchaser. Am I guaranteed to receive a rebate or commission from every purchase using your links? No. For example, Wal Mart offers a 4% commission on most products. If you use the GotSoccer Wal Mart reward link and make a purchase, Wal Mart will pay GotSoccer a commission and we will pay 88% of it back to you. However, some companies, like Wal Mart, have several different commission levels and they reserve the right not to pay a rebate or commission on products placed on special. This means GotSoccer cannot guarantee you will receive a 4% commission on every product purchased from Wal Mart. We will pay rebates and commission on any product or service if we actually receive a rebate or commission for the sale. How do I get the links? You can find a Rewards tab in your player account on the Dark Blue menu bar. If you are a player you will find two sets of links. One will identify the player as the beneficiary of the program and the other will designate the team as the beneficiary. You can use both sets of links. Perhaps the personal set will be used by your family and the team links will be given to business or other individuals for fund raising purposes. Remember, money will only be deposited in accounts that match the links. Team funds cannot be credited back to a player. What is GotSoccer s management fee? We will retain 12% of the qualifying commission as our management fee. We will also charge a fee for accounts that have not generated at least $5 of rebates in a 12 month period. The fee will equal $4.99 or the amount in the account. This means you will never have to write us a check and there would be no fee charged for simply opening an account, whichever is lower. Some vendors pay an incentive commission if sales reach a certain threshold. GotSoccer will pay the incentive rate difference to the individual account should it qualify. We will pay 50% to 60% of that commission to our US Youth Soccer state clients when their members would, in aggregate, reach that

17 level. For example, Newegg, one of the nation s largest online computer retailers, pays a base commission of 1% on sales. Their commission will rise to 2.5% if sales exceed $200,000. Should an individual buy more than $200,000 from Newegg, they will receive 88% of the full rebate. But if the account would only qualify for the 1% rebate, they would receive 0.88% from GotSoccer even though GotSoccer was paid 2.5%. If the sale occurred in a GotSoccer client state like North Texas, New Jersey, Michigan, Florida or many others, we would credit 50% to 60% of the additional commission to that state organization. We know of no other reward program with this type of payout feature. Does GotSoccer provide any personal details to the merchants? No. GotSoccer sends a link with a player and/or team identifying number that is only known to GotSoccer. The only time a merchant will receive personal information is if you fill out a form on their site for example, if you provide a merchant with billing and shipping information. Why should I use GotSoccer and not another service like Upromise or Ebates? GotSoccer has done a comparison of rebates paid on common vendors and our commissions and rebates are significantly higher than either Upromise* or Ebates** on most common purchases. That said, these are not mutually exclusive programs. If you find a better rebate from another company, you are free to purchase using their links. * GotSoccer surveyed 142 common vendors and had a higher rebate on 88% and our rebate averaged 54% higher than Upromise.**GotSoccer surveyed 124 common vendors and had a higher rebate on 87% and our rebate averaged 45% higher than Ebates. How do I get paid? GotSoccer will pay rebates and commissions earned, as opposed to pending, on or about February 28, April 30, June 30, August 31, October 31, and December 31 of each year. In order to receive a payment, a payment request must be given to GotSoccer by the last day of the previous month and will only include rebates commissions earned, not pending, as of that date. We will only pay using direct deposit, and we will not pay an amount less than $5. For example, if you want a payment on August 31, you must submit a request on or before July 31 (the last day of the previous month) and the amount requested must be for $5 or more. Payments will be made by direct deposit. Individual checks can be requested, but a $10 fee will be deducted from your account. To request a payment go into your account, click the Rewards tab and fill out the payment request form. Can I give my links to another person? Yes, but you are responsible under the terms and agreement for that person. If you give out the links that benefit a team, rewards will only be paid to the team. What happens if I used the links to benefit a team, but change my mind?

18 All benefits accrued using links that benefit a specific team will be paid to that team. This is to avoid any misunderstanding of who is the beneficiary of the earned commissions. We cannot allow someone to think they are using the rewards program to help a specific person or team and then have the money go elsewhere. What is different about Amazon? All our vendors, except Amazon, allow us to customize the link to their website with your player or team ID number. This custom link allows us to credit the rebate or commission to an individual account. When it comes to Amazon, GotSoccer can only see general information such as what state the purchase came from. If you use a GotSoccer Amazon rewards link, GotSoccer will donate 88% of the qualifying Amazon rebate to TopSoccer programs in the US. TopSoccer is a soccer program designed for children with special needs. We hope you consider using these links although we cannot give you or your team direct credit.

19 GotSoccer Rewards Agreement Terms and Conditions I (we) agree and understand that: 1) This is a voluntary program. No one must join to receive any benefit other than those directly related to the rewards program. 2) I must agree to all terms, without modification, in order to participate. 3) I must be 18 years or older to participate. 4) Members must be human. No machines, scripts or other automated processes may be used to accrue benefits. 5) I must have Internet access and an address to be eligible to receive the privileges and benefits of the rewards program. 6) I must enable cookies on my browser in order for transactions to be received and properly credited. Cookies are small text files that a web site can write to my computer. GotSoccer may use cookies to identify me and allow me to log in once to GotSoccer Rewards and shop using links without having to log in again. Cookies are also used by merchants to identify me as a GotSoccer Rewards member. 7) I agree not to 'spam' unknown individuals by sending them unwanted s to solicit their membership in GotSoccer Rewards. 8) Rebates and commissions will only be credited if our Rewards link is clicked and will not be available should you go directly to the vendor s website. 9) GotSoccer does not recommend or endorse any company or product. 10) GotSoccer makes nor implies any guarantees or warrantees on vendors, products, or services. 11) I take full responsibility for all my purchases of goods and or services using GotSoccer Rewards links. 12) I agree to indemnify and hold GotSoccer, its parents, subsidiaries, affiliates, officers, directors and employees, harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of member's use of the program, the violation of these policies by member, or the infringement by member, or other user of the program using the member's account, or any intellectual property or other right of any person or entity, or as a result of any threatening, libelous, obscene, harassing or offensive material contained in any member communications. This includes any claim or demand made by individuals using my (the links relating directly to my individual, team or other GotSoccer account) rewards links. 13) Rebates and commissions are only available on actual purchases and do not include items such as taxes, handling, shipping, gift wrapping or other ancillary charges. 14) Commissions and rebates will be reduced if coupons are used. Certain vendors may prohibit the use of coupons. 15) Commissions and rebates may be withheld on click through credits should GotSoccer LLC determine these clicks were not done with an intention to purchase, but simply to generate rebates or commissions for the account. Click through credits are monies credited for simply

20 clicking on a link. This is done because it violates GotSoccers agreements with vendors and networks. 16) GotSoccer cannot guarantee commissions or rebates, nor does it pay commissions or rebates for purchases. GotSoccer collects rebates and commissions from vendors and will only pay rebates or commissions actually received from the vendors. 17) Vendors have the right to modify commission and rebate terms and even exclude certain items from their programs. GotSoccer will not be responsible for informing members of these changes. There are over 5 million products in the program and this type of communication would be impossible. 18) GotSoccer LLC will charge a 12% management fee on qualifying commissions and rebates collected. Qualifying commissions are those paid based on each vendor s specific program details. Qualifying commissions are account based and not program based. 19) Commissions will be paid, if requested, 30 days after the end of each payment month. Payment months shall be January, March, May, July, September, and November. 20) GotSoccer will not distribute amounts less than $5. If an account has not realized $5 or more in rebates over a 12 month period, GotSoccer will charge an account maintenance fee equal to the amount under $5. GotSoccer will not pay interest on account balances. 21) If GotSoccer distributes an amount in excess of $500 to a single account in a calendar year, I will provide taxpayer identification information (social security number or EIN for corporations) to GotSoccer LLC. If I fail to do so, I understand that GotSoccer will not distribute the additional funds. 22) I authorize GotSoccer to only disclose to third parties information you have provided, or information that GotSoccer has obtained about my GotSoccer Rewards account or shopping behavior: (i) to agents and licensors of GotSoccer or its affiliates, such as independent auditors, consultants or attorneys; (ii) to comply with government agency or court orders or requests; (iii) in providing aggregated and non personalized marketing services for an advertising or store partner, or (iv) where it is necessary for redemption or transfer of my cash back rewards. 23) I authorize GotSoccer to receive any account information from any Affiliated Store including, but not limited to information regarding purchases made, items searched for or added to my shopping cart, products ordered, order number, the time and date the purchase occurred, and the address entered for the purchase. 24) I agree to hold the Affiliated Store harmless for any information disclosed to GotSoccer. I allow GotSoccer to collect and use non personalized marketing information regarding visits and related to purchases made from internet commerce sites. 25) In no event will any other company with which GotSoccer has a corporate partnering relationship, including without limitation, co branding, co marketing, joint development, a store relationship, or a licensing or supplier relationship (each a "corporate participant") be liable to me for non performance of GotSoccer obligations. I agree not to sue any corporate participant for non performance by GotSoccer. In no event shall GotSoccer be liable for any damages,

21 claims or losses incurred (including without limitation compensatory, incidental, indirect, special, consequential, or exemplary damages), however caused and under any theory of liability arising in connection with: (i) the program; (ii) any failure, delay, or decision by GotSoccer in administering the program; (iii) the use or inability to use this web site; (iv) the use or inability to use the Software including but not limited to lost profits, lost business or lost opportunity, or any indirect, special, incidental or consequential or exemplary or punitive damages, including legal fees, arising out of such use or inability to use the Software, or (v) the purchase or use of any merchandise, products, or services of stores or suppliers, even if GotSoccer, or representatives thereof, are advised of the possibility of such damages, claims, or losses and notwithstanding any failure of essential purpose of any limited remedy. 26) I agree to indemnify and hold GotSoccer, its parents, subsidiaries, affiliates, officers, directors and employees, harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of member's use of the program, the violation of these policies by member, or the infringement by member, or other user of the program using the member's account, of any intellectual property or other right of any person or entity, or as a result of any threatening, libelous, obscene, harassing or offensive material contained in any member communications. 27) I agree to receive newsletters from GotSoccer regarding the rewards program. 28) GotSoccer reserves the right to modify these terms on 30 days notice. Notice will be provided as an agreement check box in the individual, team or club account. 29) I understand that by typing in my name I have created a digital signature that carries the same credibility and legal standing as my actual signature. I have read, understand, and agree to all terms and conditions listed above, relating to the GotSoccer Rewards program.
