1 Telnes, Inc. Dba Telnes Broadband Service Level Agreement Service Metrics SLA For T1 (Q Backbone) Telnes, Inc. is committed to providing the highest quality of service to our Customers. Our goal is to not only meet our Customer s expectations, but also to consistently strive to exceed them. The following guarantees are available to our eligible Broadband Customers. Overview 1. This SLA provides detailed descriptions of Metrics for Service performance and installation and is the basis for certain service level agreements between Customer and Telnes. 2. Overview Definitions Metric means the performance measures for specific Telnes function and includes the Description, Measurements Method, Objectives and Service Credits, if any. Description means the specific function measured. Measurement Method means the method of determining Telnes performance and the frequency of the measurement. Objective means the target performance Customer expects Telnes to achieve, as outlined herein. Service Credit means the amount Customer may request of Telnes where applicable, if Telnes does not meet the Objective in the prescribed period. SERVICE LEVEL AGREEMENTS ( SLA ) This sets forth the SLAs applicable to the Service and the service credits available to Customer ( Service Credit ). The monthly measured SLA attributes are effective as of the first day of the second month after initial installation of a Service, however, the Network Port Availability SLA and the Reporting SLA are effective as of the Start of Service Date of the DIA port. For purposes of this SLA, shall include s, MPC List Rates, and UBCs. COMPONENTS INCLUDED All relevant components of the Q Backbone IP Network (e.g., POPs, routers and circuits) are subject to this SLA, and components of other Internet backbone providers ( off Net ) are subject only to the Latency SLA as described herein. Local access/connection facilities (i.e., the local loop or tail circuits) ( Local Access ) used to access the Q Backbone IP Network or partner networks and any Customer equipment are not included as components of the Q IP Network for purposes of this SLA; provided, however, solely for purposes of this SLA; provided, however, solely for purposes of the Network Availability SLA, the components of the Q Backbone IP Network shall include any Local Access provided by Q Backbone, but shall specifically exclude any Local Access furnished or ordered directly by Customer from a third party. Intra U.S. refers to the Q Backbone IP Network. The Intra U.S. Off Net Latency SLA refers to the latency between the Q Backbone IP Network and Off Net providers.
2 NETWORK PORT AVAILABILITY Network Port Availability measures Network Downtime versus Network Uptime. Network Downtime is based on periods when a particular Intra U.S. DIA port of Customer is unable to transmit and receive data, and Network Uptime includes all other periods. Network Downtime is recorded in the Q Backbone IP Network trouble ticket system, and is measured from the time Customer opens a trouble ticket in the Q Backbone trouble management system to the time the Intra U.S. Affected Service is again able to transmit and receive data according to Q Backbone records. Affected Service refers to the DIA port that fails to meet the relevant SLA. Goal Availability/Remedy Intra U.S. 100% Each cumulative hour of Network Downtime qualifies Customer for 1 day s charges pro-rated from the applicable LATENCY The average network delay ( Latency ) will be measured via roundtrip pings on an outgoing basis every five minutes to determine an average monthly performance level for Latency at the relevant POPs. Latency = (Roundtrip Delay for relevant POP-POP trunks)/(total Number of relevant POP-POP trunks) Goal Latency/Remedy 2,3 Latency/Remedy Latency/Remedy Intra U.S 50 ms ms = 10% of 61-80ms = 25% of Greater than 80 ms = 50% of Intra U.S. Off Net 95 ms ms = 10% of ms = 25% of Greater than 115 ms = 50% of PACKET DELIVERY Delivery will be measured on an ongoing basis every five minutes to determine an average monthly performance level for packets delivered between the relevant Intra U.S. POPs. Goal Intra U.S % 99.01%-99.49% = 10% of 90.00%-99.00% = 25% of Less than 90% = 50% of
3 JITTER Jitter measures the Intra U.S. inter-packet delay variance and packet loss in the Q IP Network, and is measured on an ongoing basis every five minutes by generating synthetic user datagram protocol (UDP) traffic. Goal Intra U.S. 2 ms ms = 10% of DISTRIBUTED DENIAL OF SERVICE ms = 25% of Greater than 4 ms = 50% of A Distributed Denial of Service attack ( D/DOS ) is characterized by an explicit attempt by attackers to prevent legitimate users of a service from using that service. Examples include attempts to (a) flood a network, thereby preventing legitimate network traffic; (b) disrupt connections between two machines, thereby preventing access to a service; and (c) disrupt service to a specific system or person. Not all service outages, even those that result from malicious activity, are necessarily D/DOS. Other types of attack may include a D/DOS as a mere component and may not be included in this SLA. Intra U.S. REPORTING Goal 15 minutes from moment described in next column. Remedy Telnes failure to implement a null route on an affected destination IP address within the Goal after Telnes concludes that a D/DOS is occurring, and has received permission and all necessary information from Customer to implement a null route, will qualify Customer for 1 days charges pro-rated from the applicable of the Affected Port, at a maximum of one such credits per day. Reporting is measured from the time a Network Downtime trouble ticket is opened for an Intra U.S. DIA port. Individual circuit outages of unmanaged NxDS1 bundles are not subject to the Reporting Goal. Goal Intra U.S. 10 minutes Reporting / Remedy Each failure to report Network Downtime to Customer within the Goal qualifies Customer for one day s charges pro-rated from the of the Affected Service, at a maximum of one such credit accrued per day.
4 INSTALLATION GOAL For Service in the Intra U.S., Telnes Broadband s goal is to install related Local Access ordered under a different Q Backbone exhibit by Customer within the following timeframes: DS-1: 30 calendar days, DS-3 = 45 calendar days, OCn = 75 calendar days. If the Installation Goal is not met, Customer shall qualify for one day s charges prorated from the of the Affected Service for each day beyond the applicable Goal until the Local Access is installed, up to a maximum of fifteen days charges. This Installation Goal only applies to Local Access provided in the U.S. by Q Backbone or its affiliates in conjunction with DIA ports. Installation time is measured from the date the Local Access order is accepted by Telnes Broadband Engineering. REMEDIES General. Service Credit requests must be made within five business days of the last day of the month in which the relevant measurement of the SLA was not met. A Service Credit shall be applied only to the month in which the event giving rise to the Service Credit occurred. The maximum Service Credits issued in any one calendar month shall not exceed: (a) seven days charges pro-rated from the of the Affected Service with respect to network Port Availability, Reporting, and D/DOS, collectively; or (b) fifty percent (50%) of the s of the Affected Service with respect to the other SLAs. Notwithstanding anything in this Exhibit I to the contrary, under no circumstances shall the total Service Credit, in the aggregate for all Service Credits issued in one month, exceed the equivalent of fifty percent (50%) of the s for the Affected Service. Exceptions. Service Credits shall not be issued where the Service is not met as a result of: (a) the acts or omissions of Customer, its employees, contractors or agents, or End Users; (b) the failure or malfunction of equipment, applications or systems not owned or controlled by Q Backbone; (c) Force Majeure Events; (d) scheduled service maintenance, alteration or implementation; or (e) the unavailability of required Customer personnel, including as a result of a failure to provide Q Backbone with accurate and current contact information. Chronic Outage Termination. Customer may terminate an Affected Service in the Intra U.S. without Early Termination Charges if, in any single calendar month: (a) Network Downtime exists for at least twenty-four hours in the aggregate; or (b) any single event entitling Customer to credits under Network Port Availability exists for a period of at least eight consecutive hours. Customer shall notify Telnes of any such termination by written notice to Wholesale Network Support within five business days following the end of the calendar month when such qualifying condition existed, or such right shall be waived. Such termination shall be effective forty-five calendar days after receipt of written notice to Telnes. Telnes shall not issue Service Credits for the calendar month considered in termination of an Affected Service by Customer under this paragraph. Customer shall reimburse Telnes for any such Service Credits issued by Telnes. MAINTENANCE Normal Maintenance Telnes will endeavor to perform Normal Maintenance (or non-emergency maintenance) on the Q IP Network during pre-established maintenance hours (windows). Normal Maintenance refers to: (a) upgrades of hardware or software; (b) upgrades to increase capacity; or (c) other pre-scheduled network activity that may degrade the quality of the Service
5 or case Service interruptions. Telnes will use reasonable efforts to perform all Normal Maintenance on Sundays, Tuesdays and/or Thursdays between the hours of 12:00 midnight and 6:00 AM Local Time. For purposes of this SLA, Local Time refers to the time of the day in the time zone in which an affected Service is located,; provided, however, that if affected Services are located in multiple time zones, Local Time shall refer to Eastern Time. DEDICATED INTERNET ACCESS SERVICE EXHIBIT TELNES Telnes may change the maintenance window times upon posting to Telnes website or other notice to Customer. Urgent Maintenance Urgent Maintenance refers to efforts to correct Q Backbone IP Network conditions, requiring immediate attention. Urgent Maintenance, while being conducted, may degrade the quality of Services and may results in total disruption of Service. Telnes may undertake Urgent Maintenance at any time that it deems necessary in its sole discretion. Telnes shall provide Customer notice of Urgent Maintenance as soon as is reasonably practicable under the circumstances.
