3 Overview The goal of the Sage Software Business Partner Branding Policy is to provide our business partners with the ability to communicate in tandem with Sage Software. Together, as one consistent, unified voice we can increase the effectiveness of our marketing efforts while maintaining the integrity of the Sage Software brand. The intent is for you to adhere to this Policy to strengthen marketing and Web strategies over the long term. Using these directives designed to help Sage Software uniformly brand its Mid-Market software solutions through its business partner channel, we can successfully reach out to our installed base of customers in addition to prospects in targeted markets (small and midsized businesses). This Policy took effect March 1, 2006; this is a revised version of the policy and you ll need to immediately comply with the rules in the new Sage Software Business Partner Branding Policy. Sage Software follows seven strategic goals and objectives, including One Face to Our Customers and Partners. Your marketing communication efforts are an important part of the endeavor to present one face and to build a strong brand. For that reason, compliance with this policy is required. It will help us compete more effectively. Thank you for your support in making this happen! Rules and Guidelines for the Use of Trademarks and Trade Names I. Introduction To protect the valuable trademarks, service marks, and trade name rights owned by the Sage Software family of companies (collectively Sage Software ), please follow these guidelines. These guidelines will answer most questions regarding the use of the Sage Software marks and trade names. When in doubt, however, please contact us at [email protected] for clarification. The proper use of the Sage Software marks and trade names is critical to the continued success of our collective commercial efforts. Sage Software has devoted significant resources to promoting its products, services, and corporate identity. By adhering to these guidelines for proper use of marks and trade names, Sage Software authorized business partners, authorized consultant partners, distributors, master developers, software integration partners, and other colleagues along with Sage Software employees will ensure that customers continue to recognize the quality and value of Sage Software products and services. Definitions As used in these guidelines, the terms are defined below as follows: Trademark: Any word, phrase, symbol, logo, or other device (or any combination thereof) that is used by Sage Software to identify and distinguish its products (for example: Sage Abra HRMS software). Service Mark: Any word, phrase, symbol, logo, or other device (or any combination thereof) that is used by Sage Software to identify and distinguish its services (for example: Sage Payroll Services fullservice payroll or SimplyCARE update and upgrade service). A service mark is a trademark the term simply makes a distinction between products and services. Trade Name: Any name that is used by Sage Software to identify and distinguish the business entity (for example: Sage Software, Inc., and Sage Software SB, Inc.). III. Use of Sage Software Trade Names and Subsidiary Names A. Company Name Correct usage of the Sage Software name in materials is important to maintaining corporate identity and reinforcing branding efforts. The company should be referred to as Sage Software in all marketing documents and similar literature. It should never be referred to simply as Sage; Sage is used without Software only when it is part of the name of a product or service, such as Peachtree by Sage, or Sage MAS 90 ERP. See more details regarding product naming guidelines in the Sage Software Product Descriptions and Modules Listings document at: IV. Use of Trademark and Registration Symbols ( ) Our policy is that trademark symbols do not have to be used with any of the Sage Software business lines except in the two instances where we are contractually obligated to do so. Currently there are two such instances, specifically Crystal Reports and UPS. Please add a symbol to these two brand trademarks for every first reference in body copy only, as well as attribute their corresponding legal credit line (see sections V and VI). This policy applies to all materials, including advertising, marketing collateral, documentation, user interface elements, and logos used in any media. Please adhere to respective trademark owners trademark usage guideline for all other third-party trademarks. If such symbols are used in user interface elements or materials already published or frozen, there is no need to redo the materials to remove the symbols. A. Logos Use all business partner logos in the same manner you would use any other Sage Software trademark, including the Sage Software business partner logos. The Sage Software corporate logo should never appear on business partner-produced marketing materials, packaging, or collateral. Follow the guidelines outlined herein. All business partner-approved logos can be found at under the Logos and Branding tab. B. Proper Use of Sage Software Marks Trademark rights can be jeopardized if marks are not used properly. Accordingly, in all print and electronic publications (for example: press releases, advertisements, marketing materials) and product packaging, please follow these guidelines. 1) Use Sage Software marks as adjectives, followed immediately by an appropriate noun. The brand name should describe the type of product (see examples below). In general, the full names of our products include the category of software the marks are intended to modify. 4

Incorrect: To employ Sage MAS 90, activate the license key You can manage multiple projects with Sage Timberline Office. Correct: To employ the Sage MAS 90 software, activate the license key You can manage multiple projects with Sage Timberline Office financial and operations software. 3) Trademarks or service marks should be not be abbreviated. For example, Sage Accpac is the trademark for the ERP software solution, not simply Accpac. Incorrect: Accpac ERP can be used with other Sage Software products. For example, Abra HRMS can work seamlessly with it. Accpac and Pro are complete accounting solutions. They may be used with numerous add-on modules. Advantage Series Order Entry is one of the most popular modules. Correct: Sage Accpac ERP software solutions can be used with other Sage Software products. For example, Sage Abra HRMS can work seamlessly with it. Sage Accpac and Sage Pro applications are complete accounting solutions. They may be used with numerous add-on modules. Sage Accpac Order Entry is one of the most popular modules. 4) Do not use marks in the possessive or plural form. Incorrect: Sage Software s efficiency is outstanding. Five Simply Accountings were sent out yesterday. Correct: Sage Software financial services are highly efficient. Five Simply Accounting programs were sent out yesterday. 5) NEVER combine a Sage Software trademark or product name with a third-party trademark or product name. Incorrect: Sage MAS 500 Crystal Reports is available Primavera Sage Timberline Office products are integrated. Correct: Crystal Reports is available for your Sage MAS 500 software system Primavera products are integrated with Sage Timberline Office software. 5

Internet Absent express written authorization from Sage Software, no party may use Sage, Sage Software, any Sage Software trademark, any Sage Software product or service names, or any confusingly similar marks or names as its domain name or portions thereof. V. Specific Attribution of Third-Party Marks Sage Software and its business partners are contractually obligated to include specific credits in the credit line and insert appropriate trademark symbols on specific third-party marks. Please use the exact wording below as part of your legal credit line if your piece or packaging contains the following third-party trademarks. Crystal Reports is the registered trademark and technology of Business Objects SA. UPS, the UPS brandmark and the Color Brown are trademarks of United Parcel Service of America, Inc. GoToMyPC and GoToMeeting are trademarks or Citrix Systems, Inc. and/or one or more of its affiliates and may be registered in the United State Patent and Trademark Office and in other countries. Windows Vista and Windows logo are trademarks or registered trademarks of Microsoft Corporation in the United States and/or other countries. VI. Credit Lines All uses of Sage Software marks must be accompanied by a credit line towards the bottom of the piece (for example: packaging, electronic communications or other collateral). Please use the language outlined below. Each credit line should lead with Sage Software. Credit lines must also include any specific attribution of third-party marks that Sage Software is contractually obligated to list in the credit line (see Section V above). Lastly, a general attribution should be included to cover all other third-party marks. The following credit line should appear in a type size of at least eight points: Sage Software, the Sage Software logos, and the Sage Software product and service names mentioned herein are registered trademarks or trademarks of Sage Software, Inc., or its affiliated entities. All other trademarks are property of their respective owners. 6

7 Sage Software Product Descriptions and Module Listings The Sage Software Product Descriptions and Module Listings document provides business partners with instructions on how to use Sage Software-branded products and services in copy. Examples of product descriptions that are 25 words, 50 words, and longer, along with module listings (if applicable) and specific usage rules for writing about Sage Software products are available on the Sage Software Product Descriptions and Module Listings document that s housed on the Business Partner Marketing Web site, under the Logos and Branding tab. The term intellectual property is defined as anything of commercial value, including trademarks, images, audio/visual effects, copyrights, patents and trade secrets. And in the case of these guidelines, it also refers to products and other works that are owned and distributed by Sage Software and its business partner channel. To reproduce and display Sage Software trademarks, service marks, copyrighted works, and other intellectual property, please follow the guidelines below. For your own company logo and tagline, it is necessary to provide ample space away from the partner logo. Also, your company logo should be larger and taller than the partner logos. Make sure your company logo is more prominent. 7

8 Please do not add a colored background, boxes, or borders of any kind to the partner logo. Please do not add any graphical treatments or elements to partner logos, (for example: no lightening bolts coming out of the logo) or combining a mixture of your company logo and the authorized partner logo. Please do not add any graphical overlays to partner logos. Any use of Sage Software business partner logos shall not be smaller than one-half inch (or 36 pixels) in height. Any use of the product logos must be at least one-quarter inch (or 18 pixels) tall and should never be taller than the partner logos. Partner and product logos should always be used right side up. See the Logo Specifications section for specific examples. Remember, you cannot combine the Sage Software partner logos with any other graphic element or logo, aside from Sage Software-authorized product logos. Partner Logos You may use the Sage Software partner logos for which your company is authorized, provided that they appear (1) on a standalone basis; for example, spaced from any other logo or other graphic element (except for authorized product logos), and (2) in all other respects in accordance with the requirements described on the following pages (see** on page 12). Some of the logos are shown below. Any use of Sage Software partner logos shall not be smaller than one-half inch (or 36 pixels) in height. Please use the official logo artwork rather than attempting to create your own version. Original artwork can be found on the Channel Marketing Web site, under the Logos and Branding tab, or in the case of logos that require special certification, from the appropriate department within Sage Software. 8

9 Product Logos Only use the Sage Software product logos for product lines that you are authorized to represent. In addition, the product logos should always: appear in close proximity (on the same page in the case of a Web page) to a standalone display of a partner logo be used in conjunction with, yet spaced away from the Sage Software authorized partner logo by a minimum distance at least equal to the height of the "e" in the word "sage" in the partner logo (Due to space constraints, one exception to this rule would be to display product logos on the back of business cards) be at least one-half inch long, one-quarter inch (or 18 pixels) tall, and should never be taller than the partner logos come from Sage Software-provided approved art be right-side up Product logos should not: be reproduced and displayed if you are not authorized to carry the product lines being displayed exceed the height of the partner logos appear to have any prominence over the partner logos, or appear more often than the partner logos appear as part of body copy text See the Logo Specifications section for more information. 11 Please do not use the Sage Software corporate logo (which is shown on the front and back of this document). Newly created business partner material should never use the Sage Software corporate logo. **Clearly indicate your company name and branding elements on all Web pages where Sage Software partner logos with product names are used. Partner logos, the Sage Software name, and product logos shall not be the only company logo or name on any given business partner Web page (see Partner Logos on page 8). It must be clearly apparent that your Web site is not a Sage Software Web site. Any use of the Sage Software partner logos or product logos must be made in compliance with the guidelines contained herein. Please do not use the graphics or icons of any awards that Sage Software has earned. You can state that Sage Software has won the awards, but do not make any statement that would tend to make third parties believe that your company won the awards. You may not include Sage, Sage Software, any derivatives thereof, or any similar names in your business names, or as any product or service name. Sage Software product or service names may not be included in your addresses or Web site URL domain names. However, you can include these names as part of your supporting Web pages, for example: We will exclusively permit Sage Select business partners to include Sage Software product names in sub-domain Web pages, but they must be used in conjunction with the business partner s company name, for example: sagemas90.abccompany.com Partner and Product Logos Do s and Don ts Please follow the specific guidelines below when using the authorized product logos, the authorized partner logo or any of the partner logos requiring special certification. For aesthetic purposes, we recommend that you do not place the product logos directly underneath the authorized partner logo. Samples of alternative placements are provided for yellow page ads, letterhead usage, and business cards. Should you choose to put the product logos directly below the authorized partner logo, you must follow the guidelines below. Artwork for the combined product logos is available on: A LOGO* MUST BE USED IN ITS ENTIRETY AND CANNOT BE ALTERED IN ANY WAY. Please use only the original art file available on the Channel Marketing Web site, under the Logos and Branding tab, where you can access a variety of logo sizes to suit your online needs. IMPORTANT NOTICE: Sage Software and its Business Partners may not: Use a white Sage Software logo, white Business Partner logo, or a white Sage Timberline Office or Sage Master Builder lozenge on a blue background. In connection with or to promote, Sage Timberline Office software, Sage Master Builder software or Any future Sage Software product developed for use by, and marketed principally to, the real estate industry, When Sage Timberline Office, Sage Master Builder, or the future real estate product are marketed alone or when marketed in combination with any other Sage Software product. 11

12 Logo Specifications Logo* About Correct Incorrect Authorized partner logo in color This is the authorized partner logo in the correct color. Use this when you want to print the logo in color. It can be used on any document that is not going to be printed or displayed in color. Logo used per art file. Distorted dimensions. Product logo This is the product logo for Sage Abra. Logos are available for all Sage Software products authorized for resale. The logo should be used only in black and white. Logo used from art file. Distorted dimensions. Product logo used with the authorized partner logo This is an example of how you could use the partner logo with the product logo. Multiple product logos used with the authorized partner logo If you choose to combine the partner logo with product logos, please follow these guidelines. The partner logo must have a clear space around it equal at least to the height of the e in the word sage. The product logos can be used in either a stacked or horizontal layout depending on horizontal space requirements. Do not list individual product logos directly beneath the partner logo. 16 Internet Policy The business partner Internet policy applies to Web sites directly or indirectly owned, affiliated, or sponsored by your company, and extends to third-party Web sites, including search engines and any Internet advertising (for example: banners, URL redirects, online advertising, pay-per-click, product descriptions, product titles, page headings, sub headings, copy text, and blogs). By enforcing this policy, our objectives are to ensure that: Authorized business partner Web sites promote their business and Sage Software products and services in a professional and ethical manner that is not misleading to the public. Graphical and branding elements for Sage Software products and services are displayed accurately and in accordance with the Sage Software Business Partner Branding Policy. Trademark rights are not jeopardized by using Sage Software products and services names incorrectly. Accordingly, the same applies in all electronic publications (for example: press releases, Internet advertisements, white papers, collateral, and marketing materials). Sage Software product names found on the Sage Software Product Naming Conventions (please refer to page 26) are treated as trademarks in the way they are handled in Internet advertising, Web sites, collateral, literature, and other customer-facing materials. The product names should be used as in the Sage Software Product Naming Conventions and should always include Sage in every reference except for ACT! by Sage, Peachtree by Sage, Timeslips by Sage, and Simply Accounting by Sage, which after the first mention for each Web page can be ACT!, Peachtree, Timeslips, and Simply Accounting. Trademarks or service marks are not abbreviated or misrepresented. For example, Sage MAS 90 is the trademark for the ERP and accounting software solution not simply MAS 90. Absent express written authorization from Sage Software, no party may use Sage, Sage Software, and Sage Software trademarks, any Sage Software product or service names, or any confusingly similar marks or names as its Web site or domain name or portions thereof. Use of Sage Software Trademarks Sage Software product or service names may not be included in your addresses or Web site URL domain names. However, you can include these names as part of your supporting Web pages, for example: We will exclusively permit Sage Select business partners to include Sage Software product names in subdomain Web pages, but they must be used in conjunction with the business partner s company name, for example: sagemas90.abccompany.com. Advertising and Discounts on Web Sites Please do not advertise Sage Software products and services at a discount on your Web sites. You may display Sage Software suggested list price ( List Price ) for products and services that you are authorized to sell. Depending on which products you represent, you can find List Prices on your Partner File Center Web site or password-protected Web site for that particular business unit. If you don t know where to find List Prices for your product, please contact your Regional Partner Manager. Please do not indicate in writing that Sage Software forbids you from displaying discounted pricing. Instead, you may state, These are suggested list prices from Sage Software. Please click here or call for a customized price quote based on your individual business needs. 16

17 You may promote special offers made by Sage Software for products and services that you are authorized to sell. Partners are prohibited from using absolutes or superlatives when referencing any product pricing. You may not use language such as the lowest price. You may not advertise on the Internet, your Web sites, or in pay-per-click advertising guaranteed lowest prices or use similar phrases. The following phrases or similar such phrases are not permitted: Rock-Bottom Prices We Will Not Be Undersold Guaranteed Lowest Prices We Won t Be Beat On Price Similarly, business partners cannot include such phrases as part of their URL addresses. For example, is prohibited. You are free to negotiate and charge prices lower than List Price you just cannot advertise those lower prices on the Internet. Sage Software Promotions You can advertise official Sage Software promotions that are discounts on your Web site, as long as you follow the same expiration dates of the official Sage Software promotions. This means you should remove any promotional messaging from your Web site once the promotion expires. To find the most current promotions for the products you represent, visit your Partner File Center or the passwordprotected Web site for that particular business unit. Use of Graphics, Logos, and Other Intellectual Property Remember to ensure that your Web sites do not create the impression that they are owned or sponsored by Sage Software. You must clearly display your company name and branding elements at the top of your Web site and any subdirectory pages where Sage Software products are mentioned and Sage Software authorized business partner logos are displayed. Business partner Web sites must attempt not to appear as a Sage Software Web site or as a manufacturer of a Sage Software product. Sage Software product logos may be displayed at the top of a partner s Web page as long as the product name is positioned at least 90 pixels away from the business partner s company logo. Sage Software authorized business partner logos and product-specific graphic elements must appear smaller than the business partner s company logo and branding elements, unless the resolution of the images when resized do not appear clearly. We recommend that you include an About Us button, which displays your business name, describes the products and services offered, and lists your phone number. We recommend that you indicate your company name and phone number at the bottom of each Web page. You must include this credit line statement (or a similar statement) in at least 8-point type at the bottom of each Web page that promotes Sage Software products or services: 17

18 Sage Software, the Sage Software logos, and the Sage Software product and service names mentioned herein are registered trademarks or trademarks of Sage Software, Inc., or its affiliated entities. All other trademarks are the property of their respective owners. You may display authorized business partner logos, awards, and product-specific graphic elements provided by Sage Software. Authorized business partners may utilize logos and graphic elements only for products and services they are authorized to sell or for which they have received certification. Authorized logos and graphic elements may not be altered. You may not create your own version of Sage Software authorized business partner logos. You are not obligated to use the Web graphics provided by Sage Software. You may create your own Web graphics using the Sage Software product logos as long as you follow these guidelines: 1. The Sage Software corporate logo may not be utilized on any partner Web site. You may display Sage Software intellectual property on your Web sites with the following requirements. You may use Sage Software intellectual property unaltered and exactly as is, such as white papers, flash demos, PDFs, marketing collateral, press releases, pre-recorded WebEx presentations, product logos, licenses photos, Web site copy, brochure copy, and more, if it is identified as Released to Sage Software Authorized Business Partners. On every Web page that you use authorized Sage Software intellectual property such as the materials listed in the above bullet, you must also add the phrase to your credit line statement, Used with permission from Sage Software, Inc., and Sage Software must provide a live link to: For Sage Software intellectual property not authorized to the business partner community as a whole, you must receive written permission from Channel Marketing before using. Send an to [email protected] to request permission. When written permission is granted, you must display the materials in the exact form specified by Sage Software and may not modify it any way. You must accurately display current product names. See the Product Naming Conventions section. 18

19 Penalties Sage Software business partners who violate this Sage Software Business Partner Branding Policy will be notified by and will have seven calendar days to rectify the issue. If the issue is not resolved after seven days, the business partner will receive a second and final written notice with 30 days to resolve the matter. Partners cannot repeatedly violate the policy to take advantage of the 30-day grace period to fix the issue. Failure to resolve the issue will result in the three following penalties: First Penalty: Loss of Sage Select benefits, co-op benefits, and Marketing Alliance Program eligibility for three months, plus removal from lead grid. If your Web site is not in compliance within 30 days, you will immediately enter the Second Penalty phase. Second Penalty: Loss of benefits included in first offense, along with the loss of 10 points from the current tier margin and loss of eligibility for the Partners for Growth programs. Plus, loss of eligibility for Sage Software recognition programs such as President s Circle, Partner of the Year, and others, for the next eligible time period. If your Web site is not in compliance within 30 days, you will immediately enter the Third Penalty phase. Third Penalty: Termination of partner agreement resulting in de-authorization. Penalties are subject to change. Web Resource Guide Sage Software seeks to support you in your efforts to ensure that your Web sites are in compliance with this Policy. In addition, Sage Software wants to provide you with resources to optimize your Web site and other available Internet tools developing a harder working Web site for you.
