1 Abstract The factoring agreement is an instrument with a relatively recent consolidation in the Portuguese legal system. With Anglo-Saxon origins, it has been an object of study by countless researchers; however, some aspects of its execution still need a much deeper analysis, a task which the present study intends to pursue. Our dissertation begins with an attempt to define factoring, though the contractual freedom subjacent to this kind of agreement does not allow much more than an approximate description. It can always be described as a contract, from which an entity (the client) sells to another (the factor) his receivables, which he detains as credit claims over third parties (the debtors). Several variations of the factoring agreement can be identified; but the true comprehension and apprehension of this instrument will always depend on the full knowledge of every element that composes this activity. The agreement is typically composed of three services: financing (advancement, given by the factor to the client, of the value of the receivables); acceptance of credit risk; and management of the receivables. It is also known to be a framework agreement, with the typical legal grounds of mixed-purpose contracts; and is currently regulated, in Portugal, by the Decree-Law No. 171/95, of July 18 th, which is clearly directed towards the deregulation of the typical factoring agreement (leaving its construction in the hands of the parties). Our study also refers to the advantages (such as the growth of the company s effectiveness or the cash flow development) and inconveniences frequently appointed to factoring (like the typically high value of the commissions due by the client to the factor or the companies loss of independence when managing their assets). This thesis focuses, first and foremost, on the study of the service of credit risk acceptance that can be found on some factoring agreements. The transfer of the credit risk to the factor, which characterizes the so called non-recourse factoring, makes the factor liable for the potential default of payment by the debtor. On the other hand, the factoring agreements that do not provide this service do not operate the transfer of the credit risk, which will be maintained by the client; this happens in the recourse factoring. In this case, the default of payment by the debtor will give the assignee the power to return the unpaid credit claims back to the client. 63
2 Tese de Mestrado 64 It is easily understandable that the service of acceptance of the credit risk assumes a vital importance for the comprehension, application and performance of factoring agreements, which justifies the special relevance given to it by our study. It can also be said, on that matter, that the factoring agreements that contain that kind of service provide the client an undeniable certainty when it comes to account their receivables as assets, since he is now able to pursue his commercial activity without the risk of going through various payment defaults. The present dissertation also analyses the legal grounds subjacent to that service, as well as the advantages and inconveniences associated with it. And we also address a question that raises some controversy, regarding the consideration of the agreement that does not predict the service of credit risk acceptance as a real factoring agreement: we believe that this type of contracts must also be considered proper factoring contracts, given that their innumerous variations allow them to assume many different forms (as long as their skeleton, that is, their basic definition, is still verified). After studying the meaning that the credit risk acceptance assumes in the factoring agreement, our thesis goes on to the scrutiny of those cases where the contract is silent when it comes to who takes the risk of credit failure. We begin by explaining that the legislator seems to be favorable to the subsidiary application of Article 587 th, paragraph 2 of the Portuguese Civil Code, which determines that, when nothing is agreed otherwise, the risk of failure is taken by the assignee of the credit; we are also favorable to this solution, for the reasons better explained in the present study. The dissertation explores other problems that come from that absence of stipulation, such as: if the credit risk must relate to the simple payment default by the debtor or, instead, to those cases where the debtor is declared bankrupt by a legal court; the calculation of the commission that the client must pay the factor for the acceptance of the credit risk; and the power that the factor may or may not have of accepting or approving the transmitted receivables. The study of the acceptance of the credit risk, in the present dissertation, finally ends when we approach those cases where the credit risk is taken by the client (that is, when the factor does not accept the credit risk): we highlight, in particular, the analysis of the mechanism by which the receivables are transferred back to the client when the debtor fails to comply, as well as the effects of that transfer (whether
3 the factor gave, or not, advancements on the account of the transmitted receivables). After exploring the characteristics and basic elements of the factoring agreement (in particular, of the credit risk acceptance), the present exposition focuses on the specifications of this contract on its concrete performance; and, most particularly, on the vicissitudes brought on by the possible breaches of the agreement. We start, firstly, by examining the typical factoring agreements. One of the clauses that is most frequently stipulated is that through which the client must transfer all the credit claims on all of the debtors contained on a previously stipulated list, in terms agreed by both parties; and there are also exclusiveness clauses, aimed to forbid the client of transferring, to any other factor, any receivables that he may have. The stipulation of the acceptance or non acceptance of the credit risk (which determines if the factoring is with or without recourse) is also very frequent; and we can also find a recurrence of the clauses that establish the obligation of notifying the debtor of the transfer of the receivable, which can be committed to any of the parties. Alongside with the clauses mentioned above are others whose legitimacy is quite doubtful (although their stipulation is also quite recurrent). Such terms, most of the times imposed by the assignee without any previous negotiation, can be syndicated through the Portuguese regime of unfair contract terms. We also analyze, though superficially, the applicability of this regime to the typical factoring agreement. The main focus of this study is next in line, where we examine the most frequent cases of contract breaches in the business practices of the factoring agreement. We start off with the cases of breach that are attributable to the factor, assignee of the credits: on those cases, the client will be the most prejudiced by a condemnable procedure of this party since the debtor, being a third party, cannot be worse off than we was when the receivable was transferred. It seems to us that the factor, in this type of contracts, has a duty of care superior to the duty that a normal delegate should fulfill, since he has to be a highly qualified entity; this will be, we believe, the parameter that must be observed when it comes to the evaluation of a potential negligence in the debt recovery process. The factor can also be considered liable when he abuses his power of supervision, which most factoring agreements give him. On the other hand, some powers attributed to the factor by the agree- 65
4 Tese de Mestrado 66 ment can also raise some concerns from a legal point of view, mostly in cases where those powers can be considered discretionary or arbitrary, and when the factor can exercise them without any just cause. We are referring, namely, to those powers of elimination or reduction of the credit limits granted in the agreement, of modification of the commissions due to the factor, or even of revision or suspension of the contract: all of these powers, of course, cannot be granted to any of the parties if they are arbitrary, or if they only depend on an unilateral declaration. However, it seems to us that an imposition of the factor that limits the effectiveness of the transfer to those cases where the debtor does not claim any defense mechanisms, such as a right of set- -off, is perfectly admissible, given the interests at stake; and we also find admissible, for example, the right of resolution that the factor may have when the debtor declares bankruptcy shortly after the transfer of the receivable. The present study continues by analyzing the cases of breach that are attributable to the client, seller of the credits. The most flagrant case can be seen when he transfers a receivable that does not meet the requirements of existence and enforceability: that can happen, for example, when the credit claim on the debtor is inexistent due to fraud (derived from falsification of the invoices, or from any other cause). But many other cases of breach of contract by the client can occur, such as those where he transfers a receivable which was already transferred to another factor. The failure to comply, on the other hand, may not report directly to the factoring agreement, but also to the contractual relations derived from the transferred credit: therefore, the seller will be accountable to the debtor when he transfers credits that are under court dispute (when that transfer is forbidden by Article 579 th of the Portuguese Civil Code), or when he transfers a credit protected by an agreement that forbids the transfer. The client is also liable when the factor does not obtain the payment from the debtor due to actions or behaviors attributable to him: that can happen, namely, when the client, committed to notify the debtor of the transfer of the receivables, does not do it (this situation has special relevance in those cases where the debtor, in good faith, pays his debt to the original holder of the credit claim). It also happens when the debtor had legal mechanisms of defense that he could hold against the client, since he can, now, hold the same mechanisms against the
5 factor: These situations, where the assignee acquires defective receivables, can be verified, specifically, when the debtor claims rights such as the exception of non-compliance, the right of retention, or the set-off right (as long as they refer to credit claims that arose before the notification of their transfer). We also approach those cases where the breach is attributable to the debtor: even though he is not part of the factoring agreement, he is a part in the contractual relations that created the credit claims that will be transferred; hence, his influence in the factoring agreement, which depends on those transfers, is undeniable. So, we know that the debtor fails to comply when the payment default is considered definite; and we know that he can also enter into a breach of contract when the fulfillment of his obligation is defective, or even in a situation of late payment. In these cases, the most interesting question is related to the recourse factoring, where the factor can hold accountable both the client and the debtor. It can occur, consequently, a situation where there are two debtors for only one credit: naturally, if and when the factor recovers his credit from one of them, he will be unable to recover the same credit from the other. Finally, we also address those cases where the payment is made to the seller, after the notification of the transfer, and whether those payments can be considered liberating or not: the answer will be, most of the times, negative, although there are some cases when that payment can be considered valid namely, when the factoring agreement concedes powers of representation to the client that allow him to receive the payment of the receivables on behalf of the factor.
