Too fequently, fies have been taceable to faulty wiing, sometimes because of caelessness and sometimes because of lack of undestanding of the isks involved. In the inteest of public safety, exhibits at all convention facilities may be inspected to detemine if any violations exist. If they ae found, qualified electicians ae available to coect the poblems. This wok will be pefomed on a time and mateials basis. If the exhibito does not wish to have the fault coected, electical sevice to the offending booth will not be connected. If an exhibito is not infomed o does not undestand basic safety standads fo electical wiing, an electician should be consulted befoe shipment is made to convention facilities. Seious isks can be eliminated by undestanding basic equiements of safe wiing inside you booth. Fo the safety of youself and othes, emembe these points: All wiing must have a 3-wie gounded cod with a minimum of #14 gauge. Spot o flood lighting is a hazad when lamps ae too close to fabics o othe mateial which can be affected by heat. The use of clip-on sign sockets, latex, o lamp cod wie in displays, o the use of 2-wie clamp on fixtues, is pohibited by ode of fie pevention bueaus at tade shows and conventions. Zip cods o two-wie cods ae ungounded and could esult in safety hazads. Thei use is fobidden in all convention facilities. Please leave all 2-wie cods at home! Each shall have the benefit of and be bound by all povisions stated heein, including but not limited to time limits and limitations of liability. III. Custome Obligations a. Payment fo sevices. Custome shall be liable fo all unpaid chages fo sevices pefomed by GES o Agents. Custome authoizes GES to chage its cedit cad diectly fo sevices endeed on Custome's behalf afte depatue, by placing an ode on-line, via fax, phone o though a wok ode on site. b. Cedit Tems. All chages ae due befoe Sevices ae pefomed unless othe aangements have been made in advance. GES has the ight to equie pepayment o guaantee of the chages at the time of equest fo Sevices. A failue to pay timely will esult in Custome having to pay in cash in advance fo futue sevices. GES etains its ight to hold Custome Goods fo non-payment. If a cedit cad is povided to GES, GES is authoized to bill to such cedit cad any unpaid chages fo sevices povided to Custome, including chages fo etun shipping. Any chages not paid within 30 days of delivey will be subject to inteest at 1 ½% pe month until paid. IV. Mutual Obligation Indemnification a. Custome to GES: Custome shall defend, hold hamless and indemnify GES fom and against any claims, lawsuits, demands, liability, costs and expenses, including easonable attoney's fees and cout costs, esulting fom any injuy to o death of pesons, o damage to popety othe than Goods, elating to o aising fom pefomance of Sevices heein. Custome agees to indemnify and hold GES hamless fo any and all acts of its epesentatives and agents, including but not limited to Custome Appointed Contactos and Installation and Dismantle Companies, any subtenant o othe use of its space o any agents o employees engaged in business on behalf of Custome o pesent at Custome's invitation, including supevision of labo secued though GES. Custome's obligations unde this povision shall not apply to GES' own negligence and/o willful misconduct. CUSTOMER ACKNOWLEDGES THAT THE SHOW SITE IS AN ACTIVE WORK ZONE AND CUSTOMER, ITS AGENTS, EMPLOYEES AND REPRESENTATIVES ARE PRESENT AT THEIR OWN RISK. b. GES to Custome: To the extent of GES' own negligence and/o willful misconduct, and subject to the limitations of liability below, GES shall defend, hold hamless and indemnify Custome fom and against any claims, lawsuits, demands, liability, costs and expenses, including easonable attoney's fees and cout costs, esulting fom any injuy to o death of pesons, o damage to popety othe than Goods. GES' obligations unde this povision shall not apply to claims fo bodily injuy aising a) fom Custome's pesence in aeas which have been maked as off limits to exhibitos ; and b) when exhibitos ae pesent in the facility pio o subsequent to the effective dates o hous of Exhibito's space lease with show management. V. DISCLAIMER AND LIMITATION OF LIABILITY UNDER NO CIRCUMSTANCES WILL ANY PARTY BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL INDIRECT OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS OR INCOME. GES SHALL BE LIABLE, SUBJECT TO THE LIMITATIONS CONTAINED HEREIN, FOR LOSS OR DAMAGE TO GOODS ONLY IF SUCH LOSS OR DAMAGE IS CAUSED BY THE DIRECT NEGLIGENCE OR WILLFUL MISCONDUCT OF GES. CLAIMS PRESENTED FOR LOSS OR DAMAGE ARISING OUT OF INCIDENTS REFERENCED IN SECTION VI HEREIN WILL BE DENIED. VI. No Liability fo Loss o Damage to Goods a. All Goods shall be able to withstand handling by heavy equipment, including but not limited to foklifts, canes, o dollies. It is the Custome's esponsibility to ensue that Goods ae packaged coectly pio to shipment o movement on o off the Show floo. b. Receipt of Goods: GES shall not be liable fo Goods eceived without eceipts, feight bills, o specified piece count on eceipts o feight bills, o fo bulk shipments (i.e., UPS, ai feight, o van lines). Such Goods shall be deliveed to booth without the guaantee of piece count o condition. c. Foce Majeue: GES shall not be liable fo loss o damage that esults fom Acts of God, weathe conditions, act o default of Custome, shippe, o the owne of the Goods, inheent natue of the Goods, public enemy, public authoity, labo disputes, and acts of teoism o wa. d. Cold Stoage. Goods equiing cold stoage ae stoed at Custome's own isk. GES assumes no liability o esponsibility fo Cold Stoage. e. Accessible Stoage: GES assumes no liability fo loss o damage to Goods while in Accessible Stoage. Stoage chages ae fo the use of space and ae not a fom of insuance, o a guaantee of secuity. f. Unattended Goods: GES assumes no liability fo loss o damage to unattended Goods eceived at Show Site at any time fom the point of eceipt of inbound Goods until the loading of the outbound Goods, including the entie tem of the espective show o exhibition. Custome is esponsible fo insuing its own Goods fo any and all isk of loss. g. Empty Stoage: GES assumes no liability fo loss o damage to Goods o cates, o the contents theein, while containes ae in Empty Stoage. It is Custome's sole esponsibility to affix the appopiate labels available at the GES Sevice Desk fo empty containe stoage, and ensues that any pe-existing empty labels ae emoved. h. Foced Feight: GES is not liable fo Custome Goods left on the show floo afte the show closing deadline, with o without a Mateial Handling Sevices/Staight Bill of Lading signed by Custome. It is Custome's esponsibility to complete accuate papewok fo shipping and to ensue Custome Goods ae popely labeled. If Custome Goods emain on the floo afte the show closing deadline, GES has the ight to emove the Custome Goods. GES is authoized by Custome to poceed in the manne chosen by Custome on the Ode of Mateial Handling Sevices/Staight Bill of Lading, if one has been completed, o othewise to ship Custome Goods at the discetion of GES and at Custome's expense. GES shall incu no liability fo such shipment. GES etains the ight to dispose of Custome Goods without liability if left on the show floo unattended, without labels o not coectly labeled. i. Concealed Damage: GES shall not be liable fo concealed loss o damage including but not limited to; glass, electonic equipment, pototypes, oiginal at, uncated Goods, o impopely packaged o labeled Goods. j. Unattended Booth: GES shall not be liable fo any loss o damage occuing while the Goods ae unattended in Custome's booth at any time, including, but not limited to, the time the Goods ae deliveed to the dock until the time the Goods ae eceived by Custome's chosen caie. All Mateial Handling Foms and/o Staight Bills of Lading coveing outgoing Goods submitted to GES will be checked at the time of pickup fom the booth and coections to the count o condition will be documented whee discepancies exist. k. Hanging items fom Booth: Custome shall not hang any aticles, mechandise, poduct, advetisements, o othe simila items fom GES supplied booth mateials (this includes but is not limited to GES panels o pipe and dape), utilized in Custome's own booth set up o in aeas occupied by the show oganize o thid paties. If Custome does hang any pohibited items, Custome alone shall be held liable fo any damages, costs, actions o injuies esulting fom the hanging of such item(s). GES shall have no liability fo any damages, costs, actions o injuies aising out of Custome's failue to comply with this povision. VII. Measue of Damage a. Sole Relief: If found liable fo any loss, GES' sole and exclusive maximum liability fo loss o damage to Custome's Goods is limited to $.50 (USD) pe pound with a maximum liability of $ (USD) pe containe, o $1, (USD) pe shipment whicheve is less. b. Labo: GES assumes no liability fo loss, damage, o bodily injuy aising out of Custome's supevision of GES povided union labo. If GES supevises labo fo a fee, GES shall be liable only fo actions o claims aising out of its negligent supevision. Such liability shall be limited to the cost to Custome of the supevised labo o the depeciated value of the Goods, whicheve is less. If Custome elects to use unsupevised labo, then Custome assumes all liability fo the actions o claims that aise out of such wok, including but not limited to loss, damage o bodily injuy and shall povide GES and show management with an indemnity, including defense costs, fo any claims that esult fom Customes' supevision o failue to supevise assigned labo. VIII. Miscellaneous a. Insuance. GES IS NOT AN INSURANCE COMPANY AND DOES NOT OFFER OR PROVIDE INSURANCE. It is the obligation of Custome to ensue Goods ae insued at all times. Loss o theft of the Goods in stoage o in tansit to and fom the show and o while on the show floo is the sole esponsibility of Custome. GES ecommends Custome aange fo all Risk Coveage. b. Notice of Loss o Damage: In ode to have a valid claim, notice of loss o damage to Goods must be given to GES o its agent within 24 hous of occuence (as evidenced in an Incident Repot completed at Show Site by GES) o delivey of outbound Goods. c. Filing of Claim: Any claim fo loss o damage to Goods must be in witing, containing facts sufficient to identify the Goods, asseting liability fo alleged loss o damage, and making claim fo the payment of a specified o deteminable amount of money. Such claim must be filed with the appopiate paty within the time limits specified heein. Damage epots, incident epots, inspection epots, notations of shotage o damage on feight bills o othe documents, do not constitute filing of a claim. Claims fo Goods alleged to be lost, stolen o damaged at the Show Site must be eceived in witing by GES within thity (30) days afte the close of the show. Claims fo Goods alleged to be lost o damaged duing tansit must be eceived by the esponsible paty within nine (9) months of date of delivey of Goods. GES Logistics subcontacts the movement of Goods to thid paty caies. Claims fo damage in tansit should be made diectly with you caie as shown on the Mateial Handling fom/ Bill of Lading. In the event of a dispute with GES, Custome will not withhold payment o any amount due GES fo Sevices as an offset against the amount of the alleged loss o damage. Custome agees to pay GES pio to the close of the show fo all such chages and futhe agees that any claim Custome may have against GES shall be pusued independently by Custome as a sepaate action to be esolved on its own meits. GES etains the ight to pusue collection on amounts owed afte show close, without egad to any amount alleged to be owed fo damage, o loss. d. Filing of Suit: Any action at law egading loss o damage to Goods must be filed within one (1) yea of the date of declination of any pat of a claim (logistics claims excluded). IX. Juisdiction, Choice of Foum These Tems and Conditions of Contact shall be govened by and constued in accodance with the applicable laws of the United States o, altenatively, and depending on juisdiction, the laws of the State of Nevada. The paties heeby submit to juisdiction and venue in the United States Fedeal Distict Cout of Nevada, o as applicable depending upon juisdiction, the County Cicuit Cout in Clak County, Nevada. X. Advanced Waehousing/Tempoay Stoage/Long Tem Stoage All tems and conditions elative to Advanced Waehousing/Tempoay Stoage/Long Tem Stoage ae contained in sepaate ageements titled Stoage Ageement. In the event that a Stoage Ageement is not executed between the paties, the following shall apply with espect to GES' liability fo Custome Goods. The esponsibility of GES with espect to Custome Goods is limited to the execise of odinay cae and diligence in handling and stoing of Custome Goods. GES shall be liable only fo loss o damage to Goods caused by GES' sole negligence. GES' liability is limited to $.60 (USD) pe pound with a maximum liability of $ (USD) pe containe, o $1, (USD) pe shipment whicheve is less. In case of patial loss o damage, the maximum liability shall be poated based on weight. GES is not esponsible fo any loss o damage to Goods caused by, but not limited to fie, theft, the elements, vandalism, moistue, vemin, mechanical beakdown o failue, feezing o changes in tempeatue, as well as any othe causes beyond GES' immediate contol. GES is not esponsible fo the maing, scatching o beakage of glass o othe fagile items. GES is not liable fo the mechanical functions of instuments o appliances even if such aticles ae packed o unpacked by GES.
