1 SERVICE SCHEDULE 103 JT COLLOCATION AND INFRASTRUCTURE SHARING SERVICE 1. DESCRIPTION OF SERVICE 1.1 JT Collocation and Infrastructure Sharing Service is defined as the provision by JT of space in its premises and/or the use of part of its physical or virtual infrastructure such as energy, masts, towers, ducts, dark fibre etc. to other Licensees. For the description of duct and dark fiber sharing services refer to JT's RIO, Addendum to Annex-A-Definition, which is listed at page 6 of this document. 1.2 JT shall offer Collocation and Infrastructure Sharing Service on the grounds of availability at JT's sites which are listed in tables D.1.1, D.1.2, D.1.3, D.1.4, D.1.5 in the attached Addendum to Appendix D.1 of Annex D in JT's RIO. 1.3 JT Collocation and Infrastructure Sharing Service shall include, but will not be limited to, space in cabinets, shared or secured rooms, space for antenna on masts or towers, land space, sharing of ducts and dark fibres, power supply (AC or DC), and air-conditioning. 1.4 JT shall lease to Licensees, on a non-discriminatory basis, JT Collocation and Infrastructure under the control of JT and required for use by Licensees ( refer to clauses 2.1 and 2.2). 2. TERMS AND CONDITIONS 2.1 JT Collocation and Infrastructure Sharing service will be provided to Licensees based on a first-come, first served principle which takes the following factors into consideration: If the available space at a specific site does not fit the first-come Licensee and there are no alternative solutions, then priority will be given to the next come Licensee after the TRC approval Urgency of requirement can be prioritized and justified only after TRC approval. In such cases, if the next-come Licensee's request is more 1
2 urgent than first-come Licensee, then priority for Collocation and Infrastructure Sharing service will be given to the next-come Licensee In circumstances where JT rejects a Licensee's request for collocation space and/or infrastructure sharing on the grounds of availability, JT should propose an alternative solutions, being understood that JT shall not be required to construct new facilities and / or extend its existing facilities for lease to such other Licensees (refer to article 36 of TRC's Explanatory Memorandum). If alternative solutions are available but will incur extra costs on JT, these costs should be borne by the requesting Licensee. In case of dispute, the TRC shall make a determination. 2.2 JT offers Collocation and Infrastructure Sharing Service to Licensees provided that: There is sufficient, available and / or unreserved facilities at the requested Collocation and Infrastructure site Collocation and Infrastructure Sharing is technically feasible and reasonable and will not adversely affect the operational integrity of the existing equipment at the Collocation and Infrastructure Sharing site under the control of JT or any other Third Party. 2.3 Collocation and Infrastructure Sharing Service is provided for a minimum of 1 (one) year lease. The Licensee may cancel the JT Collocation and Infrastructure Sharing Service upon written notice at least 1 (one) month prior to the date of termination. 2.4 Collocation and Infrastructure Sharing Service may be reserved up to 1 (one) year in advance provided the request for reservation is reasonable, the facilities are available and the relevant reservation forms have been completed and charges were paid to JT. For the avoidance of doubt, the prices of reservation are equal to the prices of actual usage of the service. 2
3 2.5 During the contract period, the Licensee's responsibilities include the followings: The licensee should not make any changes by himself or through third party to JT facilities without a prior written approval from JT. JT shall response to the modification request within 10 working days of receipt of a request The Licensee should bear all the costs of the changes as per subclause whenever approved by JT The Licensee should make changes, if approved, under the supervision of JT Any damages that may occur to JT facilities during installing, operating, maintaining the Licensee's equipment or during changes made to JT facilities by the Licensee or on behalf of him will be borne by the Licensee. For the avoidance of doubt, the Licensee will bear the costs of such damages and the correction should be supervised and approved by JT. Should the Licensee not correct the damages as stated above within one month from the notification, JT proceeds with the reasonable works necessary to correct the damages and charge the Licensee the full cost incurred. 2.6 JT has the right to make changes in its premises or facilities without the need for permission from the Licensee unless these changes affect the operation of the Licensee's equipment or modify the contracted space made available by JT to the Licensee as per the present Service. Should these changes affect the Service as purchased by the Licensee to JT, then JT has to make prior written notice to the affected Licensee to find an acceptable and reasonable solution. JT will then bear the charges related to such change upon justification from the Licensee. 2.7 JT is not responsible for any damages that may occur to the Licensee's equipment due to Force Majeure as defined in JT's RIO. 2.8 In the case of a fault occurring on any Collocation and Infrastructure Sharing Service supplied by and under the control of JT, JT shall commence to resolve 3
4 the fault within 4 (four) hours during office hours and 8 hours during outside office hours (inside/outside office hours as defined in JT's RIO) of opening a trouble-ticket by the affected Licensee to JT. The Licensee shall bear the costs of resolving the fault unless it can be shown by the Licensee that the responsibility for the fault lies with JT. 2.9 JT shall provide 6 (six) months advance warning, and in any case as much notice as is reasonably possible in the event of circumstances beyond the control of JT in writing to Licensees making use of relevant Collocation and Infrastructure Sharing Service in the following circumstances: Decision to close or remove the facilities where physical Collocation and Infrastructure Sharing Service in use Maintenance works of the real estate requesting temporary movement of the physical Collocation and Infrastructure Service is in use Redevelopment or civil works affecting the physical facility in use for the Service or immediately adjacent spaces which might reasonably be expected to affect the provision of the Collocation and Infrastructure Sharing Service In the event that JT reconfigures its Network in order to increase its efficiency, and this reconfiguration requires the reinstallation of equipment at existing or new Collocation and Infrastructure Sharing Service, the costs of the reinstallation of such equipment shall be borne by JT, unless the reconfiguration is part of a planned upgrade programme in which case the costs shall be settled in accordance with clause 11.2 of the Main Offer Document in JT RIO For more details about technical information of JT Collocation and Infrastructure Sharing Service, see Addendum to Annex D of JT's RIO attached with this document. Delivery lead times for service provisioning are listed in Basic Service Level Offer in JT's RIO (B-SLO). A service level offer for the duct and dark fiber sharing service can be found in the Addendum to JT's RIO Service Level Offer listed in page 20 in this document. 4
5 2.12 The specific terms and conditions of JT's Dark Fiber Sharing Service are as follows: JT dark fiber sharing may be denied if there is insufficient capacity or for safety, reliability or JT forecasted needs. Sharing is based on practicability, technical feasibility and availability JT may relocate all or any portion of the fiber provided to the licensee or any of the facilities required to provide licensee with the fiber in the following cases: if a third party with legal authority orders or threatens to order such relocation (e.g., through eminent domain, nationalization, or expropriation), in order to comply with applicable laws, to reduce governmental fees or taxes assessed against it or licensee, or for bona fide operational reasons. JT agrees to provide licensee fourteen (14) calendar days prior notice for a relocation, if reasonably feasible JT has the right to direct such relocation, including the right to determine the extent of, the timing of, and methods to be used for such relocation, provided that any relocation: is constructed and tested in accordance with the specifications which apply to the fiber; this will effect the total attenuation on the dark fiber and also the licensee should align his equipment according to the new attenuation levels JT reserves the right to take back its dark fiber to meet its network expansions and traffic growth. In this case, JT will provide the licensee a prior six (6) months written notice If a dispute arises due to the actions made by JT such as the specified ones in clauses up to which requires TRC intervention, then JT will cooperate with TRC in its investigations made for the purpose of resolving the dispute If the Licensee changes the termination point or his requirements after the feasibility study which leads to extra intervention cost or materials, he will be subjected to pay this extra cost upon JT request. 5
6 To recover JT efforts during feasibility study, the licensee has to pay 20% of the set up fees before starting the feasibility study. The followings will be applicable to this advance insurance payment: this sum is non refundable in case of licensee's withdrawal after JT positive response for the feasibility study, this sum is paid back totally to the licensee in case the service is unavailable, this sum will be extracted from the set up fees, when the licensee applies officially for the service after JT positive response Minimum contract period is one year. At the end of the contract term, the fiber lease will automatically be extended on the same terms for an additional period of one year unless either party notifies the other in writing at least 60 calendar days before end of the term that the lease shall not automatically renew, and it shall terminate All orders are handled according to a queue based on the date of a receipt of a written order Length of shared dark fiber is the actual distance (not radial) between JT ODFs Optical Distribution Frame at each end of the Link JT will share its fiber with other licensees based on the principle that the shared dark fiber will be used specifically by the licensee himself for its own operating purposes and services, meaning that it is not allowed to re-share fiber with others JT may rearrange or temporarily remove its facilities in an emergency cases. JT will provide a six months prior notice to the licensee Rights and authorizations cannot be assigned, licensed or sub-let The specific terms and conditions of JT's Duct Sharing Service are as follows: A request for sharing JT ducts may be rejected if there is insufficient capacity or for safety, reliability or forecasted needs. Sharing is based on practicability, technical feasibility and availability After capacity is leased, if JT needs to recover the capacity for its own use, it must give at least 6 months prior notice. 6
7 The charges for sharing ducts under the roads, bridges, railways, to be applied on case by case basis Duct sharing is not available between governorates as all the cables are direct buried Minimum contract period is one year. At the end of the contract term, the duct lease will automatically be extended on the same terms for an additional period of one year unless either party notifies the other in writing at least 60 calendar days before end of the term that the lease shall not automatically renew, and it shall terminate Licensee facilities must be placed and maintained in accordance with JT specifications and supervision. JT may apply additional requirements and specifications based on the magnitude of the route where the licensee requested the service Duct sharing will not be permitted for: The ducts that are reserved for future needs, maintenance purposes (at least one duct shall be kept vacant as a maintenance duct and as an alternative to the damaged ones ), emergency and projects in progress The ducts that traverse the JT building entrance facilities, entrance links, equipment rooms, remote terminals, and cable vaults All orders are handled according to a queue based on the date of a receipt of a written order To recover JT efforts during feasibility study, the licensee has to pay 20% of the set up fees before starting the feasibility study. 8 JT will share its ducts with other licensees based on the principle that the shared ducts will be used specifically by the licensee himself for its own operating purposes and services, meaning that it is not allowed to reshare ducts If unauthorized occupancies are detected, the illegal sharer must make an application for them within 10 days and pay as if they had been in place for 5 years; if an application is received within this time, the illegal sharer must remove the equipment within 10 days, or JT can remove it and charge for its removal If extension of Licensee's cable is possible without extra work, JT will issue an occupancy permit for ducts; if extra work is needed, JT will issue an estimate of the costs which will be paid by the licensee. After completion of the work, an occupancy permit is issued. The time estimate for carrying out work is given within 10 days of receiving the licensee's payment for the work JT may rearrange or temporarily remove its facilities in an emergency cases If a dispute arises due to the actions made by JT such as the specified ones in clauses , , and which requires TRC intervention, then JT will cooperate with TRC in its investigations made for the purpose of resolving the dispute Rights and authorizations cannot be assigned, licensed or sub-let JT will not be liable to pay any compensations for the licensee in case of any damages to the licensee's cable. 8
9 3. CHARGES 3.1 The rates charged by JT for the running costs of collocation and infrastructure sharing services are as far as is practicable, cost based. Leases for the collocation space and sharing of JT ducts and dark fibres reflect local market values. 3.2 Specific charges vary from service location to another and are available on request from the Licensee as part of the feasibility study which commences the provisioning process (See JT RIO, Annex E). 3.3 Cancellation of requests for Collocation and Infrastructure Sharing Service shall incur charges that reflect the reasonable costs necessarily incurred by JT up to the point of formal notification of a cancellation request. 3.4 The charges of JT Collocation and Infrastructure Sharing Service are listed in the price lists of JT RIO attached with this document. All prices are subject to TRC approval. 3.5 For more details about JT Collocation and Infrastructure Sharing Service billing and charging structure, see clause B5 at Annex B of the new JT RIO attached with this document. 3.6 The duct and dark fiber sharing service charges comprises the followings: Non recurring (set up) charges per meter per request The recurring rental charges are set for each one pair of fiber per meter per year (in case of dark fiber sharing service) and for each meter of duct per year (in case of duct sharing service ) paid on an equal monthly payment basis The minimum distance used for calculating charges is 16 km Advance payment for feasibility study and survey which is set to 20 % of the calculated set up fees. --For more details refer to the costing model of the duct and dark fiber sharing service-- 9
10 ADDENDUM TO ANNEX-A (JT'S RIO)-DEFINITIONS 1. JT DARK FIBER SHARING SERVICE: It is an infrastructure sharing service where JT provides other licensees with an optical transport facility between two JT s Nodes on existing JT infrastructure, this optical transport facility will only include the fiber optic cable without attached telecommunications equipment (multiplexing, aggregation or other termination equipment ). For the avoidance of doubt,the Licensee is responsible for attaching the telecommunications equipment and lasers to "light" the fiber. 2. JT DUCT SHARING SERVICE: It is an infrastructure sharing service where JT provides other licensees with its owned available vacant ducts within main cities for the purpose of laying its own cables used for its own operating purposes and services. 10

Minimum charged space is 1 square meter. The square meters of areas are not rounded up to the nearest integer. For STM-1, it is 2 square meters per Licensee. Further increments charging will be in 1 square meter. 5 Minimum charged power supply is 5 Amperes (DC) for each cabinet and then it is incremented by 1 (one) Ampere within each cabinet. if the cabinet is shared by more than one Licensee (rack space rental), then the minimum charged power supply for each rack unit is 1 (one) Ampere (DC) and then it is incremented by 1( one ) Ampere (even for decimals of 1 A). These rules do not apply to Aqaba JT site where minimum charged power supply is 5 Amperes and charging of increments is also in 5 Amperes. 6 Intra-building link is any telecom cable (power and earthing cables are excluded here) connecting Licensee's collocated equipment with any other equipment of the same Licensee located outside Licensee's leased area (such as Antenna). 18 ADDENDUM TO ANNEX D (JT RIO)-TECHNICAL INFORMATION: D5. JT COLLOCATION AND INFRASTRUCTURE SERVICE D.5.1 Collocation and Infrastructure Sharing Facilities 1D.5.1 2D.5.1 The lists in the attached Addendum to Appendix D.1 in Annex D of JT's RIO (tables D.1.1, D.1.2, D.1.3, D.1.4, D.1.5) details JT nodes where Collocation and Infrastructure Sharing facilities may be provided. Collocation and Infrastructure Sharing services ordered or reserved by the Licensee under Service Schedule 103 shall be detailed in the Network Plan. An up-to-date list can be requested at any time upon request to the Technical Account Manager, who shall respond within 5 (five) working days of receipt of a request. D.5.2 Collocation and Infrastructure Sharing environment 1D.5.2 2D.5.2 3D.5.2 4D.5.2 A number of options are available to Licensees in Collocation and Infrastructure Sharing facilities. These are detailed in Service Schedule 103. Access to Collocation and Infrastructure Sharing facilities shall be granted in accordance with the procedure set out at Section 8 of the Operation and Maintenance Manual. Where the Licensee hires space in a secure room, the Licensee will choose and install the key system restricting access to the room. The Licensee must however provide JT with a key to access the room which may be used for essential site maintenance or in the event of an emergency. Power options in Collocation and Infrastructure Sharing facilities are as follows: a. Permanent 230/240V AC b. Permanent 48V DC 18
19 5D.5.2 The environment in Collocation and Infrastructure Sharing space may include the following automated and monitored features: a. Lighting system b. Fire system c. Air conditioning d. Temperature control e. Humidity level control D.5.3 Service characteristics: D The following Collocation and Infrastructure Sharing Service is available subject to the provisions of this Service Schedule: 1D Rack space, in JT supplied cabinets, which accept equipment designed for standard 19 inch racks. 2D Floor space in shared room for a standard 60 by 90 by 200 centimetre cabinet. 3D Secured rooms / partitions for the exclusive use of the Licensee (where available) for the installation of equipment in cabinets provided by the Licensee, or physical collocation outside specified JT facilities in immediately adjacent buildings, fit for the purpose of housing telecommunications equipment, under the control of JT. 4D Land Space within JT's premises. 5D Antenna space on towers or masts. 6D Duct and dark fibre sharing. D For all supplied facilities listed at D above, the following features should be available to the Licensee: 19

Provisioning of security measures for Licensee equipment similar to those provided for JT equipment. Physical space, sufficient for the installation of necessary equipment, segregating the equipment of one Licensee from another s and safe maintenance of that equipment once installed. Maintenance of collocation and infrastructure Service is under the control of JT. D Additional collocation and infrastructure service may include: 2D D D Standard 60x90 cabinet, for the exclusive of the Licensee in shared or secure room. Intra-building cabling. Additional intra-building operations may be available to the Licensee with additional setup costs (see subclause B in Annex B of JT RIO attached with this document). Some of them may include: 20
21 a. Installing new telecommunication, earthing and power cables between two defined points in the same building. b. Providing the following installation material:- step ladder, cable tray, cable trunks. c. Providing the following civil services where it is possible: raised floor, false ceiling, partitioning and opening holes in the building. D.5.4 Dark Fiber Sharing Technical aspects: 1D.5.4 2D.5.4 3D.5.4 4D.5.4 5D.5.4 6D.5.4 7D.5.4 8D.5.4 9D.5.4 JT Dark Fiber consists of two fiber strands (one pair) or multiple pairs and subject to the available capacity between the requested nodes. All material required to facilitate the connection with JT fiber network should comply with JT requirements.. JT completes an advance engineering feasibility study to determine the possibility to give the service. The time required to complete the proposed interconnection work will be determined on case by case bases. The boundary between the JT and Licensee Network shall be JT (ODF) Optical Distribution Frame, at each end of the Link. Licensee shall exercise reasonable care to prevent any damage or destroy to JT related equipment / materials close to JT boundary point and shall immediately notify JT upon finding of any defect that could be harmful to JT materials. The Licensee will bear all the costs of correction for the damage and all other effects related to it. The licensee should always align his optical equipment according to the new attenuation levels resulting from new splices for cable cuts, relocation of the cable route, and the aging of the cable. For the avoidance of doubt, JT is not obliged to replace the optical fiber span. JT is responsible for maintaining the facilities that it owns only. The Licensee is responsible for obtaining and providing equipment compatible with JT Dark Fiber. Licensee is responsible for end-to-end design of any such systems. JT Dark Fiber, where available, conformed to JT standard transmission characteristics in place at the time the fiber was installed. JT does not guarantee or make any warranty that the transmission characteristics of JT Dark Fiber will remain constant over time. 21
22 10D.5.4 JT is not responsible for determining whether the transmission characteristics of the dark fiber will accommodate the Licensee requirements. 11D.5.4 JT will conduct an end-to-end test of dark fiber between two JT ODFs during service delivery. This test will include only the OTDR (Optical Time Domain Reflectometry) testing. After service delivery, JT will not conduct any tests and/or maintenance not related to faults in JT domain. If additional tests are requested then they will be charged on case by case basis. 12D.5.4 Fiber cables placed by JT support single mode ITU-T G.652 and meet the optical requirements described in ITU recommendations for optical fiber. Cables can operate at both the 1310 nm and 1550 nm wavelength bands. 13D.5.4 For the avoidance of doubt some fiber may have different technical. requirements, information on cables will be provided on a case-by-case basis. 14D.5.4 JT current standard connector type is the FC type of Physical Connector (PC), i.e., FC-PC. Some ODF in some sites use other types of connectors, The Fiber ODF uses FC-PC connectors. The Licensee must provide the appropriate type of jumper/connecter for his ODF/equipment. In other word the connector type should be the same as the jumper type(patch cord). 15D.5.4 JT will also maintain fiber in the cable bundle to facilitate maintenance, rearrangements and changes. JT will generally reserve minimum three pairs of fiber in a sheath for maintenance. 16D.5.4 Licensee shall be responsible when necessary for connecting his own electronic equipment (regenerators, optical amplifiers and some longer fiber spans may need regenerators or optical amplifiers), whether light generating or light terminating equipment, which may need purchasing another collocation services to place his own electronic equipment. 17D.5.4 The following events are excluded from JT obligations: a. Force Majeure: as stated in JT RIO, Main Offer Document, section 23 and its sub sections should be applied. b. Planned Job: according to JT RIO, and further more in some cases, JT may implement a temporarily solution during emergency planned job 22
23 due to cable cuts which lead to another planned job to implement the permanent solution. c. Third party works. 18D.5.4 JT cannot monitor Dark Fiber. Such monitoring is normally done using the electronic equipment connected to the fiber that, in this application, is provided by the Licensee, However, in the case of a major cable failure affecting the entire cable, JT would normally detect problems on their fiber. 19D.5.4 The Licensee must implement trouble diagnosis and verify that the trouble is not due to his equipment or cabling in his premises before calling JT help desk. The Licensee must provide JT with this information before JT dispatches the fault to the team to repair. If the trouble is isolated to Licensee owned equipment or cable, Licensee will be responsible for clearing the trouble and restoring the service to normal based on their joint agreement and subject to pay JT intervention cost. 20D.5.4 In some cases where the fiber cable is partially destroyed in which some of the fiber were working properly and the rest is faulty (the Licensee fiber could lay within any of the two groups), JT will be forced to break down the total fiber cable to implement the maintenance. In this case, the outage will be considered according to the situation. D.5.5 Duct Sharing Technical aspects: 1D.5.5 The boundary between JT ducts and licensee shall be JT manhole/hand hole as shown below: Boundary JT duct Licensee duct Licensee cable JT manhole / hand hole 23
24 2D.5.5 In order to preserve JT Network integrity, JT will be responsible (based on a separate mutual agreement with the licensee): a. To maintain the licensee's cables and ducts, b. To extend (pull) licensee's cable up to the last mile in his premises. 3D.5.5 The service will be denied if the feasibility study shows that the list of services that will be offered by the licensee will impact the existing services (in terms of frequency, speed..). 24
25 ADDENDUM TO JT'S RIO SERVICE LEVEL OFFER: JT'S DARK FIBER SHARING SERVICE Delivery response time: within 30 calendar days Delivery Lead Time: 45 calendar days Availability :99.5 % measured over yearly basis. Time to repair: 12 hours The followings are excluded from calculating Availability and Time to Repair: Planned maintenance jobs. Force Majeure cases. Cable cuts due to third party works. JT'S DUCT SHARING SERVICE The response time for sharing JT ducts will be within 45 days. The delivery lead time will be decided on case by case basis. Availability and Time to repair: not applicable. 25
26 ADDENDUM TO ANNEX B OF JT RIO B5. JT COLLOCATION AND INFRASTRUCTURE SHARING SERVICE B.5.1 This Clause refers to the Service defined in Service Schedule 103. B.5.2 JT Collocation and Infrastructure Service billing shall be carried out in accordance with the charging structure as outlined in the Price List and shall conform to the terms and conditions provided in clause B10 (Invoices) hereof. B.5.3 The commencement of charging for JT Collocation and Infrastructure Service shall be from the moment of Handover for the services set out in Service Schedule 103. The Billing Period for JT Collocation and Infrastructure Service shall be monthly with each month commencing on the 1st day of that Calendar month. B.5.4 Billing shall involve an initial invoice for Rental Costs from the Commencement Date of Charging to the start of the next Billing Period. Thereafter invoicing shall be monthly in advance. 27 B Collocation and Infrastructure Service preparation and the installation of Licensee's equipment by JT including, but not necessarily limited to, design, planning approvals, building works and specific equipment requested. B Space used by the Licensee equipment including access and separation space. B Utilities necessary for the maintenance and operation of the Licensee s Collocation and Infrastructure Service facility such as light and cleaning services. B Access and security charges. B Maintenance/management by JT if requested by Licensee. B Other agreed charges as appropriate and reasonable. B For each additional intra-building operation (some of them are listed at subclause D in Addendum to Annex D of JT RIO attached with this document), setup charges shall be for human effort and materials calculated case by case, except where services or equipment is provided by a Third Party on behalf of JT in which case estimates shall be provided to and have been accepted by the Licensee prior to the commencement of any Third Party work. 27
