2 MEMBERSHIP AGREEMENT I. FAMILY MEMBERSHIP Membership Access A family membership to Peekadoodle Kidsclub, Inc. ( PKC ) provides unlimited access for an unlimited number of children in the family ( Child Members ) and up to three Registered Caregivers. You, a parent or legal guardian of the Child Member, shall serve as the primary contact for the family ( Primary Member ) and will also be one of the three allotted Registered Caregivers. The other Registered Caregivers shall be any adult 18 years of age or older (e.g., a parent, legal guardian, grandparent or nanny of the Child Members) whom the Primary Member registers on the account. A maximum of three Registered Caregivers may accompany Child Members during visits to the club. Only Child Members and their parents and legal guardians named on the account are members of the club. Registered Caregivers who are not parents or legal guardians of the Child Members are only guests of the members and therefore are not permitted inside the club without the host member. A membership provides unlimited access to the Lounge Areas and Café during business hours. A membership provides unlimited access to the PlaySpace for Child Members who are five years of age or younger and to the Registered Caregivers who accompany them. Older Child Members are prohibited from entering the PlaySpace. Membership Term Memberships shall begin on the date this Agreement is signed and remain effective for the contract term specified on the attached Membership Application. Memberships shall automatically renew at the end of the relevant term unless directed otherwise in writing by the Primary Member at least 30 days prior to the end of the term. Membership Dues Acceptable forms of payment include cash, personal check, Visa, MasterCard, Discover and American Express. For their convenience, PKC allows members to charge their dues to their membership accounts for automatic withdrawal from their credit card or bank/checking account numbers on file with PKC. All checks should be made payable to Peekadoodle Kidsclub, Inc. Returned checks will be assessed a fee of $ Membership dues are subject to change in PKC s sole discretion. Changes in membership dues will be applied only at the start of each renewal period. Fees include applicable taxes. Membership Cancellation/Termination Members may cancel their membership at any time with advance notice. However, membership dues are non-refundable except as follows. Members shall receive a full refund of prepaid membership dues, less a convenience charge of $100.00, if the Primary Member delivers a notice of cancellation to PKC within seven (7) days from the date this Agreement is signed. This courtesy is available only to first-time members and not available for membership renewals. Members shall receive a pro-rated refund of prepaid membership dues provided they (i) move more than 50 miles from a PKC location, (ii) present proof of relocation acceptable to PKC and (iii) the Primary Member provides a notice of termination. Refunds of dues shall be pro-rated based on the effective date of termination or on the portion of services utilized prior to termination as appropriately determined by PKC. Termination by Peekadoodle Kidsclub PKC may revoke any membership following (i) a material violation of this Agreement or of any rule posted in the facility or on the PKC website, (ii) repeated violations of this Agreement or of any rule posted in the facility or on the PKC website (regardless of their materiality), (iii) closure of one or more of the PKC locations or revocation of any required licenses or permits, or (iv) for any other reason as determined by PKC in its sole discretion. If termination is due to (i) or (ii) above, PKC in its sole discretion may or may not refund prepaid membership dues or waive unbilled monthly memberships dues. If termination is due to (iii) or (iv) above, PKC shall refund prepaid membership dues pro-rated based on the effective date of termination or on the portion of services utilized prior to termination as appropriately determined by PKC, or waive unbilled monthly memberships dues. All billed but unpaid dues shall remain payable to PKC regardless of the reason for termination. II. CHILDREN S AND PARENTS CLASSES Class Access Participation in children s classes is open to Child Members who are five years of age or younger at the time of enrollment unless otherwise specified. Class Fees Class fees are due in full at the time of enrollment. Members are strongly encouraged to charge the cost of classes to their membership accounts for automatic withdrawal from their credit card or bank/checking account numbers on file with PKC. Class fees are subject to change in PKC s sole discretion. Changes in class fees will be applied only at the start of each class term. Fees include applicable taxes. Class Make-Up Some classes operate on a multiple-week curriculum. In these cases, members shall receive up to three class make-up passes that must be used within the same term; make-up passes cannot be carried over into another term. To the extent available, make-up classes shall be similar to the class in which the Child Member was originally enrolled. Members may arrange for a make-up class at the front desk. For children s cooking and art classes, make-up reservations must be made at least three days in advance subject to availability. For all other classes, make-up reservations must be made at least one hour in advance subject to availability.
3 Class Cancellation/Termination Members may cancel their classes at any time with advance notice. However, class fees are non-refundable. III. MEMBERSHIP AND CLASS POLICIES, RULES & REGULATIONS Days and Hours of Operation Please check with the front desk for an up-to-date list of PKC s days and hours of operation including those surrounding holidays. Maximum Capacity PKC will comply with all laws which may limit the number of people who can be present in its facilities at any given time. Therefore, members access to the club premises is on a first-come, first-serve basis. PKC reserves the right to deny members access to the club should it believe the club has reached its maximum capacity. Member Accounts / Credit Card Processing Fee All members must have on file with PKC a valid credit or debit card or bank/checking account numbers for ACH withdrawals. In addition to their membership dues, members may charge purchases to their accounts for monthly billing. Members with a monthly membership who have their credit or debit card on file for monthly billing and who incur any charges shall be charged a monthly processing fee of $10. Members may avoid this processing fee by using bank/checking account numbers for ACH withdrawals. Members with a 3 month membership who elect to have a credit or debit card on file shall be assessed a quarterly processing fee of $30. Member Cards Each membership includes three complimentary Member Cards. Member Cards are used not only to identify members and Registered Caregivers upon check into the facility, but also to allow for cashless transactions in the club. Each replacement card shall be issued at a nominal charge of $5.00. Check-In Upon each visit to the club, the Registered Caregivers must check in at the front desk with a PKC Member Card. For the safety of its members and guests, PKC reserves the right to deny access to the club to anyone who does not present an appropriate Member Card. Parent Proximity to Children Each Child Member must be in plain view of her or his Registered Caregivers at all times while on the club premises unless the Child Member is participating in a program that explicitly states otherwise. These exceptions include, but are not limited to, designated classes that do not require parent participation, ClubCare, and Peekadoodle Prep. Members Guests Members have an unlimited number of Day Passes for first-time guests to the club. Guests must present photo identification and sign a Guest Release Form. Child guests must be accompanied by their parent or legal guardian at all times. Sponsoring members must accompany their guests during visits. Removal of shoes Except for certain shoes or slippers permitted in designated programs (e.g., ballet class), shoes of any kind are prohibited in the club. PKC strongly advises all adults and children to wear socks at all times. Illness Members are not permitted to bring sick children to the club. For the safety and well-being of its members, guests and employees, PKC reserves the right to send sick children home. The Primary Member is responsible for informing PKC of any food or medical allergies or other medical conditions of her or his Child Member(s). Personal Belongings Children and adults are discouraged from bringing children s personal belongings to the club. Children may not bring any items that may cause choking hazards to other children. Members who bring personal belongings to the club do so at their own risk. PKC accepts no liability for loss or damage to such belongings. PKC will keep lost items in a lost and found container for a reasonable period of time and reserves the right to dispose of such property if not claimed. Stroller Policy Unless permitted by staff, strollers are prohibited in the halls of the club as well as in the Lounge Areas, Quiet Room, Café and the classrooms.
4 Outside Food and Drink Adults may bring food to the premises solely to suit the needs of their children. PKC reserves the right to limit the areas in which outside food and drink may be consumed. No adult food and drinks are allowed on the premises. Food Allergies PKC is very conscious of food allergies and strives to provide a safe environment for its members and guests. Therefore, members and their guests are prohibited from bringing onto the club premises any foods containing nuts, nut ingredients, oils or other nut derivates. However, certain foods may unintentionally become exposed to nuts or nut derivates while processed in facilities or on equipment that may contain such nut ingredients. PKC is unable to safeguard children with food allergies from these risks. Accordingly, members are urged to exercise caution when their children with such allergies are on the club premises. Pets/Animals Other than qualified service animals, members and guests are not allowed to bring pets or animals of any kind onto the club premises. No Smoking Smoking is not permitted on the club premises at any time. ClubCare ClubCare is provided to parents and legal guardians of Child Members on very selected (typically, emergency) cases, and only for limited periods of time and at a cost. Check with the front desk for more information. Cell Phone Policy Cell phones must be on the Silent or Vibrate mode at all times while inside the club. Phone conversations shall be kept to a minimum and voices low. Cell phone conversations are prohibited inside the Quiet Room and classrooms. PKC asks that members step outside into the halls to take cell phone calls. Classroom Etiquette If any Child Member becomes upset during class, please remove her or him for the time period necessary. Registered Caregivers shall keep their voices low and their conversations to a minimum during class. Conduct PKC reserves the right to remove from the club premises any Child Member, Registered Caregiver, guest or any other person whose conduct or actions are determined in PKC s discretion to be detrimental to the club, its members or its employees. PKC reserves the right to deny any Child Member s participation in club activities or classes as a result of her or his behavioral problems as determined solely and reasonably by employees of PKC. Photography PKC reserves the right to use photos taken of children and adults on the club premises for archival, advertising or promotional purposes. Rules Subject to Change The terms and rules in this Membership Agreement are subject to change at any time in PKC s discretion without prior notice. PKC shall make reasonable efforts to alert members to material changes to these terms. IV. MISCELLANEOUS Membership Application The membership application includes personal information on each Child Member and Registered Caregiver, medical information on each Child Member, and financial information on the Primary Member. The Primary Member is responsible for keeping all information on the membership application up-to-date and accurate with PKC. For security purposes, all members and Registered Caregivers shall have their picture taken and stored in PKC s member database. Waiver, Release and Indemnity Risk of Injury or Illness By signing below, you acknowledge that you are aware of the risk of injury or illness inherent in any activity or program designed for young children and the risk of injury or illness in any activity or program on the club premises. You, Registered Caregivers and your Child Member(s) may participate in PKC s programs, classes and other activities, and may use PKC s facilities, upon the express understanding that you hereby waive and release PKC, its employees, agents, officers and directors from any and all claims arising from your family s activities at PKC, and indemnify and hold PKC harmless from and against any and all liabilities, expenses or judgments, including attorneys' fees and court costs resulting from any of the following: (a) any member s participation in an activity or program or any illness or injury resulting therefrom; (b) exposure of any member to any illness or disease while on PKC s premises; or (c) any injury or damage to the person or property of a member while on PKC s premises. Member Responsibilities You agree to assume all risks that may occur and all property damage and personal injury suffered during the time you, another Registered Caregiver, or any Child Member are in PKC s facilities. In the event of an emergency related to your Child Member, PKC will use reasonable efforts to contact a Registered Caregiver. If PKC is unable to reach a Registered Caregiver, PKC may seek whatever medical care the child needs as determined by a PKC employee in her or his sole discretion. PKC is hereby released from all liability for any outcome that may occur. You further acknowledge that PKC does not have a medical staff available onsite and cannot provide emergency or other medical treatment. Disclaimer of Liability PKC is not liable for any harm or loss to persons or property. Any protection exercised or offered by PKC shall be deemed purely gratuitous on its part and shall in no way be construed to make it liable for any loss or inconvenience suffered by the member. PKC is not responsible in any circumstances for indirect, consequential or punitive damages, even if it has been advised of the possibility of such damages. Temporary Closure
5 PKC reserves the right to close, limit or restrict the use of its club facilities in whole or in part in its sole discretion during periods of construction, repairs, maintenance and special events. Assignment PKC has the right to enter into a change of control or to be acquired by another company or to sell its assets to another company at its sole discretion. In such event, the provisions of your then current membership will be honored until the end of the term. Arbitration Any disputes which arise under this Agreement and which cannot be settled amicably by the parties will be settled by arbitration in San Francisco, California by one arbitrator appointed by the American Arbitration Association ( AAA ) with proceedings conducted under the commercial rules of the AAA. Arbitration awards shall be final and binding upon the parties. Any arbitral award may be entered as a judgment or order in any court of competent jurisdiction. Acceptance PKC shall have the sole and absolute discretion to grant or to deny membership or class enrollment. Such discretion shall be exercised without regard to race, ethnicity, religion, gender, sexual orientation, disability or national origin. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of California. I have read this Membership Agreement, and I agree to its terms.
